REGARDING ELEVATED TANK INSPECTION WHEREAS, on February 27, 2002, the City Council of the City of Vernon adopted Resolution No. 7908 approving a Request for Proposal for Elevated Tank Inspection and Structural Review Services ("RFP") to obtain proposals for specialized tank engineering services to complete tank inspection and structural analysis to ensure that the City's elevated tank conforms to all applicable State, Federal and Vernon City Code requirements; and WHEREAS, the RFP was sent and responses were received from Harper & Associates Engineering, Inc. and Pittsburg Tank & Tower Company, Inc., all of which were reviewed and evaluated by the Community Services & Water Department; and WHEREAS, the Community Services & Water Department found Pittsburg Tank & Tower Company, Inc. ("Pittsburg") to be the lowest vendor submitting a proposal; however, Pittsburg's proposal did not comply with the requirements set forth in the RFP nor was it realistic in terms of the estimated time of completion and Pittsburg was determined not to have the technical and practical knowledge to facilitate a project of this magnitude; therefore, Harper & Associates Engineering, Inc. was deemed the lowest responsible qualified vendor; and WHEREAS, by letter dated August 14, 2002, Bruce V. a 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Malkenhorst, the City Administrator/City Clerk, recommended that an Agreement for Professional Services be entered into with Harper & Associates Engineering, Inc. at a cost not to exceed Thirty -One Thousand Nine Hundred Seventy -Five Dollars and Fifty Cents ($31,975.50). NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby accepts the proposal of Harper & Associates Engineering, Inc. and approves the Agreement for Professional Services, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Agreement for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Agreement to: Harper & Associates Engineering, Inc. Attn. (hereinafter referred to as 12 „Harper") 1240 E. Ontario Ave., #102-312 13 Corona, CA 92881-8671 14 RECITALS 15 WHEREAS, the City desires to retain the services of a firm to 16 perform an inspection and structural review of the City's elevated tank 17 which serves as the primary pressure control mechanism for the City's 18 water system; and 19 WHEREAS, on or about April 11, 2002, the City issued a 20 Request for Proposal for Elevated Tank Inspection and Structural 21 Review; and 22 WHEREAS, Harper submitted a Proposal to City of Vernon for 23 Elevated Tank Inspection and Structural Review dated May 20, 2002, as 24 modified on June 24, 2002, (the "Proposal), a copy of which is attached 25 hereto as Exhibit "A," and incorporated herein by reference as though 26 fully set forth; and 27 WHEREAS, the Proposal includes a description of the 28 Engineering Consulting Services for a Corrosion and Structural/Seismic 1 Safety Evaluation of an Elevated Tank by Method of Diving and 2 identified the tasks for tank inspection by diving method that would be 3 performed by Harper and the attendant costs of each task; and 4 WHEREAS, Harper has advised the City that it is qualified to 5 perform such services under this Agreement; and 6 WHEREAS, the City has determined that Harper has 7 demonstrated that it has the requisite competency and professional 8 qualifications and desires to engage Harper for the services 9 hereinafter described. 10 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 11 FORTH HEREIN: 12 1. SCOPE OF SERVICES. 13 Harper shall perform its services under the general 14 supervision of the City Administrator and the Director of Community 15 Services and Harpers scope of services shall be assigned by the City 16 Administrator and the. Director of Community Services and include, but 17 not be limited to, the Tank Inspection by Diving Method, Task I- 18 Corrosion Field Investigation, Cleaning and Report and Task II -Seismic 19 Evaluation and Scope of Services identified in Exhibit "A." It is 20 understood and agreed that in the event of a conflict between the 21 Proposal and this Agreement, the terms of this Agreement shall prevail. 22 2. PROGRESS REPORTS. 23 Harper shall submit progress reports at least once a week 24 until the work hereunder is completed. Harper shall meet with City 25 staff, upon City's request, or as needed, in order to provide reports 26 or information concerning the services being performed by Harper under 27 this Agreement. 28 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27. 28 3. TIME OF PERFORMANCE. Harper's services shall commence upon the signing of the Agreement by both parties and shall end when Harper has completed the work on the items according to the work schedule contained in Harper's Proposal, unless the Agreement is otherwise terminated according to Section 9 of this Agreement or extended upon the written agreement of bothpartiesto this Agreement. Completion of the services to be performed by Harper is expected to be no later than October 2, 2002. 4. COMPENSATION. A. Consulting Costs. 1. The City shall pay Harper on a time and material basis according to the Terms and Schedule of Fees and Charges set forth in Exhibit"B." Harper will be paid Twenty -Four Thousand Nine Hundred Seventy -Five Dollars and Fifty Cents ($24,975.50) plus Seven Thousand Dollars and No Cents ($7,000.00) for geotechnical evaluation for the elevated tank. The total amount to be paid to Harper under this Agreement is not to exceed Thirty -One Thousand Nine Hundred Seventy -Five Dollars and Fifty Cents ($31,975.50). If changes and extra services are requested by the City pursuant to Section 7 of this Agreement, then the City shall pay for those services on a time and material basis as set forth in Exhibit "B." B. Other Expenses. Expenses may only be billed if advance written approval has been obtained from the City Administrator. 5. METHOD OF PAYMENT. Harper shall submit within thirty (30) days after the last day of any month in which services have been performed or costs - 3 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 day of any month in which services have been performed or costs incurred hereunder an invoice to the City for payment. Invoices shall contain an itemization of services rendered, directly related job expenses and subcontract charges incurred by Harper for which compensation is due, and an estimate of the percentage completed for each milestone or task. Harper shall be responsible for paying any subcontractors used in the performance of this Agreement. Subcontractors shall not bill the City directly. Payment of the invoice shall be made after acceptance and approval by the City within thirty (30) days of receipt. The City's approval of the invoice shall not be unreasonably withheld. 6. PERSONNEL. Harper agrees that all services provided will be conducted by the principal and competent staff members, if any, under the supervision of the principal, and that services will be performed and rendered diligently. Harper shall only perform additional services during this time period when requested by the City Administrator and the Director of Community Services. Harper represents that it has, or shall secure at its own expense, all personnel required to perform Harper's services under this Agreement, but at all times shall be responsible for the services of such personnel. Harper may not employ any sub -consultants without the prior written approval of the City. 7. CHANGES AND EXTRA SERVICES. The City reserves the right to request changes in the services to be performed by Harper. All such changes shall be incorporated in written change orders executed by the City and Harper that shall specify the changes ordered and the parties shall mutually negotiate an adjustment of compensation and completion time if required 4 1 thereof. 2 Any services added to the scope of this Agreement by a change 3 order shall be executed under all applicable conditions of this 4 Agreement. Harper should be paid according to the fee schedule in 5 Exhibit "B. No claim for additional compensation for services or 6 extension of time shall be recognized unless contained in a duly 7 executed change order. 8 8. PRODUCTS OF CONSULTING. 9 All reports, plans, data, studies, maps, drawings, models, 10 photographs, documents and other writings prepared by and for Harper, 11 its officers, employees, agents and subcontractors in the course of 12 implementing this Agreement, with the exception of working notes, 13 internal documents and Confidential Information provided by businesses 14 located in City, shall be considered the property of City. Harper 15 shall deliver such documents and materials to the City as they are 16 generated; however, Harper may take and retain copies of said documents 17 and materials that are not Confidential Information, as desired. 18 All reports, information, data and exhibits prepared or 19 assembled by Harper in connection with the performance of its services 20 pursuant to this Agreement are confidential until released by the City 21 to the public and Harper agrees that such documents shall not be 22 available to any individual or organization without the written consent 23 of the City prior to such release. 24 No reports, maps, or other documents produced in whole or in 25 part under this Agreement shall be the subject of an application for 26 copyright by or on behalf of Harper. 27 Any reuse of Harper prepared documents, other than for the 28 specific purpose intended hereunder, will be at the City's sole risk 61 1 l 2 3 4 5 6 7 8� A� 10 11 12 13 14 15 16 17 19 20 21 22 23 24 25 26 27 28 and without liability or legal exposure to Harper or its subcontractor. City shall indemnify and hold harmless Harper from all claims, damages, losses and expenses including attorney's fees arising or resulting from �Isuch reuse. 9. TERMINATION. This Agreement may be terminated by the City without cause on fifteen (15) days written notice to Harper. Harper shall be entitled to the compensation earned by it prior to the date of the termination notice, computed pro rata up to and including that date, plus compensation for work performed during the fifteen (15) day notice period and authorized in the termination notice. Harper may terminate this Agreement on ten (10) days written notice to the City if the City fails to pay Harper's invoice within forty-five (45) days of receipt by City; provided, that the Agreement shall not be terminated if the City issues payment within said ten (10) day notice period. In the event of termination, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs and reports prepared by Harper under this Agreement shall, at the option of City, become its property. Notwithstanding the foregoing, Harper shall not be relieved of liability to the City for damage sustained by City by virtue of any breach of this Agreement by Harper. 10. NOTICES. The City may provide Harper with, or allow Harper access to, certain information not available to the public concerning the City, or businesses located in the City. The information may include company information, taxes, sales, value of assets, or other such information. All such information shall be known as "Confidential Information" and may not be used to circumvent the responsibility of either party to this Agreement. B. No Disclosure. Except as expressly permitted, Harper shall not disclose, permit the disclosure of, release, disseminate, or transfer, whether orally or by any other means, any part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Harper shall return any written Confidential Information and all copies made of such items to the City upon the City's written request, but in any event not later than the date that Harper has performed all services to be performed pursuant to this Agreement. Harper hereby agrees that such Confidential Information and any documents provided may be used by Harper only as authorized by the City. Harper shall take reasonable measures to avoid any disclosure of any such Confidential Information to any unauthorized person. C. Court Ordered Disclosure. Harper shall immediately notify the City of any court order or subpoena requiring disclosure of - 7 - 1 2 Q 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 PXV 27 RM Confidential Information, and shall cooperate with legal counsel in the appeal or challenge of any such order or subpoena. Recipient may only disclose Confidential Information required to be disclosed pursuant to court order or subpoena after legal counsel has exhausted any lawful and timely appeal or challenge. D. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Agreement. Harper ac.knowledges that in case of such breach or threatened breach of said provisions, the City would have no adequate remedy at law. 12. GENERAL PROVISIONS. A. Independent Contractor. At all times during the term of this Agreement, Harper shall be an independent contractor and shall not be an employee of the City. The City shall have the right to control Harper only insofar as the results of Harper's services rendered pursuant to this Agreement; however, the City shall not have the right to control the means by which Harper accomplishes services rendered pursuant to the Agreement except to the extent that such services involve the use of City property or Confidential Information. B. Harper Not Agent. Except as the City may specify in writing, Harper shall have no authority, express or implied, to act on behalf of the City in any capacity whatsoever as an agent. Harper shall have no authority, express or implied, pursuant to this Agreement to bind the City to any obligation whatsoever. C. Indemnification. Harper shall indemnify, defend, protect and hold the City and its officers, agents and employees, free - 8 - 1 2 3 4 5 6 7 8 9 11DA 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and harmless from and against any and all claims, demands, losses, damages, liabilities, fines, charges, penalties, orders, judgments and all costs and expenses incurred in connection therewith, including reasonable attorney's fees and costs of defense arising out of or attributable to the negligent or wrongful acts of Harper or its subcontractors, employees or agents in the performance of services under this Agreement, except to the extent arising from or caused by the sole active negligence or willful misconduct of the City, its officers, agents or employees. D. Insurance. Prior to commencing work hereunder, Harper shall provide the City with proof of insurance providing and maintaining the coverages and endorsements set forth in the Insurance Schedule attached hereto as Exhibit "C" and made a part hereof by reference. Said proof of insurance shall also provide that said policy or policies shall not be canceled or materially reduced in coverage without giving at least fifteen (15) days prior written notice to the City. If Harper fails to provide proof of insurance coverage as specified above, the City may, at its sole discretion, terminate this Agreement immediately. Harper shall not permit a subcontractor or vendor to perform work on City premises unless and until a certificate of insurance is obtained showing that such subcontractor or vendor has worker's compensation coverage. If Harper employs subcontractors as part of the services rendered, Harper's protective coverage is required. Harper may include all subcontractors as insureds under its own policy or shall furnish separate insurance for each subcontractor, meeting the requirements set forth herein. E. Governing Law. The validity, interpretation and - 9 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 performance of this Agreement shall be controlled and construed under the laws of the State of California as enacted and in force at the time this Agreement is fully executed. F. Assignment Prohibited. Harper may not assign any right or obligation pursuant to this Agreement except with the express written consent of the City. Any other attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. G. Amendments. Except as may otherwise be specifically provided herein, this Agreement may be modified or amended only by a written document executed by both Harper and the City and approved as to form by the City Attorney. H. Entire Agreement. This Agreement is the entire agreement of the parties. Harper represents that in entering into this Agreement, it has not relied on any previous representations or understandings of any kind or nature. I. Benefit of Agreement. This Agreement shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. J. Forum Selection. Any action brought relating to this Agreement shall be brought and held exclusively in a State Court in the County of Los Angeles, California. K. Recitals. All recitals are incorporated by preference. L. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Agreement, or with respect to any other matters arising in connection with this Agreement, shall not be deemed a waiver with respect to subsequent =t= 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 default or other matter. M. Attorney's Fees. In the event that it becomes necessary for either party to this Agreement to enforce any of the provisions of this Agreement, the parties agree that a court of competent jurisdiction may determine and fix reasonable attorney's fees to be paid to the successful litigant. N. Force Majeure. Neither Party shall be considered in to be in default in any of its obligations under this Contract when a failure of performance shall be due to an uncontrollable force. The term "uncontrollable force" shall mean any cause beyond the control of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightening, epidemic, war, riot, civil disturbance or disobedience, labor dispute, labor material shortage, sabotage, federal, state, or municipal action, statute, ordinance, or regulation, embargoes of the United States Government or any other government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise of due diligence has been unable to overcome. HAE is a corrosion and reservoir structural consulting engineering firm, operating since December 1979. The firm specializes in all facets of corrosion and tank structural engineering services related to evaluation and specification preparation for establishment of maintenance and rehabilitation of water storage tanks. Detailed background and resumes are included in the Key Personnel Section of the comprehensive Proposal. The firm's principal, William B, Harper, P.E. specializes in the barrier protection arena and would oversee the project. Seismic and structural engineering of the tank would be accomplished by Mr. Robert Wozniak, S.E. Both of these Engineers have in excess of thirty years of experience each in the maintenance and rehabilitation of water storage tanks. This Consultant has provided miscellaneous corrosion and seismic/structural engineering services to a wide variety of clients in the water and wastewater industry. HAE successfully completed numerous project for the City of Vernon in the mid -eighties when Lewis Adams and Adrian were with the City. The Experience Section of this comprehensive Proposal lists similar project completed in the past three years. We are confident our firm offers the City an exceptional opportunity to accomplish corrosion and structural/seismic engineering services with an outstanding array of technical talent and expertise. Ontario Ave., Ste. 102-312 Corona, CA 92881-8671 Phone (909) 372-9196 Fax (909) 372-9198 APPROACH TO THE PROJECT As noted previously, HAE has specialized in tank corrosion and seismic/structural evaluations since 1979. Therefore our firm has a thorough understanding of the scope of work required to provide the City with a detailed evaluation of the tank as outlined in the Request for Proposal (RFP). The City's RFP work tasks call for the field evaluation to be accomplished with the tank drained. In addition it is required that the bottom surfaces be cleaned prior to the evaluation, a pressure control system be installed and the interior surfaces be disinfected at the completion of the evaluation. HAE has submitted a detailed scope of work and professional fees to accomplish the work as outlined in the RFP. In addition HAE has submitted a detailed scope of work and professional fees to accomplish the field evaluation of the tank by diving method. The cleaning of the tank would also be accomplished by diving method. If the work is accomplished by diving method it would not be necessary to provide the pressure control system or disinfect the tank at the completion of the work. Accomplishing the field evaluation by method of draining will be a very time consuming procedure. As can be seen on the schedule, five days has been allowed for the tank cleaning. It will be necessary to block off the inlet/outlet pipe to prevent contaminants from entering the water distribution system. The washout will be accomplished by a three man crew using a pulley system and buckets'to remove the sediment to the base of the tank for disposal by the City. The wash down water will need to be pumped from the tank into the site storm drain. The field evaluation and weld testing will be accomplished the following two days. At the end of the second day of investigation the tank will be disinfected using a high pressure water system. The disinfection water will be dechlorinated and pumped from the tank into the site storm drain. Based on the above information, the City will need to provide the pressure control system for a minimum of seven working days. Accomplishing the field evaluation by method of diving would mean the tank could remain in service. It would not be necessary for the City to provide the pressure control system. A screen would be placed over the inlet/outlet for the security of the diver and a vacuum would be used to remove the sediment on the bottom. It would not be necessary to disinfect the interior of the tank after the evaluation. As noted in the detailed scope of work, the diver and all equipment is disinfected prior to entering the tank. The diving operation is in complete compliance with the AWWA C-652 standard for diving of potable water tanks and Andre Harper the lead engineer/diver has been a member of the committee for three years. If the City elects to accomplish the field investigation with the tank drained, HAE would assist the City in determining the pressure control system required for the tank. Mr. Duffy Atkinson is a retired engineer that our firm has worked with on numerous projects including Sunnyslope Water Company and the City of Lakewood. Mr. Atkinson has spent his career in the water industry including the design and operation of systems and teaching at Citrus College. He would be able to assist the City in providing the pressure control system. In addition Ponton Industries in Santa Fe Springs, the supplier of variable frequency drives (VFD), would be able to assist the City in determining the VFD required to meet the system needs. As can be determined in the attached resume, Mr. Robert Wozniak, S. E. is one of the most qualified tank seismic/structural engineers in the United States and he has consulted on many international projects as well. Based on his experience, Mr. Wozniak does not typically include ultrasonic testing of the welds to determine weld quality. If a tank has been in service for over thirty years any significant weld problems would have developed prior to the ultrasonic testing. In addition the testing can be expensive to accomplish. However, HAE has included weld testing as per the proposal requirements. HAE would be willing to provide the City with comprehensive reports including; corrosion, structural, construction details, laboratory testing and photographic surveys from recently completed projects for review. HAE is capable of providing complete turn key engineering services for the rehabilitation of water tanks. If HAE is the consulting firm chosen to preform the inspection and structural review, we would be able to provide the City with the engineering services to prepare the technical specifications and plans for any coating, painting or structural modifications the City determines to accomplish after review of the final report. In addition HAE can provide the bidding assistance, construction management and quality control inspection needed for a quality rehabilitation project. Mr. Harper is a life member of AWWA, has been a member ofNACE for over 30 years and is past Chairman of the AWWA D 102 Revision Task Force for revising the AWWA standard for coating and painting of steel tanks from 1978 to 1999. He is also a former member of the Board of Directors of the Califomia/Nevada AWWA Section and past Chairman of the Tank, Reservoir and Structure Maintenance Committee. Robert S. Wozniak. P.E. Mr. Wozniak would accomplish the structural/seismic evaluation of the tank. He is a registered professional civil and structural engineer in the State of California CR 32564 and S 2486, and has over thirty years experience in steel and concrete tank structural engineering. Mr. Wozniak was Senior Structural Engineer for over thirty years with Chicago Bridge & Iron Company, the largest tank designer/constructor in the world. Mr. Wozniak is past Chairman of the AWWA D100 Revision Task Force for revising the AWWA standard for steel tanks from 1973 To 1999. He is also an active member of the Earthquake Engineering Research Institute, and is an internationally recognized authority on design and evaluation of steel tanks for seismic reliability. Andre Harper Mr. Harper would accomplish the field evaluation and cleaning of the tank whether by drained or diving method. He holds a degree in engineering from California State Polytechnic University, Pomona. Mr. Harper has worked in both part and full-time status with HAE for the past twenty years, including diving inspections of hundreds of tanks for evaluation of coating, painting and seismic/structural projects. Mr. Harper is a project engineer for HAE as well as supervising all field operations for the firm. Mr. Harper is a committee member on the AWWA C-652 National Taskforce in charge of redefining the standard for diving potable water storage tanks. PROJECT DESCRIPTION A. PROJECT LOCATION 1. The 0.75 MG elevated toro-spherical steel water storage tank is located on a City -owned site in the City of Vernon, California. B. OBJECTIVES OF PROJECT l . CORROSION PROTECTION EVALUATION - The objective ofthe project is to determine the condition of the tank as relates to corrosion factors, including coatings, paints and to recommend corrective and preventive measures, including filing of reports. 2. LABORATORY ANALYSES - The objective is to determine the levels of heavy metals within the coatings and paints to assist in planning the work to ensure all personnel health, safety measures and all environmental controls are implemented. 3. STRUCTURAL, SEISMIC AND SAFETY EVALUATION - The objective is to determine the condition of the tank for seismic, structural and safety reliability and related operating parameters, and to recommend corrective and preventative measures, including filing of a report. Stress calculations will verify whether existing static conditions meet current tank standards. All seismic design load calculations will be based upon seismic Zone 4, as set forth in AWWA Standard D100-96. C. SCOPE OF WORK CORROSION EVALUATION 1. Meet with City to verify approach to project. City will supply two copies of all drawings on file to assist in the evaluation. 2. Accomplish review of any records relevant to the project and accomplish field investigations of complete interior of the tank and complete exterior of the tank, to evaluate the present condition of tank from the following standpoints: a. Corrosion -related structural soundness of the tank and the foundation. b. Condition of paint and other protective coatings; how they are protecting the steel from corrosion, their aesthetic qualities, the percent failures, and their ability to be recoated. C. Adhesion tests to determine ability to overcoat existing paint. d. The extent and depth of pitting. e. Condition of appurtenances: float, overflow, inlet, ladders, etc f. Environmental and operating conditions which affect the use of the tank, maintenance of the tank, the aggressiveness of the atmosphere and water, and extent of abrasion damage. 3. Field evaluation of the tank to visually inspect and photograph visible deficiencies would be accomplished with the tank drained and entail one site visit, unless corrosion damage is sufficient to warrant further evaluation. a. Interior bottom and appurtenances of the tank shall be washed.out to remove the sediment and foreign materials to assist in the evaluation of these surfaces. Materials removed shall be placed at the base of the tank tower for disposal by the City. b. Upon completion of the investigation, the interior surfaces shall be disinfected in conformance to AWWA Standard C652 Section 4.2 Chlorination Method 2. Disposal of chlorinated water will be to the storm drain and all discharges shall be neutralized in accordance with Appendix B of C-652-92. 2 4. Surfaces would be photographed and entered into a Photographic Survey album which would be included in the detailed written report. 5 Conclusions and recommendations would be prepared for the following and included in the detailed written report. a. Cause(s) of deficiencies. b. Coating and paint repair or replacement, including extent of deficient areas, estimated costs, and life expectancy. C. The dimensions, character and locations of pitted areas. d. Additional items to enhance maintenance and safety 6. Three copies of the comprehensive written report will be submitted. 7. Meet with City to discuss results and recommendations. 8. Safety Procedures a. Harper& Associates Engineering, Inc. fully complies with all of the following safety procedures in accordance with Cal -OSHA Title 8, General Industry Safety Orders, Group 26, Article 152, 153, 6050- 6056. D. SCOPE OF WORK - LABORATORY ANALYSES 1. Remove 4 samples of interior coatings and 2 samples of exterior paints to determine if they contain lead, chromium compounds or zinc, as required by Title 22. This removal operation would transpire during the investigation of the interior and investigation of the exterior. A detailed report would be formulated, noting levels of specific heavy metals and relating this information to the methods of removal, protection of workers and environment, testing of removed coating and spent abrasive for heavy metal content, and determination of wastes as hazardous materials, including disposal methods and operations. E. SCOPE OF WORK - STRUCTURAL/SEISMIC/SAFETY EVALUATION 1. Meet with City to verify approach to project for seismic evaluation of the tank. City will supply two copies of all drawings on file to assist in the evaluation. 3 2. Accomplish field investigation of tank to verify measurements, physical conditions and other information to determine seismic stress load calculations and structural evaluations. a. Steel plate and component thicknesses for calculation purposes would be determined by measurement with an ultrasonic thickness gage. b. Evaluate condition of attached piping and other appurtenances and their relationship to a seismic event. C. Evaluate condition of foundation as far as is visible above ground and available drawings. 3. Field investigation of interior of tank will be accomplished during corrosion investigation to determine physical conditions and related information to assist in determining seismic stress load calculations and structural evaluation. a. Typically HAE prepares a section of the comprehensive report titled the "Welded tank construction / structural details" that includes all pertinent detailed measurements for the tank, appurtenances and foundation. 4. The weld quality shall be verified by ultrasonic testing procedures in accordance with AWS Standards. The location and number of locations tested shall be in accordance with AWWA Standards. The structural acceptability of the welds shall be documented in the engineering report. a. Typically HAE would not include this item in our scope of work for a structural/seismic evaluation of the tank because the tank has been in service for over thirty years and if there was a significant problem it would have developed prior to now. In addition the testing is expensive for the Owner. 5. Specific conditions would be noted and included in the report. a. Interior and exterior surfaces would have been photographed during corrosion protection investigation and entered into a Photographic Survey album which would be included as a reference point. 6. Conclusions, recommendations and cost estimates, based on field observations, measurements, available drawings and records, and corrosion report, would be prepared and included in the report. The report would include recommendations on modifications or replacements to bring tank into current structural, seismic and safety codes or standard status. 4 II a. It is noted that upgrading of tank does not guarantee an indestructible structure. Design, etc. should be based on water industry and existing AWWA Standards, which provides a cost effective design to bring tank in line with a 60 year experience on performance of tanks during earthquakes for specific zones. 7. Meet with City to discuss results and recommendations. 8. Seismic recommendation will include a general site risk assessment. a. A geotechnical study is not included as part of this Proposal. If a geotechnical study is required, this work should be accomplished by a reputable geotechnical consultant. At a minimum, the following should be addressed in any geotechnical study: I ) The geologic setting of the site 2) Potential geologic hazards, including, faulting and seismic analysis to estimate expected ground motions with associated single -degree -of -freedom horizontal acceleration or velocity response spectra for 0.5, 2.0, 5.0 and 10.0 percent levels of structural damping. 3) Site coefficient (per UBC standards) 4) General subsurface conditions 5) General extent of existing overburden soils 6) Stability of existing slopes 7) Potential for liquefaction 8) Evaluation of bearing capacities of the existing tank foundations and development of recommendations for additional foundation support for both downward and upward loads. 9) Corrosivity evaluation of soil samples (This was possibly accomplished during original or subsequent project which involved subgrade piping, etc.) SCHEDULE A. Field investigation for the tank and filing of the report for work noted above would commence at a mutually agreed time upon execution of a written agreement and 5 receipt of a Notice to Proceed. III. CITY RESPONSIBILITIES A. The City shall provide the following items, personnel and/or services to be utilized in connection with this work. l . Two copies of all drawings and relevant records for the tank, as required. 2. The City shall make available to the Consultant reasonable and timely staff input for purposes of conference discussion, reviewing submissions from the Consultant, providing factual information and/or suggestions relating to the work in a manner such that the Consultant may meet the project completion schedule. 3. The City shall provide designated water operations person for access to tank site and unobstructed access to tank interior upon request by the Consultant at time and in the manner mutually agreed upon as required to accommodate work of Consultant. 4. The City shall provide low pressure water at the site to be used in the wash down and disinfection of the tank. 5. City will provide payment on monthly progress estimates to the Consultant based upon work accomplished during the previous month or portion thereof. IV. WORK PRODUCT A. The City designee shall at all times have access to the work product of the Consultant while it is under preparation or in progress. PROJECT DESCRIPTION A. PROJECT LOCATION l . The 0.75 MG elevated toro-spherical steel water storage tank is located on a City -owned site in the City of Vernon, California. B. OBJECTIVES OF PROJECT l . CORROSION PROTECTION EVALUATION - The objective ofthe project is to determine the condition of the tank as relates to corrosion factors, including coatings, paints and to recommend corrective and preventive measures, including filing of reports. 2. LABORATORY ANALYSES The objective is to determine the levels of heavy metals within the coatings and paints to assist in planning the work to ensure all personnel health, safety measures and all environmental controls are implemented. 3. STRUCTURAL, SEISMIC AND SAFETY EVALUATION - The objective is to determine the condition of the tank for seismic, structural and safety reliability and related operating parameters, and to recommend corrective and preventative measures, including filing of a report. Stress calculations will verify whether existing static conditions meet current tank standards. All seismic design load calculations will be based upon seismic Zone 4, as set forth in AWWA Standard D100-96. C. SCOPE OF WORK - CORROSION EVALUATION l . Meet with City to verify approach to project. City will supply two copies of all drawings on file to assist in the evaluation. 2. Accomplish review of any records relevant to the project and accomplish field investigations of complete interior of the tank and complete exterior of the tank, to evaluate the present condition of tank from the following standpoints: a. Corrosion -related structural soundness of the tank and the foundation. b. Condition of paint and other protective coatings; how they are protecting the steel from corrosion, their aesthetic qualities, the percent failures, and their ability to be recoated. C. Adhesion tests to determine ability to overcoat existing paint. d. The extent and depth of pitting. e. Condition of appurtenances: float, overflow, inlet, ladders, etc. f. Environmental and operating conditions which affect the use of the tank, maintenance of the tank, the aggressiveness of the atmosphere and water, and extent of abrasion damage. 3. Field evaluation of the tank utilizing Certified Divers/Engineers to visually inspect and photograph visible deficiencies would be accomplished and entail one site visit, unless corrosion damage is sufficient to warrant further evaluation. a. Evaluation of vapor zone is limited to visual from the water level below the highest point of the tanks. With the water level 3 to 4 feet below roof line, inspection via inflatable raft greatly enhances the execution of the survey. b. Interior of the tank will be vacuumed utilizing Certified Divers/Engineers, including bottom surfaces and appurtenances. 2 C. HAE will furnish the City with a real time video illustrating the cleaning of each tank. d. HAE shall assist the City personnel in containing of the silt for disposal (if necessary), but the City shall be responsible for the containment and disposal. 4. Surfaces would be photographed and entered into a Photographic Survey album which would be included in the detailed written report. 5. Conclusions and recommendations would be prepared for the following and included in the detailed written report. a. Cause(s) of deficiencies. b. Coating and paint repair or replacement, including extent of deficient areas, estimated costs, and life expectancy. C. The dimensions, character and locations of pitted areas. d. Additional items to enhance maintenance and safety 6. Three copies of the comprehensive written report will be submitted. 7. Meet with City to discuss results and recommendations. 8. The following sanitary measures will be fully complied with in accordance with AWWA C652, Section 5. a. Diver's equipment is dedicated for use only in potable water storage tanks. b. No body parts shall come in contact with potable water. 1) Diver's suit shall be prophylactic in design. Only non - permeable dry -suits shall be used which incorporate an integrated hard helmet, neck and wrist dams, and boots. a) Wet suits, hoods, and open or removable masks and face plates are not acceptable for use in potable water. C. Prior to diver entrance into potable water, diver shall be: 3 1) Fully dressed in prophylactic dry suit as detailed above. 2) All equipment and diver dress shall be thoroughly disinfected by a 100% wash -down with or immersion in a 200 PPM solution of chlorine and water. 9. Safety Procedures a. Harper & Associates Engineering, Inc. fully complies with all of the following safety procedures in accordance with Cal -OSHA Title 8, General Industry Safety Orders, Group 26, Article 152, 153, 6050 6056. b. All members of dive team shall poses a current certificate of qualification and training in CPR/First aid. C. A dive plan shall be prepared prior to dive operations. The plan shall identify, the nearest hyperbaric chamber location. D. SCOPE OF WORK - SEDIMENT REMOVAL l . Interior of the tank will be vacuumed utilizing Certified Divers/Engineers, including bottom surfaces and appurtenances. 2. HAE will furnish the City with a real time video illustrating the cleaning of each tank. 3. HAE shall assist the City personnel in containing of the silt for disposal (if necessary), but the City shall be responsible for the containment and disposal. 4. Sanitary measures will be fully complied with as noted in C., 8. and 9 above. E. SCOPE OF WORK - LABORATORY ANALYSES Remove 4 samples of interior coatings and 2 samples of exterior paints to determine if they contain lead, chromium compounds or zinc, as required by Title 22. This removal operation would transpire during the investigation of the interior and investigation of the exterior. A detailed report would be formulated, noting levels of specific heavy metals and relating this information to the methods of removal, protection of workers and environment, testing of removed coating and spent abrasive for heavy metal content, and determination of wastes as hazardous materials, including disposal methods and operations. 4 F. SCOPE OF WORK - STRUCTURAL/SEISMIC/SAFETY EVALUATION 1. Meet with City to verify approach to project for seismic evaluation of the tank. City will supply two copies of all drawings on file to assist in the evaluation. 2. Accomplish field investigation of tank to verify measurements, physical conditions and other information to determine seismic stress load calculations and structural evaluations. a. Steel plate and component thicknesses for calculation purposes would be determined by measurement with an ultrasonic thickness gage. b. Evaluate condition of attached piping and other appurtenances and their relationship to a seismic event. C. Evaluate condition of foundation as far as is visible above ground and available drawings. 3. Field investigation of interior of tank will be accomplished during corrosion investigation to determine physical conditions and related information to assist in determining seismic stress load calculations and structural evaluation. a. Typically HAE prepares a section of the comprehensive report titled the "Welded tank construction / structural details" that includes all pertinent detailed measurements for the tank, appurtenances and foundation. 4. The weld quality shall be verified by ultrasonic testing procedures in accordance with AWS Standards. The location and number of locations tested shall be in accordance with AWWA Standards. The structural acceptability of the welds shall be documented in the engineering report. a. Typically HAE would not include this item in our scope of work for a structural/seismic evaluation of the tank because the tank has been in service for over thirty years and if there was a significant problem it would have developed prior to now. In addition the testing is expensive for the Owner. 5. Specific conditions would be noted and included in the report. a. Interior and exterior surfaces would have been photographed during corrosion protection investigation and entered into a Photographic Survey album which would be included as a reference point. 5 6. Conclusions, recommendations and cost estimates, based on field observations, measurements, available drawings and records, and corrosion report, would be prepared and included in the report. The report would include recommendations on modifications or replacements to bring tank into current structural, seismic and safety codes or standard status. a. It is noted that upgrading of tank does not guarantee an indestructible structure. Design, etc. should be based on water industry and existing AWWA Standards, which provides a cost effective design to bring tank in line with a 60 year experience on performance of tanks during earthquakes for specific zones. 7. Meet with City to discuss results and recommendations. 8. Seismic recommendation will include a general site risk assessment. a. A geotechnical study is not included as part of this Proposal. If a geotechnical study is required, this work should be accomplished by a reputable geotechnical consultant. At a minimum, the following should be addressed in any geotechnical study: 1) The geologic setting of the site 2) Potential geologic hazards, including, faulting and seismic analysis to estimate expected ground motions with associated single -degree -of -freedom horizontal acceleration or velocity response spectra for 0.5, 2.0, 5.0 and 10.0 percent levels of structural damping. 3) Site coefficient (per UBC standards) 4) General subsurface conditions 5) General extent of existing overburden soils 6) Stability of existing slopes 7) Potential for liquefaction 8) Evaluation of bearing capacities of the existing tank foundations and development of recommendations for additional foundation support for both downward and upward loads. 3 9) Corrosivity evaluation of soil samples (This was possibly accomplished during original or subsequent project which involved subgrade piping, etc.) II. SCHEDULE A. Field investigation for the tank and filing of the report for work noted above would commence at a mutually agreed time upon execution of a written agreement and receipt of a Notice to Proceed. III. CITY RESPONSIBILITIES A. The City shall provide the following items, personnel and/or services to be utilized in connection with this work. 1. Two copies of all drawings and relevant records for the tank, as required. 2. The City shall make available to the Consultant reasonable and timely staff input for purposes of conference discussion, reviewing submissions from the Consultant, providing factual information and/or suggestions relating to the work in a manner such that the Consultant may meet the project completion schedule. 3. The City shall provide designated water operations person for access to tank site and unobstructed access to tank interior upon request by the Consultant at time and in the manner mutually agreed upon as required to accommodate work of Consultant. 4. The City shall provide low pressure water at the site to be used in the wash down and disinfection of the tank. 5. City will provide payment on monthly progress estimates to the Consultant based upon work accomplished during the previous month or portion thereof. IV. WORK PRODUCT A. The City designee shall at all times have access to the work product of the Consultant while it is under preparation or in progress. (hereinafter called HAE) has, since 1979, provided engineering consulting services. Services are furnished on the basis of the below listed terms and in accordance with the following schedule of fees and charges which are subject to revision at six month intervals: FEES: Principal Engineers $125.00 per hour Registered Corrosion Engineer $95.00 per hour Registered Structural Engineer $125.00 per hour Registered Metallurgical Engineer $125.00 per hour Field Engineer/Diver $85.00 per hour Engineering Technician $62.50 per hour Engineering Aide/Tender $48.75 per hour Coating/Paint Inspector $48.75 per hour Draftsperson $40.00 per hour Clerical $35.00 per hour Travel time is chargeable at the above rates. Overtime for non-professionals, when authorized, shall be charged at 1-1/2X and 2X, based on specific time schedule under which work is performed. If project is located out of area, food and lodging will be charged as noted below. EQUIPMENT AND MISCELLANEOUS CHARGES: The above charges include instruments commonly used in corrosion and related testing. However, specialized instrumentation and test equipment and facilities may require an additional charge. These and miscellaneous charges are computed at cost plus fifteen percent. Examples of such charges include, but are not limited to food, lodging, outside consultants, public transportation, rental equipment, special permits and fees, reproduction, long distance and FAX communications, special insurance, etc. Passenger cars and pick-up trucks are chargeable at $.35 per mile. INSURANCE COVERAGES: HAE agrees to maintain in force during the term of the Contract the following insurance policies: Workers' Compensation:ln full compliance with Workers' Compensation Act of the State of California. Accounts remaining unpaid after thirty days are subject to an interest charge of one and one-half percent per month (18% APR) from the date of invoice. If suit or action is instituted to collect any sum due, owing and unpaid, Client shall be liable for such sums as the court may adjudge reasonable for attorneys fees and other costs in said suit or action. REPRESENTATIONS: Professional services are provided under the direction of a professional engineer registered in the related discipline. In performing professional services, HAE will use that degree of care and skill ordinarily exercised, under similar circumstances, by reputable members of their profession practicing in similar locations. No other warranty, express or implied, is made or intended by any proposal for HAE's services or by furnishing oral or written reports of the findings made. (hereinafter referred to as "Harper") 1240 E. Ontario Ave., #102-312 Corona, CA 92881-8671 RECITALS WHEREAS, the City desires to retain the services of a firm to perform an inspection and structural review of the City's elevated tank which serves as the primary pressure control mechanism for the City's water system; and WHEREAS, on or about April 11, 2002, the City issyed a Request for Proposal for Elevated Tank Inspection and Structural Review; and WHEREAS, Harper submitted a Proposal to City of Vernon for Elevated Tank Inspection and Structural Review dated May 20, 2002, as modified on June 24, 2002, (the "Proposal), a copy of which is attached hereto as Exhibit "A," and incorporated herein by reference as though fully set forth; and WHEREAS, the Proposal includes a description of the Engineering Consulting Services for a Corrosion and Structural/Seismic 1 2 Kl 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Safety Evaluation of an Elevated Tank by Method of Diving and identified the tasks for tank inspection by diving method that would be performed by Harper and the attendant costs of each task; and WHEREAS, Harper has advised the City that it is qualified to perform such services under this Agreement; and WHEREAS, the City has determined that Harper has demonstrated that it has the requisite competency and professional qualifications and desires to engage Harper for the services hereinafter described. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. SCOPE OF SERVICES. Harper shall perform its services under the general supervision of the City Administrator and the Director of Community Services and Harper's scope of services shall be assigned by the City Administrator and the Director of Community Services and include, but not be limited to, the Tank Inspection by Diving Method, Task I - Corrosion Field Investigation, Cleaning and Report and Task II -Seismic Evaluation and Scope of Services identified in Exhibit"A." It is understood and agreed that in the event of a conflict between the Proposal and this Agreement, the terms of this Agreement shall prevail. 2. PROGRESS REPORTS. Harper shall submit progress reports at least once a week until the work hereunder is completed. TIME OF PERFORMANCE. Harper's services shall commence upon the signing of the Agreement by both parties and shall end when Harper has completed the work on the items according to the work schedule contained in Harper's Proposal, unless the Agreement is otherwise terminated according to Section 9 of this Agreement or extended upon the written agreement of both parties to this Agreement. Completion of the services to be performed by Harper is expected to be no later than October 2, 2002. 4. COMPENSATION. A. Consultina Costs. 1. The City shall pay Harper on a time and material basis according to the Terms and Schedule of Fees and Charges set forth in Exhibit "B." Harper will be paid Twenty -Four Thousand Nine Hundred Seventy -Five Dollars and Fifty Cents ($24,975.50) plus Seven Thousand Dollars and No Cents ($7,000.00) for geotechnical evaluation for the elevated tank.. The total amount to be paid to Harper under this Agreement is not to exceed Thirty -One Thousand Nine Hundred Seventy -Five Dollars and Fifty Cents ($31,975.50). If changes and extra services are requested by the City pursuant to Section 7 of this Agreement, then the City shall pay for those services on a time and material basis as set forth in Exhibit "B." B. Other Expenses. Expenses may only be billed if advance written approval has been obtained from the City Administrator. 5. METHOD OF PAYMENT. Harper shall submit within thirty (30) days after the last day of any month in which services have been performed or costs - 3 - 1 .2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 day of any month in which services have been performed or costs incurred hereunder an invoice to the City for payment. Invoices shall contain an itemization of services rendered, directly related job expenses and subcontract charges incurred by Harper for which compensation is due, and an estimate of the percentage completed for each milestone or task. Harper shall be responsible for paying any subcontractors used in the performance of this Agreement. Subcontractors shall not bill the City directly. Payment of the invoice shall be made after acceptance and approval by the City within thirty (30) days of receipt. The City's approval of the invoice shall not be unreasonably withheld. 6. PERSONNEL. Harper agrees that all services provided will be conducted by the principal and competent staff members, if any, under the supervision of the principal, and that services will be performed and rendered diligently. Harper shall only perform additional services during this time period when requested by the City Administrator and the Director of Community Services. Harper represents that it. has, or shall secure at its own expense, all personnel required to perform Harper's services under this Agreement, but at all times shall be responsible for the services of such personnel. Harper may not employ any sub -consultants without the prior written approval of the City. 7. CHANGES AND EXTRA SERVICES. The City reserves the right to request changes in the services to be performed by Harper. Any services added to the scope of this Agreement by a change order shall be executed under all applicable conditions of this Agreement. No claim for additional compensation for services or extension of time shall be recognized unless contained in a duly 11executed change order. 8. PRODUCTS OF CONSULTING. All reports, plans, data, studies, maps, drawings, models, photographs, documents and.other writings prepared by and for Harper, its officers, employees, agents and subcontractors in the course of implementing this Agreement, with the exception of working notes, internal documents and Confidential Information provided by businesses located in City, shall be considered the property of City. Harper shall deliver such documents and materials to the City as they are generated; however, Harper may take and retain copies of said documents and materials that are not Confidential Information, as desired. All reports, information, data and exhibits prepared or assembled by Harper in connection with the performance of its services pursuant to this Agreement are confidential until released by the City to the public and Harper agrees that such documents shall not be available to any individual or organization without the written consent of the City prior to such release. No reports, maps, or other documents produced in whole or in part under this Agreement shall be the subject of an application for (copyright by or on behalf of Harper. City shall indemnify and hold harmless Harper from all claims, damages, losses and expenses including attorney's fees arising or resulting from such reuse. 9. TERMINATION. This Agreement may be terminated by the City without cause on fifteen (15) days written notice to Harper. Harper shall be entitled to the compensation earned by it prior to the date of -the termination notice, computed pro rata up to and including that date, plus compensation for work performed during the fifteen (15) day notice period and authorized in the termination notice. Harper may terminate this Agreement on ten (10) days written notice to the City if the City fails to pay Harper's invoice within forty-five (45) days of receipt by City; provided, that the Agreement shall not be terminated if the City issues payment within said ten (10) day notice period. In the event of termination, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs and reports prepared by Harper under this Agreement shall, at the option of City, become its property. Notwithstanding the foregoing, Harper shall not be relieved of liability to the City for damage sustained by City by virtue of any breach of this Agreement by Harper. 10. NOTICES. The City may 6 provide Harper with, or allow Harper access to, certain information 7 not available to the public concerning the City, or businesses located 8 in the City. The information may include company information, taxes, .g sales, value of assets, or other such information. All such 10 information shall be known as "Confidential Information" and may not 11 be used to circumvent the responsibility of either party to this 12 Agreement. 13 B. No Disclosure. Except as expressly permitted, 14 Harper shall not disclose, permit the disclosure of, release, 15 disseminate, or transfer, whether orally or by any other means, any 16 Part of such Confidential Information to any other person or entity, 17 whether corporate, governmental, or individual, without the express 18 prior written consent of an authorized representative of the City. 19 Harper shall return any written Confidential Information and all 20 copies made of such items to the City upon the City`s written request, 21 but in any event not later than the date that Harper has performed all 22 services to be performed pursuant to this Agreement. Harper hereby .23 agrees that such Confidential Information and any documents provided 24 may be used by Harper only as authorized by the City. Harper shall 25 take reasonable measures to avoid any disclosure of any such 26 Confidential Information to any unauthorized person. 27 C. Court Ordered Disclosure. Harper shall immediately 28 notify the City of any court order or subpoena requiring disclosure of 7 _ 1 Confidential Information, and shall cooperate with legal counsel in 2 the appeal or challenge of any such order or subpoena. Recipient may 3 only disclose Confidential Information required to be disclosed 4 pursuant to court order or subpoena after legal counsel has exhausted 5 any lawful and timely appeal or challenge. 6 D. Remedies. In addition to any other remedies that 7 it may have at law or in equity, the City shall be entitled to a 8 temporary and permanent injunction by a court of competent 9 jurisdiction against any breach or threatened breach of the 10 Confidential Information provisions of this Agreement. Harper 11 acknowledges that in case of such breach or threatened breach of said 12 provisions, the City would have no adequate remedy at law. 13 12. GENERAL PROVISIONS. 14 A. Independent Contractor. At all times during the 15 term of this Agreement, Harper shall be an independent contractor and 16 shall not be an employee of the City. The City shall have the right 17 to control Harper only insofar as the results of Harper's services 18 rendered pursuant to this Agreement; however, the City shall not have 19 the right to control the means by which Harper accomplishes services 20 rendered pursuant to the Agreement except to the extent that such 21 services involve the use of City property or Confidential Information. 22 B. Harper Not Agent. Except as the City may 23 specify in writing, Harper shall have no authority, express or 24 implied, to act on behalf of the City in any capacity whatsoever as an 25 agent. Harper shall have no authority, express or implied, pursuant 26 to this Agreement to bind the City to any obligation whatsoever. 27 C. Indemnification. Harper shall indemnify, defend, 28 protect and hold the City and its officers, agents and employees, free 1 .2 31 4 5 6 7 8 9 10 11 12 13 14 15 16 17 UM 19 20 21 22 23 24 25 26 27 28 performance of this Agreement shall be controlled and construed under the laws of the State of California as enacted and in force at the (time this Agreement is fully executed. F. Assignment Prohibited. Harper may not assign any right or obligation pursuant to this Agreement except with the express written consent of the City. Any other attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and of no effect. G. Amendments. Except as may otherwise be specifically provided herein, this Agreement may be modified or, amended only by a written document executed by both Harper and the City and approved as to form by the City Attorney. H. Entire Agreement. This Agreement is the entire agreement of the parties. Harper represents that in entering into this Agreement, it has not relied on any previous representations or understandings of any kind or nature. I. Benefit of Agreement. This Agreement shall bind and benefit the parties hereto and their heirs, successors, and 1permitted assigns. J. Forum Selection. Any action brought relating to this Agreement shall be brought and held exclusively in a State Court in the County of Los Angeles, California. K. Recitals. All recitals are incorporated by preference. L. Waiver. M. Attorney's Fees. In the event that it becomes Inecessary for either party to this Agreement to enforce any of the provisions of this Agreement, the parties agree that a court of competent jurisdiction may determine and fix reasonable attorney's fees to be paid to the successful litigant. N. Force Majeure. Neither Party shall be considered in to be in default in any of its obligations under this Contract when a failure of performance shall be due to an uncontrollable force. The term "uncontrollable force" shall mean any cause beyond the control of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightening, epidemic, war, riot, civil disturbance or disobedience, labor dispute, labor material shortage, sabotage, federal, state, or municipal action, statute, ordinance, or regulation, embargoes of the United States Government or any other government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise of due diligence has been unable to overcome. Both of these Engineers have in excess of thirty years of experience each in the maintenance and rehabilitation of water storage tanks. This Consultant has provided miscellaneous corrosion and seismic/structural engineering services to a wide variety of clients in the water and wastewater industry. HAE successfully completed numerous project for the City of Vernon in the mid -eighties when Lewis Adams and Adrian were with the City. The Experience Section of this comprehensive Proposal lists similar project completed in the past three years. Therefore our firm has a thorough understanding of the scope of work required to provide the City with a detailed evaluation of the tank as outlined in the Request for Proposal (RFP). The City's RFP work tasks call for the field evaluation to be accomplished with the tank drained. In addition it is required that the bottom surfaces be cleaned prior to the evaluation, a pressure control system be installed and the interior surfaces be disinfected at the completion of the evaluation. HAE has submitted a detailed scope of work and professional fees to accomplish the work as outlined in the RFP. In addition HAE has submitted a detailed scope of work and professional fees to accomplish the field evaluation of the tank by diving method. The cleaning of the tank would also be accomplished by diving method. If the work is accomplished by diving method it would not be necessary to provide the pressure control system or disinfect the tank at the completion of the work. Accomplishing the field evaluation by method of draining will be a very time consuming procedure. As can be seen on the schedule, five days has been allowed for the tank cleaning. It will be necessary to block off the inlet/outlet pipe to prevent contaminants from entering the ,water distribution system. The washout will be accomplished by a three man crew using a pulley system and buckets to remove the sediment to the base of the tank for disposal by the City. The wash down water will need to be pumped from the tank into the site storm drain. The field evaluation and weld testing will be accomplished the following two days. At the end of the second day of investigation the tank will be disinfected using a high pressure water system. The disinfection water will be dechlorinated and pumped from the tank into the site storm drain. Based on the above information, the City will need to provide the pressure control system for a minimum of seven working days. Accomplishing the field evaluation by method of diving would mean the tank could remain in service. It would not be necessary for the City to provide the pressure control system. A screen would be placed over the inlet/outlet for the security of the diver and a vacuum would be used to remove the sediment on the bottom. It would not be necessary to disinfect the interior of the tank after the evaluation. As noted in the detailed scope of work, the diver and all equipment is disinfected prior to entering the tank. The diving operation is in complete compliance with the AWWA C-652 standard for diving ofpotable water tanks and Andre Harper the lead engineer/diver has been a member of the committee for three years. If the City elects to accomplish the field investigation with the tank drained, HAE would assist the City in determining the pressure control system required for the tank. Mr. Duffy Atkinson is a retired engineer that our firm has worked with on numerous projects including Sunnyslope Water i • Company and the City of Lakewood. Mr. Atkinson has spent his career in the water industry including the design and operation of systems and teaching at Citrus College. He would be able to assist the City in providing the pressure control system. In addition Ponton Industries in Santa Fe Springs, the supplier of variable frequency drives (VFD), would be able to assist the City in determining the VFD required to meet the system needs. As can be determined in the attached resume, Mr. Robert Wozniak, S. E. is one of the most qualified tank seismic/structural engineers in the United States and he has consulted on many international projects as well. Based on his experience, Mr. Wozniak does not typically include ultrasonic testing of the welds to determine weld quality. If a tank has been in service for over thirty years any significant weld problems would have developed prior to the ultrasonic testing. In addition the testing can be expensive to accomplish. However, HAE has included weld testing as per the proposal requirements. HAE would be willing to provide the City with comprehensive reports including; corrosion, structural, construction details, laboratory testing and photographic surveys from recently completed projects for review. HAE is capable of providing complete turn key engineering services for the rehabilitation of water tanks. If HAE is the consulting firm chosen to preform the inspection and structural review, we would be able to provide the City with the engineering services to prepare the technical specifications and plans for any coating, painting or structural modifications the City determines to accomplish after review of the final report. In addition HAE can provide the bidding assistance, construction management and quality control inspection needed for a quality rehabilitation project. He is also a former member of the Board of Directors of the California/Nevada AWWA Section and past Chairman of the Tank, Reservoir and Structure Maintenance Committee. Robert S. Wozniak, P.E. Mr. Wozniak would accomplish the structural/seismic evaluation of the tank. He is a registered professional civil and structural engineer in the State of California CR 32564 and S 2486, and has over thirty years experience in steel and concrete tank structural engineering. Mr. Wozniak was Senior Structural Engineer for over thirty years with Chicago Bridge & Iron Company, the largest tank designer/constructor in the world. Mr. Wozniak is past Chairman of the AWWA D100 Revision Task Force for revising the AWWA standard for steel tanks from 1973 To 1999. He is also an active member of the Earthquake Engineering Research Institute, and is an internationally recognized authority on design and evaluation of steel tanks for seismic reliability. Andre Harper Mr. Harper would accomplish the field evaluation and cleaning of the tank whether by drained or diving method. He holds a degree in engineering from California State Polytechnic University, Pomona. Mr. Harper has worked in both part and full-time status with HAE for the past twenty years, including diving inspections of hundreds of tanks for evaluation of coating, painting and seismic/structural projects. Mr. Harper is a project engineer for HAE as well as supervising all field operations for the firm. Mr. Harper is a committee member on the AWWA C-652 National Taskforce in charge of redefining the standard for diving potable water storage tanks. CORROSION PROTECTION EVALUATION -The objective of the project is to determine the condition of the tank as relates to corrosion factors, including coatings, paints and to recommend corrective and preventive measures, including filing of reports. 2. LABORATORY ANALYSES - The objective is to determine the levels of heavy metals within the coatings and paints to assist in planning the work to ensure all personnel health, safety measures and all environmental controls are implemented. 3. STRUCTURAL, SEISMIC AND SAFETY EVALUATION - The objective is to determine the condition of the tank for seismic, structural and safety reliability and related operating parameters, and to recommend corrective and preventative measures, including filing of a report. Stress calculations will verify whether existing static conditions meet current tank standards. All seismic design load calculations will be based upon seismic Zone 4, as set forth in AWWA Standard D100-96. C. SCOPE OF WORK - CORROSION EVALUATION 1 Meet with City to verify approach to project. City will supply two copies of all drawings on file to assist in the evaluation. 2. Accomplish review of any records relevant to the project and accomplish field investigations of complete interior of the tank and complete exterior of the tank, to evaluate the present condition of tank from the following standpoints: . a. Corrosion -related structural soundness of the tank and the foundation. b. Condition of paint and other protective coatings; how they are protecting the steel from corrosion, their aesthetic qualities, the percent failures, and their ability to be recoated. C. Adhesion tests to determine ability to overcoat existing paint. d. The extent and depth of pitting. e. Condition of appurtenances: float, overflow, inlet, ladders, etc. f. Environmental and operating conditions which affect the use of the tank, maintenance of the tank, the aggressiveness of the atmosphere and water, and extent of abrasion damage. 3. Field evaluation of the tank to visually inspect and photograph visible deficiencies would be accomplished with the tank drained and entail one site visit, unless corrosion damage is sufficient to warrant further evaluation. a. Interior bottom and appurtenances of the tank shall be washed out to remove the sediment and foreign materials to assist in the evaluation of these surfaces. Materials removed shall be placed at the base of the tank tower for disposal by the City. b. Upon completion of the investigation, the interior surfaces shall be disinfected in conformance to AWWA Standard C652 Section 4.2 Chlorination Method 2. Disposal of chlorinated water will be to the storm drain and all discharges shall be neutralized in accordance with Appendix B of C-652-92. E 4. Surfaces would be photographed and entered into a Photographic Survey album which would be included in the detailed written report. 5. Conclusions and recommendations would be prepared for the following and included in the detailed written report. a. Cause(s) of deficiencies. b. Coating and paint repair or replacement, including extent of deficient areas, estimated costs, and life expectancy. C. The dimensions, character and locations of pitted areas. d. Additional items to enhance maintenance and safety 6. Three copies of the comprehensive written report will be submitted. 7. Meet with City to discuss results and recommendations. 8. Safety Procedures a. Harper & Associates Engineering, Inc. fully complies with all of the following safety procedures in accordance with Cal -OSHA Title 8, General Industry Safety Orders, Group 26, Article 152, 153, 6050- 6056. D. SCOPE OF WORK - LABORATORY ANALYSES l . Remove 4 samples of interior coatings and 2 samples of exterior paints to determine if they contain lead, chromium compounds or zinc, as required by Title 22. This removal operation would transpire during the investigation of the interior and investigation of the exterior. A detailed report would be formulated, noting levels of specific heavy metals and relating this information to the methods of removal, protection of workers and environment, testing of removed coating and spent abrasive for heavy metal content, and determination of wastes as hazardous materials, including disposal methods and operations. E. SCOPE OF WORK - STRUCTURAL/SEISMIC/SAFETY EVALUATION 1. Meet with City to verify approach to project for seismic evaluation of the tank. City will supply two copies of all drawings on file to assist in the evaluation. 3 2. Accomplish field investigation of tank to verify measurements, physical conditions and other information to determine seismic stress load calculations and structural evaluations. a. Steel plate and component thicknesses for calculation purposes would be determined by measurement with an ultrasonic thickness gage. b. Evaluate condition of attached piping and other appurtenances and their relationship to a seismic event. C. Evaluate condition of foundation as far as is visible above ground and available drawings. 3. Field investigation of interior of tank will be accomplished during corrosion investigation to determine physical conditions and related information to assist in determining seismic stress load calculations and structural evaluation. a. Typically HAE prepares a section of the comprehensive report titled the "Welded tank construction / structural details" that includes all pertinent detailed measurements for the tank, appurtenances and foundation. 4. The weld quality shall be verified by ultrasonic testing procedures in accordance with AWS Standards. The location and number of locations tested shall be in accordance with AWWA Standards. The structural acceptability of the welds shall be documented in the engineering report. a. Typically HAE would not include this item in our scope of work for a structural/seismic evaluation of the tank because the tank has been in service for over thirty years and if there was a significant problem it would have developed prior to now. In addition the testing is expensive for the Owner. 5. Specific conditions would be noted and included in the report. a. Interior and exterior surfaces would have been photographed during corrosion protection investigation and entered into a Photographic Survey album which would be included as a reference point. 6. Conclusions, recommendations and cost estimates, based on field observations, measurements, available drawings and records, and corrosion report, would be prepared and included in the report. The report would include recommendations on modifications or replacements to bring tank into current structural, seismic and safety codes or standard status. 4 a. It is noted that upgrading of tank does not guarantee an indestructible structure. Design, etc. should be based on water industry and existing AW WA Standards, which provides a cost effective design to bring tank in line with a 60 year experience on performance of tanks during earthquakes for specific zones. 7. Meet with City to discuss results and recommendations. 8. Seismic recommendation will include a general site risk assessment. a. A geotechnical study is not included as part of this Proposal. If a geotechnical study is required, this work should be accomplished by a reputable geotechnical consultant. At a minimum, the following should be addressed in any geotechnical study: 1) The geologic setting of the site 2) Potential geologic hazards, including, faulting and seismic analysis to estimate expected ground motions with associated single -degree -of -freedom horizontal acceleration or velocity response spectra for 0.5, 2.0, 5.0 and 10.0 percent levels of structural damping. 3) Site coefficient (per UBC standards) 4) General subsurface conditions 5) General extent of existing overburden soils 6) Stability of existing slopes 7) Potential for liquefaction 8) Evaluation of bearing capacities , of the existing tank foundations and development of recommendations for additional foundation support for both downward and upward loads. 9) Corrosivity evaluation of soil samples (This was possibly accomplished during original or subsequent project which involved subgrade piping, etc.) II. SCHEDULE A. Field investigation for the tank and filing of the report for work noted above would commence at a mutually agreed time upon execution of a written agreement and 5 receipt of a Notice to Proceed. III. CITY RESPONSIBILITIES A. The City shall provide the following items, personnel and/or services to be utilized in connection with this work. I . Two copies of all drawings and relevant records for the tank, as required. 2. The City shall make available to the Consultant reasonable and timely staff input for purposes of conference discussion, reviewing submissions from the Consultant, providing factual information and/or suggestions relating to the work in a manner such that the Consultant may meet the project completion schedule. 3. The City shall provide designated water operations person for access to tank site and unobstructed access to tank interior upon request by the Consultant at time and in the manner mutually agreed upon as required to accommodate work of Consultant. 4. The City shall provide low pressure water at the site to be used in the wash down and disinfection of the tank. 5. City will provide payment on monthly progress estimate's to the Consultant based upon work accomplished during the previous month or portion thereof. IV. WORK PRODUCT A. The City designee shall at all times have access to the work product of the Consultant while it is under preparation or in progress. Upon completion of the project, all drawings, documents and notes shall become property of the City, including all renderings, slides, sketches and correspondence. V. DESIGNATED REPRESENTATIVES A. Project shall be under direct control of Mr. William B. Harper, P.E. to whom all questions may be directed. Field operation shall be accomplished by Mr. Andre Harper. Mr. Robert Wozniak, P.E. shall accomplish all structural/seismic analysis of the tank. It is understood the City's representative will be Mr. Scott Rigg, who will provide the interface between the City's Staff and Consultant. VI. INSURANCE COVERAGES A. Consultant will provide and maintain in full force and effect, while operating under an agreement with City, a comprehensive liability insurance policy which shall include bodily injury, and property damage coverage of $2,000,000 combined single 0 limit, automobile liability insurance with limits of $2,000,000, worker's compensation insurance with limits of coverage as prescribed by law, and an Errors and Omissions professional liability policy with a minimum limit of coverage of $2,000,000. 1. Above noted insurance coverages are currently in force with Consultant. VIII. INDEMNITY A. City shall hold Harper & Associates Engineering, Inc., harmless from any and all liability to perform beyond the exact confines of the services offered in this proposal. IX. ACCEPTANCE OF PROPOSAL A. The cost estimate, terms and conditions of this proposal are valid for 180 days from receipt of proposal. Acceptance shall be deemed valid upon receipt by Harper & Associates Engineering, Inc. of the original proposal executed by the City's authorized representative within noted time frame. Acceptance will be in whatever form is routinely used by City. X. CONFIDENTIALITY OF PROPOSAL A. The content of this proposal and any conversations with Consultant regarding this proposal are considered to be confidential and is not for publication, discussion or knowledge of any person or persons who are not employees of City. XI. TERMINATION OF AGREEMENT A. City may terminate this agreement at any time prior to the completion of the services to be furnished by Harper & Associates Engineering, Inc., by giving a written notice of termination to Harper & Associates Engineering, Inc., in which event City shall only pay Harper & Associates Engineering, Inc., as provided herein for work done prior to receipt of such notice of termination, plus the necessary and reasonable cost of termination (not to exceed $500.00). With the water level 3 to 4 feet below roof line, inspection via inflatable raft greatly enhances the execution of the survey. b. Interior of the tank will be vacuumed utilizing Certified Divers/Engineers, including bottom surfaces and appurtenances. 2 C. HAE will furnish the City with a real time video illustrating the cleaning of each tank. d. HAE shall assist the City personnel in containing of the silt for disposal (if necessary), but the City shall be responsible for the containment and disposal. 4. Surfaces would be photographed and entered into a Photographic Survey album which would be included in the detailed written report. 5 Conclusions and recommendations would be prepared for the following and included in the detailed written report. a. Cause(s) of deficiencies. b. Coating and paint repair or replacement, including extent of deficient areas, estimated costs, and life expectancy. C. The dimensions, character and locations of pitted areas. d. Additional items to enhance maintenance and safety 6. Three copies of the comprehensive written report will be submitted. 7. Meet with City to discuss results and recommendations. 8. The following sanitary measures will be fully complied with in accordance with AWWA C652, Section 5. a. Diver's equipment is dedicated for use only in potable water storage tanks. b. No body parts shall come in contact with potable water. I } Diver's suit shall be prophylactic in design. Only non - permeable dry -suits shall be used which incorporate an integrated hard helmet, neck and wrist dams, and boots. a) Wet suits, hoods, and open or removable masks and face plates are not acceptable for use in potable water. C. Prior to diver entrance into potable water, diver shall be: 3 1) Fully dressed in prophylactic dry suit as detailed above. 2) All equipment and diver dress shall be thoroughly disinfected by a 100% wash -down with or immersion in a 200 PPM solution of chlorine and water. 9. Safety Procedures a. Harper & Associates Engineering, Inc. fully complies with all of the following safety procedures in accordance with Cal -OSHA Title 8, General Industry Safety Orders, Group 26, Article 152, 153, 6050- 6056. b. All members of dive team shall poses a current certificate of qualification and training in CPR/First aid. C. A dive plan shall be prepared prior to dive operations. The plan shall identify the nearest hyperbaric chamber location. D. SCOPE OF WORK - SEDIMENT REMOVAL Interior of the tank will be vacuumed utilizing Certified Divers/Engineers, including bottom surfaces and appurtenances. 2. HAE will furnish the City with a real time video illustrating the cleaning of each tank. 3. HAE shall assist the City personnel in containing of the silt for disposal (if necessary), but the City shall be responsible for the containment and disposal. 4. Sanitary measures will be fully complied with as noted in C., 8. and 9 above. E. SCOPE OF WORK - LABORATORY ANALYSES 1. Remove 4 samples of interior coatings and 2 samples of exterior paints to determine if they contain lead, chromium compounds or zinc, as required by Title 22. This removal operation would transpire during the investigation of the interior and investigation of the exterior. A detailed report would be formulated, noting levels of specific heavy metals and relating this information to the methods of removal, protection of workers and environment, testing of removed coating and spent abrasive for heavy metal content, and determination of wastes as hazardous materials, including disposal methods and operations. 4 • F. SCOPE OF WORK - STRUCTURAL/SEISMIC/SAFETY EVALUATION Meet with City to verify approach to project for seismic evaluation of the tank. City will supply two copies of all drawings on file to assist in the evaluation. 2. Accomplish field investigation of tank to verify measurements, physical conditions and other information to determine seismic stress load calculations and structural evaluations. a. Steel plate and component thicknesses for calculation purposes would be determined by measurement with an ultrasonic thickness gage. b. Evaluate condition of attached piping and other appurtenances and their relationship to a seismic event. C. Evaluate condition of foundation as far as is visible above ground and available drawings. 3. Field investigation of interior of tank will be accomplished during corrosion investigation to determine physical conditions and related information to assist in determining seismic stress load calculations and structural evaluation. a. Typically HAE prepares a section of the comprehensive report titled the "Welded tank construction / structural details" that includes all pertinent detailed measurements for the tank, appurtenances and foundation. 4. The weld quality shall be verified by ultrasonic testing procedures in accordance with AWS Standards. The location and number of locations tested shall be in accordance with AWWA Standards. The structural acceptability of the welds shall be documented in the engineering report. a. Typically HAE would not include this item in our scope of work for a structural/seismic evaluation of the tank because the tank has been in service for over thirty years and if there was a significant problem it would have developed prior to now. In addition the testing is expensive for the Owner. 5. Specific conditions would be noted and included in the report. a. Interior and exterior surfaces would have been photographed during corrosion protection investigation and entered into a Photographic Survey album which would be included as a reference point. 5 6. Conclusions, recommendations and cost estimates, based on field observations, measurements, available drawings and records, and corrosion report, would be prepared and included in the report. The report would include recommendations on modifications or replacements to bring tank into current structural, seismic and safety codes or standard status. a. It is noted that upgrading of tank does not guarantee an indestructible structure. Design, etc. should be based on water industry and existing AWWA Standards, which provides a cost effective design to bring tank in line with a 60 year experience on performance of tanks during earthquakes for specific zones. 7. Meet with City. to discuss results and recommendations. 8. Seismic recommendation will include a general site risk assessment. a. A geotechnical study is not included as part of this Proposal. If a geotechnical study is required, this work should be accomplished by a reputable geotechnical consultant. At a minimum, the following should be addressed in any geotechnical study: 1) The geologic setting of the site 2) Potential geologic hazards, including, faulting and seismic analysis to estimate expected ground motions with associated single -degree -of -freedom horizontal acceleration or velocity response spectra for 0.5, 2.0, 5.0 and 10.0 percent levels of structural damping. 3) Site coefficient (per UBC standards) 4) General subsurface conditions 5) General extent of existing overburden soils 6) Stability of existing slopes 7) Potential for liquefaction 8) Evaluation of bearing capacities of the existing tank foundations and development of recommendations for additional foundation support for both downward and upward loads. All 9) Corrosivity evaluation of soil samples (This was possibly accomplished during original or subsequent project which involved subgrade piping, etc.) II. SCHEDULE A. Field investigation for the tank and filing of the report for work noted above would commence at a mutually agreed time upon execution of a written agreement and receipt of a Notice to Proceed. III. CITY RESPONSIBILITIES A. The City shall provide the following items, personnel and/or services to be utilized in connection with this work. 1. Two copies of all drawings and relevant records for the tank, as required. 2. The City shall make available to the Consultant reasonable and timely staff input for purposes of conference discussion, reviewing, submissions from the Consultant, providing factual information and/or suggestions relating to the work in a manner such that the Consultant may meet the project completion schedule. 3. The City shall provide designated water operations person for access to tank site and unobstructed access to tank interior upon request by the Consultant at time and in the manner mutually agreed upon as required to accommodate work of Consultant. 4. The City shall provide low pressure water at the site to be used in the wash down and disinfection of the tank. 5. City will provide payment on monthly progress estimates to the Consultant based upon work accomplished during the previous month or portion thereof. IV. WORK PRODUCT A. The City designee shall at all times have access to the work product of the Consultant while it is under preparation or in progress. Upon completion of the project, all drawings, documents and notes shall become property of the City, including all renderings, slides, sketches and correspondence. V. DESIGNATED REPRESENTATIVES A. Project shall be under direct control of Mr. William B. Harper, P.E. to whom all questions may be directed. Field operation shall be accomplished by Mr. Andre 7 Harper. Mr. Robert Wozniak, P.E. shall accomplish all structural/seismic analysis of the tank. It is understood the City's representative will be Mr. Scott Rigg, who will provide the interface between the City's Staff and Consultant. VI. INSURANCE COVERAGES A. Consultant will provide and maintain in full force and effect, while operating under an agreement with City, a comprehensive liability insurance policy which shall include bodily injury, and property damage coverage of $2,000,000 combined single limit, automobile liability insurance with limits of $2,000,000, worker's compensation insurance with limits of coverage as prescribed by law, and an Errors and Omissions professional liability policy with a minimum limit of coverage of $2,000,000. l . Above noted insurance coverages are currently in force with Consultant. VIII. INDEMNITY A. City shall hold Harper & Associates Engineering, Inc., harmless from any and all liability to perform beyond the exact confines of the services offered in this proposal. IX. ACCEPTANCE OF PROPOSAL A. The cost estimate, terms and conditions of this proposal are valid for 180 days from receipt of proposal. Acceptance shall be deemed valid upon receipt by Harper & Associates Engineering, Inc. of the original proposal executed by the City's authorized representative within noted time frame. Acceptance will be in whatever form is routinely used by City. X. CONFIDENTIALITY OF PROPOSAL A. The content of this proposal and any conversations with Consultant regarding this proposal are considered to be confidential and is not for publication, discussion or knowledge of any person or persons who are not employees of City. XI. TERMINATION OF AGREEMENT A. City may terminate this agreement at any time prior to the completion of the services to be furnished by Harper & Associates Engineering, Inc., by giving a written notice of termination to Harper & Associates Engineering, Inc., in which event City shall only pay Harper & Associates Engineering, Inc., as provided herein for work done prior to receipt of such notice of termination, plus the necessary and reasonable cost of termination (not to exceed $500.00). B. In the event City terminates this agreement, Harper & Associates Engineering, Inc., 8 shall furnish City a copy of all work effort and product in progress to the date of termination. (hereinafter called HAE) has, since 1979, provided engineering consulting services. However, specialized instrumentation and test equipment and facilities may require an additional charge. These and miscellaneous charges are computed at cost plus fifteen percent. Examples of such charges include, but are not limited to food, lodging, outside consultants, public transportation, rental equipment, special permits and fees, reproduction, long distance and FAX communications, special insurance, etc. Passenger cars and pick-up trucks are chargeable at $.35 per mile. The elevated water storage tank is located on City owned site in the City of Vernon, California. B. SCOPE OF WORK - PAINTING INSPECTION 1. DAILY INSPECTION ACTIVITY REPORTS a. Reports shall identify daily start and stop times, size of contractors crew, equipment used, visitors to jobsite, climatic conditions throughout the day, quantity of materials used, estimated square footage or work accomplished, periods of Contractor down time and cause, inspection procedures used and results, verification and recording of surface preparation, coating material "batch numbers" mixing, thinning, application and thickness. All entries shall be dated and timed. 2. SURFACE PREPARATION INSPECTION (EXTERIOR) - Physical inspection of cleaned surfaces for compliance to specification, removal of dust, etc. a. Weather conditions will be . verified by use of an electronic or sling psychrometer to determine suitability of climatic conditions prior to and during all blast cleaning operations. b. Surface will be observed during cleaning operations to determine compliance with specifications. (1) Preliminary Cleaning - (a) Surface will be inspected to verify removal of grease, oil, chemicals etc. after completion of solvent cleaning of surface. Physical tests for surface profile will be performed using a K-T Surface Profile Comparator. At completion of blast cleaning, areas not meeting specification will be re - blasted and tests again performed. This cycle will be repeated until surfaces are accepted for coating application. (b) Upon completion of above inspection, dust and other surface contaminants will be removed as specified and surfaces visually and physically inspected for compliance to specification. 3. PRIME COAT INSPECTION (EXTERIOR) - After approval of surface preparation, ongoing inspection monitors weather condition, Contractor's application equipment and its operation, mixing of primer and physical inspection of prime coat application, including spray techniques, cleanliness of surface, thickness, etc. a. Weather conditions will be verified by use of an electronic or sling psychrometer to determine suitability of climatic conditions prior to and during all application operations. b. Contractor's equipment is monitored to determine operation will not contribute to any degradation of application (oil, moisture, etc.) c. Paint materials are inspected for compliance to specification and all mixing/thinning operations are monitored. d. Surfaces are re -inspected to verify no dust or other contaminants are on surface and remedial cleaning performed as required. C. After approval of surface, application is carefully monitored to verify paints are evenly applied at proper thickness and with no overspray to interfere with adhesion. 4. FINISH COAT INSPECTION (EXTERIOR) - After approval of prime coat application, ongoing inspection monitors weather condition, Contractor's application equipment and its operation, mixing of primer and physical inspection of prime coat application, including spray techniques, cleanliness of surface thickness, etc. a. Procedures outlined in 2. above are repeated during application of additional coatings, including careful examination of areas where cleaning penetrated coating film to verify edges of film have not lifted, curled, etc. Where defects exists, additional cleaning will be performed to bring area into compliance with specification and area will be recoated as required. 5. DRY FILM THICKNESS TESTING: (1) Prior to testing dry film thickness on any given day, Inspector will calibrate his instrument against N.B.S. metal plate standard. No plastic shims will be used. Instrument will be re -calibrated at the beginning of the afternoon session or at any time the instrument may have been subjected to impact against scaffold, structure, etc. (2) The paint is tested to determine it has sufficiently dried to eliminate indentation of the probe into the coating, which subtracts mils from the correct reading. If the paint does deform, the testing will be postponed until the paint is firm enough to prevent deformation by the gauge. (3) Dry film thickness measurements will be taken on 3' centers until it is determined deficient readings warrant more tests to truly indicate the thickness of the area. Testing will be performed as deemed necessary to accurately determine the thickness, regardless of what the Contractor may say. If widespread deficiencies are found, the Contractor will be advised to determine if they prefer to proceed with testing after additional material has been applied. (4) After completion of the testing and after the Contractor has repainted all of the deficient areas, tests on the repainted areas will be repeated until the minimum dry film thickness is obtained. b.
