A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND RATIFYING THE EXECUTION OF AN
ADDENDUM TO PROGRAM LICENSE AGREEMENT #000503 WITH
HIGH LINE CORPORATION
WHEREAS, on July 11, 2000, the City Council of the City of
Vernon adopted Resolution No. 7570 approving the execution of Program
License Agreement #000503 and Annual Service Agreement with High Line
Corporation ("High Line") to provide the necessary software programs to
implement financial management software services, training and support
on the Financial Management System; and
WHEREAS, the Finance Department has determined the need for
improvements to the Payroll/Personnel System and High Line proposed to
perform additional work to implement the Payroll/Personnel System for
the sum of Fifty Thousand Dollars and No Cents ($50,000.00); and
WHEREAS, in order to implement the necessary analysis,
installation, conversion, testing and training on the new modules
within the proposed time limits and take advantage of the cost savings
offered, High Line Corporation required the execution of Agreement
Addendum #020502, and the City Administrator executed the Addendum on
June 3, 2002, and authorized payment in accordance with the terms
thereof, subject to ratification by the City Council; and
WHEREAS, on August 20, 2002, the Finance Committee
recommended that the City Council approve the recommendation of Bruce
V. Malkenhorst, Director of Finance, dated August 14, 2002, that the
execution of the Addendum be ratified; and
WHEREAS, the City Council of the City of Vernon desires to
approve and ratify the Agreement Addendum, as executed by the City

Administrator, and the payment of fees in accordance therewith; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an Addendum with High Line to enhance services
provided to the Vernon community.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
Iland correct.
SECTION 2: The City Council of the City of Vernon hereby
approves and ratifies the execution of the Agreement Addendum with
High Line, a copy of which is attached hereto as Exhibit "A" and made
a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
approves and ratifies the payment of fees in accordance with the terms
of the Agreement Addendum.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and thereafter
the same shall be in full force and effect.

Dear Ms. Valenzuela,
Thank you again for arranging for Karl and me to have the opportunity to meet with the
City staff responsible for the Personality implementation. Both Karl and I wanted to
ensure that all of you understood that the City is a very important client to High Line,
and we are committed to finding a solution to your current issues.
Further to our meeting, we wanted to document the details of what we proposed to the
City. The following describes this, in relation to the Implementation Approach from the
MS Project Plan we referenced, as follows:
1. High Line will conduct a Project Planning Session to confirm the dates and
resources for the project.
2. High Line will conduct a detailed analysis of the current set up completed in
P4GL.
3. High Line will conduct a detailed analysis of the additional requirements. We feel
that approximately 90% of the rules have been defined in the P4GL version. The
City of Vernon must clearly document what they need the system to do in order
to handle the remaining 10% of the rule set ups required. High Line will complete
the set up of these rules in P2K.
4. High Line will document the results of the Project Planning and Detailed
Analysis, and we will jointly agree on the approach.
5. High Line is prepared to migrate the rules currently set up in the P4GL version to
Personality2 ° (P2K). We will complete the set up of these rules in an
environment located at our offices, over a 9 week period.
6. During the rule set up period, the functional and technical resources assigned to
the City of Vernon Implementation Team will be available 1 day/week — 8 hours
overall. Of these 8 hours, approximately 2 hours will be spent on-line with High
Line's Implementation Specialist, reviewing the set ups completed to date. The
remaining 6 hours will be spent testing the set ups completed, and gaining
experience with the system.
7. After the 9 week set up period, High Line will install the software at the City of
Vernon's site, training the City of Vernon's Technical Staff on the installation
procedures and basic technical training. The City of Vernon Technical Staff must
work with the High Line staff full-time during this period, which is estimated to
take approximately 1 week.
8. High Line will work with the City of Vernon staff to confirm the conversion
mapping approach required to convert the employee masterfile and payroll
history that the City of Vernon has in P4GL. We estimate that this Will require
approximately 1 week, and we will need the City's Technical Resources
committed full-time, and the functional staff committed approximately 25% of the
time.
9. High Line will complete the conversion of the employee masterfile and payroll
history from the information in the P4GL system to the P2K database. We will
provide the City of Vernon with the completed database information for
installation.
10. High Line will assist you with your Parallel Testing, and included in this offer is 4
weeks of remote/on-site Parallel Testing assistance by our Implementation
Specialist. In order to accomplish this in a 4 week period, the City of Vernon
must commit their Functional and Technical Implementation Team members at
least 75% if the time. We will confirm whether this time frame is realistic during
the Implementation Planning session.
11. High Line will assist you to cut over to live production, providing an additional 1
week of our Implementation Specialist being on -site in the week you go live, as
part of this offer.

As discussed, we will confirm the dates and resources during the Implementation
Planning Session, but the amount of time we are committing is detailed above.
Extending the time line longer than what is indicated may result in additional costs.
High Line is prepared to commit to a fixed fee of $50,000 for the services provided
above.' This is a substantial cost savings to the City of Vernon, as the cost would
typically be in the $150,000 range for these services. This solution is proposed to
demonstrate our commitment to finding a solution to the City of Vernon's issues, and
ensuring that your investment in Personality was the right decision on the part of the
City. We look forward to the opportunity to work with you to complete the
implementation of Personality.

An Addendum to the existing agreement with High Line Corporation (High
Line) has been executed authorizing High Line to perform additional
work for the implementation of the Finance Department's
Payroll/Personnel System at a cost of $50,000.00, of which $25,000.00
has already been paid. This has been reviewed by staff and the City
Attorney and it is hereby recommended that the execution of the
Addendum be ratified.

RE: Ratification of Addendum
Yesterday, I had discovered that on or about June 3, 2002 an addendum
to Agreement No. 000503 was presented to you for your execution,
authorizing Highline Corporation to perform additional work at a cost
of $50,000. Highline Corporation is the current vendor for the
Finance Department's Payroll/Personnel System.
After researching the original agreement, I could not identify
anywhere within the agreement that authorized the City Administrator
or Director of Finance to make any amendment, change, or addendum to
the original agreement. Since this agreement was approved by the
City Council, it would appear that they would be the authority in
authorizing any such action. Furthermore, I believe payment in the
amount of $25,000 has already been made for such services, and so it
is imperative that the appropriate committee/council members be made
aware of the situation.
I highly recommend that this addendum be placed on the appropriate
agenda(s) for discussion, and if approved, be formerly ratified by
Resolution.
