Resolution No. 80731 2 RESOLUTION NO. 8073 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF 4 AN CONTRACT FOR JANITORIAL SERVICES FOR CITY HALL 5 AND RELATED FACILITIES BY AND BETWEEN THE CITY OF VERNON AND PINNACLE CARE, INC. 6 7 8 9 10 11 12 13 14 15 16 17_ 18 19 20 21 22 23 24 25 26 27 WHEREAS, on June 19, 2002, the City Council of the City of Vernon adopted Resolution No. 7992 approving a Request For Proposal for Janitorial Services ("RFP"); and WHEREAS, the RFP was sent and responses were received from Pinnacle Care, Grace Building Maintenance, Bell Building Maintenance Company, Clean Environmental Janitorial Service and Korean Maintenance Company, all of which were reviewed and evaluated by the Community Services & Water Department; and WHEREAS, the Community Services & Water Department deemed I Pinnacle Care to be the lowest responsible qualified vendorsubmitting ,a--proposal; and WHEREAS, by letter dated November 13, 2002, Bruce V. Malkenhorst, the City Administrator/City Clerk, recommended that a Contract for Janitorial Services for City Hall and Related Facilities be entered into with Pinnacle Care, Inc., at an approximate cost of Three Thousand Nine Hundred Thirty -Nine Dollars and Thirty -Eight Cents ($3,939.38) per month. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true 28 Iland correct. f ,; 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 2: The City Council of the City of Vernon hereby accepts the proposal of Pinnacle Care, Inca and approves the Contract for Janitorial Services for City Hall and Related Facilities, a copy of which is attached hereto as Exhibit "A" and made a part. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Pinnacle Care, Inc. Attn. D Santa Fe Springs, CA 90670 SECTION 5: All other responses in connection with the RFP are rejected, subject to execution of the aforesaid contract documents. D Santa Fe Springs, Ca 90670 RECITALS WHEREAS, on or about June 19, 2002, the City issued a Request for Proposal for Janitorial Services, to be prov1ded--at the Vernon City Hall and other related City facilities; and WHEREAS, Pinnacle submitted a proposal, hereinafter referred to as the "Proposal," a copy of which is attached hereto as Exhibit "A" and incorporated herein by reference, to the City on or about August 21, 2002; and WHEREAS, the City has reviewed the Proposal submitted by Pinnacle and found that Pinnacle's overall bid package was exceptionally..comprehensive in terms of its construction and presentation;. and WHEREAS, the Proposal included a description of the proposed services, an overview of its quality control plan, supervision t 1 2 3 4 5 6 .7 8 9 10 11 12 13 14 15 16 - 17 18 19 20 21 22 23 24 25 26 27 28 procedures,.inspection process, environmental program, supplies and equipment, supply pricing,'references and letter of recommendation, and a monthly cost estimate; and j WHEREAS, Pinnacle represents that it is qualified to perform janitorial services under this Agreement for Janitorial Services for City Hall and Related Facilities (hereinafter "Agreement"); and WHEREAS, the City has determined that Pinnacle is qualified to perform the janitorial services as required by City; and WHEREAS, the City desires to enter into a contract with Pinnacle for the provision of janitorial services. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET IFORTH HEREIN: 1. SCOPE OF SERVICES. In consideration for the compensation as hereinafter set forth, Pinnacle shall perform the janitorial services described in Exhibit "A," including the provision of all labor and materials, tools, equipment and -transportation services required by and -in strict conformance with the Proposal. Pinnacle shall perform the services' outlined in the Proposal under the general supervision of the City Administrator and the Director of Community Services. It is understood and agreed that in the event of a_conflict between the Proposal and this Agreement, the terms of this Agreement shall prevail. 2. PROGRESS REPORTS Pinnacle shall meet with City staff, upon City's request, or as needed, in order to provide reports or information concerning the services being performed by Pinnacle under this Agreement. 3. TIME OF PERFORMANCE. A. The term of this Agreement shall commence upon - 2 - s r 1 2 3 4 5 6 7 8 a 10 11 12 13 14 15 16 18 19' 20 21 22 23 24 25 26 27 WE the full execution of this Agreement and shall continue through October 31, 2003, with an option authorizing the City Administrator or his representative to continue said Agreement on a year-to-year basis on the same terms and conditions as prescribed in this Agreement, subject to any change in the rate of compensation to be paid to Pinnacle as hereinafter provided in Paragraph 4. If City desires to exercise its annual renewal option, City shall advise Pinnacle in writing of its intent to extend the Agreement by not later than 30 days �of the term then expiring. If Pinnacle desires to adjust the rates as set forth in the Proposal, Pinnacle shall give City written notice of such adjustment by 60 days of the term then expiring. B. The City, at its sole option and with Pinnacle's concurrence, may renew this agreement in one year increments, on the same terms and conditions as provided herein. This option may be exercised only if Pinnacle demonstrates superior performance in the provision of janitorial services during the prior year contract term. 4. -COMPENSATION. A. The City will compensate Pinnacle for janitorial services for a sum not to exceed Three Thousand Nine Hundred Thirty - Nine Dollars and Thirty -Right Cents ($3,939.38) per month for the services rendered in.conformance with standards set forth in the JProposal. B. If City gives notice of its intention to extend the Agreement for an additional year as provided for above, Pinnacle may adjust the rates by an amount not to exceed the increase (or decrease) represented in the United States Department of Labor, Bureau of Labor Statistics Consumer Price Index for All Urban Consumers for the Los Angeles -Anaheim -Riverside Standard Metropolitan Statistical I - 3 - a ; w 1 Area ("Index") for October of the term then expiring from the index for 2 October one year prior thereto. 3 5. METHOD OF PAYMENT. 4 Pinnacle shall submit an itemized written invoice to the City 5 within thirty (30) days after the last day of any month in which 6 services have been performed or costs incurred hereunder. Invoices 7 shall contain an itemization of services rendered and rates charged in 8 accordance with Exhibit "A." 9 Payment of the invoice shall be made after acceptance of work 10 satisfactory performed and approval by the City within thirty (30) days 11 of receipt, unless City disputes the amount Pinnacle claims is owed 12 under this Agreement. The City's approval of the invoice shall not be 13 unreasonably withheld. 14 Pinnacle shall not be reimbursed for fees or other expenses 15 unless authorized in writing by City. 16 6 CHANGES AND EXTRA SERVICES. 17- - - The City -reserves the right--to-request changes in the 18 services described in Exhibit "A" or additional work not contemplated. 19 by Agreement to be performed by Pinnacle. All such changes shall be 20 incorporated in written change orders executed by the City and 21 Pinnacle. The change orders shall specify the services to be provided, 22 the adjustment of compensation, and completion time. 23 Any services added to the scope of this Agreement by a change 24 order shall be executed under all applicable conditions of this 25 Agreement. No claim for additional compensation or extension of time 26 shall be recognized unless contained in a duly executed change order. 27 7. Standard of Care. 28 All of the work shall be performed by Pinnacle or under 1 - 4 - 4 �. • `� • % a ,r / 1 f 1 Pinnacle's supervision. Pinnacle represents that Pinnacle employs the 2 professional and technical personnel required to perform the 'services 3 required by the City's Request for Proposal and that Pinnacle possesses 4 appropriate equipment to perform all services. All services shall be 5 performed by qualified and experienced personnel who are not employed 6 by City nor have any contractual relationship with City. Pinnacle 7 shall be responsible'to City for any errors or omissions in the 8 performance of this Agreement. Pinnacle represents and warrants that 9 Pinnacle will keep in effect all licenses, permits, and other approvals 10 required to perform the described services during the term of this 11 Agreement, including any extensions thereto. 12 8. Character of Workmen. 13 Only competent workmen shall be employed by Pinnacle to work 14 under this Agreement. Any person employed, who is found to be 15 incompetent, intemperate; troublesome, disorderly or otherwise 16 objectionable, or who fails or refuses to perform his work properly and 17 acceptably, shall be -immediately removed fro-M the work by Pinnacle and 18 not be re-employed on the work. 19 9. Employee Background Checks. 20 A background check, including finger printing, shall be 21 required of each employee. No employee shall be allowed to work on 22 City property prior to completion of the background check and finger 23 printing. No employee with a criminal record shall be allowed to work 24 within the Police Department area. 25 10. Authority of City Representative. 26 City's representative shall decide all questions which may 27 arise as to the quality or acceptability of materials furnished and 28 work performed, all questions as to the manner of performance and rate 6� r # ` •r • f t ' r Ifr f �1 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 of progress of the work, all questions as to the interpretation of the specifications and all questions as to the acceptable fulfillment of Ithe contract on the part of Pinnacle. 11. Supervision by Pinnacle. Before starting the work, Pinnacle shall provide the Director lof Community Services & Water, in writing, with the name,.address and telephone number of a representative who shall have complete authority to act for him. An alternate representative may be designated. Any order or communication given to this representative shall be deemed delivered to Pinnacle. Such order shall be complied with promptly. If the representative is changed by Pinnacle, Pinnacle shall immediately give notice to the Director of Community Services & Water of the name, address, and telephone number of the new representative. 12. Immigration Reform and Control Act of 1986. Pinnacle shall comply with the provisions of the Immigration Reform and Control Act of 1986, Public law 99-603. Pinnacle shall provi{ie the City written -documentation certifyi-ng compliance with Public law 99-603 within ten (10) days of the City's request. 13. Workers' Compensation. By executing this Agreement, Pinnacle certifies that Pinnacle is aware of and will comply with Section 3700 of the Labor Code of the State of California requiring every employer to be insured against Liability for workers' compensation or to undertake self-insurance before commencing any of the work. Pinnacle shall comply with Labor Code Section 1861 by signing and filing the workers' compensation certificate with the City Clerk of City. 14. Bonds. Pinnacle shall furnish, concurrently with the execution of 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 W the Agreement, with a surety bond in an amount equal to one full year's compensation to Pinnacle as security for the faithful performance of the Agreement and a surety bond in that same amount as security for the payment of all persons performing labor and furnishing materials in connection with this Agreement. Both bonds shall be subscribed, by a corporate surety which is authorized to transact surety insurance business in the State of California: Should any bond or surety become insufficient, Pinnacle shall furnish City a new bond within ten (10) days after receiving notice from City. No payments will be due or paid under the Agreement until any and all deficiencies have been remedied. 15. Nondiscrimination. Except as provided in Section 12940 of. the California Government Code, during Pinnacle's performance of this Agreement,' Pinnacle shall not discriminate on the grounds of race, religious creed, color, national origin, ancestry, age, physical disability, mental disability, medical condition including the medical condition of Acquired -Immune Deficiency Syndrome (AIDS) or any -condition, related:- --thereto, marital status, sex or sexual orientation in the selection and retention of employees and subcontractors and the procurement of materials and equipment. Such nondiscrimination shall include, but not be limited to, the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. Pinnacle shall also conform to the requirements of the Americans with Disabilities Act in the performance of this Agreement. 16. GOVERNING LAW. The validity, interpretation and performance of this Agreement shall be controlled and construed under - 7 - t. + the laws of the State of California. 17. NOTICES. At all times during the term of this Agreement, Pinnacle shall be an independent contractor and shall.not be an employee of the City. The City shall have the right to control Pinnacle only insofar as the results of Pinnacle's services rendered pursuant to this Agreement. However, the City shall not have the right to control the means -by --which Pinnacle accomplishes services rendered pursuant to the Agreement except to the extent that such services involve the use of City property or Confidential Information.' B. Pinnacle Not Agent: Except as the City may specify in writing, Pinnacle shall have no authority, express or implied, to act on behalf of the City in any capacity whatsoever as an agent. Pinnacle shall have no authority, expressed or implied, pursuant to this Agreement to bind the City to any obligation whatsoever. C. Assignment and Subcontracting Prohibited. No party to this Agreement may assign or subcontract any right or obligation pursuant to this Agreement except with the express written consent of the other party. Any other attempted or purported assignment of any right or obligation pursuant to this Agreement shall be void and Iof no effect. 4 D. Indemnification. Pinnacle shall indemnify, 5 defend, protect and hold the City and its officers, agents and 6 employees, free and harmless from and against any and all claims, 7- demands, losses, damages, liabilities, fines, charges, penalties, 8 orders, judgments and all costs and expenses incurred in connection. 9 therewith, including reasonable attorney's fees and costs of defense 10 arising out of the services performed under this Agreement, except to 11 the extent arisingfrom or caused b the negligence or willful Y 12 misconduct of the City, its officers, agents or employees. 13 E. Insurance. Prior to commencing work 14 hereunder, Pinnacle shall provide the City with proof of insurance 15 providing and maintaining the coverages and endorsements set forth in -16 the Insurance Schedule attached hereto as Exhibit "B" and made a part `_lZ- hereof by refer-gnce. Said proof -of —insurance shall also -provide that 18 said policy or policies shall not be canceled or materially reduced in 19 coverage' without giving at least thirty (30) days prior written notice 20 to the City. Pinnacle shall not permit a subcontractor or vendor to 21 perform work on City premises under this Agreement. 22 19. CONFIDENTIAL INFORMATION. 23 A. Access to Confidential Information. The City may 24 provide Pinnacle with, or allow Pinnacle access to, certain information 25 not available to the public concerning the City, or businesses located 26 in the City. The information may include company information, taxes, 27: sales, value of assets, or other such information. All such information 28 shall be known as "Confidential Information." -1 I i 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17- 18 19 20 21 22 23 24 25 26 27 28 B. No Disclosure. Except as expressly permitted, Pinnacle shall not disclose, permit the disclosure of, release, disseminate, or transfer, whether orally or by any other means, any part of such Confidential Information to any other person or entity, whether corporate, governmental, or individual, without the express prior written consent of an authorized representative of the City. Pinnacle shall return any written Confidential Information and all copies made of such items to the City upon the City's written request, but in any event not later than the date that Pinnacle has performed all services to be performed pursuant to this Agreement. Pinnacle hereby agrees that such Confidential Information and any documents provided may be used by Pinnacle only as authorized by the City. Pinnacle shall take_ reasonable measures to avoid any disclosure of any such Confidential Information to any unauthorized person. C. Court Ordered Disclosure. Pinnacle shall immediately notify the City of any court order or subpoena requiring di-sclosure of Confidential Informations --and shall cooperat-e -with legal counsel in the appeal or challenge of any such order or subpoena. Recipient may only disclose Confidential Information required tobedisclosed pursuant to court order or subpoena after legal counsel has exhausted any lawful and timely appeal or challenge. D. Remedies. In addition to any other remedies that it may have at law or in equity, the City shall be entitled to a temporary and permanent injunction by a court of competent jurisdiction against any breach or threatened breach of the Confidential Information provisions of this Agreement. Entire Agreement. This -Agreement is the entire agreement of the, parties. Pinnacle represents that in entering into this Agreement, it has not relied on any previous representations or understandings of any kind or nature. 21. Benefit of Agreement. This Agreement shall bind and benefit the parties hereto and their heirs, successors, and permitted assigns. 22. Termination. This Agreement may be terminated by the City without cause on thirty (30) days written notice to the Pinnacle. Pinnacle shall be entitled to the compensation earned by it prior to the date of the termination notice, computed pro rata up to and including that date, plus compensation for work performed during the thirty -day notice period and authorized in the termination notice. Pinnacle may terminate this Agreement on twenty (20) days written notice to the City if the City fails to pay Consultant's invoice within forty-five (45) days of receipt by City; provided, that the Agreement shall --not be terminat-ed-if the City issues payment within said twenty day notice period. 23. Amendments. Except as may otherwise be specifically provided herein, this Agreement may be modified or amended only by a written document executed by both Pinnacle and the City and approved as to.form by the City Attorney. 24. Forum Selection. Any action brought relating to this Agreement shall be brought and held exclusively in a State Court in the County of Los Angeles, California. 25. Recitals. All recitals are incorporated by reference-. 26. Waiver. Any waiver at any time by either party of its rights with respect to a default under this Agreement, or with respect. 11 - 1 2 3 4 5 6 7 8 9 10 1-1 12 13 14 15 16 I 17 1 18 19 20 21 22 23 24 25 26 27 28 to any other matters arising in connection with this Agreement, shall not be deemed a waiver with respect to subsequent default or other matter. 27. Attorney's Fees. In the event that it becomes necessary for either party to this Agreement to enforce any of the. provisions of this Agreement, the parties agree that a court of competent jurisdiction may determine and fix reasonable attorney's fees to be paid to the successful litigant. 28. Force Majeure. Neither Party shall be considered in to be in default in any of its obligations under this Contract when a failure of performance shall be due town uncontrollable force. The term "uncontrollable force" shall mean any cause beyond the control.of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightening, epidemic, war, riot, civil disturbance or disobedience, labor dispute, labor material shortage, sabotage, federal, state, or municipal action, statute, ordinance, or regulation, embargoes of -the -United States Government or any other --- government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise of due diligence has been unable to overcome. Either party rendered unable to fulfill any of its obligations under this Agreement by reason of an uncontrollable force, shall give written notice.within five (5) Business Days of such fact to the other party and shall exercise due. diligence to remove such inability with all reasonable dispatch.. 12 - f IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by and through their authorized officers on the date, month and year first written above. GENERAL REQUIREMENTS: The following is anticipated: 1) The selected janitorial Service Company will bring to our immediate attention all observed/needed maintenance/cleaning, which may be beyond the scope of the contract. 2) City staff will not have to tell the service company when to perform as needed maintenance/cleaning, the Service Company will anticipate the need and if within the scope of the contract, will perform the needed services. A schedule for monthly and yearly cleaning activities will be provided for the City. 3) The Service Company shall provide a call out list with telephone numbers regularly updated, to handle emergency or unusual janitorial services. 4) The Service Company shall provide a list of all -employees and their supervisors, who may work upon these premises. 5) A periodic meeting to review service performance will be conducted.
