ONE TO AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES BY AND BETWEEN THE CITY OF VERNON AND MICHAEL R. KODAMA PLANNING CONSULTANTS WHEREAS, on May 8, 2002, the City Council of the City of Vernon adopted Resolution No. 7962 approving and authorizing the execution of an Agreement for Professional Consulting Services (the "Agreement") with Michael R. Kodama Planning Consultants ("Kodama"), for assistance with federal, state, regional and local transportation planning, policy and funding efforts; and WHEREAS, in accordance with Section XI.7 of the Agreement, the City of Vernon and Kodama desire to extend the Agreement through and including May 7, 2003; and WHEREAS, on October 22, 2002, the Finance Committee recommended that the City Council approve the recommendation of Bruce V. Malkenhorst, Director of Finance, dated October 17, 2002 that an amendment to the Agreement be approved and executed. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. One to Consulting Services Agreement with Kodama, a copy of which is attached hereto as Exhibit "A" and made a part hereof. Y I I 1 SECTION 3: The City Council of the City of Vernon hereby 2 authorizes the Mayor and the City Clerk to execute said Amendment for, 3 and on behalf of, the City of Vernon. 4 SECTION 4: The City Council of the City of Vernon hereby 5 directs the City Clerk, or his designee, to send one fully executed 6 Amendment to: 7 Michael R. ONE TO THE AGREEMENT FOR PROFESSIONAL 4 CONSULTING SERVICES is made, entered into and executed in duplicate 5 originals, either copy of which may be considered and used as the 6 original hereof for all purposes, as of this day of October, 2002. 7 BY AND BETWEEN THE CITY OF VERNON, a municipal 8 corporation (hereinafter referred to as the "City") 9 4305 Santa Fe Avenue 10 Vernon, California 90058 11 AND MICHAEL R. NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS, THE PARTIES HERETO AGREE AS FOLLOWS: SECTION 1: Section IV, Time of Performance, of the Agreement is hereby amended to read as follows: Consultant's services under the original Agreement shall be completed by November 7, 2002. Consultant's services under Amendment No. One to the Agreement shall begin on November 8, 2002 and shall be completed by May 7, 2003, unless terminated or extended. SECTION 2: In all other respects, the terms and conditions of the Agreement shall be renewed in its entirety. This has been reviewed by staff, and it is hereby recommended that Amendment No. l to the existing agreement with Michael Kodama be extended six months, through May 7, 2003, maintaining all fees and requirements the same. Malkenhorst, City Administrator FROM: Chris Romero Administrative Aide SUBJECT: MICHAEL KODAMA AGREEMENT/EXTENSION On May 8, 2002 the City entered into an agreement for professional consulting services with Michael Kodama. The agreement states that Kodama will provide assistance with Federal, State, Regional and local transportation planning policy and funding efforts for the City. The agreement is due to expire November 7, 2002. Kodama has and continues to focus his work on the United States Department of Transportation and its railroad government policies. In our ongoing effort to resolve various issues with the railraods it is recommended that the agreement between the City and Michael Kodama be extended for an additional six months.
