7 8 a 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 8117 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A MEMORANDUM OF UNDERSTANDING BY AND BETWEEN THE CITY OF VERNON AND SHU CHIN KOU AND SHAN CHUN KOU REGARDING THE CITY OF VERNON'S PARKING REQUIREMENTS (4510 SOUTH ALAMEDA STREET) WHEREAS, Shu Chin Kou and Shan Chun Kou (collectively referred to as the "Kous") are owners of the property located at 4510 South Alameda Street (the "Alameda Property") which is occupied by Neptune Foods; and WHEREAS, R.C.C.I.,, a California general partnership, composed of the Kou family, specifically, Shu Chin Kou, Shan Chun Kou, Ming Bin Kou and Ming Shin Kou, (collectively referred to as "RCCI") are the owners of the property located at 1912 East Vernon Avenue (the "Vernon Property"); and WHEREAS, on December 8, 1998, the Kous and RCCI recorded a Covenant and Agreement that provided for parking, exit access to a public way, surface water drainage to the street as required by Section 24.10 of the Vernon City Code, the City's Zoning Ordinance and the 1994 Edition of the Uniform Building Code; and WHEREAS, the Covenant and Agreement requires the Kous and RCCI as the owners of the Alameda and Vernon Properties to hold their respective properties as one parcel with no portion permitted to be sold separately; and WHEREAS, on December 18, 2002, the City Council of the City of Vernon will adopt Resolution No. 8118 approving a Subordination Agreement with the Kous, the owners of the Alameda Property, and Manufacturer's Bank ("Bank") wherein the City agreed to place Bank as 1 2 item 11 12 13 14 15 16 17 19 20 21 22 23 24 25 26 27 28 Ithe new lender, in the same position as the previous lender, thereby allowing,the Kous, to refinance their loan on the Alameda Property; and WHEREAS, the City's willingness to subordinate the Covenant and Agreement is based upon the representations and assurances by the Kous that they will continue to provide the required parking, exit access to a public way, and surface water drainage to the street as required by the Vernon City Code; and WHEREAS, the Director of Community Services & Water has been provided with a copy of a recorded easement that shows that the Vernon Property has an easement for ingress and egress, building maintenance and access to a drainage pipe through the Alameda Property; and WHEREAS, by letter dated December 12, 2002, Bruce V. Malkenhorst, City Administrator/City Clerk recommended the approval and execution of the Memorandum of Understanding. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and SECTION 2: The City Council of the City of Vernon hereby approves the Memorandum of Understanding with the Kous, a copy of which is attached hereto as Exhibit "A" and made a part hereof. "the City") 4305 Santa Fe Avenue Vernon, CA 90058-0805 AND SHU CHIN KOU AND SHAN CHUN KOU (hereinafter referred to as "the Property Owners") 4510 South Alameda Street Los Angeles, CA 90058 RECITALS WHEREAS, on December 8, 1998, a Covenant andAgreement (hereinafter referred to as "the Covenant and Agreement") was recorded by the owners of the real property located at 4510 South Alameda Street and 1912 East Vernon Avenue for the benefit of the City; and WHEREAS, the owners of the property located at 4510 South Alameda Street are Shu Chin Kou and Shan Chun Kou; and WHEREAS, Neptune Foods is situated on the property located at 4510 South Alameda Street; and 2 3 4 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, the owners of the property located at 1912 East Vernon Avenue are R.C.C.I., a California general partnership, which is made up of the Kou Family, specifically, Shu Chin Kou, Shan Chun Kou, Ming Bin Kou and Ming Shin Kou and WHEREAS, the purpose of the Covenant and Agreement is to provide parking, exit access to a public way, and surface water drainage to the street as required by Section 24.10 of the City's Code, the City's Zoning Ordinance, and the 1994 Edition of the Uniform Building Code; and WHEREAS, the Covenant and Agreement requires the property owners of 4510 South Alameda Street and 1912 East Vernon Avenue to hold theirrespective properties as one parcel and that no portion shall be sold separately; and WHEREAS, the property owners of these two properties agreed that the Covenant and Agreement shall run with the land described therein and be binding upon themselves, and future owners, encumbrancers, their successors, heirs or assignees and shall continue in effect until released by the authority of the Director of Community Services or if no longer required by law; and WHEREAS, on January 3, 2001, the City adopted Resolution No. 7679, approving a Subordination Agreement with R.C.C.I and Merrill Lynch Business Financial Services Inc. regarding the subordination of the Covenant and Agreement to refinance the property at 1912 East Vernon Avenue to place the new lender in the same position as the existing lender; and WHEREAS, on January 3, 2001, the City also adopted Resolution No. 7686, approving a Memorandum of Understanding with Shu Chin Kou and Shan Chun Kou regarding the City's parking - 2 - 1 requirements; and 2 WHEREAS, Shu Chin Kou and Shan Chu Kou are attempting to 3 refinance the mortgage on their property located at 4510 South 4 Alameda Street and have requested that the City execute a 5 Subordination Agreement to place the new lender in 'the same position 6 as the existing lender; and 7 WHEREAS, the City has expressed a willingness to execute 8 such an agreement with Shu Chin Kou and Shan Chu Kou so long as the 9 City can be assured that the parking, exit access to a public way, 10 and surface water drainage to the street as required by the City's 11 Code can be maintained in the event that parcels should be held 12 and/or sold separately; and 13 WHEREAS, the Neptune's parking requirements are presently 14 being satisfied by using approximately 60 parking spaces on the 15 property located at 1912 Vernon Avenue; and 16 WHEREAS, the Property Owners have expressed a desire to 17 reaffirm their obligation to provide parking, as required by the 18 City Code, in the event they should lose their parking on 1912 19 Vernon Avenue, if that property should be held and/or sold off 20 separately; 21 WHEREAS, the Property Owners are making this 22 representation in order to facilitate the execution of the 23 Subordination Agreement for the benefit of Shu Chin Kou and Shan 24 Chun Kou; and 25 WHEREAS, based on this representation, the City agrees to 26 enter into an acceptable Subordination Agreement. 27 NOW, THEREFORE, in consideration of the Recitals set forth 28 above, and for other good and valuable consideration, the receipt 4 4 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and sufficiency of which are hereby acknowledged, the parties hereto agree as set forth below. 1. WHEREAS, the purpose of the covenant agreement was to assure the City that the Owners will provide required parking, exit access to a public way and surface water drainage to be in compliance with the code of the City. WHEREAS, the Owners have, concurrent herewith, recorded easements agreements which provide for the required parking, exit access to a public way and surface water drainage. WHEREAS, the covenant is no longer necessary in that the recorded easements provide for the use of the servient tenement described in said easement agreement to provide the required parking, exit access to public way and surface water drainage as required by the City. WHEREAS, the City and Owners wishes to terminate the covenant so long as the easements are recorded and remain of record during ownership of the real property, commonly known as 4510 South Alameda Street, Vernon, California and 1912 East Vernon Avenue, Vernon, California and more particularly described in Exhibits "1" and "2" attached hereto and made a part hereof and fully incorporated herein by said reference. NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS: 1. Grantee desires to acquire certain rights for the purposes of ingress and egress, for surface water drainage to adjacent street and for parking upon the Servient Tenement. The easement granted in this Agreement is appurtenant to the Dominant Tenement. Grantor hereby grants an easement for the purposes of egress, ingress and across the Servient Tenement for surface water drainage to street adjacent to the Dominant Tenement and the Servient Tenement and for the non-exclusive right to park up to sixty (60) vehicles upon the Servient Tenement as set forth in the Parcel A, B, and C attached hereto and made a part hereof, the Easement Area. Grantee must use reasonable care and may not unreasonably increase the burden on the servient tenant or make any material changes to the Servient Tenement. Grantee's use of the easement granted in this agreement shall be non-exclusive. Grantor retains the right to make any use of the Servient Tenement including the right to grant concurrent easements to the Servient Tenement to third parties that do not interfere unreasonably with Grantee's free use and enjoyment of the easement. Grantee desires to acquire certain rights for the purposes of ingress and egress, for surface water drainage to adjacent street and for parking upon the Servient Tenement. The easement granted in this Agreement is appurtenant to the Dominant Tenement. Grantor hereby grants an easement for the purposes of egress, ingress and across the Servient Tenement for surface water drainage to street adjacent to the Dominant Tenement and the Servient Tenement and for the non-exclusive right to park up to sixty (60) vehicles upon the Servient Tenement as set forth in the Parcel A, B, and C attached hereto and made a part hereof, the Easement Area. Grantee must use reasonable care and may not unreasonably increase the burden on the servient tenant or make any material changes to the Servient Tenement. Grantee's use of the easement granted in this agreement shall be non-exclusive. Grantor retains the right to make any use of the Servient Tenement including the right to grant concurrent easements to the Servient Tenement to third parties that dol not interfere unreasonably with Grantee's free use and enjoyment of the easement. This Agreement, including any interest in this agreement shall not be assigned without the prior written consent of the other party; provide, however notwithstanding any transfer of the Dominant Tenement the easement granted in this Agreement shall remain appurtenant to the Dominant Tenement. This Agreement constitutes the entire agreement between Grantor and Grantee relating to the above easement.
