A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
VEHICLE PURCHASE CONTRACT BY AND BETWEEN THE CITY
OF VERNON AND SOPP CHEVROLET FOR THE PURCHASE OF
TWO 2003 CHEVROLET BLAZERS FOR THE COMMUNITY
SERVICES & WATER DEPARTMENT
WHEREAS, the Community Services & Water Department requires
two new 2003 Chevrolet Blazer LS vehicles for use by its Building
IlDepartment Staff; and
WHEREAS, on December 4, 2002, Sopp Chevrolet responded to Bid
No. 1422 issued by the City on November 13, 2002, pursuant to
Resolution No. 8093 adopted by the City Council of the City of Vernon
on October 23, 2002, setting forth specifications for the purchase of a
2003 Chevrolet Blazer LS vehicle for the Vernon Police Department; and
WHEREAS, the City accepted Sopp Chevrolet's bid and entered
into a Vehicle Purchase Contract for the purchase of the new vehicle
for the Vernon Police Department; and
WHEREAS, the City has been given the opportunity to purchase
two new 2003 Chevrolet Blazer vehicles for the Community Services &
Water Department, from Sopp Chevrolet, under the same bid it submitted
for Bid No. 1422; and
WHEREAS, on February 11, 2003, the Finance Committee
recommended that the City Council approve the recommendation of Bruce
V. Malkenhorst, Director of Finance, dated February 5, 2003, that the
two 2003 Chevrolet Blazer vehicles be purchased from Sopp Chevrolet and
an agreement with Sopp Chevrolet be approved and executed; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of

Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into a contract with Sopp Chevrolet to enhance
services provided to the Vernon community.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Vehicle Purchase Contract with Sopp Chevrolet, a copy of
which is attached hereto as Exhibit "A" and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Contract for,
and on behalf of, the City of Vernon and authorizes the issuance of a
purchase order for the purchase of two 2003 Chevrolet Blazer LS
vehicles under Bid No. 1422.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Contract to:

RECITALS

5 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
6 FORTH HEREIN:
7 1. Purchase. Sopp Chevrolet agrees to sell to the City
8 two new 2003 Chevrolet Blazer LS vehicles, that meets the
9 specifications contained in City of Vernon Bid No. 1422, dated
10 November 13, 2002, and that is consistent with Sopp Chevrolet's Bid of
11 December 4, 2002 (collectively referred to as the "Bid Documents"). A
12 copy of the Bid Documents are attached hereto as Exhibit "A" and
13 incorporated herein by reference
14 2. Price. Consistent with its Bid, Sopp Chevrolet
15 agrees to sell and deliver, subject to final inspection by the City,
16 two new 2003 Chevrolet Blazer LS vehicles for the total sum of Twenty
17 Thousand One Hundred Dollars and No Cents ($20,100.00), plus sales tax
18 of One Thousand Six Hundred Fifty -Eight Dollars and Twenty -Five Cents
19 ($1,658.25) for each vehicle.
20 3. Payment Terms. The City agrees to pay Sopp Chevrolet
21 a total of Forty Thousand Two Hundred Dollars and No Cents
22 ($40,200.00), plus sales tax, for the purchase of the two vehicles.
23 Payment will be made within thirty (30) days net of receipt of the
24 vehicles.
25 4. Warranties. All manufacturers' warranties, and any
26 other warranties made applicable by law, shall apply to the City's
27 purchase of the above -referenced vehicles.

5. General Provisions.
A. Governing Law. The laws of the State of
California shall govern the rights, obligations, duties and
liabilities of the parties to this Contract and shall also govern the
interpretation of this Contract.
B. Notices. Notices to the parties, unless otherwise

SPECIFICATIONS
GENERAL
The vehicle covered by this specification is. for the purchase of a Chevrolet
Blazer, 2003, 4 door LS, 2 WD and shall be supplied as specified from the
manufacturers new, unused and latest model complete with all necessary
equipment and accessories. -
The vehicle shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicle shall conform in all respects and be equipped to operate
legally on California State Highways as specified in the California Motor Vehicle
Code. The vehicle shall meet all California State and Federal safety and
emission standards when delivered to the City of Vernon.
The successful bidder shalt submit in detail a final draft of all specifications for
final approval by the City of Vernon and the Vernon Police De
urchase. partment prior to
All bids submitted shall include sufficient associated literature as required to fully.
describe and detail the items under consideration. This should include

The bidder shall clearly state any changes, exceptions or substitutions of
equivalent equipment/materials to these specifications
The successful bidder will arrange to demonstrate a similarly equipped 2003
Blazer LS prior to purchase.
Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary Item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function and quality required. Unless the name is followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information- is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment
proposed is equivalent to the named. The term "quivalent" as used in this
specification, means "authorized equivalent' and acceptance of the `equivalent"
is subject to the approval of the City of Vernon.
Warranties:
The manufacturers warranties on the vehicle and.any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under
Califomia law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre -delivery inspection and right of refusal by the

Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Benudiz. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of
Vernon.
Delivery
The vehicle shall be delivered to 4305 S. Santa Fe Avenue, Vernon, California,
90058. The vehicle shall be ready for immediate and safe operation, having had
completed any necessary vehicle registration documentation. The invoice, any
necessary vehicle registration documentation, warranty information, and manuals

3 Chevrolet Blazer vehicles utilizing Sopp Chevrolet's bid under Bid No.

5 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
6 FORTH HEREIN:
7 1. Purchase. Sopp Chevrolet agrees to sell to the City
8 two new 2003 Chevrolet Blazer LS vehicles, that meets the
9 specifications contained in City of Vernon Bid No. 1422, dated
10 November 13, 2002, and that is consistent with Sopp Chevrolet's Bid of
11 December 4, 2002 (collectively referred to as the "Bid Documents"). A
12 copy of the Bid Documents are attached hereto as Exhibit "A" and
13 incorporated herein by reference
14 2. Price.. Consistent with its Bid, Sopp Chevrolet
15 agrees to sell and deliver, subject to final inspection by the City,
16 two new 2003 Chevrolet Blazer LS vehicles for the total sum of Twenty
17 Thousand One Hundred Dollars and No Cents ($20,100.00), plus sales tax
18 of One Thousand Six Hundred Fifty -Eight Dollars and Twenty -Five Cents
19 ($1,658.25) foreach vehicle.
20 3. Payment Terms. The City agrees to pay Sopp Chevrolet
21 a total of Forty Thousand Two Hundred Dollars and No Cents
22 ($40,200.00), plus sales tax, for the purchase of the two vehicles.
23 Payment will be made within thirty (30) days net of receipt of the
24 vehicles.
-25 4. Warranties. All manufacturers' warranties, and any
26 other warranties made applicable by law, shall apply to the City's
27 purchase of the above -referenced vehicles.

GENERAL
The vehicle covered by this specification is. for the purchase of a Chevrolet
Blazer, 2003, 4 door LS, 2 WD and shall be supplied as specified from the
manufacturers new, unused and latest model complete with all necessary
equipment and accessories.
The vehicle shall ''be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicle shall conform in all respects and be equipped to operate
legally on California State Highways as specified in the California Motor Vehicle
Code. The vehicle shall meet all Califomia State and Federal safety and
emission standards when delivered to the City of Vernon.

All bids submitted' shall include sufficient associated literature as required to fully.
describe and detail the items under consideration. This should include
photographs, performance charts. components list, dimensional drawings, etc.

The successful bidder will arrange to demonstrate a similarly equipped 2003
Blazer LS prior to purchase.

fabricator, supplier of distributor, the naming of the item is intended to establish
the type, functionand quality required. Unless the name is followed by words

of Vernon if sufficient information. is submitted prior to the purchase by the
contractor to allow the City of Vernon to determine that the material or equipment

Warranties:
The manufacturers warranties on the vehicle and.any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under

Installation
No installation is needed on this bid.
Inspection
The bidder shall' arrange for a pre -delivery inspection and right of refusal by the

Delivery Date
All bidders shall ,provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the

Benudiz. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of

Delivery

The Community Services and Water Department is requesting to purchase
two (2) Chevrolet Blazers to be added to the Building Department's
fleet. Currently the department has been using salvaged Police
vehicles that have been refurbished and have been used as pool cars.
Recently the Purchasing Section awarded Bid No. 1422 to Sopp Chevrolet
for the purchase of one Chevrolet Blazer for the Police Department;
Sopp Chevrolet is allowing the City to piggyback on this bid for this
new purchase. The Community Services and Water Department budgeted
$40,000.00 for this purchase; however, additional funds are available.
It is hereby recommended that the two Chevrolet Blazers be purchased
from Sopp Chevrolet at an approximate cost of $43,570.50 for both

Attached for your approval is requisition #2913. The Community Services Department is
requesting purchase of two new Chevrolet Blazers for the Building Department Staff. In

their department. This has diminished the potential transfer of these units into reliable pool
cars. Therefore, the Community Services department is requesting two new units for its fleet.

Blazer to be used by Police Department. Sopp Chevrolet will allow the City to piggy back on
to this bid
The bid price per unit is $21,758.25 (tax included). The total amount for two Chevrolet
Blazers is $43,570.50. The department budgeted $40,000.00 for the additions. The
department initially budgeted for two sedans, however after further reexamination has
requested utility type vehicles which will better suit their needs. The department will submit a
memo requesting transfer of funds in the amount of $4,000 from account number 011-1041-

The vehicles being utilized by the Building Department staff have become unreliable. Building Department staff
previously received surplus vehicles from the Police Department. However, the Police Department have been refurbishing
and keeping their vehicles longer.. By the time they salvage the vehicles they have become unreliable.
