A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF MIDWAY FORD ON BID NO.
1427 FOR THE PURCHASE OF ONE 2003 FORD EXPLORER XLT
VEHICLE FOR THE HEALTH DEPARTMENT AND APPROVING AND
AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE
CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER
RESPECTING SAID BID
WHEREAS, the Health Department requires a new vehicle to be
used to transport the Environmental Health Specialist and his equipment
to field locations; and
WHEREAS, pursuant to Resolution No. 8158 adopted by the City
Council of the City of Vernon on February 19, 2003, the City Clerk was
directed to give notice inviting sealed proposals or bids for the
purchase of a new 2003 Ford Explorer XLT in accordance with the bid
specification provided by the Health Department; and
WHEREAS, based upon the bid specification, the Purchasing
Department prepared Bid No. 1427 dated March 6, 2003, and proceeded to
solicit bids for the purchase of the 2003 Ford Explorer XLT; and
WHEREAS, sealed bids for Bid No. 1427 were opened on
March 27, 2003, and reviewed by the Health Department; and
WHEREAS, by letter dated April 8, 2003, Bruce V. Malkenhorst,
City Administrator/City Clerk, recommended that Bid No. 1427 be awarded
to Midway Ford, the lowest responsible bidder meeting the requirements
of Bid No. 1427.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true

and correct.
SECTION 2: The City Council of the City of Vernon hereby
awards Bid No. 1427 to Midway Ford and accepts and approves the Vehicle
Purchase Contract, a copy of which is.attached hereto as Exhibit "A"
and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute the Vehicle Purchase
Contract on behalf of the City and authorizes the issuance of a
purchase order for the purchase of a 2003 Ford Explorer XLT pursuant to
Bid No. 1427.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send a copy of this
resolution and one fully executed Contract to:

SECTION 5: All other bids in connection with Bid No. 1427

the same shall be in full force and effect.

THIS CONTRACT is made, entered into and executed in duplicate

RECITALS
WHEREAS, the Health Department is in need of'a new vehicle to
be used to transport the Environmental Health Specialist and his
equipment to field locations; and
WHEREAS, the City requires a new 2003 Ford Explorer XLT; and
WHEREAS, on March 6, 2003, the City issued Bid No. 1427 which
sets forth specifications for the 2003 Ford Explorer XLT required by
the City; and
WHEREAS, on March 10, 2003, Midway responded to Bid No. 1427;
and
WHEREAS, the City has accepted Midway's bid and desires to
purchase the 2003 Ford Explorer from Midway.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
1. Purchase. Midway agrees to sell to the City a 2003
Ford Explorer XLT, 5-DR, 4x4 vehicle, that meets the specifications
I contained in City of Vernon Bid No. 1427, dated March';6, 2003, and
2 that is consistent with Midway's Bid of March 10, 2003 (collectively
3 referred to as the "Bid Documents"). A copy of the Bid Documents are
41 attached hereto as Exhibit "A" and incorporated hereim by reference.
5 2. Price. Consistent with its Bid, Midway agrees to
6 sell and deliver, subject to final inspection by the City, a 2003 Ford
7 Explorer XLT, 5-DR, 4x4 vehicle for the total sum of Twenty -Five
8 Thousand Two Hundred Fourteen Dollars and No Cents ($$5,214.00), plus
9 sales tax of Two Thousand Eighty Dollars and Sixteen Cents
10 ($2, 080.16) .
11 3. Payment Terms. The City agrees to pay Midway a total
12 of Two Hundred Fourteen Dollars and No Cents ($25,21400), plus sales
13 tax, for the purchase of the 2003 Ford Explorer XLT within thirty (30)
14 days net of receipt of the vehicle.
15 4. Warranties. All manufacturers' warranties, and any
16 other warranties made applicable by law, shall apply to the City's
17 purchase of the above -referenced vehicle.
18 5. General Provisions.
19 A. Governing Law. The laws of.the State of
20 California shall govern the rights, obligations, duties and liability
21 of the parties to this Contract and shall also govern 'the
22 interpretation of this Contract.
23 B. Notices. Notices to the parties, 'unless otherwise
24 requested in writing, shall be sent to:

FOR A 2003 FORD EXPLORER 5 DOOR-XLT 4 X 4
It is the intent of this specification to provide for the purchase of one (1) new and unused 2003
Ford Explorer 5 Door XLT 4 X 4 with a 4.6L SOHC V8 and automatic 5-speed transmission.
The City of Vernon has evaluated different types of vehicles and has determined that this product
is best suited for the department's needs in safety, quality, performance, and standardization.
In comparing proposals, consideration will not be confined to price only. The successful bidder
will be one whose product is judged shall best serve the interests of the City of Vernon when
price, product, safety, quality and delivery are considered. The City of Vernon reserves the right
to reject any or all bids or any part thereof, and to waive any minor technicalities. A contract
will be awarded to the bidder submitting the lowest qualified and responsible bid meeting the
requirements of this specification.
The City requires the successful bidder to provide proof of insurance, including a standard
certificate of insurance, .in at least the amounts and coverage indicated on the insurance schedule.
In addition to the standard certificate of insurance, proof of general and umbrella liability
coverage shall also be furnished in the form indicated on the attached insurance schedule
(Exhibit "A")
EOUIVILENT PRODUCT
Bids will be accepted for the consideration on any make or model that is equal or superior to the
vehicle specified. Decisions of equivalency will be at the sole interpretation of the City. A
blanket statement that equipment proposed will meet all requirements will not be sufficient to
establish equivalency. Original manufacturer's brochures of the proposed unit are to be
submitted with the proposal.
All modifications made to the standard production unit described in the manufacturer's
brochures must be certified by the manufacturer and submitted with the bid, or the bid will be
deemed "non -responsive" and rejected without further review. Bidder must be prepared to
demonstrate a unit similar to the one proposed, if requested.
INTERPRETATIONS
In order to be fair to all bidders, no oral interpretations will be given to any bidder as to the
meaning of the specification documents or any part thereof. Every request for such a
consideration shall be made in writing to the City of Vernon: Based on such inquiry, the City
may choose to issue an Addendum.
GENERAL
The specification herein states the minimum requirements of the City. All bids must be regular
in every respect. Unauthorized conditions, limitations, or provisions shall be cause for rejection.
The City of Vernon will consider as "irregular" or "non -responsive" any bid not prepared and
submitted in accordance with the document and specification, or any bid lacking sufficient
technical literature to enable the Department to make a reasonable determination of compliance
to the specification.
It shall be the bidder's responsibility to carefully examine each item of the specification. Failure
to offer a completed bid or failure to respond to each section of the technical. specification will
cause the proposal to be rejected without review as "non -responsive". All variances, exceptions
and/or deviations shall be fully described in the appropriate section. Deceit in responding to the
specification will be cause for rejection.

of the parties to this Contract and shall also govern the
interpretation of this Contract.

TECHNICAL SPECIFICATIONS
FOR A 2003 FORD EXPLORER 5 DOOR-XLT 4 X 4
It is the intent of this specification to provide for the purchase of one (1) new and unused 2003
Ford Expiorer 5 Door XLT 4 X 4 with a 4.6L SOHC V8 and automatic 5-speed transmission.
The City of Vernon has evaluated different types of vehicles and has determined that this product
is best suited for the department's needs in safety, quality, performance, and standardization.
In comparing proposals, consideration will not be confined to price only. The successful bidder
will be one whose product is judged shall best serve the interests of the City of Vernon when
price, product, safety, quality and delivery are considered. The City of Vernon reserves the right
to reject any or all bids or any part thereof, and to waive any minor technicalities. A contract
will be awarded to the bidder submitting the lowest qualified and responsible bid meeting the
requirements of this specification.
The City requires the successful bidder to provide proof of insurance, including a standard
certificate of insurance, in at least the amounts and coverage indicated on the insurance schedule.
In addition to the standard certificate of insurance, proof of general and umbrella liability
coverage shall also be furnished in the form indicated on the attached insurance schedule
(Exhibit "X).
EQUIVILENT PRODUCT
Bids will be accepted for the consideration on any make or model that is equal or superior to the
vehicle specified. Decisions of equivalency will be at the sole interpretation of the City. A
blanket statement that equipment proposed will meet all requirements will not be sufficient to
establish equivalency. Original manufacturer's brochures of the proposed unit are to be
submitted with the proposal.
All modifications made to the standard production unit described in the manufacturer's
brochures must be certified by the manufacturer and submitted with the bid, or the bid will be
deemed "non -responsive" and rejected without further review. Bidder must be prepared to
demonstrate a unit similar to the one proposed, if requested.
INTERPRETATIONS
In order to be fair to all bidders, no oral interpretations will be given to any bidder as to the
meaning of the specification documents or any part thereof. Every request for such a
consideration shall be made in writing to the City of Vernon. Based on such inquiry, the City
may choose to issue an Addendum.
GENERAL
The specification herein states the minimum requirements of the City. All bids must be regular
in every respect. Unauthorized conditions, limitations, or provisions shall be cause for rejection.
The City of Vernon will consider. as "irregular" or "non -responsive" any bid not prepared and
submitted in accordance with the document and specification, or any bid lacking sufficient
technical literature to enable the Department to make a reasonable determination of compliance
to the specification.
It shall be the bidder's responsibility to carefully examine each item of the specification. Failure
to offer a completed bid or failure to respond to each section of the technical specification will
cause the proposal to be rejected without review as "non -responsive". All variances, exceptions
and/or deviations shall be fully described in the appropriate section. Deceit in responding to the
specification will be cause for rejection.
