A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AMENDMENT NO. THREE TO CONSULTING SERVICES
AGREEMENT BY AND BETWEEN THE CITY OF VERNON AND
LINDBORG & ASSOCIATES, INC.
WHEREAS, on July 18, 2001, the City Council of the City of
Vernon adopted Resolution No. 7777 approving and authorizing the
execution of a Consulting Services Agreement (the "Agreement") with
Lindborg & Associates, Inc. ("Lindborg"), for personnel recruiting
services for its information system division and other information
system and technology services; and
WHEREAS, on June 5, 2002, the City Council of the City of
Vernon adopted Resolution No. 7979 approving and authorizing the
execution of Amendment No. One to the Agreement with Lindborg to
extend the Agreement to June 30, 2003 and to modify the scope of
services and compensation provisions of the Agreement; and
WHEREAS, on February 19, 2003, the City Council of the City
of Vernon adopted Resolution No. 8155 approving and authorizing the
execution of Amendment No. Two to the Agreement with Lindborg
modifying the number of hours to be performed in a month and reducing
the professional liability insurance requirement; and
WHEREAS, in accordance with Section 12.G of the Agreement, as
amended, the City of Vernon and Lindborg desire to modify the Agreement
to extend the Agreement to June 30, 2004; and
WHEREAS, on June 3, 2003, the Finance Committee considered
the recommendation of Bruce V. Malkenhorst, Director of Finance, dated
May 22, 2003, that an amendment to the Agreement be approved and

executed.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct
SECTION 2: The City Council of the City of Vernon hereby
approves Amendment No. Three to Consulting Services Agreement with
Lindborg, a copy of which is attached hereto as Exhibit "A" and made a
part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Amendment for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
original of Amendment No. Two to:

SECTION 5: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.

THIS AMENDMENT NO. THREE TO THE CONSULTING SERVICES AGREEMENT
is made, entered into and executed in duplicate originals, either copy
of which may be considered and used as the original hereof for all
purposes, as of this day of June, 2003.

to as the "City")

"Consultant")

RECITALS
WHEREAS, the City and Consultant are parties to a Consulting
Services Agreement that was entered on or about July 18, 2001
(hereinafter referred to as the "Agreement") under which Consultant wash
to provide the City with personnel recruiting services for its
information system division and other.information system and technology
services; and
WHEREAS, the City and Consultant are parties to an Amendment
No. One to the Agreement dated on or about June 5, 2002, that extended
the Agreement through and including June 30, 2003 and modified the
scope of services to be performed; and
WHEREAS, the City and Consultant are parties to an Amendment
No. Two to the Agreement dated on or about February 19, 2003, that
modified the maximum number of hours to be performed in a month and
1 reduced the professional liability insurance requirement to $l million;
2 and
3 WHEREAS, the Agreement, as amended, will end on June 30, 2003
4 and the City and Consultant desire to extend the Agreement through and
5 including June 30, 2004; and
6 WHEREAS, Section 1 and Section 7 of the Agreement, as
7 amended, allow for changes and additions to the scope of services to be
8 performed by Consultant and adjustments in compensation; and
9 WHEREAS, Section 12.G of the Agreement, as amended, provides
10 that amendments and modifications to the Agreement must be in writing.
11 NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL COVENANTS,
12 THE PARTIES HERETO AGREE AS FOLLOWS:
13 SECTION 1: Section 4 of the Agreement, as amended, entitled
14 "TIME OF PERFORMANCE" is hereby amended by replacing text so that it
15 now reads as follows:
16 Consultant's services shall be extended from June 30,
17 2003. The extension period will commence on July 1,
18 2003 and shall continue until June 30, 2004, unless
19 the Agreement is terminated or extended. Consultant
20 agrees that all services provided will be conducted by
21 the principal and competent staff members, if any,
22 under the supervision of the principal, and that
23 services will be performed and rendered diligently.
24 Consultant shall only perform additional services
25 during this time period when requested by the City
26 Administrator.
27 SECTION 2: In all other respects, the terms and conditions
28 of the Agreement shall be renewed in its entirety.

Amendment No. Three to the existing agreement with Lindborg &
Associates, Inc., to provide expert technical information at an
approximate cost of $70.00 per hour. The City Attorney has finalized
the amendment and it is hereby recommended that Amendment No. Three to
the existing agreement with Lindborg & Associates, Inc., be executed.

The Information Technology Division is requesting that the existing
agreement with Lindborg & Associates, Inc., which expires June 30,
2003, be extended for the period of July 1, 2003 through June 30,
2004. Mr. Lindborg provides expert technical information on an as
needed basis and the consulting fee will remain the same ($70.00 per
hour) .
This has been reviewed by the Assistant to the City Administrator and
it is hereby recommended that Amendment No. Three to the Lindborg &
Associates, Inc. Agreement be approved and executed.

RE: IT Consulting - Amendment
On June 30, 2003 the agreement with Lindborg & Associates will end
with the option to extend. I continue to be very satisfied with his
technical knowledge and assistance with IT related matters and had
included hours for his services in the proposed 2003-2004 budget.
The IT Division is again not in need of a full time consultant for
this coming fiscal year, however it is necessary that he be used on a
part-time basis.
I recommend that the City Attorney's office prepare an amendment to
the current agreement to extend the services from July 1, 2003 thru
June 30, 2004 and that it be presented to the appropriate
committee/council for approval. All insurance requirements are
current and on file in the Risk Management Office.
If you have any questions or require additional information, please
advise.
