4 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AMENDMENT NO. TWO TO MAINTENANCE AGREEMENT BY
5 AND BETWEEN THE CITY OF VERNON AND THOMASON
MECHANICAL CORPORATION

7 WHEREAS, on November 28, 2001, the City Council of the City
8 of Vernon adopted Resolution No. 7875 approving and authorizing the
9 execution of a Maintenance Agreement (the "Agreement') with Thomason
10 Mechanical Corporation ("Thomason") for mechanical preventative
11 maintenance and emergency services on the diesel units at the City's
12 Power Plant; and
13 WHEREAS, on September 18, 2002, the City Council of the City
14 of Vernon adopted Resolution No. 8063 approving and authorizing the
15 execution of an Amendment No. One to the Agreement with Thomason
16 extending the term of the Agreement through and including June 30,
17 2003; and
18 WHEREAS, in accordance with Section 9.G of the Agreement, the
19 City of Vernon and Thomason desire to amend the Agreement to extend the
20 term through and including June 30, 2004, and establish the
21 compensation for the period of July 1, 2003 through June 30, 2004 at a
22 sum not to exceed One Hundred One Thousand Dollars and No Cents
23 ($101, 000.00) ; and
24 WHEREAS, on June 16, 2003, the Finance Committee considered
25 the recommendation of Bruce V. Malkenhorst, Director of Finance, dated
26 June 11, 2003, that an amendment to the Agreement with Thomason be
27 approved and executed for mechanical preventative maintenance for
28 fiscal year 2003-2004.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE -
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Amendment No. Two to Maintenance Agreement with Thomason,
a copy of which is attached hereto as Exhibit "A" and made a part
hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Amendment for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Amendment to:

SECTION 5: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and

3 THIS AMENDMENT NO. TWO TO THE MAINTENANCE AGREEMENT is made,
4 entered into and executed in duplicate originals, either copy of which
5 may be considered and used as the original hereof for all purposes, as
6 of this day of June, 2003.

to as "City")

14 RECITALS
15 WHEREAS, City and TMC are parties to a Maintenance Agreement
16 dated November 28, 2001 (hereinafter referred to as the "Agreement")
17 under which TMC was to perform mechanical preventative maintenance and
18 emergency services on an as -needed -basis for the generating units
19 located at the City's Power Plant; and
20 WHEREAS, City and TMC are parties to an Amendment No. One to
21 the Agreement dated September 18, 2002 (hereinafter referred to as the
22 "Amendment") that extended the Agreement through and including June
23 30, 2003; and
24 WHEREAS, City and TMC desire to amend the Agreement to extend
25 the term of the Agreement for another year, through and including
26 June 30, 2004; and
27 WHEREAS, TMC's annual compensation under the Agreement was
28 for a sum not to exceed $90,000.00, unless the Agreement was amended;

2 WHEREAS, City and TMC desire to modify the compensation for
3 the extended time period to a sum not to exceed $101,000.00; and
4 WHEREAS, Section 5 of the Agreement allows for changes and
5 additions to the scope of services to be performed by TMC and
6 adjustments in compensation; and
7 WHEREAS, Section 9.G of the Agreement provides for amendments
8 and modifications to the Agreement.
9 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
10 FORTH HEREIN:
11 SECTION 1: Section 2 of the Agreement entitled "TIME OF
12 PERFORMANCE" is hereby amended by replacing the text so that it now
13 reads as follows:
14 TMC's services under the Agreement, as amended, shall
15 be extended from June 30, 2003. The extension period
16 will commence on July 1, 2003 and shall continue until
17 June 30, 2004, unless the Agreement is terminated or
18 extended.
19 SECTION 2: Section 3 of the Agreement entitled
20 "COMPENSATION" is hereby amended by deleting the text under Subsection
21 "A" and replacing it as set forth below:
22 A. Services. The City will compensate TMC for
23 actual effort expended on a time and materials
24 basis in accordance with the Employee Rates set
25 forth in Exhibit "A" to the Agreement dated
26 November 28, 2001. The total amount to be paid
27 to TMC under this Agreement during the time
28 period of July 1, 2003 through June 30, 2004

shall not exceed an annual total amount of One
Hundred One Thousand Dollars ($101,000.00),
unless the Agreement is amended or a Change Order
agreed to by the parties.
SECTION 3: In all other respects, the terms and conditions
of the Agreement shall be renewed in its entirety.
IN WITNESS WHEREOF, City and TMC have executed this Amendment
as of the date first hereinabove set forth.

The Director of Utilities is requesting that Amendment No. Two to the
existing Maintenance Agreement with Thomason Mechanical Corporation be
approved to extend the period through June 30, 2004 to continue
providing mechanical preventative maintenance and emergency services
for the units located at the Vernon Power Plant; including an increase
in cost from $90,000.00 to $101,000.00.
This has been reviewed by the City Attorney and it is hereby
recommended that Amendment No. Two to the existing Maintenance
Agreement with Thomason Mechanical Corporation be approved and
executed.
