Resolution No. 8222' r i • e ' a 1 RESOLUTION NO. 8222 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF 4 VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT NO. ONE TO MAINTENANCE AGREEMENT BY 5 AND BETWEEN THE CITY OF VERNON AND LITTLEJOHN- REULAND CORPORATION 6 7 WHEREAS, on September 18, 2002, the City Council of the City' 8 of Vernon adopted Resolution No. 8064 approving and authorizing the 9 execution of a Maintenance Agreement (the "Agreement") with 10 Littlejohn-Reuland Corporation ("Littlejohn") for electrical 11 preventative maintenance and repair services on the diesel units at 12 the City's Power Plant; and 13 WHEREAS, in accordance with Section ll.G of the Agreement, 14 the City of Vernon and Littlejohn desire to amend the Agreement to 15 extend the term through and including June 30, 2004; and 16 WHEREAS, the annual compensation under the Agreement for the 17 period of July 1, 2003 through June 30, 2004 shall remain at a sum not 18 to exceed Seventy Thousand Dollars and No Cents ($70,000.00); and 19 WHEREAS, on June 16, 2003, the Finance Committee considered 20 the recommendation of Bruce V. Malkenhorst, Director of Finance, dated 21 June 11, 2003, that an amendment with Littlejohn be approved and 22 executed for electrical preventative maintenance for fiscal year 2003- 23 2004. 24 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 25 CITY OF VERNON AS FOLLOWS: 26 SECTION 1: The City Council of the City of Vernon hereby 27 finds and determines that the recitals contained hereinabove are true 28 and correct. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. One to Maintenance Agreement with Littlejohn, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Amendment for, and on behalf of, the City of Vernon. ONE TO THE MAINTENANCE AGREEMENT is made, entered into and executed in duplicate originals, either copy of which may be_considered and used as the original hereof for all purposes, as of this day of June, 2003. BY AND BETWEEN THE CITY OF VERNON, a municipal corporation (hereinafter referred to as "City") 4305 Santa Fe Avenue Vernon, California 90058 AND LITTLEJOHN-REULAND CORPORATION (hereinafter referred to as "Littlejohn") 4575 Pacific Boulevard Los Angeles, CA 90058 RECITALS WHEREAS, City and Littlejohn are parties to a Maintenance Agreement dated September 18, 2002 (hereinafter referred tows the "Agreement") under which Littlejohn was to perform electrical preventative maintenance and repair services on the City's diesel units located at the Vernon Power Plant; and WHEREAS, City and Littlejohn desire to amend the Agreement to extend the term of the Agreement for another year, through and including June 30, 2004; and WHEREAS, Littlejohn's annual compensation under the Agreement was for a sum not to exceed $70,000.00, unless the Agreement was amended; and WHEREAS, the City and Littlejohn desire to modify the compensation for the extended time period to a sum not to exceed $70,000.00; and 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, Section 6 of the Agreement allows for changes and additions to the services to be performed, by Littlejohn and adjustments in compensation; and WHEREAS, Section ll.G of the Agreement provides for amendments and modifications to the Agreement. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: SECTION 1: Section 3 of the Agreement entitled "TIME OF PERFORMANCE" is hereby amended by replacing the text so that it now reads as follows: Littlejohn's services under the Agreement, as amended, shall be extended from June 30, 2003. The extension period will.commence on July 1, 2003 and shall continue until June 30, 2004, unless the Agreement is terminated or extended. SECTION 2: Section 4 of the Agreement entitled "COMPENSATION" is hereby amended by deleting the text under Subsection "A" and replacing it as set forth below: The City will compensate Littlejohn for electrical preventative maintenance services pursuant to the Proposal attached as Exhibit "A" to the Agreement dated September 18, 2002.
