Resolution No. 83001 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 an 22 23 24 25 26 27 28 RESOLUTION NO. 8300 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN EQUIPMENT PURCHASE AND PROFESSIONAL SERVICES CONTRACT BY AND BETWEEN THE CITY OF VERNON AND HAMPTON TEDDER ELECTRIC COMPANY FOR THE MALBURG GENERATING STATION PROJECT WHEREAS, the City of Vernon ("City") is constructing a 134 MW Combined Cycle Power Plant, the Malburg Generating Station (the "Malburg Project"), for the purpose of installing additional generating capacity that will yield an efficient, cost-effective, and reliable source of electric generation to the City's inhabitants; and WHEREAS, on July 16, 2003, the City Council of the City of Vernon adopted Resolution No. 8252 with the intention of expediting the purchase of supplies and services for the Malburg Project; and WHEREAS, the City has determined that it needs the services of an electrical engineering firm to provide three (3) 7.2 kV capacitor banks and auxiliary equipment together with the necessary installation and testing services for the capacitor banks (the "Capacitor Bank Project") for the Malburg Project; and WHEREAS, Hampton Tedder Electric Company ("Hampton Tedder") submitted a proposal dated September 16, 2003, that includes a description of the proposed equipment and services necessary for the Capacitor Bank Project; and WHEREAS, the City has determined that Hampton Tedder possesses the technical knowledge and expertise to furnish the equipment and perform the services required by the City for the Capacitor Bank Project; and WHEREAS, on October 14, 2003, the Finance Committee 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 considered the recommendation of Bruce V. Malkenhorst, Director of Finance, dated October 1, 2003, to purchase equipment and services from Hampton Tedder for the Capacitor Bank Project to facilitate the construction and operation of the Malburg Project; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with Hampton Tedder setting forth the terms and conditions for the performance of the Capacitor Bank Project services during construction of the Malburg Project to enhance services provided to the Vernon community. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Equipment Purchase and Professional Services Contract with Hampton Tedder Electric Company, a copy which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Hampton Tedder Electric Company Attn. MALKENHORST, City Clerk 12 13 (SEAL) 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 - 4 - EXHIBIT 0 11 2il 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 EQUIPMENT PURCHASE AND PROFESSIONAL SERVICES CONTRACT THIS CONTRACT is made, entered into and executed in duplicate originals, either copy of which may be considered and used as the original hereof for all purposes, as of this day of 2003, in the City of Vernon, County of Los Angeles, California BY AND BETWEEN AND -"/' MTT P THE CITY OF VERNON (hereinafter referred to as "City") 4305 Santa Fe Avenue Vernon, CA 90058 HAMPTON TEDDER ELECTRIC COMPANY (hereinafter referred to as "Hampton Tedder") 4571 State Street Montclair, CA 91763-6129 WHEREAS, City is constructing the Malburg Generating Station Combined Cycle Power Plant at 2715 E. 50th Street in the City of Vernon (the "Malburg Project") for purposes of installing additional generating capacity that is capable of yielding cost effective, efficient and reliable electricity to meet its goals, while meeting Federal, State and local environmental and siting requirements; and WHEREAS, the Malburg Project team has determined that it needs the services of an electrical engineering firm to provide three (3) 7.2 kV capacitor banks and auxiliary equipment and the services necessary to install and test the equipment in order to create the room necessary to accommodate the new Malburg Project generator grid positions (hereinafter collectively referred to as the "Capacitor Bank I Project"); and 2 WHEREAS, the Malburg Project team requested proposals from 3 qualified vendors to furnish the necessary labor and materials for the 4 Capacitor Bank Project; and 5 WHEREAS, Hampton Tedder prepared a proposal dated 6 September 16, 2003 (hereinafter referred to as the `Proposal") for the 7 design, equipment, installation and testing necessary for the 8 Capacitor Bank Project, a copy of which is attached hereto as Exhibit 9 "A" and made a part hereof; and 10 WHEREAS, Hampton Tedder represents that it is qualified and 11 capable of furnishing the labor, materials and expertise necessary to 12 furnish the equipment and perform the services that the City requires 13 as set forth in the Proposal and is willing to do so on the terms and 14 conditions set forth below; and 15 WHEREAS, the City desires to enter into an agreement with 16 Hampton Tedder to provide for the labor and materials necessary for 17 the Capacitor Bank Project. 18 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 19 FORTH HEREIN: 20 1. Scope of Services. 21 Hampton Tedder agrees to sell, design, deliver, install, 22 test and configure the necessary material and equipment and perform 23 the following services for the Capacitor Bank Project: engineering 24 and design services (equipment layout and details, conduit work, 25 incorporate vendor drawings into design, foundation design and 26 calculations, engineering support services during procurement and 27 construction, site supervision, visit and meetings); set and assemble 28 three (3) metal enclosed capacitor banks, furnish and install 750 mcm - 2 - 1 15 kV 175 mil cable and terminate to capacitor bank #1, test three (3) 2 capacitor banks to NETA standards, as set forth and described in 3 detail in the Proposal attached hereto as Exhibit "A." Hampton Tedder 4 will not furnish and install control. wiring. In the event of a 5 conflict between the Proposal and this Contract, the terms of this 6 Contract shall prevail. 7 2. Time of Performance. 8 Hampton Tedder's performance as identified herein shall 9 commence upon the full execution of this Contract and is expected to 10 be completed no later than four (4) months from the issuance of the 11 City's Purchase Order. If the Capacitor Bank Project is not completed 12 within this time period, the City shall have the option of canceling 13 this Contract in order to proceed with the purchase and installation 14 of the equipment and services from another vendor. The Contract 15 completion date may also be extended, at the City's sole discretion, 16 for an additional thirty (30) days, or such other time as the parties 17 may agree in order to complete the work specified herein. 18 3. Testing. 19 Hampton Tedder shall begin testing the Capacitor Bank 20 Project promptly after the equipment: has been installed. City's .21 acceptance of the Capacitor Bank Project shall be contingent upon the 22 City's verification of the test results. In the event that the test 23 results reveal that the Capacitor Bank Project does not meet the 24 City's preliminary specifications or the City identifies any damage to 25 the equipment, the City shall have the option of rejecting the entire 26 project, rejecting only the damaged equipment or accepting the entire 27 project. Hampton Tedder shall be responsible for all costs that may 28 be incurred in connection with the rejection and/or replacement of - 3 - I damaged equipment. 2 4. Price. 3 The total amount to be paid to Hampton Tedder for the 4 equipment and services performed under the Proposal shall not exceed 5 the sum of Three Hundred Thirteen Thousand Five Hundred Thirty Dollars 6 and No Cents ($313,530.00), plus taxes, as described in more detail in 7 the summary attached hereto as Exhibit "B" and made a part hereof. 8 5. Payment Terms. 9 City agrees to pay Hampton Tedder progress payments upon the 10 receipt of invoices following the occurrence of certain activities and 11 City's acceptance as follows: 12 A. Forty -Nine Thousand Two Hundred Fifty Dollars and 13 No Cents ($49,250.00) after receipt of purchase order for engineering 14 and design services for the Capacitor Bank Project; 15 B. One Hundred Eight -Four Thousand Six Hundred 16 Dollars and No Cents ($184,600.00) plus tax upon delivery of the 17 capacitors and acceptance by City; 18 C. Twenty -Four Thousand Eight Hundred Ninety Dollars 19 and No Cents ($24,890.00) after construction of pads and conduits; and 20 D. Fifty -Four Thousand Seven Hundred Ninety Dollars 21 and No Cents ($54,790.00) for labor and cable payable in two payments 22 as follows: (i) fifty percent (50%) upon job completion and (ii) fifty 23 percent (50%) due upon acceptance by City. 24 The City agrees to pay Hampton Tedder within thirty (30) 25 days after City's receipt, testing and acceptance of the Capacitor 26 Bank Project tasks and the City's receipt of an invoice from Hampton 27 Tedder. 28 ►,i 1 6. Change and Extra Services. 2 City reserves the right to request changes in the equipment 3 design, delivery dates, or additions to or deletions from the 4 equipment purchased from Hampton Tedder. All such changes shall,be 5 incorporated in written change orders executed by City and Hampton 6 Tedder and shall specify the changes ordered and the adjustment of 7 prices, delivery schedules and warranties. Any equipment or services 8 added under this section shall be executed under all applicable 9 conditions of this Contract. No claim for additional compensation or 10 extension of time shall be recognized unless contained in a duly 11 executed change order. 12 7. Cancellation/Default. 13 In the event that Hampton Tedder commits a breach of a 14 material condition of this Contract, City shall notify Hampton Tedder 15 in writing of said breach and if Hampton Tedder has not cured or begun 16 reasonable efforts to cure after fifteen (15) days of receipt of said 17 notice, and fails to diligently pursue corrective action, City shall 18 have the right to cancel this Contract for cause based on Hampton 19 Tedder's default. Hampton Tedder shall be responsible for any direct 20 costs due to City's re -procurement of the equivalent of the equipment 21 or services cancelled from Hampton Tedder. 22 8. PRODUCTS OF PROFESSIONAL SERVICES. 23 All documents, plans, designs, drawings, data, databases, 24 studies, surveys, maps, models, photographs and reports prepared by 25 Hampton Tedder under this Contract shall be considered the property of 26 City. Such documents and materials shall be delivered to City by 27 Hampton Tedder as they are generated; however, Hampton Tedder may take 28 and retain copies of such documents and materials as desired. - 5 - 1 9. Confidential Information. 2 A. Access to Confidential Information. City may 3 provide Hampton Tedder and/or its subcontractor with, or allow Hampton 4 Tedder access to, certain information not available to the public 5 concerning City, or businesses located in City. The information may 6 include company information, taxes, sales, value of assets, or other 7 such information. All such information shall be known as "Confidential 8 Information" and may not be used to circumvent the responsibility of 9 either party to this Contract. 10 B. No Disclosure. Except as expressly permitted, 11 Hampton Tedder and/or its subcontractor shall not disclose, permit the 12 disclosure of, release, disseminate, or transfer, whether orally or by 13 any other means, any part of such Confidential Information to any 14 other person or entity, whether corporate, governmental, or 15 individual, without the express prior written consent of an authorized 16 representative of City. Hampton Tedder and/or its subcontractor shall 17 return any written Confidential Information and all copies made of 18 such items to City upon City's written request, but in any event not 19 later than the date that Hampton Tedder has performed all services to 20 be performed pursuant to this Contract. Hampton Tedder hereby agrees 21 that such Confidential Information and any documents provided may be 22 used by Hampton Tedder and/or its subcontractor only as authorized by 23 the City. Hampton Tedder shall include a contract provision in its 24 contract with subcontractors that binds the subcontractors to this 25 non -disclosure requirement. Hampton Tedder shall take reasonable 26 measures to avoid any disclosure of any such Confidential Information 27 to any unauthorized person. 28 C. Court Ordered Disclosure. Hampton Tedder shall - 6 - I immediately notify City of any court order or subpoena requiring 2 disclosure of Confidential Information, and shall cooperate with 3 City's legal counsel in responding to any such order or subpoena. 4 Hampton Tedder may only disclose Confidential Information required to 5 be disclosed pursuant to court order or subpoena after legal counsel 6 has exhausted any lawful and timely appeal or challenge. 7 D. Remedies. In addition to any other remedies that 8 it may have at law or in equity, City shall be entitled to a temporary 9 and permanent injunction by a court of competent jurisdiction against 10 any breach or threatened breach of the Confidential Information 11 provisions of this Agreement. Hampton Tedder acknowledges that in 12 case of such breach or threatened breach of said provisions, City 13 would have no adequate remedy at law. 14 10. Warranties. Hampton Tedder warrants title to the 15 equipment purchased hereunder and any part thereof to be free of any 16 claim of any security interest, lien or any encumbrance. Hampton 17 Tedder also warrants that the equipment will be delivered new and 18 shall be free from defects in material and workmanship. All 19 manufacturers' lifetime warranties, any warranties typically provided 20 by Scott Engineering, and any other warranties made applicable by law 21 shall apply to the City's purchase of the equipment. Hampton Tedder 22 shall provide a one (1) year labor and material warranty to begin upon 23 City's acceptance of the Capacitor Bank Project. In addition, all 24 manufacturers' warranties, and any other warranties made applicable by 25 law, shall apply to City's purchase of the materials and labor 26 provided by Hampton Tedder. 27 11. Compliance with Laws. Hampton Tedder shall strictly 28 observe and comply with all applicable federal, state, and local laws, - 7 - I ordinances and regulations governing this sale, including but not 2 limited to any permit or license requirements of the United States 3 Department of Commerce, as well as any laws of the United States of 4 America. 5 12. Governing Law. The validity, interpretation and 6 performance of this Contract shall be controlled and construed under 7 the laws of the State of California. 8 13. Forum Selection. Any action brought relating to this 9 Contract shall be brought and held exclusively in a State Court in the 10 County of Los Angeles, California. 11 14. Notices. Notices to the parties, unless otherwise 12 requested in writing, shall be sent to: 13 City: THE CITY OF VERNON ATTN: BRUCE V. BOX 2128 MONTCLAIR, CA 91763 19 20 15. General Provisions. 21 A. Independent Contractor. At all times during the 22 term of this Contract, Hampton Tedder shall be an independent 23 contractor and shall not be an employee of the City. The City shall 24 have the right to control Hampton Tedder only insofar as the results 25 of Hampton Tedder's services rendered pursuant to this Contract; 26 however, the City shall not have the right to control the means by 27 which Hampton Tedder accomplishes services rendered pursuant to the 28 Contract except to the extent that such services involve the use of - 8 - I City property or Confidential Information. 2 B. Hampton Tedder Not Agent. Except as the City may 3 specify in writing, Hampton Tedder shall have no authority, express or 4 implied, to act on behalf of the City in any capacity whatsoever as an 5 agent. Hampton Tedder shall have no authority, expressed or implied, 6 pursuant to this Contract to bind the City to any obligation 7 whatsoever. 8 C. Indemnification. Hampton Tedder shall indemnify, 9 defend, protect and hold the City and its officers, agents and 10 employees, free and harmless from and against any and all claims, 11 demands, losses, damages, liabilities, fines, charges, penalties, 12 orders, judgments and all costs and expenses incurred in connection 13 therewith, including reasonable attorney's fees and costs of defense 14 arising out of or attributable to the negligent or wrongful acts of 15 Hampton Tedder or its subcontractors, employees or agents in the 16 performance of services under this Contract, except to the extent 17 arising from or caused by the sole negligence or willful misconduct of 18 the City, its officers, agents or employees. 19 D. Insurance. Hampton Tedder agrees to provide 20 insurance in the amounts and forms specified in Exhibit "C," which is 21 attached hereto and made a part hereof by reference. Comparable 22 coverage shall be provided for each subcontractor used in the 23 performance of this Contract. Hampton Tedder shall submit to the City 24 documentation indicating compliance with these minimum requirements no 25 less than one (1) day prior to the beginning of performance under this 26 Contract. Hampton Tedder shall not commence performance of its 27 services under this Contract until the above insurance has been 28 obtained and proof of insurance has been filed with and approved by - 9 - I the City. 2 E. Assignment and Subcontracting Prohibited. No 3 party to this Contract may assign or subcontract any right or 4 obligation pursuant to this Contract except as especially and 5 specifically provided for in the Proposal or with the express written 6 consent of the other party. Any other attempted or purported 7 assignment of any right or obligation pursuant to this Contract shall 8 be void and of no effect. 9 F. Entire Agreement. This Contract constitutes the 10 complete and final expression of the agreement of the parties and is 11 intended as a complete and exclusive statement of the terms of their 12 agreement and supersedes all prior and contemporaneous offers, 13 promises, representations, negotiations, discussions, communications 14 and agreements which may have been made in connection with the subject 15 matter hereof. All exhibits are incorporated by reference. Hampton 16 Tedder represents that in entering into this Contract it has not 17 relied on any previous representations or understandings of any kind 18 or nature. 19 G. Partial Invalidity. Wherever possible, each 20 provision hereof will be interpreted in such manner as to be effective 21 and valid under applicable law, but in case any one or more of the 22 provisions contained herein will, for any reason, be held to be 23 invalid, illegal or unenforceable in any respect, such provision will 24 be ineffective to the extent, but only to the extent of such 25 invalidity, illegality or unenforceability without invalidating the 26 remainder of such provision or provisions or any other provision 27 hereof, unless such a construction would be unreasonable or contrary 28 to the parties' intent as expressed in this Contract. - 10 - I H. Risk of Loss. Risk of loss or damage shall pass 2 to the City upon installation and acceptance by the City. 3 I. Benefit of Agreement. This Contract shall bind. 4 and benefit the parties hereto and their heirs, successors, and 5 permitted assigns. 6 J. Waiver. Any waiver at any time by either party of 7 its rights with respect to a default under this Contract, or with 8 respect to any other matters arising in connection with this Contract, 9 shall not be deemed a waiver with respect to subsequent default or 10 other matter. 11 K. Amendment. A11 changes or modifications to this 12 Contract shall be in writing stating that it is an amendment to this 13 Contract and shall be signed by both parties or their duly authorized 14 agents. This Contract shall not be modified through course of 15 dealing, usage or trade. 16 L. Force Majeure. Neither Party shall be considered 17 to be in default in any of its obligations under this Contract when a 18 failure of performance shall be due to an uncontrollable force. The 19 term "uncontrollable force" shall mean any cause beyond the control of 20 the party affected, including, but not restricted to, flood, 21 earthquake, storm, fire, lightening, epidemic, war, riot, civil 22 disturbance or disobedience, labor dispute, labor material shortage, 23 sabotage, federal, state, or municipal action, statute, ordinance, or 24 regulation, embargoes of the United States Government or any other 25 government, which by exercise of due diligence such party could not 26 reasonably have been expected to avoid and by exercise of due 27 diligence has been unable to overcome. Either party rendered unable 28 to fulfill any of its obligations under this Agreement by reason of an uncontrollable force, shall give written notice within five (5) business days of such fact to the other party and shall exercise due diligence to remove such inability with all reasonable dispatch. Other utilities have found that being able to remove the heavy (100 + lbs.) capacitor cans through a rear access door is highly preferable. This eliminates the need to Fr totally remove all of the fuses and the fuse bus in order to replace a failed capacitor unit. Also, the cabinet can be made smaller if the CS roils out the end of the cabinet. However, we will provide what ever is required. 3:3. - Our galvaneal cold rolled steel is. 11 gauge. 3.4. Our standard vandal resistant doors are not flush. 3.8. Our mounting hardware is either stainless steel or HOG depending upon the application. 3.11. Our standard ground bus is 3/16" x 1 1/2" copper. 3.12 Our standard AQMD approved paint system is included. 4.1. Only certification of the following proofs will be accented: 24 X For each policy, a notarized letter from the underwriter or carrier certifying that the coverage and 25 statements in the standard certificate of insurance (attached thereto) are true and correct and that the signator is an officer authorized to so certify. 26 27 _ A copy of each policy certified by an officer of the underwriter or carrier and notarized. 28 EXHIBIT "C" SUPPORTING DOCUMENTS { c� I EQUIPMENT PURCHASE AND PROFESSIONAL SERVICES CONTRACT 2 3 THIS CONTRACT is made, entered into and executed in 4 duplicate originals, either copy of which may be considered and used 5 as the original hereof for all purposes, as of this day of 6 , 2003, in the City of Vernon, County of Los Angeles, 7 California 8 BY AND BETWEEN THE CITY OF VERNON 9 (hereinafter referred to as "City") 10 4305 Santa Fe Avenue Vernon, CA 90058 11 AND HAMPTON TEDDER ELECTRIC 12 COMPANY (hereinafter referred to as 13 "Hampton Tedder") 4571 State Street 14 Montclair, CA 91763-6129 15 RECITALS 16 17 WHEREAS, City is constructing the Malburg Generating Station 18 Combined Cycle Power Plant at 2715 E. 50th Street in the City of 19 Vernon (the "Malburg Project") for purposes of installing additional 201 generating capacity that is capable of yielding cost effective, 21 efficient and reliable electricity to meet its goals, while meeting 22 Federal, State and local environmental and siting requirements; and 23 WHEREAS, the Malburg Project team has determined that it 24 needs the services of an electrical engineering firm to provide three 25 (3) 7.2 kV capacitor banks and auxiliary equipment and the services 26 necessary to install and test the equipment in order to create the 27 room necessary to accommodate the new Malburg Project generator grid 28 positions (hereinafter collectively referred to as the "Capacitor Bank I Project"); and 2 WHEREAS, the Malburg Project team requested proposals from 3 qualified vendors to furnish the necessary labor and materials for the 4 Capacitor Bank Project; and 5 WHEREAS, Hampton Tedder prepared a proposal dated 6 September 16, 2003 (hereinafter referred to as the "Proposal") for the 7 design, equipment, installation and testing necessary for the 8 Capacitor Bank Project, a copy of which is attached hereto as Exhibit 9 "A" and made a part hereof; and 10 WHEREAS, Hampton Tedder represents that it is qualified and 11 capable of furnishing the labor, materials and expertise necessary to 12 furnish the equipment and perform the services that the City requires 13 as set forth in the Proposal and is willing to do so on the terms and 14 conditions set forth below; and 15 ..WHEREAS, the City desires to enter into an agreement with 16 Hampton Tedder to provide for the labor and materials necessary for 17 the Capacitor Bank Project. 18 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 19 FORTH HEREIN: 20 1. Scope of Services. 21 Hampton Tedder agrees to sell, design, deliver, install, 22 test and configure the necessary material and equipment and perform 23 the following services for the Capacitor Bank Project: engineering 24 and design services (equipment layout and details, conduit work, 25 incorporate vendor drawings into design, foundation design and 26 calculations, engineering support services during procurement and 27 construction, site supervision, visit and meetings); set and assemble 28 three (3) metal enclosed capacitor banks, furnish and install 750 mcm - 2 - 1 15 kV 175 mil cable and terminate to capacitor bank #1, test three (3) 2 capacitor banks to NETA standards, as set forth and described in 3 detail in the Proposal attached hereto as Exhibit "A." Hampton Tedder 4 will not furnish and install control wiring. In the event of a 5 conflict between the Proposal and this Contract, the terms of this 6 Contract shall prevail. 7 2. Time of Performance. 8 Hampton Tedder's performance as identified herein shall 9 commence upon the full execution of this Contract and is expected to 10 be completed no later than four (4) months from the issuance of the 11 City's Purchase Order. If the Capacitor Bank Project is not completed 12 within this time period, the City shall have the option of canceling 13 this Contract in order to proceed with the purchase and installation 14 of the equipment and services from another vendor. The Contract 15 completion date may also be extended, at the City's sole discretion, 16 for an additional thirty (30) days, or such other time as the parties 17 may agree in order to complete the work specified herein. 18 3. Testing. 19 Hampton Tedder shall begin testing the Capacitor Bank 20 Project promptly after the equipment has been installed. City's 21 acceptance of the Capacitor Bank Project shall be contingent upon the 22 City's verification of the test results. In the event that the test 23 results reveal that the Capacitor Bank Project does not meet the 24 City's preliminary specifications or the City identifies any damage to 25 the equipment, the City shall have the option of rejecting,the entire 26 project, rejecting only the damaged equipment or accepting the entire 27 project. Hampton Tedder shall be responsible for all costs that may 28 be incurred in connection with the rejection and/or replacement of - 3 - 1 damaged equipment. 2 4. Price. 3 The total amount to be paid to Hampton Tedder for the 4 equipment and services performed under the Proposal shall not exceed 5 the sum of Three Hundred Thirteen Thousand Five Hundred Thirty Dollars 6 and No Cents ($313,530.00), plus taxes, as described in more detail in 7 the summary attached hereto as Exhibit "B" and made a part hereof. 8 5. Payment Terms. 9 City agrees to pay Hampton Tedder progress payments upon the 10 receipt of invoices following the occurrence of certain activities and 11 City's acceptance as follows: 12 A. Forty -Nine Thousand Two Hundred Fifty Dollars and 13 No Cents ($49,250.00) after receipt of purchase order for engineering 14 and desi4n services for the Capacitor Bank Project; 15 B. One Hundred Eight -Four Thousand Six Hundred 16 Dollars and No Cents ($184,600.00) plus tax upon delivery of the 17 capacitors and acceptance by City; 18 C. Twenty -Four Thousand Eight Hundred Ninety Dollars 19 and No Cents ($24,890.00) after construction of pads and conduits; and 20 D. Fifty -Four Thousand Seven Hundred Ninety Dollars 21 and No Cents ($54,790.00) for labor and cable payable in two payments 22 as follows: (i) fifty percent (50%) upon job completion and (ii) fifty 23 percent (50%) due upon acceptance by City. 24 The City agrees to pay Hampton Tedder within thirty (30) 25 days after City's receipt, testing and acceptance of the Capacitor 26 Bank Project tasks and the City's receipt of an invoice from Hampton 27 Tedder. 28 - 4 - 1 6. Change and Extra Services. 2 City reserves the right to request changes in the equipment 3 design, delivery dates, or additions to or deletions from the 4 equipment purchased from Hampton Tedder. All such changes shall.be 5 incorporated in written change orders executed by City and Hampton 6 Tedder and shall specify the changes ordered and the adjustment of 7 prices, delivery schedules and warranties. Any equipment or services 8 added under this section shall be executed under all applicable 9 conditions of this Contract. No claim for additional compensation or 10 extension of time shall be recognized unless contained in a duly 11 executed change order. 12 .7. Cancellation/Default. 13 In_the event that Hampton Tedder commits a breach of a 14 material'condition of this Contract, City shall notify Hampton Tedder 15 in writing of said breach and if Hampton Tedder has not cured or begun 16 reasonable efforts to cure after fifteen (15) days of receipt of said 17 notice, and fails to diligently pursue corrective action, City shall 18 have the right to cancel this Contract for cause based on Hampton 19 Tedder's default. Hampton Tedder shall be responsible for any direct 20 costs due to City's re -procurement of the equivalent of the equipment 21 or services cancelled from Hampton Tedder. 22 8. PRODUCTS OF PROFESSIONAL SERVICES. 23 All documents, plans, designs, drawings, data, databases, 24 studies, surveys, maps, models, photographs and reports prepared by 25 Hampton Tedder under this Contract shall be considered the property of 26 City. Such documents and materials shall be delivered to City by 27 Hampton Tedder as they are generated; however, Hampton Tedder may take 28 and retain copies of such documents and materials as desired. - 5 - 1 9. Confidential Information. 2 A. Access to Confidential Information. City may 3 provide Hampton Tedder and/or its subcontractor with, or allow Hampton 4 Tedder access to, certain information not available to the public 5 concerning City, or businesses located in City. The information may 6 include company information, taxes, sales, value of assets, or other 7 such information. All such information shall be known as "Confidential 8 Information" and may not be used to circumvent the responsibility of 9 either party to this Contract. 10 B. No Disclosure. Except as expressly permitted, 11 Hampton Tedder and/or its subcontractor shall not disclose, permit the 12 disclosure -of, release, disseminate, or transfer, whether orally or by 13 any other means, any part of such Confidential Information to any 14 other person or entity, whether corporate, governmental, or 15 individual, without the express prior written consent of an authorized 16 representative of City. Hampton Tedder and/or its subcontractor shall 17 return any written Confidential Information and all copies made of 18 such items to City upon City's written request, but in any event not 19 later than the date that Hampton Tedder has performed all services to 20 be performed pursuant to this Contract. Hampton Tedder hereby agrees 21 that such Confidential Information and any documents provided may be 22 used by Hampton Tedder and/or its subcontractor only as authorized by 23 the City. Hampton Tedder shall include a contract provision in its 24 contract with subcontractors that binds the subcontractors to this 25 non -disclosure requirement. Hampton Tedder shall take reasonable 26 measures to avoid any disclosure of any such Confidential Information 27 to any unauthorized person. 28 C. Court Ordered Disclosure. Hampton Tedder shall - 6 - 4 I immediately notify City of any court order or subpoena requiring 2 disclosure of Confidential Information, and shall cooperate with 3 City's legal counsel in responding to any such order or subpoena. 4 Hampton Tedder may only disclose Confidential Information required to 5 be disclosed pursuant to court order or subpoena after legal counsel 6 has exhausted any lawful and timely appeal or challenge. 7 D. Remedies. In addition to any other remedies that 8 it may have at law or in equity, City shall be entitled to a temporary 9 and permanent injunction by a court of competent jurisdiction against 10 any breach or threatened breach of the Confidential Information 11 provisions of this Agreement. Hampton Tedder acknowledges that in 12 case of such breach or threatened breach of said provisions, City 13 would have no adequate remedy at law. 14 10. Warranties. Hampton Tedder warrants title to the 15 equipment purchased hereunder and any part thereof to be free of any 16 claim of -any security interest, lien or any encumbrance. Hampton 17 Tedder also warrants that the equipment will be delivered new and 18 shall be free from defects in material and workmanship. All 19 manufacturers' lifetime warranties, any warranties typically provided 20 by Scott Engineering, and any other warranties made applicable by law 21 shall apply to the City's purchase of the equipment. Hampton Tedder 22 shall provide a one (1) year labor and material warranty to begin upon 23 City's acceptance of the Capacitor Bank Project. In addition, all 24 manufacturers' warranties, and any other warranties made applicable by 25 law, shall apply to City's purchase of the materials and labor 26 provided by Hampton Tedder. 27 11. Compliance with Laws. Hampton Tedder shall strictly" 28 observe and comply with all applicable federal, state, and local laws, - 7 - ordinances and regulations governing this sale, including but not limited to any permit or license requirements of the United States Department of Commerce, as well as any laws of the United States of America. 12. Governing Law. The validity, interpretation and performance of this Contract shall be controlled and construed under the laws of the State of California. 13. Forum Selection. Any action brought relating to this Contract shall be brought and held exclusively in a State Courtin the County of Los Angeles, California. 14. Notices. General Provisions. A. Independent Contractor. At all times during the term of this Contract, Hampton Tedder shall be an independent contractor and shall not be an employee of the City. The City shall have the right to control Hampton Tedder only insofar as the results of Hampton Tedder's services rendered pursuant to this Contract; however, the City shall not have the right to control the means by which Hampton Tedder accomplishes services rendered pursuant to the Contract except to the extent that such services involve the use of - 8 - I City property or Confidential Information. 2 B. Hampton Tedder Not Agent. Except as the City may 3 specify in writing, Hampton Tedder shall have no authority, express or 4 implied, to act on behalf of the City in any capacity whatsoever as an 5 agent. Hampton Tedder shall have no authority, expressed or implied, 6 pursuant to this Contract to bind the City to any obligation 7 whatsoever. 8 C. Indemnification. Hampton Tedder shall indemnify, 9 defend, protect and hold the City and its officers, agents and 10 employees, free and harmless from and against any and all claims, 11 demands, losses, damages, liabilities, fines, charges, penalties, 12 orders, judgments and all costs and expenses incurred in connection 13 therewith, including reasonable attorney's fees and costs of defense 14 arising but of or attributable to the negligent or wrongful acts of 15 Hampton Tedder or its subcontractors, employees or agents in the 16 performance of services under this Contract, except to the extent 17 arising from or caused by the sole negligence or willful misconduct of 18 the City, its officers, agents or employees. 19 D. Insurance. Hampton Tedder agrees to provide 20 insurance in the amounts and forms specified in Exhibit "C," which is 21 attached hereto and made a part hereof by reference. Comparable 22 coverage shall be provided for each subcontractor used in the 23 performance of this Contract. Hampton Tedder shall submit to the City 24 documentation indicating compliance with these minimum requirements no 25 less than one (1) day prior to the beginning of performance under this 26 Contract. Hampton Tedder shall not commence performance of its 27 services under this Contract until the above insurance has been 28 obtained and proof of insurance has been filed with and approved by - 9 - I the City. 2 E. Assignment and Subcontracting Prohibited. No 3 party to this Contract may assign or subcontract any right or 4 obligation pursuant to this Contract except as especially and 5 specifically provided for in the Proposal or with the express written 6 consent of the other party. Any other attempted or purported 7 assignment of any right or obligation pursuant to this Contract shall 8 be void and of no effect. 9 F. Entire Agreement. This Contract constitutes the 10 complete and final expression of the agreement of the parties and is 11 intended as a complete and exclusive statement of the terms of their 12 agreement.and supersedes all prior and contemporaneous offers, 13 promises, representations, negotiations, discussions, communications 14 and agreements which may have been made in connection with the subject 15 matter hereof. All exhibits are incorporated by reference. Hampton 16 Tedder represents that in entering into this Contract it has not 17 relied on any previous representations or understandings of any kind 18 or nature. 19 G. Partial Invalidity. Wherever possible, each 20 provision hereof will be interpreted in such manner as to be effective 21 and valid under applicable law, but in case any one or more of the 22 provisions contained herein will, for any reason, be held to be 23 invalid, illegal or unenforceable in any respect, such provision will 24 be ineffective to the extent, but only to the extent of such 25 invalidity, illegality or unenforceability without invalidating the 26 remainder of such provision or provisions or any other provision 27 hereof, unless such a construction would be unreasonable or contrary 28 to the parties' intent as expressed in this Contract. - 10 - I H. Risk of Loss. Risk of loss or damage shall pass 2 to the City upon installation and acceptance by the City. 3 I. Benefit of Agreement. This Contract shall bind 4 and benefit the parties hereto and their heirs, successors, and 5 permitted assigns. 6 J. Waiver. Any waiver at any time by either party of 7 its rights with respect to a default under this Contract, or with 8 respect to any other matters arising in connection with this Contract, 9 shall not be deemed a waiver with respect to subsequent default or 10 other matter. 11 K. Amendment. All changes or modifications to this 12 Contract shall be in writing stating that it is an amendment to this 13 Contract and shall be signed by both parties or their duly authorized 14 agents. This Contract shall not be modified through course of 15 dealing,•usage or trade. 16 L. Force Majeure. Neither Party shall be considered 17 to be in default in any of its obligations under this Contract when a 18 failure of performance shall be due to an uncontrollable force.
