A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN EQUIPMENT PURCHASE AND PROFESSIONAL SERVICES
CONTRACT BY AND BETWEEN THE CITY OF VERNON AND
PALSONS ELECTRICAL ENGINEERING SERVICES, INC. FOR
THE MALBURG GENERATING STATION PROJECT
WHEREAS, the City of Vernon ("City") is constructing a 134
MW Combined Cycle Power Plant, the Malburg Generating Station (the
"Malburg Project"), for the purpose of installing additional
generating capacity that will yield an efficient, cost-effective, and
reliable source of electric generation to the City's inhabitants; and
WHEREAS, on July 16, 2003, the City Council of the City of
Vernon adopted Resolution No. 8252 with the intention of expediting the
purchase of supplies and services for the Malburg Project; and
WHEREAS, the City has determined that it needs the services
of a firm to provide seven (7) Overcurrent Digital Protection Relays
and associated switches, electronic enclosures and racks (collectively
referred to as the "Protection Panels"), and the necessary designing,
drawing, wiring, programming, testing, start-up and commissioning, and
any additional services to implement the Protection Panels for the
Malburg Project 6.6 kV Station Service Circuits and Vernon Substation 71
kV Capacitor Banks; and
WHEREAS, Palsons Electrical Engineering Services, Inc.
("Palsons") submitted proposals, that includes a description of the
proposed equipment and services necessary to implement the Protection
Panels for the Malburg Project 6.6 kV Station Service Circuits and
Vernon Substation 7 kV Capacitor Banks; and
WHEREAS, the City has determined that Palsons possesses the

technical knowledge and expertise to furnish the Protection Panels and
perform the services required by the City for the Malburg Project 6.6
kV Station Service Circuits and Vernon Substation 7 kV Capacitor Banks;
and
WHEREAS, on January 27, 2004, the Finance Committee
considered the recommendation of Bruce V. Malkenhorst, Director of
Finance, dated January 8, 2004, to purchase the Protection Panels and
services from Palsons for the 6.6 kV Station Service Circuits and
Vernon Substation 7 kV Capacitor Banks to facilitate the construction
and operation of the Malburg Project; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into a contract with Palsons setting forth the terms
and conditions for the performance of the Protection Panel services
during construction of the Malburg Project to enhance services provided
to the Vernon community.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Equipment Purchase and Professional Services Contract
with Palsons Electrical Engineering Services, Inc., a copy of which is
attached hereto as Exhibit "A" and made a part hereof.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Contract for,

and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Contract to:

SECTION 5: The City Clerk of the City of Vernon shall

pole AVO test switches for voltage/current inputs, four (4) 10 pole
AVO test switches for status inputs and control functions and one (1)
Hoffman indoor electronic enclosure with an additional 19" rack and

WHEREAS, Palsons prepared a proposal, a copy of which is
attached hereto as Exhibit "A" and made a part hereof, for the 6.6 kV
Station Service Circuits; and
WHEREAS, the Malburg Project team has determined that it
needs the services of an electrical engineering firm to provide three
(3) SEL351-7 Overcurrent Digital Protective Relays, three (3) 14 pole
and three (3) 10 pole test switches for voltage/current inputs and
control functions, one (1) indoor electronic enclosure with an
additional 19" rack and the services necessary to design, wire,
program, test and assist in start-up and commissioning, complete
documentation and as built drawings and any additional services
required for the Malburg Project Vernon Substation 7 kV Capacitor
Banks; and
WHEREAS, Palsons prepared a proposal, a copy of which is
attached hereto as Exhibit "B" and made a part hereof, for the Vernon
Substation 7 kV Capacitor Banks; and
WHEREAS, for clarification purposes, all of the equipment
described in the attached Exhibits "A" and "B" shall hereafter be
collectively referred to as the "Protection Panels;" and
WHEREAS, Palsons represents that it is qualified and capable
of furnishing the labor, materials and expertise necessary to furnish
the Protection Panels and perform the services that the City requires,
as set forth in Exhibits "A" and "B" and is willing to do so on the
terms and conditions set forth below; and

WHEREAS, the City desires to enter into an agreement with
Palsons to provide for the labor and materials necessary for the
Protection Panels.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
1. Scope of Services.
Palsons agrees to sell, design, deliver, install, wire,
program, test and assist in start-up and commissioning of the
Protection Panels. Palsons also agrees to provide complete
documentation, as built drawings, any additional services and the
necessary material and equipment to perform the services for the
Protection Panels, as set forth and described in detail in the
proposals attached hereto as Exhibits"A" and "B." In the event of a
conflict between either proposal and this Contract, the terms of this
Contract shall prevail.
2. Time of Performance.
The performance of Palsons' services, as identified herein,
shall commence upon the full execution of this Contract and is
expected to be completed no later than six (6) weeks from the issuance
of the City's Purchase Order. If Palson's services are not completed
within this time period, the City shall have the option of canceling
this Contract in order to proceed with the purchase and installation
of the equipment and services from another vendor. The anticipated
completion date of Palsons' services may also be extended, at the
City's sole discretion, for an additional thirty (30) days, or such
other time as the parties may agree in order to complete the services
specified in the proposals.

l 3. Testing.
2 Palsons shall begin testing the Protection Panels promptly
3 after the equipment has been installed. City's acceptance of the
4 Protection Panels shall be contingent upon the City's verification of
51 the test results. In the event that the test results reveal that the
6 Protection Panels do not meet the City's preliminary specifications or
7 the City identifies any damage to the equipment, the City shall have
8 the option of rejecting the entire project, rejecting only the damaged
9 equipment or accepting the entire project. Palsons shall be
10 responsible for all costs that may be incurred in connection with the
11 rejection and/or replacement of damaged equipment.
12 4. Price.
13 Palsons agrees to perform the work described in its 6.6 kV
14 Station Service Circuits proposal for a sum not exceed Forty -Three
15 Thousand Six Hundred Forty -Nine Dollars and Twenty -One Cents
16 ($43,649.21) plus tax and shipping charges. Palsons agrees to perform
17 the work described in its Vernon Substation 7 kV Capacitor Banks
18 proposal for a sum not exceed Forty -One Thousand Eight Hundred Ninety-
19 Five Dollars and Sixty -Seven Cents ($41,895.67) plus tax and shipping
20 charges. The total cost of work under this Contract shall not exceed
21 Eighty -Five Thousand Five Hundred Forty -Four Dollars and Eighty -Eight
22 Cents ($85,544.88) plus tax and shipping charges.
23 5. Payment Terms.
24 City agrees to pay Palsons fifty percent (500) of the total
25 purchase price upon issuance of a purchase order and the remaining
26 fifty percent (500) of the contract price within thirty (30) days
27 after City's receipt, testing and acceptance of the Protection Panels
28 and the City's receipt of an invoice from Palsons.

6. Change and Extra Services.
City reserves the right to request changes in the equipment
design, delivery dates, or additions to or deletions from the
equipment purchased from Palsons. All such changes shall be
incorporated in written change orders executed by City and Palsons and
shall specify the changes ordered and the adjustment of prices,
delivery schedules and warranties. Any equipment or services added
under this section shall be executed under all applicable conditions
of this Contract. No claim for additional compensation or extension
of time shall be recognized unless contained in a duly executed change
order.
7. Cancellation/Default.
In the event that Palsons commits a breach of a material
condition of this Contract, City shall notify Palsons in writing of
said breach and if Palsons has not cured or begun reasonable efforts
to cure after fifteen (15) days of receipt of said notice, and fails
to diligently pursue corrective action, City shall have the right to
cancel this Contract for cause based on Palsons' default. Palsons
shall be responsible for any direct costs due to City's re -procurement
of the equivalent of the equipment or services cancelled from Palsons.
8. Products of Professional Services.
1. All plans, drawings, documents and other writings
prepared by and for Palsons, its officers, employees, agents and
subcontractors in the course of performing the services under this
Contract, except working notes and internal documents, shall become
the property of the City upon payment to Palsons for such work, and
the City shall have the sole right to use such materials in its
discretion without further compensation to Palsons or to any other

party. Palsons shall, at Palsons' expense, provide such plans,
drawings, documents and other writings to City upon written request.
All drawings shall be in Autocad 2000 or higher. All design documents
shall be in Microsoft Word format.
2. Drawings produced by Palsons shall conform to the
best standards of that profession. Information shall be organized in
a logical and systematic manner. Drawings shall contain as much
information on a single drawing as can be done without impairing
clarity and quality.
3. City has relied upon the professional training and
ability of Palsons to perform the services hereunder as a material
inducement to enter into this Contract. Palsons shall therefore
provide properly skilled professional and technical personnel to
perform all services under this Contract. All work performed by
Palsons under this Contract shall be in accordance with applicable
legal requirements and shall meet the standard of quality ordinarily
to be expected of competent professionals in Palsons' field of
expertise.
4. Palsons shall minimize changes to its key project
personnel. The City shall have the right to request key project
personnel changes and to review and approve key project personnel
changes proposed by the Palsons..
9 Confidential Tnfnrmatinn
A. Access to Confidential Information. City may
provide Palsons and/or its subcontractors with, or allow Palsons
access to, certain information not available to the public concerning
City, or businesses located in City. The information may include
company information, taxes, sales, value of assets, or other such

I information. All such information shall be known as "Confidential
2 Information" and may not be used to circumvent the responsibility of
3 either party to this Contract.
4 B. No Disclosure. Except as expressly permitted,
5 Palsons and/or its subcontractors shall not disclose, permit the
6 disclosure of, release, disseminate, or transfer, whether orally or by
7 any other means, any part of such Confidential Information to any
8 other person or entity, whether corporate, governmental, or
9 individual, without the express prior written consent of an authorized
10 representative of City. Palsons and/or its subcontractors shall return
11 any written Confidential Information and all copies madQ of such items
12 to City upon City's written request, but in any event not later than
13 the date that Palsons has performed all services to be performed
14 pursuant to this Contract. Palsons hereby agrees that such
15 Confidential Information and any documents provided may be used by
16 Palsons and/or its subcontractors only as authorized by the City.
17 Palsons shall include a contract provision in its contract with
18 subcontractors that binds the subcontractors to this non -disclosure
19 requirement. Palsons shall take reasonable measures to avoid any
20 disclosure of any such Confidential Information to any unauthorized
21 person.
22 C. Court Ordered Disclosure. Palsons shall
23 immediately notify City of any court order or subpoena requiring
24 disclosure of Confidential Information, and shall cooperate with
25 City's legal counsel in responding to any such order or subpoena.
26 Palsons may only disclose Confidential Information required to be
27 disclosed pursuant to court order or subpoena after legal counsel has
28 exhausted any lawful and timely appeal or challenge.

1 D. Remedies. In addition to any other remedies that
2 it may have at law or in equity, City shall be entitled to a temporary
3 and permanent injunction by a court of competent jurisdiction against
4 any breach or threatened breach of the Confidential Information
5 provisions of this Agreement. Palsons acknowledges that in case of
6 such breach or threatened breach of said provisions, City would have
7 no adequate remedy at law.
8 10. Warranties. Palsons warrants title to the equipment
9 purchased hereunder and any part thereof to be free of any claim of
10 any security interest, lien or any encumbrance. Palsons also warrants
11 that the equipment will be delivered new and shall be free from
12 defects in material and workmanship. Palsons shall provide a one (1)
13 year material and labor warranty to begin upon City's acceptance of
14 the Protection Panels. In addition, all manufacturers' warranties,
15 any warranties typically provided by Palsons, and any other warranties
16 made applicable by law shall apply to the City's purchase of the
17 materials and labor provided by Palsons.
18 11. Compliance with Laws. Palsons shall strictly observe
19 and comply with all applicable federal, state, and local laws,
20 ordinances and regulations governing this sale, including but not
21 limited to any permit or license requirements of the United States
22 Department of Commerce, as well as any laws of the United States of
23 America.
24 12. Governing Law. The validity, interpretation and
25 performance of this Contract shall be controlled and construed under
26 the laws of the State of California.
27 13. Forum Selection. Any action brought relating to this
28 Contract shall be brought and held exclusively in a State Court in the

2 14. Notices. Notices to the parties, unless otherwise
3 requested in writing, shall be sent to:

11 16. General Provisions.
12 A. Independent Contractor. At all times during the
13 term of this Contract, Palsons shall be an independent contractor and
14 shall not be an employee of the City. The City shall have the right
15 to control Palsons only insofar as the results of Palsons' services
16 rendered pursuant to this Contract; however, the City shall not have
17 the right to control the means by which Palsons accomplishes services
18 rendered pursuant to the Contract except to the extent that such
19 services involve the use of City property or Confidential Information.
20 B. Palsons Not Agent. Except as the City may specify
21 in writing, Palsons shall have no authority, express or implied, to
22 act on behalf of the City in any capacity whatsoever as an agent.
23 Palsons shall have no authority, expressed or implied, pursuant to
24 this Contract to bind the City to any obligation whatsoever.
25 C. Indemnification. Palsons shall indemnify, defend,
26 protect and hold the City and its officers, agents and employees, free
27 and harmless from and against any and all claims, demands, losses,
28 damages, liabilities, fines, charges, penalties, orders, judgments and

I all costs and expenses incurred in connection therewith, including
2 reasonable attorney's fees and costs of defense arising out of or
3 attributable to the negligent or wrongful acts of Palsons or its
4 subcontractors, employees or agents in the performance of services
5 under this Contract, except to the extent arising from or caused by
6 the sole negligence or willful misconduct of the City, its officers,
7 agents or employees.
8 D. Insurance. Palsons agrees to provide insurance in
9 the amounts and forms specified in Exhibit "C," which is attached
10 hereto and made a part hereof by reference. Comparable coverage shall
11 be provided for each subcontractor used in the performance of this
12 Contract. Palsons shall submit to the City documentation indicating
13 compliance with these minimum requirements no less than one (1) day
14 prior to the beginning of performance under this Contract. Palsons
15 shall not commence performance of its services under this Contract
16 until the above insurance has been obtained and proof of insurance has
17 been filed with and approved by the City.
18 E. Assignment and Subcontracting Prohibited. No party
19 to this Contract may assign or subcontract any right or obligation
20 pursuant to this Contract, except as especially and specifically
21 provided for in the Proposal or with the express written consent of
22 the other party. Any other attempted or purported assignment of any
23 right or obligation pursuant to this Contract shall be void and of no
24 effect.
25 F. Entire Agreement. This Contract constitutes the
26 complete and final expression of the agreement of the parties and is
27 intended as a complete and exclusive statement of the terms of their
28 agreement and supersedes all prior and contemporaneous offers,

1 promises, representations, negotiations, discussions, communications
2 and agreements which may have been made in connection with the
3 subject matter hereof. All exhibits are incorporated by reference.
4 Palsons represents that in entering into this Contract it has not
5 relied on any previous representations or understandings of any kind
6 or nature.
7 G. Partial Invalidity. Wherever possible, each
8 provision hereof will be interpreted in such manner as to be effective
9 and valid under applicable law, but in case any one or more of the
10 provisions contained herein will, for any reason, be held to be
11 invalid, illegal or unenforceable in any respect, such provision will
12 be ineffective to the extent, but only to the extent of such
13 invalidity, illegality or unenforceability without invalidating the
14 remainder of such provision or provisions or any other provision
15 hereof, unless such a construction would be unreasonable or contrary
16 to the parties' intent as expressed in this Contract.
17 H. Time of the Essence. Time is of the essence in
18 the performance of this Contract and of each and every provision
19 hereof.
20 I. Risk of Loss. Risk of loss or damage shall pass
21 to the City upon installation and acceptance by the City.
22 J. Benefit of Agreement. This Contract shall bind
23 and benefit the parties hereto and their heirs, successors, and
24 permitted assigns.
25 K. Waiver. The waiver by the City of any breach or
26 breaches hereof shall not be deemed, nor shall the same constitute, a
27 waiver of any subsequent breach or breaches. Any waiver at any time
28 by either party of its rights with respect to a default under this
I Contract, or with respect to any other matters arising in connection
2 with this Contract, shall not be deemed a waiver with respect to
3 subsequent default or other matter.
4 L. Amendment. All changes or modifications to this
5 Contract shall be in writing stating that it is an amendment to this
6 Contract and shall be signed by both parties or their duly authorized
7 agents. This Contract shall not be modified through course of
8 dealing, usage or trade.
9 M. Attorneys' Fees.
10 In the event that it becomes necessary for either party
11 to this Contract to enforce any of the provisions of this Contract,
12 the parties agree that a court of competent jurisdiction may determine
13 and fix reasonable attorney's fees to be paid to the successful
14 litigant.
15 N. Force Majeure. Neither Party shall be considered
16 to be in default in any of its obligations under this Contract when a
17 failure of performance shall be due town uncontrollable force. The
18 term "uncontrollable force" shall mean any cause beyond the control of
19 the party affected, including, but not restricted to, flood,
20 earthquake, storm, fire, lightening, epidemic, war, riot, civil
21 disturbance or disobedience, labor dispute, labor material shortage,
22 sabotage, federal, state, or municipal action, statute, ordinance, or
23 regulation, embargoes of the United States Government or any other
24 government, which by exercise of due diligence such party could not
25 reasonably have been expected to avoid and by exercise of due
26 diligence has been unable to overcome. Either party rendered unable
27 to fulfill any of its obligations under this Agreement by reason of an
28 uncontrollable force, shall give written notice within five (5)

business days of such fact to the other party and shall exercise due
diligence to remove such inability with all reasonable dispatch.

CITY OF VERNON MA LAERG 411 #2 and #3 6.6KV STATION SERVICE PROJECT
Objective:
The City of Vernon's new Generating station has three 6.6KV feeders that shall
be labeled as MGS Station Service #1, #2, and #3. Each feeder will require reliable, state
of the art Overcurrent protection, which will be accomplished by using one SEL351-7
digital protective relay for each feeder. All three relays will be housed in a Hoffman 2' x
2' x 7' indoor electronic enclosure. An additional SEL351-7 will also be wired and
installed in this electronic enclosure as a spare relay. This spare relay will be ready to be
put into operation in the event that any of the 3 feeder relays malfunctions. This setup
will increase feeder protection reliability, while maintaining compatibility with the
existing SEL protective relays that are being implemented throughout the City of
Vernon's electrical system.
The new 6.6KV Breaker nrotection shall consist of

Objective:
Three new capacitor banks shall be added to the Vernon Substation labeled as #1,
#2, and #3 bank. Each capacitor bank shall have comprehensive Overcurrent protection
consisting of 1 digital multifunction protective relay for each bank, all housed in one
indoor electronic enclosure.

The SEL multi -function brand of digital protective relays were selected because
of their ability to use "Mirrored Bits" technology. The Mirrored Bits feature enables a
more robust relay coordination scheme that allows fast communication between relays.
Also, these relays will be interchangeable with other relays around the City of Vernon
Substations, which will minimize any downtime.

WHEREAS, City is constructing the Malburg Generating Station
Combined Cycle Power Plant at 2715 E. 50th Street in the City of
Vernon (the "Malburg Project") for purposes of installing additional
generating capacity that is capable of yielding cost effective,
efficient and reliable electricity to meet its goals, while meeting
Federal, State and local environmental and siting requirements; and
WHEREAS, the Malburg Project team has determined that it
needs the services of an electrical engineering firm to provide four
(4) SEL351-7 Overcurrent Digital Protective Relays with four (4) 14
pole AVO test switches for voltage/current inputs, four (4) 10 pole
AVO test switches for status inputs and control functions and one (1)
Hoffman indoor electronic enclosure with an additional 19" rack and

5 WHEREAS, Palsons prepared a proposal, a copy of which is
6 attached hereto as Exhibit "A" and made a part hereof, for the 6.6 kV
7 Station Service Circuits; and
8 WHEREAS, the Malburg Project team has determined that it
9 needs the services of an electrical engineering firm to provide three
10 (3) SEL351-7 Overcurrent Digital Protective Relays, three (3) 14 pole
11 and three (3) 10 pole test switches for voltage/current inputs and
12 control functions, one (1) indoor electronic enclosure with an
13 additional 19" rack and the services necessary to design, wire,
14 program, test and assist in start-up and commissioning, complete
15 documentation and as built drawings and any additional services
16 required for the Malburg Project Vernon Substation 7 kV Capacitor
17 Banks; and
18 WHEREAS, Palsons prepared a proposal, a copy of which is
19 attached hereto as Exhibit "B" and made a part hereof, for the Vernon
20 Substation 7 kV Capacitor Banks; and
21 WHEREAS, for clarification purposes, all of the equipment
22 described in the attached Exhibits "A" and "B" shall hereafter be
23 collectively referred to as the "Protection Panels;" and
24 WHEREAS, Palsons represents that it is qualified and capable
25 of furnishing the labor, materials and expertise necessary to furnish
26 the Protection Panels and perform the services that the City requires,
27 as set forth in Exhibits "A" and "B" and is willing to do so on the
28 terms and conditions set forth below; and

WHEREAS, the City desires to enter into an agreement with
Palsons to provide for the labor and materials necessary for the
Protection Panels.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
1. Scope of Services.
Palsons agrees to sell, design, deliver, install, wire,
program, test and assist in start-up and commissioning of the
Protection Panels. Palsons also agrees to provide complete
documentation, as built drawings, any additional services and the
necessary material and equipment to perform the services for the
Protection Panels, as set forth and described in detail in the
proposals attached hereto as Exhibits "A" and "B." In the event of a
conflict between either proposal and this Contract, the terms of this
Contract shall prevail.
2. Time of Performance.
The performance of Palsons' services, as identified herein,
shall commence upon the full execution of this Contract and is
expected to be completed no later than six (6) weeks from the issuance
of the City's Purchase Order. If Palson's services are not completed
within this time period, the City shall have the option of canceling
this Contract in order to proceed with the purchase and installation
of the equipment and services from another vendor. The anticipated
completion date of Palsons' services may also be extended, at the
City's sole discretion, for an additional thirty (30) days, or such
other time as the parties may agree in order to complete the services
specified in the proposals.

1 3. Testing.
2 Palsons shall begin testing the Protection Panels promptly
3 after the equipment has been installed. City's acceptance of the
4 Protection Panels shall be contingent upon the City's verification of
5 the test results. In the event that the test results reveal that the
6 Protection Panels do not meet the City's preliminary specifications or
7 the City identifies any damage to the equipment, the City shall have
8 the option of rejecting the entire project, rejecting only the damaged
9 equipment or accepting the entire project. Palsons shall be
10 responsible for all costs that may be incurred in connection with the
11 rejection and/or replacement of damaged equipment.
12 4. Price.
13 Palsons agrees to perform the work described in its 6.6 kV
14 Station Service Circuits proposal for a sum not exceed Forty -Three
15 Thousand Six Hundred Forty -Nine Dollars and Twenty -One Cents
16 ($43,649.21) plus tax and shipping charges. Palsons agrees to perform
17 the work described in its Vernon Substation 7 kV Capacitor Banks .
18 proposal for a sum not exceed Forty -One Thousand Eight Hundred Ninety-
19 Five Dollars and Sixty -Seven Cents ($41,895.67) plus tax and shipping
20 charges. The total cost of work under this Contract shall not exceed
21 Eighty -Five Thousand Five Hundred Forty -Four Dollars and Eighty -Eight
22 Cents ($85,544.88) plus tax and shipping charges.
23 5. Payment Terms.
24 City agrees to pay Palsons fifty percent (500) of the total
25 purchase price upon issuance of a purchase order and the remaining
26 fifty percent (500) of the contract price within thirty (30) days
27 after City's receipt, testing and acceptance of the Protection Panels
28 and the City's receipt of an invoice from Palsons.

1 6. Change and Extra Services.
2 City reserves the right to request changes in the equipment
3 design, delivery dates, or additions to or deletions from the
4 equipment purchased from Palsons. All such changes shall be
5 incorporated in written change orders executed by City and Palsons and
6 shall specify the changes ordered and the adjustment of prices,
7 delivery schedules and warranties. Any equipment or services added
8 under this section shall be executed under all applicable conditions
9 of this Contract. No claim for additional compensation or extension
10 of time shall be recognized unless contained in a duly executed change
11 order.
12 7. Cancellation/Default.
13 In the event that Palsons commits a breach of a material
14 condition of this Contract, City shall notify Palsons in writing of
15 said breach and if Palsons has not cured or begun reasonable efforts
16 to cure after fifteen (15) days of receipt of said notice, and fails
17 to diligently pursue corrective action, City shall have the right to
18 cancel this Contract for cause based on Palsons' default. Palsons
19 shall be responsible for any direct costs due to City's re -procurement
20 of the equivalent of the equipment or services cancelled from Palsons.
21 8. Products of Professional Services.
22 1. All plans, drawings, documents and other writings
23 prepared by and for Palsons, its officers, employees, agents and
24 subcontractors in the course of performing the services under this
25 Contract, except working notes and internal documents, shall become
26 the property of the City upon payment to Palsons for such work, and
27 the City shall have the sole right to use such materials in its
28 discretion without further compensation to Palsons or to any other

party. Palsons shall, at Palsons' expense, provide such plans,
drawings, documents and other writings to City upon written request.
All drawings shall be in Autocad 2000 or higher. All design documents
shall be in Microsoft Word format.
2. Drawings produced by Palsons shall conform to the
best standards of that profession. Information shall be organized in
a logical and systematic manner. Drawings shall contain as much
information on a single drawing as can be done without impairing
clarity and quality.
3. City has relied upon the professional training and
ability of Palsons to perform the services hereunder as a material
inducement to enter into this Contract. Palsons shall therefore
provide properly skilled professional and technical personnel to
perform all services under this Contract. All work performed by
Palsons under this Contract shall be in accordance with applicable
legal requirements and shall meet the standard of quality ordinarily
to be expected of competent professionals in Palsons' field of
expertise.
4. Palsons shall minimize changes to its key project
personnel. The City shall have the right to request key project
personnel changes and to review and approve key project personnel
changes proposed by the Palsons..
9. Confidential Information.
A. Access to Confidential Information. City may
provide Palsons and/or its subcontractors with, or allow Palsons
access to, certain information not available to the public concerning
City, or businesses located in City. The information may include
company information, taxes, sales, value of assets, or other such

I information. All such information shall be known as "Confidential
2 Information" and may not be used to circumvent the responsibility of
3 either party to this Contract.
4 B. No Disclosure. Except as expressly permitted,
5 Palsons and/or its subcontractors shall not disclose, permit the
6 disclosure of, release, disseminate, or transfer, whether orally or by
7 any other means, any part of such Confidential Information to any
8 other person or entity, whether corporate, governmental, or
9 individual, without the express prior written consent of an authorized
10 representative of City. Palsons and/or its subcontractors shall return
11 any written Confidential Information and all copies made of such items
12 to City upon City's written request, but in any event not later than
13 the date that Palsons has performed all services to be performed
14 pursuant to this Contract. Palsons hereby agrees that such
15 Confidential Information and any documents provided may be used by
16 Palsons and/or its subcontractors only as authorized by the City.
17 Palsons shall include a contract provision in its contract with
18 subcontractors that binds the subcontractors to this non -disclosure
19 requirement. Palsons shall take reasonable measures to avoid any
20 disclosure of any such Confidential Information to any unauthorized
21 person.
22 C. Court Ordered Disclosure. Palsons shall
23 immediately notify City of any court order or subpoena requiring
24 disclosure of Confidential Information, and shall cooperate with
25 City's legal counsel in responding to any such order or subpoena.
26 Palsons may only disclose Confidential Information required to be
27 disclosed pursuant to court order or subpoena after legal counsel has
28 exhausted any lawful and timely appeal or challenge.

D. Remedies. In addition to any other remedies that
it may have at law or in equity, City shall be entitled to a temporary
and permanent injunction by a court of competent jurisdiction against
any breach or threatened breach of the Confidential Information
provisions of this Agreement. Palsons acknowledges that in case of
such breach or threatened breach of said provisions, City would have
no adequate remedy at law.
10. Warranties. Palsons warrants title to the equipment
purchased hereunder and any part thereof to be free of any claim of
any security interest, lien or any encumbrance. Palsons also warrants
that the equipment will be delivered new and shall be free from
defects in material and workmanship. Palsons shall provide a one (1)
year material and labor warranty to begin upon City's acceptance of
the Protection Panels. In addition, all manufacturers' warranties,
any warranties typically provided by Palsons, and any other warranties
made applicable by law shall apply to the City's purchase of the
materials and labor provided by Palsons.
11. Compliance with Laws. Palsons shall strictly observe
and comply with all applicable federal, state, and local laws,
ordinances and regulations governing this sale, including but not
limited to any permit or license requirements of the United States
Department of Commerce, as well as any laws of the United States of
America.
12. Governing Law. The validity, interpretation and
performance of this Contract shall be controlled and construed under
the laws of the State of California.
13. Forum Selection. Any action brought relating to this
Contract shall be brought and held exclusively in a State Court in the

14. Notices. Notices to the parties, unless otherwise

16. General Provisions.
A. Independent Contractor. At all times during the
term of this Contract, Palsons shall be an independent contractor and
shall not be an employee of the City. The City shall have the right
to control Palsons only insofar as the results of Palsons' services
rendered pursuant to this Contract; however, the City shall not have
the right to control the means by which Palsons accomplishes services
rendered pursuant to the Contract except to the extent that such
services involve the use of City property or Confidential Information.
B. Palsons Not Agent. Except as the City may specify
in writing, Palsons shall have no authority, express or implied, to
act on behalf of the City in any capacity whatsoever as an agent.
Palsons shall have no authority, expressed or implied, pursuant to
this Contract to bind the City to any obligation whatsoever.
C. Indemnification. Palsons shall indemnify, defend,
protect and hold the City and its officers, agents and employees, free
and harmless from and against any and all claims, demands, losses,
damages, liabilities, fines, charges, penalties, orders, judgments and

I all costs and expenses incurred in connection therewith, including
2 reasonable attorney's fees and costs of defense arising out of or
3 attributable to the negligent or wrongful acts of Palsons or its
4 subcontractors, employees or agents in the performance of services
5 under this Contract, except to the extent arising from or caused by
6 the sole negligence or willful misconduct of the City, its officers,
7 agents or employees.
8 D. Insurance. Palsons agrees to provide insurance in
9 the amounts and forms specified in Exhibit "C," which is attached
10 hereto and made a part hereof by reference. Comparable coverage shall
11 be provided for each subcontractor used in the performance of this
12 Contract. Palsons shall submit to the City documentation indicating
13 compliance with these minimum requirements no less than one (1) day
14 prior to the beginning of performance under this Contract. Palsons
15 shall not commence performance of its services under this Contract
16 until the above insurance has been obtained and proof of insurance has
17 been filed with and approved by the City.
18 E. Assignment and Subcontracting Prohibited. No party
19 to this Contract may assign or subcontract any right or obligation
20 pursuant to this Contract, except as especially and specifically
21 provided for in the Proposal or with the express written consent of
22 the other party. Any other attempted or purported assignment of any
23 right or obligation pursuant to this Contract shall be void and of no
24 effect.
25 F. Entire Agreement. This Contract constitutes the
26 complete and final expression of the agreement of the parties and is
27 intended as a complete and exclusive statement of the terms of their
28 agreement and supersedes all prior and contemporaneous offers,

promises, representations, negotiations, discussions, communications
and agreements which may have been made in connection with the
subject matter hereof. All exhibits are incorporated by reference.
Palsons represents that in entering into this Contract it has not
relied on any previous representations or understandings of any kind
or nature.
G. Partial Invalidity. Wherever possible, each
provision hereof will be interpreted in such manner as to be effective
and valid under applicable law, but in case any one or more of the
provisions contained herein will, for any reason, be held to be
invalid, illegal or unenforceable in any respect, such provision will
be ineffective to the extent, but only to the extent of such
invalidity,illegality or unenforceability without invalidating the
remainder of such provision or provisions or any other provision
hereof, unless such a construction would be unreasonable or contrary
to the parties' intent as expressed in this Contract.
. H. Time of the Essence. Time is of the essence in
the performance of this Contract and of each and every provision
hereof.
I. Risk of Loss. Risk of loss or damage shall pass
to the City upon installation and acceptance by the City.
J. Benefit of Agreement. This Contract shall bind
and benefit the parties hereto and their heirs, successors, and
permitted assigns.
K. Waiver. The waiver by the City of any breach or
breaches hereof shall not be deemed, nor shall the same constitute, a
waiver of any subsequent breach or breaches. Any waiver at any time
by either party of its rights with respect to a default under this
1 Contract, or with respect to any other matters arising in connection
2 with this Contract, shall not be deemed a waiver with respect to
3 subsequent default or other matter.
4 L. Amendment. All changes or modifications to this
5 Contract shall be in writing stating that it is an amendment to this
6 Contract and shall be signed by both parties or their duly authorized
7 agents. This Contract shall not be modified through course of
8 dealing, usage or trade.
9 M. Attorneys' Fees.
10 In the event that it becomes necessary for either party
11 to this Contract to enforce any of the provisions of this Contract,
12 the parties agree that a court of competent jurisdiction may determine
13 and fix reasonable attorney's fees to be paid to the successful
14 litigant.
15 N. Force Majeure. Neither Party shall be considered
16 to be in default in any of its obligations under this Contract when a
17 failure of performance shall be due to an uncontrollable force. The
18 term "uncontrollable force" shall mean any cause beyond the control of
19 the party affected, including, but not restricted to, flood,
20 earthquake, storm, fire, lightening, epidemic, war, riot, civil
21 disturbance or disobedience, labor dispute, labor material shortage,
22 sabotage, federal, state, or municipal action, statute, ordinance, or
23 regulation, embargoes of the United States Government or any other
24 government, which by exercise of due diligence such party could not
25 reasonably have been expected to avoid and by exercise of due
26 diligence has been unable to overcome. Either party rendered unable
27 to fulfill any of its obligations under this Agreement by reason of an
28 uncontrollable force, shall give written notice within five (5)

CITY OF VERNON MALBERG # I #2 and #3 6.6KV STATION SERVICE PROJECT
Objective:
The City of Vernon's new Generating station has three 6.6KV feeders that shall
be labeled as MGS Station Service # 1, #2, and #3. Each feeder will require reliable, state
of the art Overcurrent protection, which will be accomplished by using one SEL351-7
digital protective relay for each feeder. All three relays will be housed in a Hoffinan 2' x
2' x 7' indoor electronic enclosure. An additional SEL351-7 will also be wired and
installed in this electronic enclosure as a spare relay. This spare relay will be ready to be
put into operation in the event that any of the 3 feeder relays malfunctions. This setup
will increase feeder protection reliability, while maintaining compatibility with the

PROPOSAL FOR PROTECTING 3 NEW CAPACITOR BANKS #I #2 AND #3 AT
VERNON SUBSTATION
Objective:
Three new capacitor banks shall be added to the Vernon Substation labeled as #1,
#2, and #3 bank. Each capacitor bank shall have comprehensive Overcurrent protection
consisting of 1 digital multifunction protective relay for each bank, all housed in one
indoor electronic enclosure.
Each new capacitor bank protection shall consist of
a. SEL351-7 Overcurrent Protective Relay w/ Test Switches
b. Hoffman 24" x 24" x 7' indoor electronic enclosure
Test Switches:
a. One 14 pole and one 10 pole test switch for each relay's Voltage/ Current inputs
and control functions (Total of three 14 pole, and three 10 pole)
The SEL multi -function brand of digital protective relays were selected because
of their ability to use "Mirrored Bits" technology. The Mirrored Bits feature enables a
more robust relay coordination scheme that allows fast communication between relays.
Also, these relays will be interchangeable with other relays around the City of Vernon
Substations, which will minimize any downtime.

Palsons Electrical Engineering Services will provide the following materials and Services
1. Design System
2. 3 ea. SEL351-7 Overcurrent digital protective relays
3. Three 14 pole and three 10 pole test switches for Voltage/ Current inputs and

4. 1 Hoffinan 7' x 24" x 24" indoor electronic enclosure with an additional 19" rack
5. Complete wiring and marking of all devices
6. Recommend settings for SEL 351 protective relays
7. Program settings for SEL 351 protective relays
8. Help in start up and comissioning
9. Complete documentation and as built drawings
10. Any additional services required, but have not been listed
11. Clerical

a. The general liability policy shall contain the following special endorsements which shall be noted
on or attached to the standard certificate of insurance:
1. An endorsement naming the City of Vernon, its officers, and employees as additional insureds
under the policy.
2. An endorsement providing the City of Vernon thirty (30) days notice of cancellation or
material reduction of coverage.
3. An endorsement providing coverage for all operations under this Agreement.
4. Such other endorsement as may be required by addendum hereto.
b. In addition to the standard certificate of insurance, proof of liability coverage shall be furnished
in the form checked below.
X For each policy, a notarized letter from the underwriter or carrier certifying that the coverage and
statements in the standard certificate of insurance (attached thereto) are true and correct and that
the signator is an officer authorized to so certify.
OR
A copy of each policy certified by an officer of the underwriter or carrier and notarized.
City will not accept the above proofs of insurance when certified by an insurance agent or broker.
