Resolution No. 83811 PA 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 L 4 RESOLUTION NO. 8381 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN EQUIPMENT PURCHASE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND PIONEER POWER SYSTEMS, INC., A DIVISION OF MYERS POWER PRODUCTS, INC. FOR THE MALBURG GENERATING STATION PROJECT WHEREAS, the City of Vernon ("City") is constructing a 134 MW Combined Cycle Power Plant, the Malburg Generating Station (the "Malburg Project"), for the purpose of installing additional generating capacity that will yield an efficient, cost-effective, and reliable source of electric generation to the City's inhabitants; and WHEREAS, on July 16, 2003, the City Council of the City of Vernon adopted Resolution No. 8252 with the intention of expediting the purchase of supplies and services for the Malburg Project; and WHEREAS, the City has determined that it needs to purchase one (1) 15 KV NEMA 3R metalclad switchgear, including circuit breakers (hereinafter referred to as the "Switchgear"), for the purpose of power distribution for the Malburg Project; and WHEREAS, Pioneer Power Systems, Inc., a division of Myers Power Products, Inc. ("Pioneer") submitted a proposal dated January 22, 2004, that includes a description of the proposed Switchgear; and WHEREAS, the City has determined that Pioneer possesses the technical knowledge and expertise to furnish the Switchgear to facilitate the Malburg Project; and WHEREAS, on February 10, 2004, the Finance Committee considered the recommendation of Bruce V. Malkenhorst, Director of Finance, dated February 5, 2004, to purchase the Switchgear from Pioneer to facilitate the construction and operation of the Malburg 1 Project; and 2 WHEREAS, the City Council of the City of Vernon has 3 determined that, pursuant to the provisions of subsection (a) of 4 Section 2.27 of the Vernon City Code, it is in the public interest and 5 necessity to enter into a contract with Pioneer. 6 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 7 CITY OF VERNON AS FOLLOWS: 8 SECTION 1: The City Council of the City of Vernon hereby 9 finds and determines that the recitals contained hereinabove are true 10 and correct. 11 SECTION 2: The City Council of the City of Vernon hereby 12 approves the Equipment Purchase Contract with Pioneer Power Systems, 13 Inc., a division of Myers Power Products, Inc., a copy of which is 14 attached hereto as Exhibit "A" and made a part hereof. 15 SECTION 3: The City Council of the City of Vernon hereby 16 authorizes the Mayor and the City Clerk to execute said Contract for, 17 and on behalf of, the City of Vernon. 18 SECTION 4: The City Council of the City of Vernon hereby 19 directs the City Clerk, or his designee, to send one fully executed 20 Contract to: 21 Pioneer Power Systems, Inc., a division of Myers Power Products, Inc. 22 Attn. (hereinafter referred to as "Pioneer") 19060 Dominguez Hills Drive Rancho Dominguez, CA 90220 WHEREAS, City is constructing the Malburg Generating Station Combined Cycle Power Plant at 2715 E. 50th Street in the City of Vernon (the "Malburg Project") for purposes of installing additional generating capacity that is capable of yielding cost effective, efficient and reliable electricity to meet its goals, while meeting Federal, State and local environmental and siting requirements; and WHEREAS, the Malburg Project team has determined that it needs to purchase one (1) 15KV NEMA 3R metalclad switchgear, including circuit breakers, feeders 27, 28 and 29, for the purpose of power distribution for the Malburg Project (hereinafter referred to as the "Switchgear"); and WHEREAS, Pioneer has prepared a proposal dated on or about January 22, 2004, (the "Proposal"), a copy of which is attached hereto as Exhibit "A" and incorporated herein by reference for the Switchgear; 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 251 261 27 M1 and WHEREAS, the City desires to enter into an agreement with Pioneer to provide for the purchase and delivery of the Switchgear; and WHEREAS, Pioneer represents that it is qualified and capable of providing the Switchgear described in Exhibit "A" that the City requires and is willing to do so on the terms and conditions set forth below. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. Pioneer agrees to sell and deliver the Switchgear set forth and described in detail in the Proposal. It is understood and agreed that in the event of a conflict between this Contract and the Proposal, the terms of this Contract shall prevail. 2. Time of Performance. The performance of Pioneer as identified herein shall commence upon the full execution of this Contract and shall be completed by Pioneer pursuant to the terms of the Proposal, unless otherwise terminated or extended. Delivery of the equipment is expected to be completed no later than twelve (12) weeks from the issuance of City's purchase order. Drawings for approval will be submitted no later than four (4) weeks after receipt of City's purchase order. If delivery of the Switchgear is not completed within this time period, the City shall have the option of canceling this Contract in order to proceed with the purchase of the equipment from another vendor, if one can be located. The delivery date may also be extended, at the City's sole discretion, for an additional thirty (30) days, or such other time as the parties may agree. - 2 - 1 3. Price. 2 Pioneer agrees to sell and deliver the Switchgear described 3 in the Proposal in the total amount of Four Hundred Ninety -Six Thousand 4 Two Hundred Dollars and No Cents ($496,200.00), plus sales tax. 5 4. Payment Terms. 6 The City agrees to pay Pioneer one hundred percent (100%) of 7 the total purchase price, net thirty (30) days after delivery and 8 acceptance of the Switchgear by City FOB destination and City's receipt 9 of an invoice from Pioneer. 10 5. Change and Extra Services. 11 The City reserves the right to make additions to or deletions' 12 from the equipment purchased from Pioneer. All such changes shall be 13 incorporated in written change orders executed by the City and Pioneer 14 that shall specify the changes ordered and the adjustment of prices, 15 delivery schedules and warranties. Any equipment or services added to 16 this Contract, under this section, shall be executed under all 17 applicable conditions of this Contract. No claim for additional 18 compensation or extension of time shall be recognized unless contained 19 in a duly executed change order. 20 6. Cancellation/Default. 21 In the event that Pioneer commits a breach of a material 22 condition of this Contract, City shall notify Pioneer in writing of 23 said breach and if Pioneer has not cured or begun reasonable efforts to 24 cure after fifteen (15) days of receipt of said notice, and fails to 25 diligently pursue corrective action, then City shall have the right to 26 cancel this Contract for cause based on Pioneer's default. Pioneer 27 shall be responsible for any direct costs due.to City's re -procurement 28 of the equivalent of the equipment cancelled from Pioneer. - 3 1 7. Confidential Information. 2 A. Access to Confidential Information. City may provide 3 Pioneer, and/or its subcontractors with, or allow Pioneer and/or its 41 subcontractor access to certain information not available to the public 5 concerning, but not limited to City, or businesses located in City. 6 The information may include, but is not limited to, company 7 information, taxes, sales, value of assets, utility usage, or other 8 such information.. All such information shall be known as "Confidential 9 Information" and may not be used to circumvent the responsibility of 10 either party to this Contract. 11 B. No Disclosure. Except as expressly permitted, Pioneer, 12 and/or its subcontractors, shall not disclose, permit the disclosure 13 of, release, disseminate, or transfer, whether orally or by any other 14 means, any part of such Confidential Information to any other person or 15 entity, whether corporate, governmental, or individual, without the 16 express prior written consent of an authorized representative of City. 17 Pioneer, and/or its subcontractors, shall return any written 18 Confidential Information, and all copies made of such items, to City 19 upon City's written request, but in any event not later than the date 20 that Pioneer and/or its subcontractors has performed all services to be 21 performed pursuant to this Contract. Pioneer hereby agrees that such 22 Confidential Information and any documents provided may be used by 23 Pioneer, and/or its subcontractors, only as authorized by City. 24 Pioneer shall include a contract provision in its contract with 25 subcontractors that bind the subcontractors to this non -disclosure 26 requirement. Pioneer shall take reasonable measures to avoid any 27 disclosure of any such Confidential Information to any unauthorized 28 person. 4 - 1 C. Court Ordered Disclosure. Pioneer shall immediately 2 notify City of any court order or subpoena requiring disclosure of 3 Confidential Information, and shall cooperate with City's legal counsel 4 in responding to any such order or subpoena. Pioneer may only disclose 5 Confidential Information required to be disclosed pursuant to court 6 order or subpoena after legal counsel has exhausted any lawful and 7 timely appeal or challenge. 8 D. Remedies. In addition to any other remedies that it may 9 have at law or in equity, City shall be entitled to a temporary and 10 permanent injunction by a court of competent jurisdiction against any 11 breach or threatened breach of the Confidential Information provisions 12 of this Contract. Pioneer acknowledges that in case of such breach or 13 threatened breach of said provisions, City would have no adequate 14 remedy at law. 15 8. Warranties. 16 Pioneer warrants title to the equipment purchased hereunder 17 and any part thereof to be free of any claim of any security interest, 18 lien or any encumbrance. Pioneer also warrants that the equipment will 19 be delivered new and shall be free from defects in material and 20 workmanship for a period of one (1) year from the date of installation 21 or eighteen (18) months from the date of the City's acceptance of the 22 Switchgear, whichever occurs first. All manufacturers' warranties, 23 any warranties typically provided by Pioneer and any other warranties 24 made applicable by law shall apply to the City's purchase of the 25 Switchgear. 26 9. Compliance with Laws. 27 Pioneer shall strictly observe and comply with all applicable 28 federal, state, and local laws, ordinances and regulations governing - 5 - 1 this sale, including but not limited to any permit or license 2 requirements of the United States Department of Commerce, as well as 3 any laws of the United States of America. 4 10. Governing Law. 5 The validity, interpretation and performance of this Contract 6 shall be controlled and construed under the laws of the State of 7 California. 8 11. Forum Selection. 9 Any action brought relating to this Contract shall be brought 10 and held exclusively in a state court in the County of Los Angeles, 11 California. 12 12. General Provisions. 22 A. Independent Contractor. 23 24 At all times during the term of this Contract, Pioneer shall 25 be an independent contractor and shall not be an employee of the City. 26 The City shall have the right to control Pioneer only insofar as the 27 results of Pioneer services rendered pursuant to this Contract; 28 however, the City shall not have the right to control the means by 6 - 1 which Pioneer accomplishes services rendered pursuant to the Contract 2 except to the extent that such services involve the use of City 3 property or Confidential Information. 4 B. Pioneer Not Agent. 5 Except as provided for herein or as the City may otherwise 6 specify in writing, Pioneer shall have no authority, express or 7 implied, to act on behalf of the City in any capacity whatsoever as an 8 agent. Except as provided for herein, Pioneer shall have no authority, 9 express or implied, pursuant to this Contract to bind the City to any to obligation whatsoever. 11 C. Indemnification. 12 Pioneer shall indemnify, defend, protect and hold the City 13 and its officers, agents and employees, free and harmless from and 14 against any and all claims, demands, losses, damages, liabilities, 15 fines, charges, penalties, orders, judgments and all costs and expenses 16 incurred in connection therewith, including reasonable attorney's fees 17 and costs of defense arising out of or attributable to the negligent or 18 wrongful acts of Pioneer, or its subcontractors, employees or agents in 19 the performance of services under this Contract, except to the extent 20 arising from or caused by the sole negligence or willful misconduct of 21 the City, its officers, agents or employees. 22 D. Assignment and Subcontracting Prohibited. 23 No party to this Contract may assign or subcontract any right 24 or obligation pursuant to this Contract without the express written 25 consent of the other party. Any other attempted or purported 26 assignment of any right or obligation pursuant to this Contract shall 27 be void and of no effect. 28 - 7 - 1 E. Entire Agreement. 2 This Contract constitutes the complete and final expression 3 of the agreement of the parties and is intended as a complete and 4 exclusive statement of the terms of their agreements and supersedes all 5 prior and contemporaneous offers, promises, representations, 6 negotiations, discussions, communications and agreements which may have 7 been made in connection with the subject matter hereof. All exhibits 8 are incorporated by reference. Pioneer represents that in entering 9 into this Contract, it has not relied on any previous representations 10 or understandings of any kind or nature. 11 F. Partial Invalidity. 12 Wherever possible, each provision hereof will be interpreted 13 in such manner as to be effective and valid under applicable law, but 14 in case any one or more of the provisions contained herein will, for 15 any reason, be held to be invalid, illegal or unenforceable in any 16 respect, such provision will be ineffective to the extent, but only to 17 the extent, of such invalidity, illegality or unenforceability without 18 invalidating the remainder of such invalid, illegal or unenforceable 19 provision or provisions or any other provision hereof, unless such a 20 construction would be unreasonable or contrary to the intent of the 21 parties as expressed in this Contract. 22 G. Time of the Essence. 23 Time is of the essence in the performance of this Contract 24 and of each and every provision hereof. The waiver by the City of any 25 breach or breaches hereof shall not be deemed, nor shall the same 26 constitute, a waiver of any subsequent breach or breaches. 27 H. Risk of Loss. 28 Title and risk of loss or damage shall pass to City and - 8 - 1 delivery shall be deemed to be complete upon delivery FOB destination. 2 I. Attorneys' Fees. 3 In the event that it becomes necessary for either party to 4 this Contract to enforce any of the provisions of this Contract, the 5 parties agree that a court of competent jurisdiction may determine and 6 fix reasonable attorney's fees to be paid to the successful litigant. 7 J. Benefit of Agreement. 8 This Contract shall bind and benefit the parties hereto and 9 their heirs, successors, and permitted assigns. 10 K. Force Majeure. 11 Neither party shall be considered to be in default in any of 12 its obligations under this Contract when a failure of performance shall 13 be due to an uncontrollable force. The terms "uncontrollable force" 14 shall mean any cause beyond the control of the party affected, 15 including, but not restricted to, flood, earthquake, storm, fire, 16 lightening, epidemic, war, riot, civil disturbance or disobedience, 17 labor dispute, labor material shortage, sabotage, federal, state, or 18 municipal action, statute, ordinance, or regulation, embargoes or the 19 United States Government or any other government, which by exercise of 20 due diligence such party could not reasonably have been expected to 21 avoid and by exercise to due diligence has been unable to overcome. 22 Either party rendered unable to fulfill any of its obligations under 23 this Contract by reason of an uncontrollable force, shall give written 24 notice within five (5) business days of such fact to the other party 25 and shall exercise due diligence to remove such inability with all 26 reasonable dispatch. 27 L. M. Amendment. All changes or modifications to this Contract shall be in a writing stating that it is an amendment to this Contract and shall be signed by both parties or their duly authorized agents. This Contract shall not be modified through course of dealing, usage or trade. Paragraph 11.1 calls for CTs with class C400 accuracy. The 4000/5A CTs with C400 accuracy class are doubled in width (6.5") and only one (1) set of CTs can be installed on line �� g and load side of the breaker. ST-SG-1-2004 SUBSTATION CLASS AISLELESS, WEATHERPROOF METAL CLAD SWITCHGEAR CITY OF VERNON MALBURG GENERATING STATION DEPARTMENT January 4, 2004 FOR VERNON SUBSTATION # 3 SECTION Specification ST-SG-1-2004 1.0 SCOPE This specification covers the requirements for a three-phase aisleless, single -stock, metal clad switchgear for the purpose of power distribution. This specification covers the design, manufacture, testing and delivery of drawout metal clad switchgear. The switchgear shall have a minimum design voltage of 15,000 volts, 60 Hz for operation at 7200 volts (nominal) three-phase, high resistance grounded neutral. The switchgear shall consist of horizontal drawout vacuum circuit breakers, and associated controls. Connection from the transformers to the switchgear will be through overhead or side mounted bushings. The switchgear shall be designed and constructed such that there is maximum compartmentation for reliability. All live parts shall be completely enclosed and all primary circuits shall be segregated to prevent the spread of faults to other compartments. 2.0 GENERAL The switchgear covered in this specification shall be designed, manufactured, and tested in accordance with the latest revisions of the following standards: ANSI/IEEE C37.04 through C37.011, AC High -Voltage Circuit Breakers 2. ANSI/NFPA 70, National Electric Code NEMA CC I, Electrical Power Connectors for Substations Specification ST-SG-1-2004 3.0 DEVIATION AND NON-CONFORMANCE REQUIREMENT 3.1 Omission or error in this or the manufacturer's specification of an item of material or equipment necessary for the operation and matching of the offered equipment in conjunction with the other equipment, existing and future, shall not excuse the bidder from responsibility in this matter. 3.2 Deviation from this specification or changes in the material or design must be approved by the City's Electrical Engineering Manager or his designated representative, and acknowledged by an addendum to the specification which shall be issued as a Purchase Change Order. 3.3 Units received with deviations or changes which are not approved or acknowledged by the City's Electrical Engineering Manager, or his designated representative are subject to rejection. The supplier of units rejected is responsible for any corrective action including but not limited to make the units conform to this specification. 3.4 Units with defects, discovered before or after installation, that are believed to be inherent to manufacturing problems or workmanship shall be rejected. 4.0 INSTRUCTION TO BIDDERS 4.1 The bidder shall submit the proposal in accordance with this specification. Bids shall be submitted to Otis Smith osmith@ci.ca.us by 1/22/2004. 4.2 The bidder shall supply proposal information that shall include the complete design and construction details and is truly representative of any equipment to be furnished. 4.3 Any exceptions to be taken by the bidder to this specification shall be set forth clearly by written attachment by the bidder in his proposal. 4.4 The successful bidder shall submit all drawings and diagrams in complying with this specification to the City for approval within four (4) weeks after bid award. The bidder's schedule shall include the time for transmittal of drawings for approval in addition to three (3) working days for review by the City. The switchgear shall be accessible from the front and rear. The switchgear shall be designed and constructed per ANSUIEEE Standard C37.20.2. The general arrangement for the switchgear shall be as shown in Figure 1, General Arrangement and Figure 1, One -Line Diagram. 1. All equipment shall be constructed for outdoor service. The switchgear cubicles shall be fabricated from cold rolled steel and formed steel members, reinforced as required to form a rigid self-supporting structure. All weatherproof enclosure and swithchgear sheet metal shall be 11-gauge minimum. 2. The aisleway and switchgear shall be shipped totally assembled in one piece on a common base. 3. A lockable panel shall be included at the rear of each breaker enclosure for gaining access to the cable termination. 4. Suitable opening shall be provided in each cubicle for City's power and control cables to enter from the bottom of the associated cubicle. 5. Undercoating compound shall be used to cover the bottom of the Specification ST-SG-1-2004 3 switchgear and aisleway to prevent corrosion. 6. Ventilation Switchgear shall be adequately ventilated by means of ducts or grills which are constructed to prevent foreign materials from entering the circuit interrupting devices. Ventilating openings shall be equipped with dust filters. 7. Space Heater One space heater (100 V) with thermostat shall be provided in each cell and cable compartment to prevent condensation inside the switchgear. The heaters shall be controlled by an adjustable thermostat set to turn on when temperature falls to a specified set point. 8. Paint The framework and panels shall be cleaned, treated, rinsed, and shall be given an electrostatically applied coat of polyester urethane paint ANSI 70 sky gray color. 7.0 BUSES AND CONNECTIONS The bus and primary connections in the switchgear shall be of copper with silver plated joints. The three-phase main power bus shall be rated 3000 amperes, insulated, and be of three-phase three -wire configuration. Each bus end shall have roof or side mounted bushings for connections at each end as shown on one line diagram. The arrangement and construction of buses shall be as specified in ANSI/IEEE C37.20.2-1987. A separate bus compartment shall be included for the bus bars, supports and connections to circuit breaker cells. The bus bar insulation shall be fluidized bed epoxy insulation. 8.0 GROUNDING A ground bus shall be provided such that the structure in the switchgear assembly, on which primary equipment or devices are mounted, are electrically connected. Grounding construction for the switchgear shall be in accordance with §6-1.2 of ANSMEEE C37.20.2-1987. The ground bus shall extend through the length of the switchgear and shall be grounded at both ends with separate ground connections to the ground network. Ground bus shall be able to carry continuous current of at least 600 amps. The switchgear enclosure shall be grounded at the bottom by two diagonally opposite connectors. Specification ST-SG-1-2004 4 9.0 CIRCUIT BREAKERS -VACUUM 9.1 The circuit breakers shall be rated at 7.2 kV nominal, 1200 or 3000 amps continuous as shown in Figure 1., One -Line Diagram. The vacuum circuit breaker interrupter shall be three -pole, single -throw, with position indicator, operation counter, auxiliary switches, primary and secondary disconnecting devices. Secondary disconnects shall be automatically connected in test and connected positions. 9.2 The circuit breakers shall be operated by a motor -charged mechanically and electrically trip -free, stored energy operating mechanism. Provisions shall be provided for manual charging of the mechanism. Mechanical interlocks shall be provided to prevent moving the breaker to or from the operating position unless its contacts are in the open position. The operating springs shall be discharged automatically when the breaker is rolled fully in the compartment or is moved into the disconnect position. Self -aligning automatic engaging secondary contacts shall be furnished with the circuit breaker. The hottest spot temperature rise above 40°C of the main contacts and all other continuous current carrying parts shall not exceed 65°C. 9.6 A means for determining contact wear shall be provided. 9.7 The circuit breakers and appurtenances shall conform to ANSI C37.11. The operating mechanism shall be designed with the circuit breakers to ensure positive opening of the circuit breaker and circuit interruption, whether the tripping impulse is received in the fully closed or any partially closed position. If the release or tripping circuit is completed through an auxiliary switch, electrical release or Specification ST-SG-1-2004 5 tripping will not take place until such auxiliary switch is closed. 9.8 Circuit breaker shall be equipped with an operation counter that operates only during the opening cycle of the breaker operation. 9.9 Circuit breaker shall be designed such that provisions and mounting facilities for the application of a time travel device shall be made. 9.10 The operating mechanism shall be of the stored energy spring type sufficient for an Open -Close -Open operation without power supplied to the spring charging motor. The closing spring shall be charged with a DC motor and shall be recharged immediately after closing the breaker. The closing spring shall be capable of being manually charged. An indicator that shows the "charged" or "discharged" status of the closing spring shall be furnished. Provisions shall be made to prevent overcharging of the spring and to prevent insufficiently charged spring from attempting a close operation. 9.11 The circuit breakers shall be furnished completed with all necessary auxiliary relays for the following operations: 1. An anti -pumping device shall be included to assure that the operating mechanism makes only one closing operation with each closure of the control contact device, even though the breaker trips during the closing operation while the control circuit remains closed. 2. Once the closing control switch has been operated and the first device in the control scheme has responded, the circuit breaker mechanism shall make one complete closing operation even though the control switch is released before the closing operation is complete. 3. The trip coil auxiliary "a" switch shall be so arranged that the trip coil circuit is opened within 2 cycles after the main breaker contacts part. Also, on the closing operation, the trip coil auxiliary "a" switch shall close before the arcing contacts touch. 9.12 The circuit breaker shall be electrically and mechanically trip free. 9.13 The stationary and moving contact assemblies shall be designed so that loading springs, retaining pins, and parts other than the main or arcing contacts do not form an essential part of the current -carrying circuit. 9.14 The current interrupting contacts shall be so guided that positive and complete contact and latching, without rebound, is assured on all closures up to rated making and latching currents. 9.15 The power -carrying circuit shall be capable of carrying its rated current at rated Specification ST-SG-1-2004 R frequency continuously without excessive maintenance. The terminals and connections between parts shall be so designed as to assure permanent low - resistance connections. 9.16 A latch check switch shall be installed. 9.17 Auxiliary and Momentary Contact Switches 1. The circuit breaker shall be furnished with the following switches for use by the City. These contact switches are in addition to any contacts used for the factory wired operating circuits of the breaker control. Five single -pole "a" auxiliary switches, closed when the breaker is closed. 2. Five single -pole "b" auxiliary switches, closed when the breaker is open. 9.18 The operating mechanism of each circuit breaker shall be equipped with a mechanical operation indicator that will show whether the circuit breaker is open or closed. The operation indicator shall be located in a visible position. 10.0 CIRCUIT BREAKER COMPARTMENT Each cubicle containing a circuit breaker shall contain a manually operated screw type drawout racking mechanism which will move the breaker between the operating and disconnect positions. The mechanism shall be self -aligning and rigidly held in the operating position without the necessity of locking bars or bolts. The stationary primary disconnecting contacts shall be constructed of silver plated copper. Grounded metal safety shutters shall be provided to isolate all primary connections in the circuit breaker compartment when the breaker is withdrawn from the connected position. Each breaker compartment shall include: 1. Hinged front panel 2. Primary and secondary disconnecting devices 3. Control circuit cutout device 4. Required terminal blocks, wiring and control buses 5. Partial discharge detector Specification ST-SG-1-2004 7 11.0 INSTRUMENT TRANSFORMERS 11.1 Current Transformers Current transformers shall have ratios as shown in Figure 1, which are parts of this specification. The current transformers shall have a mechanical rating equal to the momentary rating of the circuit breakers. Toroidal type current transformers manufactured to ANSI and NEMA Standards shall be used, all shall be relaying class accuracy C400.. When the cell is deenergized, current transformers shall be accessible without removing bus bars and cable connections. Current transformers shall be terminated to shorting terminal blocks. 12.0 WIIUNG 12.1 All secondary and control wiring shall be installed and tested at the factory. All wiring shall be connected to terminal blocks which have numbered points for identification. Corresponding identification shall be provided on both ends of all wires using heat shrinkable permanent wire markers. All wires shall be extra - flexible type SIS, insulated for 600 volts, and designed for a maximum operating temperature of 90°C. All conductors shall be #14 AWG except for current transformer secondary wiring which shall be #12 AWG. Preinsulated self locking ring tongue type wiring terminal lugs with metal reinforce sleeves shall be provided on all conductor terminals. Where wires pass through primary compartments, wires shall be armored or enclosed in grounded metal wire troughs. 12.2 Terminal blocks shall be provided for conductors requiring connection to circuits external to the specified equipment, for internal circuits crossing shipping splits, and where equipment parts,.replacement, and maintenance will be facilitated. All connections leaving the switchgear shall be terminated to grouped terminal blocks mounted in an auxiliary cell. The terminal blocks shall be labeled and a minimum of 6-inch clearance between columns of terminal blocks. The terminal blocks shall be rated 600 volts, 50 amps with strap screw terminals. A 25 percent spare unused terminal shall be provided. Shorting type terminal blocks shall be used for current transformer connections. (hereinafter referred to as "Pioneer") 12 19060 Dominguez Hills Drive Rancho Dominguez, CA 90220 13 RECITALS 14 15 WHEREAS, City is constructing the Malburg Generating Station 16 Combined Cycle Power Plant at 2715 E. 50th Street in the City of Vernon 17 (the "Malburg Project") for purposes of installing additional 18 generating capacity that is capable of yielding cost effective, 19 efficient and reliable electricity to meet its goals, while meeting 20 Federal, State and local environmental and siting requirements; and 21 WHEREAS, the Malburg Project team has determined that it 22 needs to purchase one (1) 15KV NEMA 3R metalclad Switchgear, including 23 circuit breakers, feeders 27, 28 and 29, for the purpose of power 24 distribution for the Malburg Project (hereinafter referred to as the 25 "Switchgear"); and 26 WHEREAS, Pioneer has prepared a proposal dated on or about 27 January 22, 2004, (the "Proposal"), a copy of which is attached hereto 28 as Exhibit "A" and incorporated herein by reference for the Switchgear; 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and WHEREAS, the City desires to enter into an agreement with Pioneer to provide for the purchase and delivery of the Switchgear; and WHEREAS, Pioneer represents that it is qualified and capable of providing the Switchgear described in Exhibit "A" that the City requires and is willing to do so on the terms and conditions set forth below. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. Pioneer agrees to sell and deliver the Switchgear set forth and described in detail in the Proposal. It is understood and agreed that in the event of a conflict between this Contract and the Proposal, the terms of this Contract shall prevail. 2. Time of Performance. The performance of Pioneer as identified herein shall commence upon the full execution of this Contract and shall be completed by Pioneer pursuant to the terms of the Proposal, unless otherwise terminated or extended. Delivery of the equipment is expected to be completed no later than twelve (12) weeks from the issuance of City's purchase order. Drawings for approval will be submitted no later than four (4) weeks after receipt of City's purchase order. If delivery of the Switchgear is not completed within this time period, the City shall have the option of canceling this Contract in order to proceed with the purchase of the equipment from another vendor, if one can be located. The delivery date may also be extended, at the City's sole discretion, for an additional thirty (30) days, or such other time as the parties may agree. - 2 - 1 3. Price. 2 Pioneer agrees to sell and deliver the Switchgear described 3 in the Proposal in the total amount of Four Hundred Ninety -Six Thousandll 4 Two Hundred Dollars and No Cents ($496,200.00), plus sales tax. 5 4. Payment Terms. 6 The City agrees to pay Pioneer one hundred percent (100%) of 7 the total purchase price, net thirty (30) days after delivery and g acceptance of the Switchgear by City FOB destination and City's receipt 9 of an invoice from Pioneer. 10 5. Change and Extra Services. 11 The City reserves the right to make additions to or deletions 12 from the equipment purchased from Pioneer. All such changes shall be 13 incorporated in written change orders executed by the City and Pioneer 14 that shall specify the changes ordered and the adjustment of prices, 15 delivery schedules and warranties. Any equipment or services added to 16 this Contract, under this section, shall be executed under all 17 applicable conditions of this Contract. No claim for additional 18 compensation or extension of time shall be recognized unless contained 19 in a duly executed change order. 20 6. Cancellation/Default. 21 In the event that Pioneer commits a breach of a material 22 condition of this Contract, City shall notify Pioneer in writing of 23 said breach and if Pioneer has not cured or begun reasonable efforts to 24 cure after fifteen (15) days of receipt of said notice, and fails to 25 diligently pursue corrective action, then City shall have the right to 26 cancel this Contract for cause based on Pioneer's default. Pioneer 27 shall be responsible for any direct costs due to City's re -procurement 28 of the equivalent of the equipment cancelled from Pioneer. - 3 - 1 7. Confidential Information. 2 A. Access to Confidential Information. City may provide 3 Pioneer, and/or its subcontractors with, or allow Pioneer and/or its 4 subcontractor access to certain information not available to the public 5 concerning, but not limited to City, or businesses located in City. 6 The information may include, but is not limited to, company 7 information, taxes, sales, value of assets, utility usage, or other 8 such information. All such information shall be known as "Confidential 9 Information" and may not be used to circumvent the responsibility of 10 either party to this Contract. 11 B. No Disclosure. Except as expressly permitted, Pioneer, 12 and/or its subcontractors, shall not disclose, permit the disclosure 13 of, release, disseminate, or transfer, whether orally or by any other 14 means, any part of such Confidential Information to any other person or 15 entity, whether corporate, governmental, or individual, without the 16 express prior written consent of an authorized representative of City. 17 Pioneer, and/or its subcontractors, shall return any written 18 Confidential Information, and all copies made of such items, to City 19 upon City's written request, but in any event not later than the date 20 that Pioneer and/or its subcontractors has performed all services to be 21 performed pursuant to this Contract. Pioneer hereby agrees that such 22 Confidential Information and any documents provided may be used by 23 Pioneer, and/or its subcontractors, only as authorized by City. 24 Pioneer shall include a contract provision in its contract with 25 subcontractors that bind the subcontractors to this non -disclosure 26 requirement. Pioneer shall take reasonable measures to avoid any 27 disclosure of any such Confidential Information to any unauthorized 28 person. - 4 - 1 C. Court Ordered Disclosure. Pioneer shall immediately 2 notify City of any court order or subpoena requiring disclosure of 3 Confidential Information, and shall cooperate with City's legal counsel 4 in responding to any such order or subpoena. Pioneer may only disclose 51 Confidential Information required to be disclosed pursuant to court 6 order or subpoena after legal counsel has exhausted any lawful and 7 timely appeal or challenge. 8 D. Remedies. In addition to any other remedies that it may 9 have at law or in equity, City shall be entitled to a temporary and 10 permanent injunction by a court of competent jurisdiction against any 11 breach or threatened breach of the Confidential Information provisions 12 of this Contract. Pioneer acknowledges that in case of such breach or 13 threatened breach of said provisions, City would have no adequate 14 remedy at law. 15 8. Warranties. 16 Pioneer warrants title to the equipment purchased hereunder 17 and any part thereof to be free of any claim of any security interest, 18 lien or any encumbrance. Pioneer also warrants that the equipment will 19 be delivered new and shall be free from defects in material and 20 workmanship for a period of one (1) year from the date of installation 21 or eighteen (18) months from the date of the City's acceptance of the 22 Switchgear, whichever occurs first. All manufacturers' warranties, 23 any warranties typically provided by Pioneer and any other warranties 24 made applicable by law shall apply to the City's purchase of the 25 Switchgear. 26 9. Compliance with Laws. 27 Pioneer shall strictly observe and comply with all applicable 28 federal, state, and local laws, ordinances and regulations governing - 5 - 1 this sale, including but not limited to any permit or license 2 requirements of the United States Department of Commerce, as well as 3 any laws of the United States of America. 4 10. Governing Law. 5 The validity, interpretation and performance of this Contract 6 shall be controlled and construed under the laws of the State of 7 California. 8 11. Forum Selection. 9 Any action brought relating to this Contract shall be brought 10 and held exclusively in a state court in the County of Los Angeles, 11 California. 12 12. General Provisions. 22 A. Independent Contractor. 23 At all times during the term of this Contract, Pioneer shall 24 25 be an independent contractor and shall not be an employee of the City. 26 The City shall have the right to control Pioneer only insofar as the results of Pioneer services rendered pursuant to this Contract; 27 28 however, the City shall not have the right to control the means by - 6 - 1 which Pioneer accomplishes services rendered pursuant to the Contract 2 except to the extent that such services involve the use of City 3 property or Confidential Information. 4 B. Pioneer Not Agent. 5 Except as provided for herein or as the City may otherwise 6 specify in writing, Pioneer shall have no authority, express or 7 implied, to act on behalf of the City in any capacity whatsoever as an 8 agent. Except as provided for herein, Pioneer shall have no authority, 9 express or implied, pursuant to this Contract to bind the City to any 10 obligation whatsoever. 11 C. Indemnification. 12 Pioneer shall indemnify, defend, protect and hold the City 13 and its officers, agents and employees, free and harmless from and 14 against any and all claims, demands, losses, damages, liabilities, 15 fines, charges, penalties, orders, judgments and all costs and expenses 16 incurred in connection therewith, including reasonable attorney's fees 17 and costs of defense arising out of or attributable to the negligent or 18 wrongful acts of Pioneer, or its subcontractors, employees or agents in 19 the performance of services under this Contract, except to the extent 20 arising from or caused by the sole negligence or willful misconduct of 21 the City, its officers, agents or employees. 22 D. Assignment and Subcontracting Prohibited. 23 No party to this Contract may assign or subcontract any right 24 or obligation pursuant to this Contract without the express written 25 consent of the other party. Any other attempted or purported 26 assignment of any right or obligation pursuant to this Contract shall 27 be void and of no effect. 28 - 7 - 1 E. Entire Agreement. 2 This Contract constitutes the complete and final expression 3 of the agreement of the parties and is intended as a complete and 4 exclusive statement of the terms of their agreements and supersedes all 5 prior and contemporaneous offers, promises, representations, 6 negotiations, discussions, communications and agreements which may have 7 been made in connection with the subject matter hereof. All exhibits 8 are incorporated by reference. Pioneer represents that in entering 9 into this Contract, it has not relied on any previous representations 10 or understandings of any kind or nature. 11 F. Partial Invalidity. 12 Wherever possible, each provision hereof will be interpreted 13 in such manner as to be effective and valid under applicable law, but 14 in case any one or more of the provisions contained herein will, for 15 any reason, be held to be invalid, illegal or unenforceable in any 16 respect, such provision will be ineffective to the extent, but only to 17 the extent, of such invalidity, illegality or unenforceability without 18 invalidating the remainder of such invalid, illegal or unenforceable 191 provision or provisions or any other provision hereof, unless such a 20 construction would be unreasonable or contrary to the intent of the 21 parties as expressed in this Contract. 22 G. Time of the Essence. 23 Time is of the essence in the performance of this Contract 24 and of each and every provision hereof. The waiver by the City of any 25 breach or breaches hereof shall not be deemed, nor shall the same 26 constitute, a waiver of any subsequent breach or breaches. 27 H. Risk of Loss. 28 Title and risk of loss or damage shall pass to City and - 8 - 1 delivery shall be deemed to be complete upon delivery FOB destination. 2 I. Attorneys' Fees. 3 In the event that it becomes necessary for either party to 4 this Contract to enforce any of the provisions of this Contract, the 5 parties agree that a court of competent jurisdiction may determine and 6 fix reasonable attorney's fees to be paid to the successful litigant. 7 J. Benefit of Agreement. 8 This Contract shall bind and benefit the parties hereto and 9 their heirs, successors, and permitted assigns. 10 K. Force Majeure. 11 Neither party shall be considered to be in default in any of 12 its obligations under this Contract when a failure of performance shall 13 be due to an uncontrollable force. The terms "uncontrollable force" 14 shall mean any cause beyond the control of the party affected, 15 including, but not restricted to, flood, earthquake, storm, fire, 16 lightening, epidemic, war, riot, civil disturbance or disobedience, 17 labor dispute, labor material shortage, sabotage, federal, state, or 18 municipal action, statute, ordinance, or regulation, embargoes or the 19 United States Government or any other government, which by exercise of 20 due diligence such party could not reasonably have been expected to 21 avoid and by exercise to due diligence has been unable to overcome. 22 Either party rendered unable to fulfill any of its obligations under 23 this Contract by reason of an uncontrollable force, shall give -written 24 notice within five (5) business days of such fact to the other party 25 and shall exercise due diligence to remove such inability with all 26 reasonable dispatch. 27 L. Amendment_ All changes or modifications to this Contract shall be in a 11 writing stating that it is an amendment to this Contract and shall be signed by both parties or their duly authorized agents. This Contract shall not be modified through course of dealing, usage or trade. This specification covers the design, manufacture, testing and delivery of drawout metal clad switchgear. The switchgear shall have a minimum design voltage of 15,000 volts, 60 Hz for operation at 7200 volts (nominal) three-phase, high resistance grounded neutral. The switchgear shall consist of horizontal drawout vacuum circuit breakers, and associated controls. Connection from the transformers to the switchgear will be through overhead or side mounted bushings. The switchgear shall be designed and constructed such that there is maximum compartmentation for reliability. All live parts shall be completely enclosed and all primary circuits shall be segregated to prevent the spread of faults to other compartments. 2.0 GENERAL The switchgear covered in this specification shall be designed, manufactured, and tested in accordance with the latest revisions of the following standards: 1. Bids shall be submitted to Otis Smith osmith@ci.ca.us by 1/22/2004. 4.2 The bidder shall supply proposal information that shall include the complete design and construction details and is truly representative of any equipment to be furnished. 4.3 Any exceptions to be taken by the bidder to this specification shall be set forth clearly by written attachment by the bidder in his proposal. 4.4 The successful bidder shall submit all drawings and diagrams in complying with this specification to the City for approval within four (4) weeks after bid award. The switchgear shall be accessible from the front and rear. The switchgear shall be designed and constructed per ANSUIEEE Standard C37.20.2. The general arrangement for the switchgear shall be as shown in Figure 1, General Arrangement and Figure 1, One -Line Diagram. 1. All equipment shall be constructed for outdoor service. The switchgear cubicles shall be fabricated from cold rolled steel and formed steel members, reinforced as required to form a rigid self-supporting structure. All weatherproof enclosure and swithchgear sheet metal shall be 11-gauge minimum. 2. The aisleway and switchgear shall be shipped totally assembled in one piece on a common base. 3. A lockable panel shall be included at the rear of each breaker enclosure for gaining access to the cable termination. 4. Suitable opening shall be provided in each cubicle for City's power and control cables to enter from the bottom of the associated cubicle. 5. Undercoating compound shall be used to cover the bottom of the Specification ST-SG-1-2004 3 switchgear and aisleway to prevent corrosion. 6. Ventilation Switchgear shall be adequately ventilated by means of ducts or grills which are constructed to prevent foreign materials from entering the circuit interrupting devices. Ventilating openings shall be equipped with dust filters. 7. Space Heater One space heater 0 00 V) with thermostat shall be provided in each cell and cable compartment to prevent condensation inside the switchgear. The heaters shall be controlled by an adjustable thermostat set to turn on when temperature falls to a specified set point. 8. Paint The framework and panels shall be cleaned, treated, rinsed, and shall be given an electrostatically applied coat of polyester urethane paint ANSI 70 sky gray color. 7.0 BUSES AND CONNECTIONS The bus and primary connections in the switchgear shall be of copper with silver plated joints. The three-phase main power bus shall be rated 3000 amperes, insulated, and be of three-phase three -wire configuration. Each bus end shall have roof or side mounted bushings for connections at each end as shown on one line diagram. The arrangement and construction of buses shall be as specified in ANSI/IEEE C37.20.2-1987. A separate bus compartment shall be included for the bus bars, supports and connections to circuit breaker cells. The bus bar insulation shall be fluidized bed epoxy insulation. 8.0 GROUNDING A ground bus shall be provided such that the structure in the switchgear assembly, on which primary equipment or devices are mounted, are electrically connected. Grounding construction for the switchgear shall be in accordance with §6-1.2 of ANSUIEEE C37.20.2-1987. The ground bus shall extend through the length of the switchgear and shall be grounded at both ends with separate ground connections to the ground network. Ground bus shall be able to carry continuous current of at least 600 amps. The switchgear enclosure shall be grounded at the bottom by two diagonally opposite connectors. Specification ST-SG-1-2004 4 9.0 CIRCUIT BREAKERS -VACUUM 9.1 The circuit breakers shall be rated at 7.2 kV nominal, 1200 or 3000 amps continuous as shown in Figure 1., One -Line Diagram. The vacuum circuit breaker interrupter shall be three -pole, single -throw, with position indicator, operation counter, auxiliary switches, primary and secondary disconnecting devices. Secondary disconnects shall be automatically connected in test and connected positions. 9.2 The circuit breakers shall be operated by a motor -charged mechanically and electrically trip -free, stored energy operating mechanism. Provisions shall be provided for manual charging of the mechanism Mechanical interlocks shall be provided to prevent moving the breaker to or from the operating position unless its contacts are in the open position. The operating springs shall be discharged automatically when the breaker is rolled fully in the compartment or is moved into the disconnect position. Self -aligning automatic engaging secondary contacts shall be furnished with the circuit breaker. Circuit breakers shall be able to be withdrawn from or inserted into the compartment without a lift device, lift truck or hoist. 9.3 Circuit breakers of the same ratings shall be interchangeable with each other. 9.4 Circuit breakers shall be rated: Continuous current rating: Bus 3000 A, Feeder 1200A Symmetrical interrupting current: 40,000 A Rated interrupting time: 5 cycles Maximum closing time at rated voltage: 8 cycles Maximum operating voltage: 15 KV Trip coil operating voltage: 125 VDC Close coil operating voltage: 125 VDC Motor operating voltage: 125 VDC Heater operating voltage: 120 VAC 9.5 The temperature rise of the various parts of the circuit breakers shall conform to ANSI C37.04. The hottest spot temperature rise above 40°C of the main contacts and all other continuous current carrying parts shall not exceed 65°C. 9.6 A means for determining contact wear shall be provided. 9.7 The circuit breakers and appurtenances shall conform to ANSI C37.11. The operating mechanism shall be designed with the circuit breakers to ensure positive opening of the circuit breaker and circuit interruption, whether the tripping impulse is received in the fully closed or any partially closed position. If the release or tripping circuit is completed through an auxiliary switch, electrical release or Specification ST-SG-1-2004 5 tripping will not take place until such auxiliary switch is closed. 9.8 Circuit breaker shall be equipped with an operation counter that operates only during the opening cycle of the breaker operation. 9.9 Circuit breaker shall be designed such that provisions and mounting facilities for the application of a time travel device shall be made. 9.10 The operating mechanism shall be of the stored energy spring type sufficient for an Open -Close -Open operation without power supplied to the spring charging motor. The closing spring shall be charged with a DC motor and shall be recharged immediately after closing the breaker. The closing spring shall be capable of being manually charged. An indicator that shows the "charged" or "discharged" status of the closing spring shall be furnished. Provisions shall be made to prevent overcharging of the spring and to prevent insufficiently charged spring from attempting a close operation. 9.11 The circuit breakers shall be furnished completed with all necessary auxiliary relays for the following operations: 1. An anti -pumping device shall be included to assure that the operating mechanism makes only one closing operation with each closure of the control contact device, even though the breaker trips during the closing operation while the control circuit remains closed. 2. Once the closing control switch has been operated and the first device in the control scheme has responded, the circuit breaker mechanism shall make one complete closing operation even though the control switch is released before the closing operation is complete. 3. The trip coil auxiliary "a" switch shall be so arranged that the trip coil circuit is opened within 2 cycles after the main breaker contacts part. Also, on the closing operation, the trip coil auxiliary "a" switch shall close before the arcing contacts touch. 9.12 The circuit breaker shall be electrically and mechanically trip free. 9.13 The stationary and moving contact assemblies shall be designed so that loading springs, retaining pins, and parts other than the main or arcing contacts do not form an essential part of the current -carrying circuit. 9.14 The current interrupting contacts shall be so guided that positive and complete contact and latching, without rebound, is assured on all closures up to rated making and latching currents. 9.15 The power -carrying circuit shall be capable of carrying its rated current at rated Specification ST-SG-1-2004 CI frequency continuously without excessive maintenance. The terminals and connections between parts shall be so designed as to assure permanent low - resistance connections. 9.16 A latch check switch shall be installed. 9.17 Auxiliary and Momentary Contact Switches 1. The circuit breaker shall be furnished with the following switches for use by the City. These contact switches are in addition to any contacts used for the factory wired operating circuits of the breaker control. Five single -pole "a" auxiliary switches, closed when the breaker is closed. 2. Five single -pole "b" auxiliary switches, closed when the breaker is open. 9.18 The operating mechanism of each circuit breaker shall be equipped with a mechanical operation indicator that will show whether the circuit breaker is open or closed. The operation indicator shall be located in a visible position. 10.0 CIRCUIT BREAKER COMPARTMENT Each cubicle containing a circuit breaker shall contain a manually operated screw type drawout racking mechanism which will move the breaker between the operating and disconnect positions. The mechanism shall be self -aligning and rigidly held in the operating position without the necessity of locking bars or bolts. The stationary primary disconnecting contacts shall be constructed of silver plated copper. Grounded metal safety shutters shall be provided to isolate all primary connections in the circuit breaker compartment when the breaker is withdrawn from the connected position. Each breaker compartment shall include: 1. Hinged front panel 2. Primary and secondary disconnecting devices 3. Control circuit cutout device 4. Required terminal blocks, wiring and control buses 5. Partial discharge detector Specification ST-SG-1-2004 7 11.0 INSTRUMENT TRANSFORMERS 11.1 Current Transformers Current transformers shall have ratios as shown in Figure 1, which are parts of this specification. The current transformers shall have a mechanical rating equal to the momentary rating of the circuit breakers. Toroidal type current transformers manufactured to ANSI and NEMA Standards shall be used, all shall be relaying class accuracy C400.. When the cell is deenergized, current transformers shall be accessible without removing bus bars and cable connections. Current transformers shall be terminated to shorting terminal blocks. 12.0 WIRING 12.1 All secondary and control wiring shall be installed and tested at the factory. All wiring shall be connected to terminal blocks which have numbered points for identification. Corresponding identification shall be provided on both ends of all wires using heat shrinkable permanent wire markers. All wires shall be extra - flexible type SIS, insulated for 600 volts, and designed for a maximum operating temperature of 90°C. All conductors shall be #14 AWG except for current transformer secondary wiring which shall be #12 AWG. Preinsulated self locking ring tongue type wiring terminal lugs with metal reinforce sleeves shall be provided on all conductor terminals. Where wires pass through primary compartments, wires shall be armored or enclosed in grounded metal wire troughs. 12.2 Terminal blocks shall be provided for conductors requiring connection to circuits external to the specified equipment, for internal circuits crossing shipping splits, and where equipment parts, replacement, and maintenance will be facilitated. All connections leaving the switchgear shall be terminated to grouped terminal blocks mounted in an auxiliary cell. The terminal blocks shall be labeled and a minimum of 6-inch clearance between columns of terminal blocks. The terminal blocks shall be rated 600 volts, 50 amps with strap screw terminals. A 25 percent spare unused terminal shall be provided. Shorting type terminal blocks shall be used for current transformer connections.
