Resolution No. 84314 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 8431 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN VEHICLE PURCHASE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND WONDRIES FLEET GROUP FOR FOUR FORD CROWN VICTORIA VEHICLES FOR THE POLICE DEPARTMENT WHEREAS, the City's Police Department has requested that the City purchase four (4) new vehicles for the Patrol Division to replace older vehicles needing increased maintenance due to wear and tear; and WHEREAS, the acquisition of the vehicles would improve the effectiveness of the Vernon Police Department's operation and enhance the services provided to citizens, residents and businesses within the Vernon community; and WHEREAS, the Vernon Police Department selected Wondries Ford Fleet Division ("Wondries") to provide four (4) 2004 Ford Crown Victoria Police Sedans under Los Angeles County Bid #207488 and believes Wondries to be the only vendor that can provide the necessary vehicles meeting the Police Department's specifications and requirements; and WHEREAS, on April 7, 2004, the Finance Committee considered the recommendation of Bruce V. Malkenhorst, Director of Finance, dated April 1, 2004, that the vehicles be purchased from Wondries; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with Wondries Fleet Group for the purchase of the vehicles to enhance services provided to the Vernon community. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17. 18 19 20 21 22 23 24 25 26 27 28 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Vehicle Purchase Contract with Wondries Fleet Group, a copy of which is attached hereto as Exhibit "A" and made a part hereof. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Contract for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Wondries Fleet Group Attn. Main Street Alhambra, CA 91803 12 RECITALS 13 14 WHEREAS, the Vernon Police Department needs four (4) new 15 vehicles for the Patrol Division to replace older vehicles needing 16 increased maintenance due to wear and tear; and 17 WHEREAS, the Vernon Police Department is requesting four (4) 18 2004 Ford Crown Victoria Police Sedans be purchased through Wondries 19 Ford Fleet Division (hereinafter referred to as "Wondries") under Los 20 Angeles County Bid #207488; and 21 WHEREAS, Wondries has submitted a quotation dated January 21, 22 2004 (hereinafter referred to as the "Quotation"), a copy of which is 23 attached hereto as Exhibit "A" and incorporated herein by reference; 24 and 25 WHEREAS, Wondries has advised the City that it can furnish 26 the vehicles, as set forth in the Quotation, and is willing to do so 27 on the terms and conditions set forth below; and 28 WHEREAS, the City desires to enter into an agreement with 1 Wondries to provide for the purchase and delivery of the four (4) 2004 2 Ford Crown Victoria Police Sedans. 3 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 4 FORTH HEREIN• 5 1. Purchase. Wondries agrees to sell to the City four 6 (4) new 2004 Ford Crown Victoria Police Sedans as set forth in the 7 Quotation, that meets the specifications contained in Vernon Police 8 Department Patrol Division Vehicle Specifications, a copy of which is 9 attached hereto as Exhibit "B" and incorporated herein by reference 10 2. Price. Consistent with its Quotation, Wondries 11 agrees to sell and deliver, subject to final inspection by the City, 12 four (4) new 2004 Ford Crown Victoria Police Sedans for the total sum 13 of Ninety -Nine Thousand Two Hundred Fifty -Eight Dollars and Seventy 14 Six Cents ($99,258.76), which includes sales tax, tire fees and 15 delivery charges.. 16 3. Payment Terms. The City agrees to pay Wondries a 17 total of Ninety -Nine Thousand Two Hundred Fifty -Eight Dollars and 18 Seventy -Six Cents ($99,258.76), which includes sales tax, tire fees 19 and delivery charges, for the purchase of the vehicles. Payment will 20 be made within thirty (30) days net of receipt of the vehicle. 21 4. Warranties. All manufacturers' warranties, and any 22 other warranties made applicable by law, shall apply to the City's 23 purchase of the above -referenced vehicle. 24 5. General Provisions. 25 A. Governing Law.
