THREE TO AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES BY AND BETWEEN THE CITY OF VERNON AND RAYMUNDO ENGINEERING CO., INC. REGARDING GAS DISTRIBUTION SYSTEM WHEREAS, on June 20, 2001, the City Council of the City of Vernon adopted Resolution No. 7792 approving and authorizing the execution of an Agreement for Professional Consulting Services (the "Agreement") with Raymundo Engineering Company, Inc. ("Raymundo") for engineering technical support for the gas distribution system; and WHEREAS, on July 3, 2002, the City Council of the City of Vernon adopted Resolution No. 7996 approving and authorizing the execution of Amendment No. One to the Agreement with Raymundo to extend the Agreement to June 30, 2003; and WHEREAS, on June 18, 2003, the City Council of the City of Vernon adopted Resolution No. 8216 approving and authorizing the execution of Amendment No. Two to the Agreement with Raymundo to extend the Agreement to June 30, 2004, and to increase the annual compensation under the Agreement to a sum not to exceed $50,000.00; and WHEREAS, in accordance with Section ll.G of the Agreement, the City of Vernon and Raymundo desire (i) to extend the Agreement through and including June 30, 2005, with the same annual compensation of a sum not to exceed $50,000.00; (ii) to increase the scope of work to include tasks relating to the SCADA system equipment substitution by contractor; preconstruction and construction phase support; preliminary work only for testing, commissioning, project completion and closure 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 support; provide chief building official review and Pipeline Integrity Management Plan; and (iii) to increase the compensation provisions to reflect the additional cost of performing the aforementioned extra tasks for a not to exceed amount of $115,750.00, for a total compensation of not to exceed $165,750.00; and WHEREAS, on July 27, 2004, the Finance Committee considered the recommendation of Bruce V. Malkenhorst, Director of Finance, dated July 22, 2004, that an amendment to the Agreement be approved and executed. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. Three to the Agreement for Professional Consulting Services with Raymundo, a copy of which is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute said Amendment for, and on behalf of, the City of Vernon.
