A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AMENDMENT NO. THREE TO AGREEMENT FOR
PROFESSIONAL CONSULTING SERVICES BY AND BETWEEN THE
CITY OF VERNON AND RAYMUNDO ENGINEERING CO., INC.
REGARDING GAS DISTRIBUTION SYSTEM
WHEREAS, on June 20, 2001, the City Council of the City of
Vernon adopted Resolution No. 7792 approving and authorizing the
execution of an Agreement for Professional Consulting Services (the
"Agreement") with Raymundo Engineering Company, Inc. ("Raymundo") for
engineering technical support for the gas distribution system; and
WHEREAS, on July 3, 2002, the City Council of the City of
Vernon adopted Resolution No. 7996 approving and authorizing the
execution of Amendment No. One to the Agreement with Raymundo to extend
the Agreement to June 30, 2003; and
WHEREAS, on June 18, 2003, the City Council of the City of
Vernon adopted Resolution No. 8216 approving and authorizing the
execution of Amendment No. Two to the Agreement with Raymundo to extend
the Agreement to June 30, 2004, and to increase the annual compensation
under the Agreement to a sum not to exceed $50,000.00; and
WHEREAS, in accordance with Section ll.G of the Agreement,
the City of Vernon and Raymundo desire (i) to extend the Agreement
through and including June 30, 2005, with the same annual compensation
of a sum not to exceed $50,000.00; (ii) to increase the scope of work
to include tasks relating to the SCADA system equipment substitution by
contractor; preconstruction and construction phase support; preliminary
work only for testing, commissioning, project completion and closure

support; provide chief building official review and Pipeline Integrity
Management Plan; and (iii) to increase the compensation provisions to
reflect the additional cost of performing the aforementioned extra
tasks for a not to exceed amount of $115,750.00, for a total
compensation of not to exceed $165,750.00; and
WHEREAS, on July 27, 2004, the Finance Committee considered
the recommendation of Bruce V. Malkenhorst, Director of Finance, dated
July 22, 2004, that an amendment to the Agreement be approved and
executed.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Amendment No. Three to the Agreement for Professional
Consulting Services with Raymundo, a copy of which is attached hereto
as Exhibit A and incorporated by reference.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor and the City Clerk to execute said Amendment for,
and on behalf of, the City of Vernon.
SECTION 4: The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
Amendment to:

1 WHEREAS, Consultant's annual compensation under the
2 Agreement, as amended, was for a sum not to exceed $50,000.00; and
3 WHEREAS, the City and Consultant desire to modify the
4 Agreement (I) to increase the scope of work to include the following
5 tasks and subtasks: Task 1-revise drawings to reflect SCADA system
6 equipment substitution by contractor; Task 2-provide preconstruction
7 and construction phase support; Tasks 3 and 4-provide preliminary work
8 only on testing, commissioning, project completion and closure
9 support; Task 5-provide CBO review; and Task 6-development of a
10 Pipeline Integrity Management Plan for the City's 10 inch Natural Gas
11 Transmission Pipeline or other system commissioning services as
12 necessary; and (II) to increase the compensation to be paid for the
13 additional scope of work to a sum not to exceed $115,750.00; and
14 WHEREAS, Section 6 of the Agreement allows for changes and
15 additions to the services to be performed by Consultant, the scope of
161 the Agreement and the adjustment of compensation and completion time
17 required thereof; and
18 WHEREAS, Section ll.G of the Agreement provides for
19 amendments and modifications to the Agreement.
20 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
21 FORTH HEREIN:
22 SECTION 1: In addition to the services outlined in Section
23 1 of the Agreement entitled SCOPE OF SERVICES, Consultant shall
24 perform the services described in Exhibit A-1 which is attached hereto
25 and incorporated by reference on a time and material basis.
26 SECTION 2: Section 3 of the Agreement entitled TIME OF
27 PERFORMANCE is hereby amended to read as follows:

1 Consultant's services shall be extended from June 30,
2 2004. The extension period will commence on July 1,
3 2004 and shall continue until June M, 2005, unless the
4 Agreement is terminated or extended.
5 SECTION 3: In addition to the compensation to be paid
6 to Consultant outlined in the COMPENSATION section of the
7 Agreement, as amended, the City will pay Consultant for the
8 additional tasks and subtasks to be performed under this
9 Amendment No. Three a sum not to exceed One Hundred Fifteen
10 Thousand Seven Hundred Fifty Dollars and No Cents ($115,750.00).
11 Any other expenses for work identified in this Amendment No.
12 Three may only be billed if advance written approval has been
13 obtained from the City Administrator.
14 SECTION 4: In all other respects, the terms and conditions
15 of the Agreement, as amended, shall be renewed in its entirety.
