ON BID NO. 1435 FOR THE PURCHASE OF A 2004 CHEVROLET TRAILBLAZER FOR THE POLICE DEPARTMENT AND APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID WHEREAS, the Vernon Police Department needs a vehicle to be used (a) by Industrial Relations as a public information vehicle, (b) by the Labor Relations Officer as a command post vehicle on labor dispute calls and (c) as transportation for multi -media equipment; and WHEREAS, pursuant to Resolution No. 8454 adopted by the City Council of the City of Vernon on June 2, 2004, the City Clerk was directed to give notice inviting sealed proposals or bids for the purchase of a 2004 Chevrolet TrailBlazer vehicle in accordance with a bid specification provided by the Police Department; and WHEREAS, based upon the bid specification, the Purchasing Department prepared Bid No. 1435 dated June 15, 2004, and proceeded to solicit bids for the purchase of the Chevrolet TrailBlazer vehicle; and WHEREAS, sealed bids for Bid No. 1435 were opened on June 29, 2004 and reviewed by the Police Department; and WHEREAS, by letter dated August 11, 2004, Bruce V. Malkenhorst, City Administrator/City Clerk, recommended that Bid No. 1435 be awarded to Coalinga Motors, Inc., the lowest responsible bidder meeting the requirements of Bid No. 1435. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1:The City Council of the City of Vernon hereby 1 2 3 4 5 6 7 8 9 10 11 12 13 It'! 15 16 17 18 19 20 21 22 23 24 25 26 27 28 finds and determines that the recitals contained hereinabove are true land correct. SECTION 2: The City Council of the City of Vernon hereby awards Bid No. 1435 to Coalinga Motors, Inc. and accepts and approves the Vehicle Purchase Contract, a copy of which is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute the Vehicle Purchase Contract on behalf of the City and authorizes the issuance of a purchase order for the purchase of a 2004 Chevrolet TrailBlazer vehicle pursuant to Bid No. 1435. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Coalinga Motors, Inc. Attn: Arnold Cain 625 E. Elm Avenue Coalinga, CA 93210-1514 SECTION 5: All other bids in connection with Bid No. 1435 fare rejected, subject to execution of the aforesaid contract documents from Coalinga Motors, Inc. accompanied by all required certificates. SECTION 6: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. Elm Avenue Coalinga, CA 93210-1514 12 13 RECITALS 14 WHEREAS, the Vernon Police Department needs a new vehicle 15 for use by Industrial Relations as its public information vehicle, by 16 the Labor Relations Officer as a command post vehicle on labor dispute 17 calls and as transportation for multi -media equipment; and 18 WHEREAS, the City requires a new 2004 Chevrolet TrailBlazer, 19 4-Door, LT, option package 1SD vehicle (the "TrailBlazer") for its 20 use; and 21 WHEREAS, on June 15, 2004, the City issued Bid No. 1435 22 which sets forth specifications for the TrailBlazer required by the 23 City; and - 24 WHEREAS, on June 24, 2004, Coalinga responded to Bid No. 25 1435; and 26 WHEREAS, the City has accepted Coalinga's bid and desires to 27 purchase the TrailBlazer from Coalinga. 28 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET n 1 FORTH HEREIN: 2 1. Purchase. Coalinga agrees to sell to the City one 3 new 2004 Chevrolet TrailBlazer, 4-Door, LT, option package 1SD 4 vehicle, that meets the specifications contained in City of Vernon Bid 5 No. 1435, dated June 15, 2004, and that is consistent with Coalinga's 6 Bid of June 24, 2004 (collectively referred to as the "Bid 7 Documents"). A copy of the Bid Documents are attached hereto as 8 Exhibit A and incorporated by reference. 9 2. Price. Consistent with its Bid, Coalinga agrees to 10 sell and deliver, subject to final inspection by the City, one new 11 2004 Chevrolet TrailBlazer, 4-Door, LT, option package 1SD vehicle for 12 the total sum of Twenty -Two Thousand Seven Hundred Eighty Dollars and 13 No Cents ($22,780.00), plus sales tax of One Thousand Seventy -Nine 14 Dollars and Thirty -Five Cents ($1,879.35). 15 3. Payment Terms. The City agrees to pay Coalinga a 16 total of Twenty -Two Thousand Seven Hundred Eighty Dollars and No Cents 17 ($22,780.00), plus sales tax, for the purchase of the vehicle. 18 Payment will be made within twenty (20) days net of receipt of the 19 vehicle. 20 4. Warranties. All manufacturers' warranties, and any 21 other warranties made applicable by law, shall apply to the City's 22 purchase of the above -referenced vehicle. 23 5. General Provisions. 24 A. Governing Law. The laws of the State of 25 California shall govern.the rights, obligations, duties and 26 liabilities of the parties to this Contract and shall also govern the 27 interpretation of this Contract. 28 B. Notices.
