ONE TO AGREEMENT FOR TREE MAINTENANCE SERVICES BY AND BETWEEN THE CITY OF VERNON AND WEST COAST ARBORISTS, INC. WHEREAS, on August 21, 2002, the City Council of the City of Vernon adopted Resolution No. 8037 approving a an Agreement for Tree Maintenance Services (the "Agreement") with West Coast Arborists, Inc. ("West Coast"); and WHEREAS, in March of 2003 a change order was issued to trim three (3) fiscus trees for Six Hundred Dollars and No Cents ($600.00); and WHEREAS, the City and West Coast desires to extend the Agreement for an additional two (2) year period, September 1, 2004 through September 1, 2006, and expand the scope of services to include the trimming of fiscus trees and the planting of trees along various streets in Vernon; and WHEREAS, on October 6, 2004, the Finance Committee considered the recommendation of Bruce V. Malkenhorst, Director of Finance, dated September 30, 2004, that an amendment to the Agreement be approved and executed. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. One to the Agreement with West Coast, a copy of which is attached hereto as Exhibit A and incorporated by reference. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Amendment to: West Coast Arborists, Inc. Attn. Paragraph 3 of the Agreement is hereby amended to read as follows: "TIME OF PERFORMANCE. A. The term of this Agreement shall commence as of September 1, 2004, and continue through September 1, 2006 ("Initial Term"), with an option authorizing the City Administrator or his representative to continue said Agreement on the same terms and conditions as prescribed in this Agreement, subject to any change in the rate of compensation to be paid to West Coast as hereinafter provided in Paragraph 4. If City desires to exercise its renewal option, City shall advise West Coast in writing of its intent to extend the Agreement by not later than 30 days of the term then expiring. If West Coast desires to adjust the rates as set forth in the then current Schedule of Rates for such extension period, West Coast shall give City written notice of such adjustment by 60 days of the term then expiring. If West Coast gives notice of any adjustment in the Schedule of Rates, City may then rescind the exercise of its option, provided, however, written notice of such rescission must be issued by City to West Coast no later than 15 days of the term then expiring. B. The City will compensate West Coast for tree maintenance services for a sum not to exceed Ninety -Six Thousand Eight Hundred Sixteen Dollars and No Cents ($96,816.00) for the services rendered in conformance with standards set forth in the Proposal. B. If City gives notice of its intention to extend the Agreement as provided for above, West Coast may adjust the Schedule of Rates by an amount not to exceed the increase (or decrease) represented in the United States Department of Labor, Bureau of Labor Statistics Consumer Price Index for All Urban Consumers for the Los Angeles -Anaheim -Riverside Standard Metropolitan Statistical Area ("Index") for March of the term then expiring from the index for March one year prior thereto. If changes and extra services are requested by the City pursuant to Section 6 of this Agreement, then the City shall pay for those services on a time and material basis as set -forth in Exhibit A." SECTION 3: Approval by City. The provisions of this Amendment shall constitute the entire agreement of the parties hereto with respect to the subject matter included in this Amendment and shall supercede any other agreement, understanding or arrangement, whether written or oval, between the parties with respect to the subject matter of this Amendment. As you know, due to recent economic developments, the cost of doing business continues to rise. Since last year, costs have risen dramatically including our Insurance (General and Automobile Liability) premiums, fuel costs, Workers Compensation, and labor costs. As a result, we respectfully request a unit price increase effective July 1, 2006, and good through June 30, 2008, based on the Consumer Price Index for the previous 12 months (from March) in the LA —Orange -Riverside area which is set at 4.7%. The prices are rounded to the nearest tenth of a dollar. Attached for your review is our proposed Schedule of Compensation. The agreement was approved by the City Council on August 21, 2002 and was extended for an additional two years in 2004 and again in 2006. West Coast has provided the City with a revised cost schedule for 2008 that has been attached for your review. Please note that West Coast has elected to seek a one-year agreement, as opposed to their previous two-year agreement, due to the volatility of fuel costs. According to the terms of the existing agreement West Coast may adjust the schedule of rates by the amount not to exceed the increase represented in the United States Department of Labor, Bureau of Labor Statistics Consumer Price Index for all urban consumers for the Los Angeles -Anaheim -Riverside Standard Metropolitan Statistical Area ("Index") for March of the term then expiring. The March 2008 Index reflects a rate increase of 3.7 percent. West Coast's revised schedule meets the criteria established in the agreement with an increase of 3.7 percent. West Coast is doing a commendable job maintaining the City's trees and it is therefore my recommendation that the City extend this agreement for one year by issuing a change order for the period;.
