Resolution No. 85701 2 3 4! 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 8570 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON VACATING A PORTION OF PACKERS AVENUE BETWEEN DOWNEY ROAD AND ALCOA AVENUE WHEREAS, a petition has been presented to the City of Vernon by Masterfoods, Inc., a Mars Incorporated Company, hereinafter referred to as "Masterfoods," a free holder of property in the City of Vernon requesting that the City Council vacate Packers Avenue excluding the easternmost 120 feet thereof, between Downey Road and Alcoa Avenue, in the City of Vernon; and WHEREAS, said portion of said street was dedicated for public use by the subdivision map of Tract No. 6056 in the County of Los Angeles dated July 30, 1923, in which Alcoa Avenue was previously named Magnolia Street and widened by various deeds to the City of Vernon, and is depicted on Exhibit A which is attached hereto and incorporated by reference; and WHEREAS, the City Council has examined the location, purpose, and extent of said portion of said street and has reviewed the conformity of said proposed vacation with the General Plan and the Zoning Ordinance of the City of Vernon as required by California Government Code Section 65402; and WHEREAS vacating said portion of said street will allow the better and more efficient use of the parcels of land abutting thereon; land WHEREAS, said portion of said street does not constitute major traffic arteries or collector streets, are not useful as non - motorized transportation facilities, and are unnecessary for present 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 or prospective public use except that fire lanes to the abutting property and public utility easements need to be reserved and excepted therein; and WHEREAS, the fire lanes and public utility easements in Packers Avenue will not be needed after relocation of the public utilities therein and the striping by Masterfoods of a fire access lane in accordance with the Fire Code on the property; and WHEREAS, due to the minimal utilization of Packers Avenue and the availability of alternative routes, it is not in the public interest, now or in the future, to continue to maintain Packers Avenue; and WHEREAS, the City Council of the City of Vernon on September 15, 2004, gave tentative approval of the terms and procedures for the Final Agreement attached hereto as Exhibit B and incorporated by reference, and Masterfoods deposited the amount of $1,283,760 with the City in compliance therewith; and WHEREAS, on September 15, 2004, the City Council of the City of Vernon adopted Resolution No. 8534, declaring its intention to vacate a portion of Packers Avenue between Downey Road and Alcoa Avenue in the City of Vernon and setting a public hearing thereon for Wednesday, October 20, 2004, at 5:00 p.m.; and WHEREAS, notice of this hearing was published on October 4, 2004 and October 12, 2004, and was posted in locations -in the vicinity of the street vacation in accordance with Section 8323 of the Streets and Highways Code of the State of California as well as on three official bulletin boards of the City of Vernon on and after October 4, 2004; and - 2 - f 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, this matter was duly presented on the City Council's agenda for October 20, 2004, at 5:00 p.m., at which time the public hearing was continued until November 17, 2004, at which time the public hearing was held; and WHEREAS, the City of Vernon has provided notice of its intent to adopt a negative declaration for the street vacation and has provided a public review period of not less than 20 days, as required by the California Environmental Quality Act ("CEQA") and the State (CEQA Guidelines; and WHEREAS, the Community Services and Water Department has performed an Initial Study to determine the potential adverse impacts on the environment that may be caused by the proposed street vacation and determined that the proposed street vacation will not have a significant effect on the environment and recommended that a Negative Declaration be adopted in compliance with CEQA; and WHEREAS, in accordance with Section 711.4(c) of the Fish and Game Code, no evidence has been found that the proposed street vacation will have the potential for adverse effects on wild life resources, and is therefore exempt from the fees otherwise payable under Section 711.4; and WHEREAS, the street vacation is consistent with the General Plan and Zoning Ordinance of the City of Vernon; and WHEREAS, the City Council has heard and considered all evidence, both written and oral, presented in consideration of the proposed vacation of a portion of Packers Avenue between Downey Road and Alcoa Avenue in the City of Vernon. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: 3 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true Iland correct. SECTION 2: The City Council of the City of Vernon finds that the portion of Packers Avenue between Downey Road and Alcoa JAvenue in the City of Vernon is no longer necessary for public road purposes. SECTION 3: The City Council of the City of Vernon finds that the vacation of said portion of said street as described is in the public interest. SECTION 4: The City Council of the City of Vernon further finds that all persons have had the opportunity to be heard or to file written comments to the proposed Packers Avenue street vacation and after due consideration of all the evidence submitted at the public hearing determines that there are compelling reasons to justify vacating a portion of Packers Avenue between Downey Road and Alcoa Avenue in the City of Vernon. SECTION 5: The City Council of the City of Vernon further finds on the basis of the whole record before it (including the initial study) that there is no substantial evidence that the street vacation will have a significant effect on the environment individually or cumulatively, and that the Negative Declaration reflects the City's independent judgment and analysis, -and on the basis of said findings the City Council hereby approves and adopts the Negative Declaration for the street vacation. SECTION 6: Pursuant to Section 711.4(c) of the Fish and Game Code, the City has found no evidence that the proposed street vacation will have the potential for adverse effects on wildlife - 4 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 11resources and the street vacation is therefore exempt from the fees otherwise payable under Section 711.4. SECTION 7: The City Council hereby approves the Initial Study and Environmental Checklist Form dated October 25, 2004, a copy of which documents have been submitted to the City Council concurrently herewith, and the City Clerk is directed to receive and file them. Such documents and other materials which constitute the record of proceedings in this matter shall be maintained in the office of the City Clerk who is and shall be the custodian thereof. SECTION 8: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to file a Notice of Determination and DeMinimis Impact Finding in regard to the environmental impact of said street vacation. SECTION 9: Pursuant to Chapter 3 of Part 3 of Division 9 (commencing with Section 8320) of the Streets and Highways Code of the State of California, the City of Vernon hereby vacates Packers Avenue excluding the easternmost 120 feet, between Downey Road and Alcoa Avenue, in the City of Vernon, subject to the terms and conditions set forth in the Final Agreement (Exhibit B), and reserving and excepting the easements hereinafter described. SECTION 10: The City Council of the City of Vernon hereby ireserves and excepts an easement for public utilities, installation, and maintenance purposes in Packers Avenue. - SECTION 11: The City Council of the City of Vernon hereby reserves and excepts an access easement for firefighting equipment and for fire -inspection purposes in Packers Avenue. SECTION 12: The City Council of the City of Vernon hereby approves the Final Agreement with Masterfoods (Exhibit B) and - 5 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 authorizes the Mayor and the City Clerk to execute said Final Agreement for, and on behalf of, the City of Vernon. SECTION 13: The City Council of the City of Vernon hereby approves the Quitclaim Deed attached hereto as Exhibit C and incorporated by reference conveying to Masterfoods, all right, title, and interest of the City of Vernon in Packers Avenue between Downey Road and Alcoa Avenue excluding the easternmost 120 feet thereof, reserving and excepting the easements set forth in Sections 6 and 7 hereof, and hereby authorizes the Mayor to execute said Deed. SECTION 14: The City Council of the City of Vernon hereby authorizes the Mayor to execute a Quitclaim Deed conveying to Masterfoods those portions of the Fire access and public utility easements in Packers Avenue which are no longer needed as determined by the Director of Community Services & Water and approved by the City Council after the abandonment of public utilities, construction of fire access road and installation of a private fire hydrant system to replace the public fire hydrants on the vacated portion of Packers Avenue. SECTION 15: The City Clerk shall not record this Resolution and the Mayor shall not execute said Quitclaim Deeds until Masterfoods has executed the Final Agreement (Exhibit B). SECTION 16: The City Council of the City of Vernon hereby accepts the deposit of $1,283,760.00 from Masterfoods as payment for the street right-of-way. SECTION 17: From and after the date on which this Resolution is recorded with the County Recorder of the County of Los Angeles, Packers Avenue between Downey Road and Alcoa Avenue, excluding the easternmost 120 feet thereof in the City of Vernon, and reserving and - 6 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 excepting therefrom a public utilities easement and a fire access easement, it shall no longer constitute as a street in the City of Vernon. SECTION 18: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. Masterfoods agrees to pay the City a lump sum payment of $1,283,760 for (a) the reimbursement of expenses and inconveniences associated with the closures; (b) the permanent retirement of various assets and facilities; (c) the relocation of all City owned utilities in Packers Avenue; and (d) the construction of any additional improvements that would improve transportation circulation in the immediate area; 2. Masterfoods agrees that the City will retain public utility easement rights in the abandoned portion of Packers Avenue for the purpose of removing and maintaining until their removal required necessary utilities and that the Fire Department will continue to have access for fire fighting purposes and inspection purposes; 3. Masterfoods agrees to continue to meet the fire protection requirements by maintaining the existing water line under Packers Avenue until an effective alternative fire protection system is approved by the City and installed by Masterfoods. PART 2 TERMS AND CONDITIONS APPLICABLE TO THE CITY That in consideration of the above, City agrees to the following terms and 1. That upon approval of said vacation, the City agrees to execute the Quitclaim Deed in the form attached hereto conveying to Masterfoods any interest the City has in said abandoned streets adjacent to Masterfoods property and releasing Masterfoods from further obligation to pay additional fees for the cost of the relocation of City owned utility facilities or the abandonment of useful assets; 2. The City agrees to execute a Quitclaim Deed to Masterfoods for that portion of the fire access easement and the public utility easement in the abandoned portion of Packers Avenue which is no longer required after relocation of the public utilities therein. Said relocation shall be made and said Deed executed as determined by the Director of Community Services with the approval of the City Council within a reasonable time after: 1) the relocation of City owned utilities; 2) the relocation or the execution of a separate easement for non -city owned public utilities; and 3) the striping of a fire access road and the installation of an alternative fire protection system in accordance with the California Codes to replace the City fire hydrant system in Packers Avenue. A Staff report, Notice of Public Hearing and Affidavits of Posting and Mailing were previously submitted. A second public hearing notice was prepared, mailed and posted regarding the City's intent to vacate the street and adopt a Negative Declaration. Herewith for your consideration are the following additional supporting documents: Notice of Public Hearing, Copies of notification letters to owners and tenants in the area and Affidavits of Posting and Mailing, Notice of Intent. 2. Environmental Checklist form and Initial Study. 3. Proposed Negative Declaration. The project is consistent with the City of Vernon General Plan as adopted by the City of Vernon. That the Packers Avenue vacation is consistent with the General Plan as adopted by the City of Vernon. 2. That the Packers Avenue vacation will not have a significant effect on the environment. 3. That the Packers Avenue vacation will not individually or cumulatively have an adverse effect on wildlife resources. After review of the supporting evidence by the Community Services Department, it is further recommended that the proposed Packers Avenue street vacation be approved. Finally, it is also recommended that a Negative Declaration be adopted and that a Notice of Determination and a DeMinimus Finding be filed with the County Clerk. Therefore, it is anticipated that the proposed street vacation will not disrupt or divide the physical arrangement of an established community. -3- II. POPULATION AND HOUSING. The population of the City of Vernon is approximately 95, with up to 60,000 people working in the City. The City of Vernon consists of highly industrialized and developed areas. The proposed vacation will not create any new housing. Thus, the proposed vacation will not displace housing. III. TRANSPORTATION/CIRCULATION. Would the proposal result in: a) Increased vehicle trips or traffic congestion? ❑ ❑ ❑ X a. The vacating portion of said street does not constitute major traffic arteries or collector streets. Packers Avenue is a local street with very light traffic loads. The neighboring intersections operate at an acceptable service. If Packers Avenue is vacated traffic will be diverted to either Leonis Boulevard or Vernon Avenue. The additional traffic loads will not adversely affect the level of service at the intersections. Therefore, the proposed vacation will not increase vehicle trips or traffic congestion. b) Hazards to safety from design features (e.g. sharp curves or dangerous intersections) or incompatible uses (e.g. farm equipment)? ❑ ❑ ❑ X b. The zoning code of the City of Vernon however requires each property to provide sufficient parking for all officers, employees, vendors, salesman visitors and other persons normally transacting business at such property. Packers Avenue is within an industrial area where the surrounding manufacturing and warehousing uses are not noise sensitive. The street vacation will not result in any noise impacts. V. The project will be located in a highly industrialized and developed area. The proposed street vacation will not pose a need for new or altered fire, police or school services within the City of Vernon. The alley between Packers Avenue and 45th Street parallel to and just west of Downey Road will be maintained and continue to provide Fire and Police access to these businesses on the west side of Downey Road between 45th Street and Packers Avenue. The vacation of Packers Avenue will not result in an increase in response time for Police or Fire, since emergency vehicles to not use Packers Avenue as an emergency route. -5- VI. AESTHETICS. There will not be any significant changes to the geologic substructure or topography. VIII. WATER. The basin covers a 6,600- square mile area within Orange County, non -desert portions of Los Angeles County, Riverside County, and San Bernardino County. Air quality in the basin is monitored by the South Coast Air Quality Management District ("AQMD") at 35 monitoring stations throughout the area. The monitoring station nearest to the City of Vernon is the Pico Rivera station. Readings at the station are used to characterize air quality in the City of Vernon. X. The local Certified Unified Program Agency (CUPA) regulates use and storage of hazardous materials at any facility within the City of Vernon, which is the City of Vernon Environmental Health Department. All facilities within the City are regularly inspected by the Vernon Fire and Environmental Health Departments for code violations. The inspections are made to reduce the potential for urban fires and chemical releases. The Vernon Fire Department has a fully manned hazardous materials unit. All personnel are trained in hazardous material response. The proposed existing regulations and permitting requirements will be adhered to by the facility and this compliance will reduce potential hazards to less than significant levels. Therefore, this impact will be less than significant. -8- XIII. UTILITIES AND SERVICE SYSTEMS. Plant life is limited to non-native and ornamental species, which are used for landscaping. Animal life in Vernon and nearby urban communities consists of bird, reptile and mammal species that live in close proximity to man. There are no endangered species in Vernon. There is no evidence or important examples of major periods of California history in Vernon. Therefore, the proposed vacation will create no impact. b) Does the project have the potential to achieve short-term, to the disadvantage of long-term, environmental goals? ❑ ❑ ❑ X b. and WHEREAS, on September 15, 2004, the City Council of the City of Vernon adopted Resolution No. 8534, declaring its intention to vacate a portion of Packers Avenue between Downey Road and Alcoa Avenue in the City of Vernon and setting a public hearing thereon for Wednesday, October 20, 2004, at 5:00 p.m.; and WHEREAS, notice of this hearing was published on October 4, 2004 and October 12, 2004, and was posted in locations in the vicinity of the street vacation in accordance with Section 8323 of the Streets and Highways Code of the State of California as well as on three official bulletin boards of the City of Vernon on and after October 4, 2004; and - 2 - i 1 WHEREAS, this matter was duly presented on the City 2 Council's agenda for October 20, 2004, at 5:00 p.m., at which time the 3 public hearing was continued until November 17, 2004, at which time 4 the public hearing was held; and 5 WHEREAS, the City of Vernon has provided notice of its 6 intent to adopt a negative declaration for the street vacation and has 7 provided a public review period of not less than 20 days, as required 8 by the California Environmental Quality Act ("CEQA") and the State 9 CEQA Guidelines; and 10 WHEREAS, the Community Services and Water Department has 11 performed an Initial Study to determine the potential adverse impacts 12 on the environment that may be caused by the proposed street vacation 13 and determined that the proposed street vacation will not have a 14 significant effect on the environment and recommended that a Negative 15 Declaration be adopted in compliance with CEQA; and 16 WHEREAS, in accordance with Section 711.4(c) of the Fish and 17 Game Code, no evidence has been found that the proposed street 18 vacation will have the potential for adverse effects on wildlife 19 resources, and is therefore exempt from the fees otherwise payable 20 under Section 711.4; and 21 WHEREAS, the street vacation is consistent with the General 22 Plan and Zoning Ordinance of the City of Vernon; and 23 WHEREAS, the City Council has heard and considered all 24 evidence, both written and oral, presented in consideration of the 25 proposed vacation of a portion of Packers Avenue between Downey Road 26 and Alcoa Avenue in the City of Vernon. 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 28 CITY OF VERNON AS FOLLOWS: - 3 - 1 SECTION 1: 'The City Council of the City of Vernon hereby 2 finds and determines that the recitals contained hereinabove are true 3 and correct. 4 SECTION 2: The City Council of the City of Vernon finds 5 that the portion of Packers Avenue between Downey Road and Alcoa 6 Avenue in the City of Vernon is no longer necessary for public road 7 purposes. 8 SECTION 3: The City Council of the City of Vernon finds 9 that the vacation of said portion of said street as described is in 10 the public interest. 11 SECTION 4: The City Council of the City of Vernon further 12 finds that all persons have had the opportunity to be heard or to file 13 written comments to the proposed Packers Avenue street vacation and 14 after due consideration of all the evidence submitted at the public 15 hearing determines that there are compelling reasons to justify 16 vacating a portion of Packers Avenue between Downey Road and Alcoa 17 Avenue in the City of Vernon. 18 SECTION 5: The City Council of the City of Vernon further 19 finds on the basis of the whole record before it (including the 20 initial study) that there is no substantial evidence that the street 21 vacation will have a significant effect on the environment 22 individually or cumulatively, and that the Negative Declaration 23 reflects the City's independent judgment and analysis, and on the 24 basis of said findings the City Council hereby approves and adopts the 25 Negative Declaration for the street vacation. 26 SECTION 6: Pursuant to Section 711.4(c) of the Fish and 27 Game Code, the City has found no evidence that the proposed street i 28 vacation will have the potential for adverse effects on wildlife - 4 - 1 resources and the street vacation is therefore exempt from the fees 2 otherwise payable under Section 711.4. 3 SECTION 7: The City Council hereby approves the Initial 4 Study and Environmental Checklist Form dated October 25, 2004, a copy 5 of which documents have been submitted to the City Council 6 concurrently herewith, and the City Clerk is directed to receive and 7 file them. Such documents and other materials which constitute the 8 record of proceedings in this matter shall be maintained in the office 9 of the City Clerk who is and shall be the custodian thereof. 10 SECTION 8: The City Council of the City of Vernon hereby 11 directs the City Clerk, or his designee, to file a Notice of 12 Determination and DeMinimis Impact Finding in regard to the 13 environmental impact of said street vacation. 14 SECTION 9: Pursuant to Chapter 3 of Part 3 of Division 9 15 (commencing with Section 8320) of the Streets and Highways Code of the 16 State of California, the City of Vernon hereby vacates Packers Avenue 17 excluding the easternmost 120 feet, between Downey Road and Alcoa 18 Avenue, in the City of Vernon, subject to the terms and conditions set 19 forth in the Final Agreement (Exhibit B), and reserving and excepting 20 the easements hereinafter described. 21 SECTION 10: The City Council of the City of Vernon hereby 22 reserves and excepts an easement for public utilities, installation, 23 and maintenance purposes in Packers Avenue. 24 SECTION 11: The City Council of the City of Vernon hereby 25 reserves and excepts an access easement for firefighting equipment and 26 for fire -inspection purposes in Packers Avenue. 27 SECTION 12: The City Council of the City of Vernon hereby 28 approves the Final Agreement with Masterfoods (Exhibit B) and ) N 01 - 5 - g 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 MA authorizes the Mayor and the City Clerk to execute said Final Agreement for, and on behalf of, the City of Vernon. SECTION 14: The City Council of the City of Vernon hereby authorizes the Mayor to execute a Quitclaim Deed conveying to Masterfoods those portions of the Fire access and public utility easements in Packers Avenue which are no longer needed as determined by the Director of Community Services & Water and approved by the City Council after the abandonment of public utilities, construction of (fire access road and installation of a private fire hydrant system to (replace the public fire hydrants on the vacated portion of Packers (Avenue. SECTION 15: The City Clerk shall not record this Resolution and the Mayor shall not execute said Quitclaim Deeds until Masterfoods has executed the Final Agreement (Exhibit B). SECTION 16: The City Council of the City of Vernon hereby accepts the deposit of $1,283,760.00 from Masterfoods as payment for the street right-of-way. Masterfoods agrees that the City will retain public utility easement rights in the abandoned portion of Packers Avenue for the purpose of removing and maintaining until their removal required necessary utilities and that the Fire Department will continue to have access for fire fighting purposes and inspection purposes; 3. Masterfoods agrees to continue to meet the fire protection requirements by maintaining the existing water line under Packers Avenue until an effective alternative fire protection system is approved by the City and installed by Masterfoods. That upon approval of said vacation, the City agrees to execute the Quitclaim Deed in the form attached hereto conveying to Masterfoods any interest the City has in said abandoned streets adjacent to Masterfoods property and releasing Masterfoods from further obligation to pay additional fees for the cost of the relocation of City owned utility facilities or the abandonment of useful assets; 2. The City agrees to execute a Quitclaim Deed to Masterfoods for that portion of the fire access easement and the public utility easement in the abandoned portion of Packers Avenue which is no longer required after relocation of the public utilities therein. Said relocation shall be made and said Deed executed as determined by the Director of Community Services with the approval of the City Council within a reasonable time after: 1) the relocation of City owned utilities; 2) the relocation or the execution of a separate easement for non -city owned public utilities; and 3) the striping of a fire access road and the installation of an alternative fire protection system in accordance with the California Codes to replace the City fire hydrant system in Packers Avenue. EXECUTION OF QUITCLAIM DEEDS TO MARS PETCARE US, INC. FOR SUCH EASEMENTS WHEREAS, Mars Petcare US, Inc. ("MARS") has requested the City of Vernon (the "City") to vacate.certain public service easements more particularly described in Exhibit A, attached hereto and incorporated herein by reference (the "Easements"), that are located within the City of Vernon; and WHEREAS, Section 8333 of the California Streets and Highways Code authorizes the City of Vernon to summarily vacate public service easements that have not been used for the purpose for which they were dedicated or acquired for five consecutive years immediately preceding the proposed vacation; and WHEREAS, the City reserved and excepted the Easements from the vacations authorized by Resolution Nos. 5511 and 8570, adopted on August 23, 1988 and November 17, 2004, respectively; and WHEREAS, the City has not used the Easements for the purposes for which they were reserved since 2004; and WHEREAS, by memorandum dated September 21, 2010, the Director of Community Services has recommended that the City vacate the Easements and execute quitclaim deeds in order to facilitate the transfer of the City's rights, title, interests and claims in the Easements to MARS (the "Deeds"). NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby orders the summary vacation of the Easements pursuant to Chapter 4, Article 1, Part 3, Division 9 of the California Streets and Highways Code (Section 8330 et seq.). SECTION 3: The City Council of the City of Vernon hereby approves the Deeds, copies of which are attached hereto as Exhibit B. SECTION 4: The City Council .of the City of Vernon hereby authorizes the.Mayor or Mayor Pro-Tem to execute the Deeds for, and on behalf of, the City of Vernon and the City Clerk or Deputy City Clerk are hereby authorized to attest thereto. SECTION 5: The City Council of the City of Vernon hereby authorizes the City Administrator, or his designee, to take whatever actions are deemed necessary or desirable for the purpose of implementing and carrying out the purposes of this Resolution and the actions herein approved or authorized. (MARS) owns the property generally bounded on the north by 44"' Street (vacated), the west by Alcoa Avenue, the east by Downey Road and the south by Packers Avenue. The City currently has rights to several easements that cross the Mars property. Mars is requesting that the City quitclaim the rights to certain portions of those easements to enhance the development potential of the property. These streets and alleys were originally dedicated for public use by the subdivision map of Tract No. 6056 in the County of Los Angeles dated July 30, 1923. Subsequently Mars (formerly Kai Kan Foods, Inc.) has obtained title to the majority of the property in this tract and requested that the City vacate the streets to the property to enhance development of the site. On April 12, 1962, by Board Order No. 22 the County of Los Angeles vacated certain alleys in the Mars property. On February 1, 1966 by Resolution No. 2813, the City annexed the Packers island which contains the Mars property. On October 6, 1983, the City Council by Resolution No. 5048 vacated public utility rights located in the Mars property, On August 23, 1988, by Resolution No. 5511, the City of Vernon vacated portions of 44`�' and 45`" Streets between Alcoa Avenue and Downey Road. On November 17, 2004, by Resolution No. 8570, the City vacated Packers Avenue between Alcoa Avenue and the alley 120 feet west of Downey Road. Within these streets and alleys the City continued to maintain easement rights for utility and fire access purposes. The City deeded all other property rights to Mars Petcare US, Inc. (MARS). Mars is now requesting that the City of Vernon quitclaim all it's easement rights to any alley within their property, fire access rights, on the portion of fonner 45"' Street east of the Los Angeles Department of Water and Power (LADWP) right of way to the alley 120 feet west of the west line of Downey Road and fire access rights in Packers Avenue fi-om Alcoa Avenue to the west line of the west line of the LADWP right of way and utility easement rights in 45"' Street and Packers Avenue fi-om Alcoa Avenue to the alley west of Downey Road. A review of engineering records and field verification by the City's Light and Power, Water, Gas, and . Community Service Department has been completed to verify that the City owned utilities in the subject area have been abandoned. In addition, the Fire Department has verified that the fire access road on 45"' Street from the LADWP to the east line of to the alley west of Downey Road and on Packers Avenue from Alcoa Avenue to the west line of the LADWP right of way are no longer necessary. It is therefore recommended that the City Quitclaim City Rights as follows: 1) Quitclaim utility rights in Packers Avenue. 2) Quitclaim utility rights in 45g' Street 3) Quitclaim fire access rights in 45"' Street from the east line of LADWP right of way to the west line of the alley west of Downey Road. 4) Quitclaim fire access rights in Packers Avenue from Alcoa Avenue to the west line of the LADWP right of way. 5) Quitclaim all rights in the vacated alleys of Tract No. 6065. 6) Quitclaim all electrical transmission and distribution lines easement rights in 45th Street and Packers Avenue gained from Southeast California Edison final Conservation Order November 2, 1967. Specifically it is recommended that: 1) Quitclaim deed, attached at Exhibit "1" and shown on Exhibit "2" be approved. This deed referred to as Exception 26, quitclaims the City's interests reserved in that certain alley, shown and dedicated on Tract No. 6056 recorded in Book 74 and 73 which lies northerly of lots 74 through 79 and 82 through 90 inclusive and the northerly half of lots southerly of lots 91 and 108. 2) Quitclaim Deed attached as Exhibit "3" and shown on Exhibit "4" be approved. This deed referred to as exception 30, quitclaims a portion of the City electrical transmission and distribution facilities rights gained :in final order of Condemnation No. 906 from Southern California Edison in Packers Avenue and 45"' Street between Alcoa Avenue and the alley east of lots 52, 53, and 116 of Tract No. 6065. 3) Quitclaim Deed attached as Exhibit "5" and shown on Exhibit "6" be approved. This deed referred to as Exception 32, quitclaims utility easements reserved in City of Vernon Resolution No. 2968 located in the alley north of lots 33 through 52 of Tract No. 6056. 4) Quitclaim Deed attached as Exhibit "7" and shown on Exhibit "8" be approved. and 12 WHEREAS, said portion of said street was dedicated for 13 public use by the subdivision map of Tract No. 6056 in the County of 14 Los Angeles dated July 30, 1923, in which Alcoa Avenue was previously 15 named Magnolia Street and widened by various deeds to the City of 16 Vernon, and is depicted on Exhibit A which is attached hereto and 17 incorporated by reference; and 18 WHEREAS, the City Council has examined the location, 19 purpose, and extent of said portion of said street and has reviewed 20 the conformity of said proposed vacation with the General Plan and the 21 Zoning Ordinance of the City of Vernon as required by California 22 Government Code Section 65402; and WHEREAS, the fire lanes and public utility easements in Packers Avenue will not be needed after relocation of the public utilities therein and the striping by Masterfoods of a fire access lane in accordance with the Fire Code on the property;.and WHEREAS, due to the minimal utilization of Packers Avenue and the availability of alternative routes, it is not in the public interest, now or in the future, to continue to maintain Packers Avenue; and WHEREAS, the City Council of the City of Vernon on September 15, 2004, gave tentative approval of the terms and procedures for the Final Agreement attached hereto as Exhibit B and incorporated by reference, and Masterfoods deposited the amount of $1,283,760 with the City in compliance therewith; and WHEREAS, on September 15, 2004, the City Council of the City of Vernon adopted Resolution No. 8534, declaring its intention to vacate a portion of Packers Avenue between Downey Road and Alcoa Avenue in the City of Vernon and setting a public hearing thereon for Wednesday, October 20, 2004, at 5:00 p.m.; and WHEREAS, notice of this hearing was published on October 4, 2004 and October 12, 2004, and was posted in locations in the vicinity of the street vacation in accordance with Section 8323 of the Streets and Highways Code of the State of California as well as on three official bulletin boards of the City of Vernon on and after October 4, 2004; and - 2 - i 1 WHEREAS, this matter was duly presented on the City 2 Council's agenda for October 20, 2004, at 5:00 p.m., at which time the 3 public hearing was continued until November 17, 2004, at which time 4 the public hearing was held; and 5 WHEREAS, the City of Vernon has provided notice of its 6 intent to adopt a negative declaration for the street vacation and has 7 provided a public review period of not less than 20 days, as required 8 by the California Environmental Quality Act ("CEQA") and the State 9 CEQA Guidelines; and 10 WHEREAS, the Community Services and Water Department has 11 performed an Initial Study to determine the potential adverse impacts 12 on the environment that may be caused by the proposed street vacation 13 and determined that the proposed street vacation will not have a 14 significant effect on the environment and recommended that a Negative 15 Declaration be adopted in compliance with CEQA; and 16 WHEREAS, in accordance with Section 711.4(c) of the Fish and 17 Game Code, no evidence has been found that the proposed street 18 vacation will have the potential for adverse effects on wildlife 19 resources, and is therefore exempt from the fees otherwise payable 20 under Section 711.4; and 21 WHEREAS, the street vacation is consistent with the General 22 Plan and Zoning Ordinance of the City of Vernon; and 23 WHEREAS, the City Council has heard and considered all 24 evidence, both written and oral, presented in consideration of the 25 proposed vacation of a portion of Packers Avenue between Downey Road 26 and Alcoa Avenue in the City of Vernon. 27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 28 CITY OF VERNON AS FOLLOWS: - 3 - 1 SECTION 1: 'The City Council of the City of Vernon hereby 2 finds and determines that the recitals contained hereinabove are true 3 and correct. 4 SECTION 2: The City Council of the City of Vernon finds 5 that the portion of Packers Avenue between Downey Road and Alcoa 6 Avenue in the City of Vernon is no longer necessary for public road 7 purposes. 8 SECTION 3: The City Council of the City of Vernon finds 9 that the vacation of said portion of said street as described is in 10 the public interest. 11 SECTION 4: The City Council of the City of Vernon further 12 finds that all persons have had the opportunity to be heard or to file 13 written comments to the proposed Packers Avenue street vacation and 14 after due consideration of all the evidence submitted at the public 15 hearing determines that there are compelling reasons to justify 16 vacating a portion of Packers Avenue between Downey Road and Alcoa 17 Avenue in the City of Vernon. 18 SECTION 5: The City Council of the City of Vernon further 19 finds on the basis of the whole record before it (including the 20 initial study) that there is no substantial evidence that the street 21 vacation will have a significant effect on the environment 22 individually or cumulatively, and that the Negative Declaration 23 reflects the City's independent judgment and analysis, and on the 24 basis of said findings the City Council hereby approves and adopts the 25 Negative Declaration for the street vacation. 26 SECTION 6: Pursuant to Section 711.4(c) of the Fish and 27 Game Code, the City has found no evidence that the proposed street i 28 vacation will have the potential for adverse effects on wildlife - 4 - 1 resources and the street vacation is therefore exempt from the fees 2 otherwise payable under Section 711.4. 3 SECTION 7: The City Council hereby approves the Initial 4 Study and Environmental Checklist Form dated October 25, 2004, a copy 5 of which documents have been submitted to the City Council 6 concurrently herewith, and the City Clerk is directed to receive and 7 file them. Such documents and other materials which constitute the 8 record of proceedings in this matter shall be maintained in the office 9 of the City Clerk who is and shall be the custodian thereof. 10 SECTION 8: The City Council of the City of Vernon hereby 11 directs the City Clerk, or his designee, to file a Notice of 12 Determination and DeMinimis Impact Finding in regard to the 13 environmental impact of said street vacation. 14 SECTION 9: Pursuant to Chapter 3 of Part 3 of Division 9 15 (commencing with Section 8320) of the Streets and Highways Code of the 16 State of California, the City of Vernon hereby vacates Packers Avenue 17 excluding the easternmost 120 feet, between Downey Road and Alcoa 18 Avenue, in the City of Vernon, subject to the terms and conditions set 19 forth in the Final Agreement (Exhibit B), and reserving and excepting 20 the easements hereinafter described. 21 SECTION 10: The City Council of the City of Vernon hereby 22 reserves and excepts an easement for public utilities, installation, 23 and maintenance purposes in Packers Avenue. 24 SECTION 11: The City Council of the City of Vernon hereby 25 reserves and excepts an access easement for firefighting equipment and 26 for fire -inspection purposes in Packers Avenue. 27 SECTION 12: The City Council of the City of Vernon hereby 28 approves the Final Agreement with Masterfoods (Exhibit B) and ) N 01 - 5 - g 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 MA authorizes the Mayor and the City Clerk to execute said Final Agreement for, and on behalf of, the City of Vernon. SECTION 14: The City Council of the City of Vernon hereby authorizes the Mayor to execute a Quitclaim Deed conveying to Masterfoods those portions of the Fire access and public utility easements in Packers Avenue which are no longer needed as determined by the Director of Community Services & Water and approved by the City Council after the abandonment of public utilities, construction of (fire access road and installation of a private fire hydrant system to (replace the public fire hydrants on the vacated portion of Packers (Avenue. SECTION 15: The City Clerk shall not record this Resolution and the Mayor shall not execute said Quitclaim Deeds until Masterfoods has executed the Final Agreement (Exhibit B). SECTION 16: The City Council of the City of Vernon hereby accepts the deposit of $1,283,760.00 from Masterfoods as payment for the street right-of-way. Masterfoods agrees that the City will retain public utility easement rights in the abandoned portion of Packers Avenue for the purpose of removing and maintaining until their removal required necessary utilities and that the Fire Department will continue to have access for fire fighting purposes and inspection purposes; 3. Masterfoods agrees to continue to meet the fire protection requirements by maintaining the existing water line under Packers Avenue until an effective alternative fire protection system is approved by the City and installed by Masterfoods. That upon approval of said vacation, the City agrees to execute the Quitclaim Deed in the form attached hereto conveying to Masterfoods any interest the City has in said abandoned streets adjacent to Masterfoods property and releasing Masterfoods from further obligation to pay additional fees for the cost of the relocation of City owned utility facilities or the abandonment of useful assets; 2. The City agrees to execute a Quitclaim Deed to Masterfoods for that portion of the fire access easement and the public utility easement in the abandoned portion of Packers Avenue which is no longer required after relocation of the public utilities therein. Said relocation shall be made and said Deed executed as determined by the Director of Community Services with the approval of the City Council within a reasonable time after: 1) the relocation of City owned utilities; 2) the relocation or the execution of a separate easement for non -city owned public utilities; and 3) the striping of a fire access road and the installation of an alternative fire protection system in accordance with the California Codes to replace the City fire hydrant system in Packers Avenue.
