Resolution No. 8609[ t 2 3 4 5 6 7 8 9 10 low 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 8609 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT BY AND BETWEEN THE CITY OF VERNON AND COALINGA MOTORS, INC. FOR THE PURCHASE OF A 2004 CHEVROLET SILVERADO FOR THE LIGHT & POWER DEPARTMENT WHEREAS, the Vernon Light & Power Department needs a new vehicle for use by its Gas Municipal Utility division for increased gas system operation requirements; and WHEREAS, Coalinga Motors, Inc. ("Coalinga") offered the City an outfitted 2004 CC25903 Chevrolet Silverado Utility Truck at a reduced price in order to expedite the sale of extra vehicles originally ordered by CalTrans; and WHEREAS, on December 1, 2004, the Finance Committee 1considered the recommendation of Bruce V. Malkenhorst, Director of Finance, dated November 23, 2004, to approve a contract with Coalinga for the purchase of a 2004 Chevrolet Silverado Utility Truck in order to take advantage of the discounted pricing offered by Coalinga and to authorize the issuance of a purchase order for the purchase of the vehicle; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into a contract with Coalinga. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby 11finds and determines that the recitals contained hereinabove are true 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Vehicle Purchase Contract with Coalinga Motors, Inc., a copy of which is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor and the City Clerk to execute the Contract for, and on behalf of, the City of Vernon. SECTION 4: The City Council of the City of Vernon hereby directs the City Clerk, or his designee, to send one fully executed Contract to: Coalinga Motors, Inc. Attn: Arnold Cain 625 E. Elm Avenue Coalinga, CA 93210-1514 SECTION 5: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. (hereinafter referred to as "Coalinga") 625 E. Elm Avenue Coalinga, CA 93210-1514 WHEREAS, the Vernon Light & Power Department needs a new vehicle for use by its Gas Municipal Utility division for increased gas system operation requirements; and WHEREAS, Coalinga offered the City an outfitted (emergency lighting and storage units) 2004 CC25903 Chevrolet Silverado vehicle at a reduced price in order to expedite the sale of extra vehicles initially ordered by Coalinga for CalTrans (the "Silverado"); and WHEREAS, the City desires to purchase the Silverado from Coalinga in order to take advantage of the discounted pricing. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET FORTH HEREIN: 1. Purchase. Coalinga agrees to sell to the City one new 2004 Chevrolet Silverado (VIN #1GBHC24U74E253994) in accordance with a proposal dated November 10, 2004 (the "Proposal"), a copy of 1 which is attached hereto as Exhibit A and incorporated by reference. 2 2. Price. Consistent with its Proposal, Coalinga agrees 3 to sell and deliver, subject to final inspection by the City, one new 4 2004 Chevrolet Silverado (VIN #1GBHC24U74E253994) for the total sum of 5 Twenty -Five Thousand Two Hundred Eighty -Four Dollars and Eighty -Eight 6 Cents ($25,284.88), plus sales tax, delivery charge and tire fee of 7 Two Thousand Two Hundred Sixty -Six Dollars and No Cents ($2,266.00). 8 3. Payment Terms. The City agrees to pay Coalinga a 9 total of Twenty -Five Thousand Two Hundred Eighty -Four Dollars and 10 Eighty -Eight Cents ($25,284.88), plus sales tax, delivery charge and 11 tire fee, for the purchase of the vehicle. Payment will be made 12 within twenty (20) days net of receipt of the vehicle. 13 4. Warranties. All manufacturers' warranties, and any 14 other warranties made applicable by law, shall apply to the City's 15 purchase of the above -referenced vehicle. 16 5. General Provisions. 17 A. Governing Law. The laws of the State of 18 California shall govern the rights, obligations, duties and 19 liabilities of the parties to this Contract and shall also govern the 20 interpretation of this Contract. 21 B.
