A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
FOURTH AMENDMENT TO EQUIPMENT PURCHASE AND
PROFESSIONAL SERVICES CONTRACT BY AND BETWEEN THE
CITY OF VERNON AND GALLIERA INC. DBA TRICO
CONSTRUCTION FOR THE MALBURG GENERATING STATION

8 WHEREAS, the City of Vernon ("City") is constructing a 134
9 MW Combined Cycle Power Plant, the Malburg Generating Station (the
10 "Malburg Project"), for the purpose of installing additional
11 generating capacity that will yield an efficient, cost-effective, and
12 reliable source of electric generation to the City's inhabitants; and
13 WHEREAS, on July 28, 2004, the City Council of the City of
14 Vernon adopted Resolution No. 8493 approving an Equipment Purchase and
15 Professional Services Contract (the "Contract") with Galliera Inc., dba
16 Trico Construction ("Trico") for the purchase of equipment to integrate
17 the Malburg Project into the Vernon Electrical System, and to provide
18 the necessary installation and testing services (the "Electrical
19 Interconnect Upgrade") for the Malburg Project; and
20 WHEREAS, on September 15, 2004, the City Council of the City
21 of Vernon adopted Resolution No. 8535 approving a First Amendment to
22 the Contract to modify the amount of the Payment and Performance Bond
23 under the Contract; and
24 WHEREAS, on October 6, 2004, the City Council of the City of
25 Vernon adopted Resolution 8552 approving a Second Amendment to the
26 Contract to amend the scope of services and to provide credits for
27 costs associated with materials and the Payment and Performance Bond;
28 and

1 WHEREAS, on November 17, 2004, the City Council of the City
2 of Vernon adopted Resolution No. 8596 approving a Third Amendment to
3 the Contract to amend the scope of services and to provide credits for
4 costs associated with materials; and
5 WHEREAS, the City and Trico desires to amend the Contract to
6 expand the scope of services and adjust the compensation accordingly;
7 and
8 WHEREAS, on January 19, 2005, the Finance Committee
9 considered the recommendation of Bruce V. Malkenhorst, Director of
10 Finance, dated January 6, 2005, that an amendment to the Contract be
11 approved and executed.
12 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
13 CITY OF VERNON AS FOLLOWS:
14 SECTION 1: The City Council of the City of Vernon hereby
15 finds and determines that the recitals contained hereinabove are true
16 and correct.
17 SECTION 2: The City Council of the City of Vernon hereby
18 approves the Fourth Amendment to the Equipment Purchase and
19 Professional Services Contract with Galliera Inc., dba Trico
20 Construction, a copy of which is attached hereto as Exhibit A and
21 incorporated by reference.
22 SECTION 3: The City Council of the City of Vernon hereby
23 authorizes the City Administrator to execute said Amendment for, and
24 on behalf of, the City of Vernon.
25 SECTION 4: The City Council of the City of Vernon hereby
26 authorizes the City Administrator to execute any and all documents
27 necessary to implement and carry out the purposes specified in the
28 Amendment on behalf of the City of Vernon and to perform such other

The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed

RECITALS

WHEREAS, City and Trico entered into that certain Equipment
18
Purchase and Professional Services Contract dated July 29, 2004, as
19
amended on September 15, 2004, October 6, 2004 and November 17, 2004
20
(collectively the "Contract"), pursuant to which the parties agreed
21

that Trico would provide and install electrical equipment, protection
systems and various control circuits to expand, upgrade, and replace
various transformers, racks, switchracks, switches, conduits, circuit
24
breakers, and associated conductors, insulators, wiring, and hardware
25
necessary to integrate the Malburg Generating Station into the Vernon
26
Electrical System, and to provide installation and testing services in
27
connection with such upgrades (COllectively, the "Electrical
28
Interconnect Upgrade"), on terms and conditions described in the

1 Contract; and
2 WHEREAS, City and Trico have agreed that it would be in the
3 best interest of City to amend the terms of the Contract to expand the
4 scope of services to be provided by Trico and to perform additional
5 work and provide additional materials and services under the terms of
6 the Contract.
7 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
8 FORTH HEREIN:
9 SECTION 1: Additional Services Required. City and Trico
10 acknowledge and agree that the additional services (CE9, CE18, CE19
11 and CE21) described ~n Exhibit A to this Amendment, a copy of which is
12 attached hereto and incorporated herein by this reference
13 (collectively, the "Additi~nal Services"), are required in connection
14 with the Malburg Generating Station Project (the "Project").
15 The Additional Services constitute work that was not
16 originally contemplated by the parties, and is now determined by the
17 parties to be necessary to the Project. This ,Amendment is entered
18 into solely for the purpose of evidencing the City's approval of the
19 items listed in Exhibit A. The parties specifically acknowledge and
20 agree that this Amendment is not intended to and does not evidence the
21 City's approval or Trico's waiver or settlement of any reference to or
22 description of or claim in regard to a time delay or schedule impact
23 that may be set forth in any of the Trico's cost estimates, whether or
24 not listed in Exhibit A, all of which are subject to review and
25 evaluation by the City. Trico hereby waives any claim that the City's
26 execution of this Amendment or payment of the Additional Cost (as
27 described below) constitutes the City's express or implied agreement
28 to any reference in any of the Trico's cost estimates related to time

delays or schedule impacts.
SECTION 2: Cost of Additional Services. The City and
Trico agree that the total cost for all labor and materials for the
Additional Services is $273,848.34 (the "Additional Cost"). The
Additional Cost is payable on the terms of the Contract.
SECTION 3: Terms of Additional Services. All Additional
Services are to be provided in accordance with the terms of the
Contract, are to meet the standards and specifications and quality of
work provisions set forth in the Contract, and are to be covered by
the same warranties or guarantees, if any, that are set forth in the
Contract.
SECTION 4: Approval by City. This Amendment shall be
executed by a duly authorized representative of City following
approval of the terms of this Amendment by City in accordance with
City policies and procedures.
SECTION 5: Remainder of Agreement. Except as specifically
modified herein, all terms and conditions of the Contract are
full force and effect, and are hereby

Yesterday, Jim Bruschemcalled and requested pricing for a 7O-ton crane and a rigging crew of two
men. This is a follow up letter to our telephone conversation.
Per our conversation. the straight time hourty rental rate of the 7o-ton crane win be $250.00, portal to
portal, with a four hour minimum. In addition to the crane. a counterweight vehicle is required. The
straight time cost of this vfehlcle wl1l be $360.00 for the day.
The straight time hourfy rate for the rigging creN of two men is $205.00, with a four hour minimum.
The rigging aew is paid in two hour increments after the four hour minimum Is met In other VJOrds.
yOu will be charged either four hours, six hours, or eight hours for the rigging crew.

Work Description
The bas/$ for this Change Order Credit Is for the deletion of contract work due to the change In routing of Jow voltage ductbanks.
ITEM #1 - The 4-5" conduit ductbaok from Pun Box tu to Pull Box #7 was deleted in favor of routing the conduits fr'om the low voltage
cable lrench to Pull Sox tf7. The difference in length between the two routes is IJPproximately forty f~t (401' ."
ITEM #12. - The 3CJ..2- conduits trom Pull Box #6 10 the outdoor 7.2kv SWitchgear was deleted in favor of installing the 3'x3~X1' j-boxes
on the side of the outdoor 7.2kv Switchgear. The 4-5" conduits from the existing ductbank and the 6-4- conduits from the 'low voltage
cable trench ~placed the 30-2" conduits.
The materials for this installation have already been purchased and WIll be tumed over to the City of Vernon at their convenience.
This credit will be for labor only. All excavation, backfill. compaction. re-bar, concrete. and shoring is excluded from this credit.

ITEM #2 . The installation of 6-4"conduits from the low voltage cable trench to the junction box on the side of the 7 .2kv Switchgear,

5 PROFESSIONAL SERVICES CONTRACT (this "Amendment") is made, entered
6 into and executed in duplicate originals, either copy of which may be
7 considered and used as the original hereof for all purposes, as of
8 this 19th day of January, 2005, in the City of Vernon, County of Los

RECITALS

WHEREAS, City and Trico entered into that certain Equipment

Purchase and Professional Services Contract dated July 29, 2004, as
19
amended on September 15, 2004, October 6, 2004 and November 17, 2004

(collectively the "Contract"), pursuant to which the parties agreed
that Trico would provide and install electrical equipment, protection
22
systems and various control circuits to expand, upgrade, and replace
23

various transformers, racks, switchracks, switches, conduits, circuit
breakers, and associated conductors, insulators, wiring, and hardware
necessary. to integrate the Malburg Generating Station into the Vernon
Electrical System, and to provide installation and testing services in
connection with such upgrades (collectively, the "Electrical

Interconnect Upgrade"), on terms and conditions described in the
1 Contract; and
2 WHEREAS, City and Trico have agreed that it would be in the
3 best interest of City to amend the terms of the Contract to expand the
4 scope of services to be provided by Trico and to perform additional
5 work and provide additional materials and services under the terms of
6 the Contract.
7 .NOW, THERE~ORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
8 FORTH HEREIN:
9 SECTION 1: Additional Services Required. City and Trico
10 acknowledge and agree that the additional services (CE9, CE18, CE19
11 and CE21) described in Exhibit A to this Amendment, a copy of which is
12 attached hereto and incorporated herein by this reference
13 (collectively, the "Additional Services"), are required in connection
14 with the Malburg Generating Station Project (the "Project").
15 The Additional Services constitute work that was not
16 originally contemplated by the parties, and is now determined by the
17 parties to be necessary to the Project. This Amendment is entered
18 into solely for the purpose of evidencing the City's approval of the
19 items listed in Exhibit A. The parties specifically acknowledge and.
20 agree that this Amendment is not intended to and does not evidence the
21 City's approval or Trico's waiver or settlement of any reference to or
22 description of or claim in regard to a time delay or schedule impact
23 that may be set forth in any of the Trico's cost estimates, whether or
24 not listed in Exhibit A, all of which are subject to review and
25 evaluation by the City. Trico hereby waives any claim that the City's
26 execution of this Amendment or payment of the Additional Cost (as
27 described below) constitutes the City's express or implied agreement
28 to any reference in any of the Trico's cost estimates related to time

delays or schedule impacts.
SECTION 2: Cost of Additional Services. The City and
Trico agree that the total cost for all labor and materials for the
Additional Services is $273,848.34 (the "Additional Cost"). The
Additional Cost is payable on the terms of the Contract.
SECTION 3: Terms of Additional Services. All Additional
Services are to be provided in accordance with the terms of the
Contract, are to meet the standards and specifications and quality of
work provisions set forth in the Contract, and are to be covered by
the same warranties or guarantees, if any, that are set forth in the
Contract.
SECTION 4: Approval by City. This Amendment shall be
executed by a duly authorized representative of City following
approval Qf the terms of this Amendment by City in accordance with
City policies and procedures.
SECTION 5: Remainder of Agreement. Except as specifically
modified herein, all terms and conditions of the Contract are
full force and effect, and are hereby

Yesterday. Jem 8nJschera . called and requested pricing for a 10-t0n crane and a rigging crew of tYiO
men. This is a follow up letter to our telephone conversation.
Per our conversation. the straight time hourty rental rate of the 7o-1on crane wiD be $260.00, portal to
portal, with a four hour minimum. In addition to the crane, a counterweight vehicle is required. The
straight tine cost of this viehicle will be $360.00 for the day.
The straight time hourly rate for the rigging crrNI of two men is $205.00, with a four hour minimum.
The" rigging aew is paid in two hour incremen1s after the four hour minimum is met In other \'VOros.
you wiD be charged eitherfour hours, six hours, or eight hours for the rigging crew.

The basis for this lump Sum Change Order request is for:
ITEM #1 . The. ill$tallation of 4-5" conduits from an existing low voltage duct bank to the junction box side of the 7.2kv Outdoor
Switchgear. Also included is the Installation of two 3"X3,)(1' Nema 3R Jundioo boxes and 2-4" conduits info the switchgear.
ITEM #2 - The installation of 6-4" conduits from the low voltage c:abIe trendt to the jUnction box on the side of the 7.2kv sWitchgear,
Is negated by the deletion of the c;:ontract work involving 6-4" conduits trom the eJCisting low voltage dudbank to PuR Box 16.
The exception to thi$ is the core drilling of 6-4~ needed at the cable trench and the above ground conduit installation (2-4") Into the
Switchgear. AI excavation, compaction. re-bat, concrete, and shoring witI be by others.
