A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN
AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES BY
AND BETWEEN THE CITY OF VERNON AND TECS
ENVIRONMENTAL COMPLIANCE SERVICES, INC.

7 WHEREAS, the City of Vernon is a co-permittee with Los
8 Angeles County in Municipal Storm Water Permit Order No. 96-054; and
9 WHEREAS, all storm water permittees are required to comply
10 with the National Pollution Discharges Elimination System ("NPDES")
11 requirements, which are expected to become more complex in the future
12 because of additional reporting requirements and the implementation of
13 Total Maximum Daily Load levels; and
14 WHEREAS, in order to satisfy NPDES requirements and comply
15 with all the requirements of the State Water Quality Control Board
16 (the "Board"), the City of Vernon needs to continue its existing
17 compliance program and obtain specialized training for the latest
18 developments in the various programs the City must comply with; and
19 WHEREAS, TECS Environmental Compliance Services, Inc.
20 ("TECS") has provided services to the City of Vernon in the past
21 relating to the implementation and administration of its NPDES
22 compliance program; and
23 WHEREAS, as a result of TECS' past services to the City, it
24 should be able to more efficiently and effectively provide the
25 services now required by the City; and
26 WHEREAS, by letter dated February 2, 2005, Bruce V.
27 Malkenhorst, the City Administrator/City Clerk, recommended that an
28 agreement with TECS be approved and executed; and
1 WHEREAS, the City Council of the City of Vernon has
2 determined that, pursuant to the provisions of subsection (a) of
3 Section 2.27 of the Vernon City Code, it is in the public interest and
4 necessity to enter into a contract with TECS for the implementation
5 and administration of Vernon's NPDES compliance program to enhance
6 services provided to the Vernon community.
7 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
8 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby
10 finds and determines that the recitals contained hereinabove are true
11 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
13 approves the Agreement for Professional Consulting Services, a copy
14 of which is attached hereto as Exhibit A and incorporated by
15 _reference.
16
SECTION 3:
The City Council of the City of Vernon hereby
17 authorizes the Mayor to execute said Agreement for, and on behalf of,
18 the City of Vernon and the City Clerk is hereby authorized to attest
19 thereto.
20
SECTION 4:
The City Council of the City of Vernon hereby
21 directs the City Clerk, or his designee, to send one fully executed
22 Agreement to:

RECITALS

WHEREAS, the City is a co-permittee with Los Angeles County

recently become increasingly more complex with the issuance of a new

permit on December 13, 2001; and

WHEREAS, Consultant has expertise in the area of
27
environmental compliance, including NPDES compliance; and
28
WHEREAS, Consultant has assisted the City with meeting its

compliance requirements including those established by the State
Water Quality Control Board; and
WHEREAS, it remains more cost effective to have Consultant
assist the City in the implementation and administration of its NPDES
compliance program; and
WHEREAS, the City desires to continue to retain the
services of Consultant; and
WHEREAS, Consultant submitted a proposal to the City dated
August 23, 2004 (hereinafter referred to as "the Proposal"), which
includes a description of the proposed services and a cost of the
services for the 200~-2005 permit year; and
WHEREAS, Consultant represents that it is qualified to
perform such services under this Agreement for Professional
Consulting Services (hereinafter referred to as "the Agreement").
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
I. Scope of Services.
Consultant shall perform services as outlined in the
Proposal, which is attached hereto as Exhibit A and incorporated by
reference. Consultant shall provide said services at the time,
place, and in the manner specified in the Proposal, subject to the
direction of the City, through its staff, as may, be provided from
time to time. Such services shall include the followings identified
tasks: (1) Program Management, (2) Development Planning, (3)
Development Construction, (4) Illicit Connection/Discharge, (5)
Public Agency Program, (6) Public Information, (7) TMDL Compliance
and (8) Web Site Development. It is understood and agreed that in
the event of a conflict between the Proposal and this Agreement, the

terms of this Agreement shall prevail.
Consultant agrees that all services provided will be
conducted by the principal and, if staff members or subcontractors
are used, their work will be under the supervision of the principal.
Consultant shall undertake and carryon the work diligently to
conclusion, using that standard of care, skill, and diligence
normally provided by professional person in the performance of such
services.
II. Time of Performance.
Consultant's services herewith shall commence upon signing
of this Agreement and shall be completed according to the schedule
set forth in the Proposal, unless otherwise terminated or extended.
III. Compensation.
1. Services. The City shall compensate Consultant
for actual effort expended on a time and material basis -in accordance
with the fee schedule set forth in the Proposal. The total
compensation shall not to exceed Thirty-Eight Thousand Dollars
($38,000.00) for the 2004-2005 permit year.
2. Expenses. Expenses may be billed but only if
given advance approval in writing by the City Administrator.
IV, Method of Payment.
Within thirty (30) days after the last day of any month in
which services have been performed or costs incurred hereunder,
Consultant shall submit an invoice to the City stating the amount due
Consultant. The invoice shall also contain an itemization of
services rendered for which compensation is due (i.e" the services
performed, the date the services were performed, the number of hours
spent and by whom), directly related job expenses and charges.

Payment of the invoice shall be made after acceptance and approval by
the City within thirty (30) days.
In the event that Consultant is allowed to use
subcontractors, Consultant shall be responsible for paying any sub-
contractors used in the performance of this Agreement. Sub-
contractors shall not bill City directly.
v. Changes and Extra Services.
The City reserves the right to request changes in the
services to be performed by Consultant. All such changes shall be
incorporated in written change orders executed by the City and
Consultant that shall specify the changes ordered and the adjustment
of compensation and completion time required thereof.
Any services added to the scope of this Agreement by a
change order shall be executed under all applicable conditions of
this Agreement. No claim for additional compensation or extension of
time shall be recognized unless contained in a duly executed change
order.
VI. Confidential Information
1. Access to Confidential Information. The City may
provide Consultant and/or its subcontractors with, or allow
Consultant access to, certain information not available to the public
concerning the City, or businesses located in the City. The
information may include company information, taxes, sales, value of
assets, or other such information. All such information shall be
known as "Confidential Information" and may not be used to circumvent
the responsibility of either party to this Agreement.
2. No Disclosure. Except as expressly permitted,
Consultant and/or its subcontractors shall not disclose, permit the

disclosure of, release, disseminate, or transfer, whether orally or
by any other means, any part of such Confidential Information to any
other person or entity, whether corporate, governmental, or
individual, without the express prior written consent of an
authorized representative of the City. Consultant and/or its
subcontractors shall return any written Confidential Information, and
all copies made of such items, to the City upon the City's written
request, but in any event not later than the date that Consultant has
performed all services to be performed pursuant to this Agreement.
Consultant hereby agrees that such Confidential Information and any
documents provided m?y be used by Consultant and/or its
subcontractors only as authorized by the City. Contractor shall
include a contract provision in its contracts with subcontractors
that binds the subcontractors to this non-disclosure requirement.
Consultant shall take reasonable measures to avoid any disclosure of
any such Confidential Information to any unauthorized person.
3. Court Ordered Disclosure. Consultant shall
immediately notify the City of any court order or subpoena requiring
disclosure of Confidential Information, and shall cooperate with the
City's legal counsel in responding to any such order or subpoena.
Consultant may only disclose Confidential Information required to be
disclosed pursuant to court order or subpoena after legal counsel has
exhausted any lawful and timely appeal or challenge.
4. Remedies. In addition to any other remedies that
it may have at law or in equity, the City shall be entitled to a
temporary and permanent injunction by a court of competent
jurisdiction against any breach or threatened breach of the
Confidential Information provisions of this Agreement. Consultant

acknowledges that in case of such breach or threatened breach, the
City would have no adequate remedy at law.
VII. Indemnity and Insurance.
1. Indemnification of City. Consultant shall
indemnify, defend, protect and hold the City and its officers, agents
and employees, free and harmless from and against any and all claims,
demands, losses, damages, liabilities, fines, charges, penalties,
ord~rs, judgments, and all costs and expenses incurred in connection
therewith, including reasonable attorney's fees and costs of defense
arising out of the negligent services performed under this Agreement,
except to the extent,arising from or caused by the negligence or
willful misconduct of City, its officers, agents or employees.
2. Insurance. Prior to commencing work hereunder,
Consultant shall provide the City with proof of insurance providing
and maintaining the coverage and endorsements set forth in the
Insurance Schedule attached hereto as Exhibit "B" and made a part
hereof by reference. Said proof of insurance shall also provide that
said policy or policies shall not be cancelled or materially reduced
in coverage without giving at least thirty (30) days prior written
notice to the City.
If Consultant employs subcontractors as part of the
Services rendered, Consultant's protective coverage is required.
Consultant shall not permit a subcontractor or vendor to perform work
on City premises unless and until a certificate of insurance is
obtained showing that such subcontractor or vendor has worker's
compensation coverage.
Consultant may include all subcontractors as insureds
under its own policy or shall furnish separate insurance for each

1 subcontractor, meeting the requirements set forth herein.
2 VIII. General Provisions.
3 1. Independent Contractor. At all times during the
4 term of this Agreement, Consultant shall be an independent contractor
5 and shall not be an employee of the City. The City shall have the
6 right to control Consultant only insofar as the results of
7 Consultant's services rendered pursuant to this Agreement; however,
8 th~ City shall not have the right to control the means by which
9 Consultant accomplishes services rendered pursuant to the Agreement
10 except to the extent that such services involve the use of the City's
11 property or Confidential Information.
12 2. Consultant not Agent. Except as the City may
13 specify in writing, Consultant shall have no authority, express or
14 implied, to act on behalf of the City in any capacity whatsoever as
15 an agent. Consultant shall have no authority, expressed or implied,
16 pursuant to this Agreement to bind the City to any obligation
17 whatsoever.
18 3. Products of Consulting.
19 a. All products of consulting services produced
20 by Consultant or its subcontractors, with the exception of computer
21 software that may be developed by Consultant, shall become the
22 property of the City and the original copies shall be delivered to
23 the City before the end of the performance of this Agreement. Copies
24 of all vicinity maps, field summary reports, field memoranda, field
25 and laboratory test results, and final reports shall be made
26 available to the City, Computer software shall remain the property of
27 Consultant and/or its subcontractors, except for the City's continued
28 right to use said software at no extra cost.

1 b. All samples shall remain the property of the
2 City, and the City shall promptly at its cost remove and lawfully
3 dispose of samples, cuttings and hazardous materials, unless
4 otherwise agreed in writing. If appropriate, Consultant shall
5 preserve samples obtained for the project for not longer than sixty
6 (60) days after the issuance of any document that includes the data
7 obtained from those samples.
8 4. Assignment and Subcontracting Prohibited.
9 Consultant may not assign or subcontract any right or obligation
10 pursuant to this Agreement except with the express written consent of
11 the City. Any other,attempted or purported assignment of any right
12 or obligation pursuant to this Agreement shall be void and of no
13 effect.
14 5. Termination. This Agreement may be terminated by
15 the City without cause on fifteen (15) days written notice to
16 Consultant. Consultant shall be entitled to the compensation earned
17 by it prior to the date of the termination notice, plus compensation
18 for authorized work performed during the fifteen-day notice period in
19 the termination notice.
20 6. Notices. Notices to the parties, unless
21 otherwise requested, in writing shall be ,sent to the addresses listed
22 on the first page of this Agreement.
23 7. Recitals. All recitals are incorporated by
24 reference.
25 8. Entire Agreement. This Agreement constitutes the
26 complete and final expression of the agreement of the parties and is
27 intended as a complete and exclusive statement of the terms of their
28 agreements and supersedes all prior and contemporaneous offers,

1 promises, representations, negotiations, discussions, communications
2 and agreements which may have been made in connections with the
3 subject matter hereof. All exhibits are incorporated by reference.
4 Consultant represents that in entering into this Agreement, it has
5 not relied on any previous representations or understandings of any
6 kind or nature.
7 9. Governing Law. The validity, interpretation and
8 pe~formance of this Agreement shall be controlled and construed under
9 the laws of the State of California as enacted and in force at the
10 time this Agreement if fully executed.
11 10. J;3enefi t of Agreement. This Agreement shall bind
12 and benefit the parties hereto and their heirs, successors, and
13 permitted assigns.
14 11. Waiver. Any waiver at any time by either party
15 of its rights with respect to a default under this Agreement, or with
16 respect to any other matters arising in connection with this
17 Agreement, shall not be deemed a waiver with respect to subsequent
18 default or other matter.
19 12. Amendment, All changes or modifications to this
20 Agreement shall be in writing stating that it is an amendment to this
21 Agreement and shall be signed by the parties or their duly authorized
22 agents. This Agreement shall not be modified through course of
23 dealing, usage or trade.
24 13. Forum Selection. Any action brought relating to
25 this Agreement shall be brought and held exclusively in a State Court
26 in the County of Los Angeles, California.
27 14. Force Majeure. Neither Party shall be considered
28 to be in default in any of its obligations under this Agreement when

a failure of performance shall be due to an uncontrollable force.
The term "uncontrollable force" shall mean any cause beyond the
control of the party affected, including, but not restricted to,
flood, earthquake, storm, fire, lightening, epidemic, war, riot,
civil disturbance or disobedience, labor dispute, labor material
shortage, sabotage, federal, state, or municipal action, statute,
ordinance, or regulation, embargoes of the United States Government
or ,any other government, which by exercise of due diligence such
party could not reasonably have been expected to avoid and by
exercise of due diligence has been unable to overcome. Either party
rendered unable to f~lfill any of its obligations under this Agreement
by reason of an uncontrollable force, shall give written notice
within five (5) business days of such fact to the other party and
shall exercise due diligence to remove such inability with all
reasonable dispatch.
15. Conflicts of Interest.
In the event that a potential conflict should arise
between the interests of City and the interests of anyone of
Consultant's other clients, during Consultant's performance of
services under this Agreement, Consultant shall notify City of such
potential conflict. Notice of the existence of a potential conflict
of interest shall be given in writing to City within ten (10) days of
the perceived conflict. The conflict of interest letter shall
specify when the potential conflict arose, the identity of the other
party(ies) and the facts that give rise to the potential conflict.
In the event that a potential conflict of interest is deemed by City
to be an actual conflict of interest, City may, at its discretion,
terminate this Agreement immediately.

Dear Mr. Natsuhara:
TEes Environmental is pleased to propose its services to assist. the City of I
Vernon comply with municipal NPDES permit requirements for. the 2004-2005 .
permit year. TECS proposes to perform the tasks specified in the attached
proposal for a'not-to-exceed cost of $30,000 to $38,000.
The variance in cost is due to optional tasks that the City may wish TECS
Environmental to perform. Such optional tasks. include developing a runoff pollution
prevention web site that would facilitate implementation of a number of program
tasks, including development construction, development construction, illicit
connection/discharge reporting and response, and public education/information
outreach.
Thank you once again for giving TECS Environmental the opportunity to propose
its services to you. I look forward to discussing this proposal with you more fully in
the near future.

I. Municipal Agency Program Training (optional for this permit year because

employees in targeted positions, whose interactions, jobs, and activities affect storm
water quality regarding the requirements of the storm water management program.
Permittees may train more frequently as an option,
Audience: Training is specifically for municipal employees engaged in the following
maintenance- related activities: sewer, storm drain, vehicle and other equipment, park,
landscaping, and swimming pool maintenance.
Purpose: Identify and describe best management practices (BMPs) that operate to
reduce pollutant discharges:associated with the above municipal activities.
Approximate Date: Between Spring and Summer of 2005 or at the convenience of
the City.
Approximate Training Time: 3-4 hours.
II. Development Planning Training (BMP-oriented)
Permit Requirement: Each Permittee shall train its employees in targeted positions
(whose jobs or activities are engaged in development planning) regarding the
development planning requirements on an annual basis beginning no later than August 1,
2002, and more frequently if necessary. For Permittees with a population of 250,000 or
more (2000 U.S. Census), training shall be completed no later than February 3, 2003.
Audience: Training is specifically for public works, planning, building and safety,
engineering, and code enforcement personnel (if enforcement includes construction
sites).
Purpose: Identify and describe best management practices (BMPs) that operate to
reduce pollutant discharges associated with specific types of completed construction
projects,
Approximate Date: November of 2005 or at the convenience of the City.
Approximate Training Time: 3-4 hours.

IV. Illicit Connection and Discharge Detection and Elimination
Permit Requirement: All Permittees shall train all targeted employees who are
responsible for identification, investigation, termination, cleanup, and reporting of illicit
connections and discharges. For Permittees with a population of less than 250,000
(2000 U.S. Census), training shall be completed no later than August 1, 2002. For
Permittees with a population of 250,000 or more (2000. U.S, Census), training shall be
completed no later than February 3, 2003. Furthermore. all Permittees shall conduct
refresher trainino on an annual basis thereafter.
Audience: Training is specifically for all municipal personnel who are primarily or
secondarily responsible for reporting suspect or actual illicit connections or discharges.
Purpose: Identify and describe best management practices (BMPs) that operate to

RECITALS

WHEREAS, the City is a co-permittee with Los Angeles County
in Municipal Storm Water Permit Order No. 96-054; and
WHEREAS, all storm water permittees are required to comply
with the National Pollution Discharge Elimination System ("NPDES")

requirements; and

WHEREAS, in order to satisfy NPDES requirements, the City
22
will have to continue its existing compliance program; and
23
WHEREAS, the NPDES requirements are very complex and have
24
recently become increasingly more complex with the issuance of a new
25
permit on December 13, 2001; and
26
WHEREAS, Consultant has expertise in the area of
27
environmental compliance, including NPDES compliance; and
28
WHEREAS, Consultant has assisted the City with meeting its

compliance requirements including those established by the State
Water Quality Control Board; and
WHEREAS, it remains more cost effective to have Consultant
assist the City in the implementation and administration of its NPDES
compliance program; and
WHEREAS, the City desires to continue to retain the
services of Consultant; and
WHEREAS, Consultant submitted a proposal to the City dated
August 23, 2004 (hereinafter referred to as "the Proposal"), which
includes a description of the proposed services and a cost of the
services for the 2004-2005 permit year; and
WHEREAS, Consultant represents that it is qualified to
perform such services under this Agreement for Professional
Consulting Services (hereinafter referred to as "the Aqreement").
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
I. Scope of Services.
Consultant shall perform services as outlined in the
Proposal, which is attached hereto as Exhibit A and incorporated by
reference. Consultant shall provide said services at the time,
place, and in the manner specified in the Proposal, subject to the
direction of the City, through its staff, as may be provided from
time to time. Such services shall include the followings identified
tasks: (1) Program Management, (2) Development Planning, (3)
Development Construction, (4) Illicit Connection/Discharge, (5)
Public Agency Program, (6) Public Information, (7) TMDL Compliance
and (8) Web Site Development. It is understood and agreed that in
the event of a conflict between the Proposal and this Agreement, the

terms of this Agreement shall prevail.
Consultant agrees that all services provided will be
conducted by the principal and, if staff members or subcontractors
are used, their work will be under the supervision of the principal.
Consultant shall undertake and carryon the work diligently to
conclusion, using that standard of care, skill, and diligence
normally provided by professional person in the performance of such
services.
II. Time of Performance.
Consultant's services herewith shall commence upon signing
of this Agreement and shall be completed according to the schedule
set forth in the Proposal, unless otherwise terminated or extended.
III. Compensation.
1. Services. The City shall compensate Consultant
for actual effort expended on a time and material basis in accordance
with the fee schedule set forth in the Proposal. The total
compensation shall not to exceed Thirty-Eight Thousand Dollars
($38,000.00) for the 2004-2005 permit year.
2. Expenses. Expenses may be billed but only if
given advance approval in writing by the City Administrator.
IV. Method of Payment.
Within thirty (30) days after the last day of any month in
which services have been performed or costs incurred hereunder,
Consultant shall submit an invoice to the City stating the amount due
Consultant. The invoice shall also contain an itemization of
services rendered for which compensation is due (i.e., the services
performed, the date the services were performed, the number of hours
spent and by whom), directly related job expenses and charges.

Payment of the invoice shall be made after acceptance and approval by
the City within thirty (30) days.
In the event that Consultant is allowed to use
subcontractors, Consultant shall be responsible for paying any sub-
contractors used in the performance of this Agreement. Sub-
contractors shall not bill City directly.
V. Changes and Extra Services.
The City reserves the right to request changes in the
services to be performed by Consultant. All such changes shall be
incorporated in written change orders executed by the City and
Consultant that shall specify the changes ordered and the adjustment
of compensation and completion time required thereof.
Any services added to the scope of this Agreement by a
change order shall be executed under all applicable conditions of
this Agreement. No claim for additional compensation or extension of
time shall be recognized unless contained in a duly executed change
order.
VI. Confidential Information
1. Access to Confidential Information. The City may
provide Consultant and/or its subcontractors with, or allow
Consultant access to, certain information not available to the public
concerning the City, or businesses located in the City. The
information may include company information, taxes, sales, value of
assets, or other such information. All such information shall be
known as ~Confidential Information" and may not be used to circumvent
the responsibility of either party to this Agreement.
2. No Disclosure. Except as expressly permitted,
Consultant and/or its subcontractors shall not disclose, permit the

disclosure of, release, disseminate, or transfer, whether orally or
by any other means, any part of such Confidential Information to any
other person or entity, whether corporate, governmental, or
individual, without the express prior written consent of an
authorized representative of the City. Consultant and/or its
subcontractors shall return any written Confidential Information, and
all copies made of such items, to the City upon the City's written
request, but in any event not later than the date that Consultant has
performed all services to be performed pursuant to this Agreement.
Consultant hereby agrees that such Confidential Information and any
documents provided may be used by Consultant and/or its
subcontractors only as authorized by the City. Contractor shall
include a contract provision in its contracts with subcontractors
that binds the subcontractors to this non-disclosure requirement. .
Consultant shall take reasonable measures to avoid any disclosure of
any such Confidential Information to any unauthorized person.
3. Court Ordered Disclosure. Consultant shall
immediately notify the City of any court order or subpoena requiring
disclosure of Confidential Information, and shall cooperate with the
City's legal counsel in responding to any such order or subpoena.
Consultant may only disclose Confidential Information required to be
disclosed pursuant to court order or subpoena after legal counsel has
exhausted any lawful and timely appeal or challenge.
4. Remedies. In addition to any other remedies that
it may have at law or in equity, the City shall be entitled to a
temporary and permanent injunction by a court of competent
jurisdiction against any breach or threatened breach of the
Confidential Information provisions of this Agreement. Consultant

1 acknowledges that in case of such breach or threatened breach, the
2 City would have no adequate remedy at law.
3 VII. Indemnity and Insurance.
4 1. Indemnification of City. Consultant shall
5 indemnify, defend, protect and hold the City and its officers, agents
6 and employees, free and harmless from and against any and all claims,
7 demands, losses, damages, liabilities, fines, charges, penalties,
8 orders, judgments, and all costs and expenses incurred in connection
9 therewith, including reasonable attorney's fees and costs of defense
10 arising out of the negligent services performed under this Agreement,
11 except to the extent arising from or caused by the negligence or
12 willful misconduct of City, its officers, agents or employees.
13 2. Insurance. Prior to commencing work hereunder,
14 Consultant shall provide the City with proof of insurance providing
15 and maintaining the coverage and endorsements set forth in the
16 Insurance Schedule attached hereto as Exhibit "B" and made a part
17 hereof by reference. Said proof of insurance shall also provide that
18 said policy or policies shall not be cancelled or materially reduced
19 in coverage without giving at least thirty (30) days prior written
20 notice to the City.
21 If Consultant employs subcontractors as part of the
22 Services rendered, Consultant's protective coverage is required.
23 Consultant shall not permit a subcontractor or vendor to perform work
24 on City premises unless and until a certificate of insurance is
25 obtained showing that such subcontractor or vendor has worker's
26 compensation coverage.
27 Consultant may include all subcontractors as insureds
28 under its own policy or shall furnish separate insurance for each

1 subcontractor, meeting the requirements set forth herein.
2 VIII. General Provisions.
3 1. Independent Contractor. At all times during the
4 term of this Agreement, Consultant shall be an independent contractor
5 and shall not be an employee of the City. The City shall have the
6 right to control Consultant only insofar as the results of
7 Consultant's services rendered pursuant to this Agreement; however,
8 the City shall not have the right to control the means by which
9 Consultant accomplishes services rendered pursuant to the Agreement
10 except to the extent that such services involve the use of the City's
11 property or Confidential Information.
12 2. Consultant not Agent. Except as the City may
13 specify in writjng, Consultant shall have no authority, express or
14 implied, to act on behalf of the City in any capacity whatsoever as
15 an agent. Consultant shall have no authority, expressed or implied,
16 pursuant to this Agreement to bind the City to any obligation
17 whatsoever.
18 3. Products of Consulting.
19 a. All products of consulting services produced
20 by Consultant or its subcontractors, with the exception of computer
21 software that may be developed by Consultant, shall become the
22 property of the City and the original copies shall be delivered to
23 the City before the end of the performance of this Agreement. Copies
24 of all vicinity maps, field summary reports, field memoranda, field
25 and laboratory test results, and final reports shall be made
26 available to the City. Computer software shall remain the property of
27 Consultant and/or its subcontractors, except for the City's continued
28 right to use said software at no extra cost.

1 b. All samples shall remain the property of the
2 City, and the City shall promptly at its cost remove and lawfully
3 dispose of samples, cuttings and hazardous materials, unless
4 otherwise agreed in writing. If appropriate, Consultant shall
5 preserve samples obtained for the project for not longer than sixty
6 (60) days after the issuance of any document that includes the data
7 obtained from those samples.
8 4. Assignment and Subcontracting Prohibited.
9 Consultant may not assign or subcontract any right or obligation
10 pursuant to this Agreement except with the express written consent of
11 the City. Any other attempted or purported assignment of any right
12 or obligation pursuant to this Agreement shall be void and of no
13 effect.
14 5. Termination. This Agreement may be terminated by
15 the City without cause on fifteen (15) days written notice to
16 Consultant. Consultant shall be entitled to the compensation earned
17 by it prior to the date of the termination notice, plus compensation
18 for authorized work performed during the fifteen-day notice period in
19 the termination notice.
20 6. Notices. Notices to the parties, unless
21 otherwise requested, in writing shall be sent to the addresses listed
22 on the first page of this Agreement.
23 7. Recitals. All recitals are incorporated by
24 reference.
25 8. Entire Agreement. This Agreement constitutes the
26 complete and final expression of the agreement of the parties and is
27 intended as a complete and exclusive statement of the terms of their
28 agreements and supersedes all prior and contemporaneous offers,

1 promises, representations, negotiations, discussions, communications
2 and agreements which may have been made in connections with the
3 subject matter hereof. All exhibits are incorporated by reference.
4 Consultant represents that in entering into this Agreement, it has
5 not relied on any previous representations or understandings of any
6 kind or nature.
7 9. Governing Law. The validity, interpretation and
8 performance of this Agreement shall be controlled and construed under
9 the laws of the State of California as enacted and in force at the
10 time this Agreement if fully executed.
11 10. Benefit of Agreement. This Agreement shall bind
12 and benefit the parties hereto and their heirs, successors, and
13 permitted assigns.
14 11. Waiver. Any waiver at any time by either party
15 of its rights with respect to a default under this Agreement, or with
16 respect to any other matters arising in connection with this
17 Agreement, shall not be deemed a waiver with respect to subsequent
18 default or other matter.
19 12. Amendment. All changes or modifications to this
20 Agreement shall be in writing stating that it is an amendment to this
21 Agreement and shall be signed by the parties or their duly authorized
22 agents. This Agreement shall not be modified through course of
23 dealing, usage or trade.
24 13. Forum Selection. Any action brought relating to
25 this Agreement shall be brought and held exclusively in a State Court
26 in the County of Los Angeles, California.
27 14. Force Majeure. Neither Party shall be considered
28 to be in default in any of its obligations under this Agreement when

a failure of performance shall be due to an uncontrollable force.
The term "uncontrollable force" shall mean any cause beyond the
control of the party affected, including, but not restricted to,
flood, earthquake, storm, fire, lightening, epidemic, war, riot,
civil disturbance or disobedience, labor dispute, labor material
shortage, sabotage, federal, state, or municipal action, statute,
ordinance, or regulation, embargoes of the United States Government
or any other government, which by exercise of due diligence such
party could not reasonably have been expected to avoid and by
exercise of due diligence has been unable to overcome. Either party
rendered unable to fulfill any of its obligations under this Agreement
by reason of an uncontrollable force, shall give written notice
within five (5) business days of such fact to the other party and
shall exercise due diligence to remove such inability with all
reasonable dispatch.
15. Conflicts of Interest.
In the event that a potential conflict should arise
between the interests of City and the interests of anyone of
Consultant's other clients, during Consultant's performance of
services under this Agreement, Consultant shall notify City of such
potential conflict. Notice of the existence of a potential conflict
of interest shall be given in writing to City within ten (10) days of
the perceived conflict. The conflict of interest letter shall
specify when the potential conflict arose, the identity of the other
party(ies) and the facts that give rise to the potential conflict.
In the event that a potential conflict of interest is deemed by City
to be an actual conflict of interest, City may, at its discretion,
terminate this Agreement immediately.

1 16. Interests of Consultant.
2 Consultant affirms that it presently has no interest
3 and shall not have any interest, direct or indirect in any real
4 property in City or any other interest, which would conflict in any
5 manner with performance of the services contemplated by this
6 Agreement. No person having such interest shall be employed by or be
7 associated with Consultant.
8 17. Partial Invalidity. Wherever possible, each
9 provision hereof will be interpreted in such manner as to be
10 effective and valid under applicable law, but in case anyone or more
11 of the provisions contained herein will, for any reason, be held to
12 be invalid, illegal or unenforceable in any respect, such provision
13 will be ineffective to the extent, but only to the extent of such
14 invalidity, illegality or unenforceability without invalidating the
15 remainder of such provision or provisions or any other provision
16 hereof, unless such a construction would be unreasonable or contrary
17 to the parties' intent as expressed in this Agreement.

TEes Environmental is pleased to propose its service~ to assist ,the City of I
Vernon comply with municipal NPDES permit requirements for, the 2004-2005 .
permit year. TECS proposes to perform the tasks specified in the attached
proposal for a'not-to-exceed cost of $30,000 to $38,000.
The variance in cost is due to optional tasks that the City may wish TEes.
Environmental to perform. Such optional tasks. include developing a runoff pollution
prevention web site that would facilitate implementation of a number of program
task~, including development construction, development construction, illicit
connection/discharge reporting and response, and public education/information
outreach.

Municipal NPDES Permit Program Training Detail
City of Vernon - 2005-2006 Permit Year
I. Municipal Agency Program Training (optional for this permit year because
training was already provided which met the minimum requirement).
Permit Requirement: Each Permittee shall, no later than August 1, 2002, train their
employees in targeted positions, whose interactions, jobs, and activities affect storm
water quality regarding the requirements of the storm water management program.
Permittees may train more frequently as an option. .
Audience: Training is specifically for municipal employees engaged in the following
maintenance- related activities: sewer, storm drain, vehicle and other equipment, park,
landscaping, and swimming pool maintenance.

Purpose: Identify and describe best management practices (BMPs) that operate to
reduce pollutant discharges associated with the above municipal activities.
Approximate Date: Between Spring and Summer of 2005 or at the convenience of
the City.
Approximate Training Time: 3-4 hours.
/I, Development Planning Training (BMP-oriented)
Permit Requirement: Each Pennittee shall train its employees in targeted positions
(whose jobs or activities are engaged in development planning) regarding the
development planning requirements on an annual basis beginning no later than August 1,
2002, and more frequently if necessary. For Pennittees with a population of 250,000 or
more (2000 U.S. Census), training shall be completed no later than February 3, 2003.
Audience: Training is specifically for public works, planning, building and safety,
engineering, and code enforcement personnel (if enforcement includes construction
sites).
Purpose: Identify and describe best management practices (BMPs) that operate to
reduce pollutant discharges associated with specific types of completed construction
projects.
Approximate Date: November of 2005 or at the convenience of the City.
Approximate Training Time: 3-4 hours.

IV. Illicit Connection and Discharge Detection and Elimination
Permit Requirement: All Permittees shall train all targeted employees who are
responsible for identification, investigation, termination, cleanup, and reporting of illicit
connections and discharges, For Permittees with a population of less than 250,000
(2000 U.S. Census), training shall be completed no later than August 1, 2002. For
Permittees with a population of 250,000 or more (2000. U.S, Census), training shall be
completed no later than February 3, 2003. Furthermore. all Permittees shall conduct
refresher traininQ on an annual basis thereafter.
Audience: Training is specifically for all municipal personnel who are primarily or
. secondarily responsible for reporting suspect or actual illicit connections or discharges,

The general liability policy shall contain the following special endorsements which shall be
noted on or attached to the standard certificate of insurance:

An endorsement naming the City of Vernon, its officers, and employees as additional
insureds under the policy.
An endorsement providing the City of Vernon thirty (30) days notice of cancellation or
material reduction of coverage.
An endorsement providing coverage for all operations under this Agreement.
Such other endo~ement as may be required by addendum hereto.
