RESOLUTION NO. 8701
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF WONDRIES FLEET GROUP ON
BID NO. 1437 FOR THE PURCHASE OF THREE 2005
CHEVROLET TAHOES FOR THE POLICE DEPARTMENT AND
APPROVING AND AUTHORIZING THE EXECUTION OF A
VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A
PURCHASE ORDER RESPECTING SAID BID

WHEREAS, the Police Department has requested the purchase of
9 three (3) Chevrolet Tahoe vehicles with the Police Package to replace
10 older vehicles; and
11 WHEREAS,pursu~nt to Resolution No. 8655 adopted by the City
12 Council of the City of Vernon on February 2, 2005, the City Clerk was
13 directed to give notice inviting sealed proposals or bids for the
14 purchase of three (3) 2005 Chevrolet Tahoe vehicles with the Police
15 Package ("Chevy Tahoes") in accordance with a bid specification
16 provided by the Police Department; and
17 WHEREAS, based upon the bid specification, the Purchasing
18 Department prepared Bid No. 1437 dated February 7, 2005, and proceeded
19 to solicit bids for the purchase of the Chevy Tahoes; and
20 WHEREAS, sealed bids for Bid No. 1437 were opened on
21 February 28, 2005, and reviewed by the Police Department; and
22 WHEREAS, by letter dated March 9, 2005, Bruce V. Malkenhorst,
23 City Administrator/City Clerk, recommended that Bid No. 1437 be awarded
24 to Wondries Fleet Group, the lowest responsible bidder meeting the
25 requirements of Bid No. 1437.
26 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
27 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby

1 finds and determines that the recitals contained hereinabove are true
2 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
4 awards Bid No. 1437 to Wondries Fleet Group and accepts and approves
5 the Vehicle Purchase Contract, in substantially the same form as the
6 copy which is attached hereto as Exhibit A and incorporated by
7 reference.

SECTION 3:
The City Council of the City of Vernon hereby
9 authorizes the Mayor to execute the Vehicle Purchase Contract for, and
10 on behalf of, the City of Vernon and the City Clerk is hereby
11 authorized to attest thereto and authorizes the issuance of a purchase
12 order for the purchase of the Chevy Tahoes pursuant to Bid No. 1437.

SECTION 4:
The City Council of the City of Vernon hereby

directs the City Clerk, or his designee, to send one fully executed

RECITALS

WHEREAS, the Police Department needs three (3) new vehicles
to replace older vehicles at the end of their service life; and

WHEREAS, City staff have determined that three (3) new 2005

Chevrolet Tahoe vehicles with the Police Package would meet the needs
18

and requirements of the Police Department; and
20
WHEREAS, on February 7, 2005, the City issued Bid No. 1437
which sets forth specifications for the new 2005 Chevrolet Tahoe
21
vehicles required by the City; and
22
WHEREAS, on February 25, 2005, Wondries responded to Bid No.
23
1437; and
24
WHEREAS, the City has accepted Wondries' Bid and desires to
25
26
purchase three (3) new 2005 Chevrolet Tahoe vehicles with the 2WD
Police Package from Wondries.

NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET

1. Purchase. Wondries agrees to sell to the City three
(3) new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package that
meets the specifications contained in City of Vernon Bid No. 1437,
dated February 7, 2005, and that is consistent with Wondries' bid of
February 25, 2005 (collectively referred to as the "Bid Documents") .
A copy of the Bid Documents are attached hereto as Exhibit A and
incorporated by reference
2. Price. Consistent with its Bid, Wondries agrees to
sell and deliver, subject to final inspection by the City, three (3)
new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package for the
total sum of Eighty Thousand Six Hundred Sixty-Four Dollars and No
Cents ($80,664.00), plus sales tax and tire fees and less any
applicable discounts.
3. Payment Terms. The City agrees to pay Wondries a
total of Eighty Thousand Six Hundred Sixty-Four Dollars and No Cents
($80,664.00), plus sales tax and tire fees and less any applicable
discounts. Payment will be made within thirty (30) days net of
receipt of the vehicles.
4. Warranties. All manufacturers' warranties, the
warranties specified on the Bid Documents and any other warranties
made applicable by law, shall apply to the City's purchase of the
above-referenced vehicle.
5. General Provisions.
A. Governing Law. The laws of the State of
California shall govern the rights, obligations, duties and
liabilities of the parties to this Contract and shall also govern the
interpretation of this Contract.
B. Notices. Notices to the parties, unless otherwise

Entire Agreement. This Contract is the entire
9 agreement of the parties. Wondries represents that in entering into
10 this Contract, it has not relied on any previous representations or
11 understandings of any kind or nature.

Benefit of Agreement. This Contract shall bind and
13 benefit the parties hereto, their heirs, successors, and permitted
14 assigns.
15
8.
Forum. Any dispute related to this Contract shall be
16
adjudicated in a state court serving the County of Los Angeles,
17
California.
18
9.
Arbitration. The parties agree that any and all
19 disputes arising out of or in relation to this Contract, including
20 without limitation any action in tort, shall be resolved exclusively,
21 finally and conclusively by arbitration in Los Angeles County,
22 California under the auspices of and pursuant to the rules of the
23 Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
24
will select an arbitrator.
Those two arbitrators will then select a
25
third.
The three-member panel will make the final decision.
All
26 decisions of the arbitrators shall be in writing, and the arbitrators
27 shall provide written reasons for their decision. The arbitration
28 decision shall be final and binding on the parties. Notwithstanding

1 the foregoing, the parties shall be permitted to access the court
2 system to enforce any arbitration award or to obtain injunctive
3 relief. The exclusive jurisdiction and venue for any such action
4 shall be the Superior Court of California, Los Angeles County. Any
5 and all contracts between Contractor and any subcontractor relating to
6 this Agreement shall include the same arbitration clause.
7 IN WITNESS WHEREOF, the parties have caused this Contract to
8 be executed by and through their authorized officers on the date,
9 month and year first written above.

SPECIFICATIONS
GENERAL
The vehicle covered by this specification is for the purchase of three (3)
Chevrolet Tahoe's, 2005, 2 WD, Police Package (PPV) vehicles and shall be
supplied as specified from the manufacturers new, unused and latest model
complete with all necessary equipment and accessories.
.
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be new, unused, installed connected and delivered in good
operating order.
The subject vehicle's shall conform in all respects and be equipped to operate
legally on California State Highways as specified in the California Motor Vehicle
Code. The vehicles shall meet all California State and Federal safety _tjJnd
emission standards when delivered to the City of Vernon.
The successful bidder shall submit in detail a final draft" of all specifications for
final approval bv the City of Vernon and the Vernon Police Department prior to
purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include
photographs, performance charts, components list, dimensional drawings, etc.
The bidder shall clearly state any changes, exceptions or substitutions of
equivalent equipment/materials.to these specifications
The successful bidder will arrange to demonstrate a similarly equipped 2005
Chevrolet Tahoe, with Police Package (PPV), prior to purchase.
Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function and quality required. Unless the name is. followed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information is submitted prior to the purchase by the

contractor to allow the City of Vernon to determine that the rnaterial or equipment
proposed is equivalent to the named. The term "equivalent" as used in this
specification. . rneans "authorized equivalentn and acceptance of the "equivalent"
is subject to the approval of the City of Vernon.
Warranties: '
The manufacturers warranties on the vehicle and any added equipment shall be
delivered to the City of Vernon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre-delivery inspection and right of refusal by the
City of Vernon Police Department:
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative, Captain
Towles. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-
performance of delivery by the quoted date at no cost or obligation to the City of
. Vemon.
Delivery
The vehicles shall be delivered to 4305 S. Santa Fe Avenue,. Vernon, California,
90058. The vehicle shall be ready for immediate and safe operation. having had
completed any necessary vehicle registration documentation. The invoice, any
necessary vehicle registration documentation. warranty information, and manuals
must accompany "delivery. Delivery shall be Monday - Thursday from 0800 -
1400 and a forty-eight hour notice must be given to Captain Towles.
This vehicle request is not a special order and should be the same type of
vehicle that is readily available to the general public.

WHEREAS, the Police Department needs three (3) new vehicles
to replace older vehicles at the end of their service life; and
WHEREAS, City staff have determined that three (3) new 2005

Chevrolet Tahoe vehicles with the Police Package would meet the needs

and requirements of the Police Department; and

WHEREAS, on Feb~uary 7, 2005, the City issued Bid No. 1437
which sets forth specifications for the new 2005 Chevrolet Tahoe
vehicles required by the City; and
WHEREAS, on February 25, 2005, Wondries responded to Bid No.

WHEREAS, the City has accepted Wondries' Bid and desires to
purchase three (3) new 2005 Chevrolet Tahoe vehicles with the 2WD

Police Package from Wondries.
NOW, THEREFOREr THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:

Purchase. Wondries agrees to sell to the City three
2 (3) new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package that
3 meets the specifications contained in City of Vernon Bid No. 1437,
4 dated February 7, 2005, and that is consistent with Wondries' bid of
5 February 25, 2005 (collectively referred to as the "Bid Documents").
6 A copy of the Bid Documents are attached hereto as Exhibit A and
7 incorporated by reference

Price. Consistent with its Bid, Wondries agrees to
9 sell a~d deliver, subject to final inspection by the City, three (3)
10 new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package for the
11 total sum of Eighty Thousand Six Hundred Sixty-Four Dollars and No
12 Cents ($80,664.00), plus sales tax and tire fees and less any
13 applicable discounts.

Payment Terms. The City agrees to pay Wondries a
15 total of Eighty Thousand Six Hundred Sixty-Four Dollars and No Cents
16 ($80,664.00), plus sales tax and tire fees and less any applicable
17 discounts. Payment will be made within thirty (30) days net of
18 receipt of the vehicles.

Warranties. All manufacturers' warranties, the
20 warranties specified on the Bid Documents and any other warranties

21 made applicable by law, shall apply to the City's purchase of the
22 above-referenced vehicle.

5.
General Provisions.

A. Governing Law. The laws of the State of
25 California shall govern the rights, obligations, duties and
26 liabilities of the parties to this Contract and shall also govern the
27 interpretation of this Contract.

B. Notices. Notices to the parties, unless otherwise

Entire Agreement. This Contract is the entire
9 agreement of the parties. Wondries represents that in entering into
10 this Contract, it has not relied on any previous representations or
11 understandings of any kind or nature.

Benefit of Agreement. This Contract shall bind and
13 benefit the parties hereto, their heirs, successors, and permitted
14 assigns.

Forum. Any dispute related to this Contract shall be
adjudicated in a state court serving the County of Los Angeles,
17
California.

9.
Arbitration. The parties agree that any and all
19 disputes arising out of or in relation to this Contract, including
20 without limitation any action in tort, shall be resolved exclusively,
21 finally and conclusively by arbitration in Los Angeles County,
22 California under the auspices of and pursuant to the rules of the
Judicial Arbitration & Mediation Services Inc. (JAMS).
Each party

will select an arbitrator.
Those two arbitrators will then select a

third.
The three-member panel will make the final decision.
All
26 decisions of the arbitrators shall be in writing, and the arbitrators
27 shall provide written reasons for their decision. The arbitration
28 decision shall be final and binding on the parties. Notwithstanding

1 the foregoing, the parties shall be permitted to access the court
2 system to enforce any arbitration award or to obtain injunctive
3 relief. The exclusive jurisdiction and venue for any such action
4 shall be the Superior Court of California, Los Angeles County. Any
5 and all contracts between Contractor and any subcontractor relating to
6 this Agreement shall include the same arbitration clause.

SPECIFICATIONS
GENERAL
The vehicle covered by this specification is for the purchase of three (3)
Chevrolet Tahoe's, 2005, 2 WD, Police Package (PPV) vehicles and shall be
supplied as specified from the manufacturers new, unused and latest model
complete with all necessary equipment and accessories~
The vehicles shall be delivered completely assembled and ready to operate. All
equipment normally furnished, as a standard shall be included. All separate units
or components shall be ne~ unused, installed connected and delivered in good
operating order.
The subject vehicle's shall conform in all respects and be equipped to operate
legally 011 California State Highways as specified in the California Motor Vehicle
Code. The vehicles shall meet all Califomia StaJe and Federal safety ,;pnd
emission standards when delivered to the City of Vernon. .
The successful bidder shall submit in detail a final draft. of all. soecifications for
final aooroval by the City of Vernon and the Vernon Police DeDartment prior to
Durchase.
All bids submitted shah include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include
photographs, performance charts, components list, dimensional drawings, etc.
The bidder shall clearly state any changes, exceptions or substitutions of
equivalent equipmenVrnaterials.to these specifications
The successful bidder will arrange to demonstrate a similarly equipped 2005
Chevrolet Tahoe, with Police Package (PPV), prior to purchase.
Whenever materials or equipment are specified or described in the specifications
by using the name of proprietary item or name of a particular manufacture,
fabricator, supplier of distributor, the naming of the item is intended to establish
the type, function and quality required. Unless the name is. fol/owed by words
indicating that no substitution is permitted, materials or equipment of other
manufacturers, fabricators, suppliers or distributors may be accepted by the City
of Vernon if sufficient information is submitted prior to the purchase by the

contractor to allow the City of Vemon to determine that the material or equipment
proposed is equivalent to the named. The term "equivalenr as used in this
specification. "means "authorized equivalenr and acceptance of the "equivalenr
is subject to the approval of the City of Vernon.
Warranties: '
The manufacturers warranties on the vehicle and any added equipment shall be
delivered to the City of Vemon without waiver by the city of any recourse under
California law.
Installation
No installation is needed on this bid.
Inspection
The bidder shall arrange for a pre-delivery inspection and right of refusal by the
City of Vemon Police Department
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to
the City of Vernon that the quoted delivery date be met.
" Any delay in the delivery shall be immediately reported in writing to the
purchasing agent with a copy to the Police Department representative. Captain
Towles. Any change in the original quoted delivery date is subject to the
approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non.-
performance of delivery by the quoted date at no cost or obligation to the City of
" Vernon.
Delivery
The vehicles shall be delivered to 4305 S. Santa Fe A venue. Vernon. California.
90058. The vehicle shall be ready for immediate and safe operation. having had
completed any necessary vehicle registration documentation. The invoice, any
necessary vehicle registration documentation. warranty information, and manuals
must accompany "delivery. Delivery shall be Monday - Thursday from 0800-
1400 and a forty-eight hour notice must be given to Captain Towles.
This vehicle request is not a special order and should be the same type of
vehicle that is readily available to the general public.
