Resolution No. 8701 , << 1 2 3 4 5 6 RESOLUTION NO. 8701 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON ACCEPTING THE BID OF WONDRIES FLEET GROUP ON BID NO. 1437 FOR THE PURCHASE OF THREE 2005 CHEVROLET TAHOES FOR THE POLICE DEPARTMENT AND APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID 7 8 WHEREAS, the Police Department has requested the purchase of 9 three (3) Chevrolet Tahoe vehicles with the Police Package to replace 10 older vehicles; and 11 WHEREAS,pursu~nt to Resolution No. 8655 adopted by the City 12 Council of the City of Vernon on February 2, 2005, the City Clerk was 13 directed to give notice inviting sealed proposals or bids for the 14 purchase of three (3) 2005 Chevrolet Tahoe vehicles with the Police 15 Package ("Chevy Tahoes") in accordance with a bid specification 16 provided by the Police Department; and 17 WHEREAS, based upon the bid specification, the Purchasing 18 Department prepared Bid No. 1437 dated February 7, 2005, and proceeded 19 to solicit bids for the purchase of the Chevy Tahoes; and 20 WHEREAS, sealed bids for Bid No. 1437 were opened on 21 February 28, 2005, and reviewed by the Police Department; and 22 WHEREAS, by letter dated March 9, 2005, Bruce V. Malkenhorst, 23 City Administrator/City Clerk, recommended that Bid No. 1437 be awarded 24 to Wondries Fleet Group, the lowest responsible bidder meeting the 25 requirements of Bid No. 1437. 26 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 27 CITY OF VERNON AS FOLLOWS: 28 SECTION 1: The City Council of the City of Vernon hereby , . 1 finds and determines that the recitals contained hereinabove are true 2 and correct. 3 SECTION 2: The City Council of the City of Vernon hereby 4 awards Bid No. 1437 to Wondries Fleet Group and accepts and approves 5 the Vehicle Purchase Contract, in substantially the same form as the 6 copy which is attached hereto as Exhibit A and incorporated by 7 reference. 8 SECTION 3: The City Council of the City of Vernon hereby 9 authorizes the Mayor to execute the Vehicle Purchase Contract for, and 10 on behalf of, the City of Vernon and the City Clerk is hereby 11 authorized to attest thereto and authorizes the issuance of a purchase 12 order for the purchase of the Chevy Tahoes pursuant to Bid No. 1437. 13 SECTION 4: The City Council of the City of Vernon hereby 14 directs the City Clerk, or his designee, to send one fully executed 15 16 17 18 19 Contract to: Wondires Fleet Group Attn: Joe Connell 1247 W. Purchase. Consistent with its Bid, Wondries agrees to sell and deliver, subject to final inspection by the City, three (3) new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package for the total sum of Eighty Thousand Six Hundred Sixty-Four Dollars and No Cents ($80,664.00), plus sales tax and tire fees and less any applicable discounts. 3. Payment Terms. The City agrees to pay Wondries a total of Eighty Thousand Six Hundred Sixty-Four Dollars and No Cents ($80,664.00), plus sales tax and tire fees and less any applicable discounts. Payment will be made within thirty (30) days net of receipt of the vehicles. 4. Warranties. All manufacturers' warranties, the warranties specified on the Bid Documents and any other warranties made applicable by law, shall apply to the City's purchase of the above-referenced vehicle. 5. General Provisions. A. Governing Law. The laws of the State of California shall govern the rights, obligations, duties and liabilities of the parties to this Contract and shall also govern the interpretation of this Contract. B. Notices. (JAMS). Each party 24 will select an arbitrator. Those two arbitrators will then select a 25 third. The three-member panel will make the final decision. The arbitration 28 decision shall be final and binding on the parties. Notwithstanding - 3 - 1 the foregoing, the parties shall be permitted to access the court 2 system to enforce any arbitration award or to obtain injunctive 3 relief. The exclusive jurisdiction and venue for any such action 4 shall be the Superior Court of California, Los Angeles County. The vehicles shall be delivered completely assembled and ready to operate. All equipment normally furnished, as a standard shall be included.
