This Agreement shall be comprised of these included provisions, together with Exhibits A, Band C, which are all attached. In the event of conflict between this Agreement and any of the exhibits, including the Proposal, this Agreement shall prevail. Partial Invalidity 7.04. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions will continue in full force and effect without being impaired or invalidated in any way. Law and Arbitration 7.05. All disputes arising out of or related to this Agreement, the conduct of either party in connection with this Agreement, and the relationship and rights of the parties in connection with this Agreement, whether ch~racterized as breach of contract, tort, or otherwise (except for those requesting injunctive relief) shall be determined by binding arbitration in accordance with the terms of this Section. The submittal of all matters to arbitration in accordance with the terms of this Section is the sole and exclusive method, means and procedure to resolve any and all claims, disputes or disagreements arising under this Agreement, except for claims by either party which seek injunctive relief, which claims shall be resolved by suit filed in the Superior Court of Los Angeles County, California, the decision of which court shall be subject to appeal pursuant to applicable law. The parties hereby irrevocably waive any and all rights to the contrary and shall at all times conduct themselves in accordance with the terms of this Section, relying on arbitration as the sole means of resolution of disputes. Arbitration of all matters required to be arbitrated hereunder shall take place before a panel of three retired judges of the Superior Court of the State of California (the "Arbitrators") under the auspices of Judicial Arbitration & Mediation Services, Inc. ("JAMS"). Such arbitration shall be initiated by the parties, or either of them, within ten (10) calendar days after either party sends notice of a demand to arbitrate (the "Arbitration Notice") to the other party and to JAMS. The Arbitration Notice shall contain a description of the subject matter of the arbitration, the dispute with respect thereto, the amount involved, if any, and the remedy or determination sought. Each party shall select a retired judge from the JAMS panel, and the two selected judges shall mutually agree on the third retired judge from the JAMS panel. If one of the parties does not select a retired judge from the JAMS panel within fourteen (14) calendar days after receipt of the Arbitration Notice, JAMS will select the second judge, and the judge selected by JAMS and the judge selected by the other party will select the third judge for the panel. The third judge is to be selected within ten (10) calendar days following the selection of the first two judges. The three judges will together serve as the Arbitrators. The arbitration shall be conducted in Los Angeles, California. Any party may be represented by counsel and/or other authorized representative. In rendering a Page 17 of 19 decision(s), the Arbitrators shall determine the rights and obligations of the parties according to the substantive and procedural laws of the State of California and the terms of this Agreement. The decision of the Arbitrators shall be based on the evidence introduced at the hearing and accompanied by a written statement of decision as to each of the principal controverted issues. The agreement of two of the three Arbitrators as to the resolution of the dispute shall be a conclusive resolution. The Arbitrators shall deliver the written decision to the parties within thirty (30) calendar days following the date of the selection of the last of the Arbitrators. The decision shall be conclusive and binding, and it may thereafter be confirmed as a judgment by the Superior Court of the State of California, subject only to challenge on the grounds set forth in the California Code of Civil Procedure Section 1286.2. The validity and enforceability of the decision of the Arbitrators is to be determined exclusively by the California courts.. Attorney's Fees 7.06. In the event a dispute, claim or litigation arises regarding this Agreement, the prevailing party shall be entitled to reimbursement for reasonable attorneys' fees and actual costs, which may be set by the arbitrators or the court in the same action or in a separate action brought for that purpose, in addition to any other relief which is obtained. 7.07. Neither party shall be considered in default in any of its obligations under this Agreement when a failure of performance shall be due to an uncontrollable force. The term "uncontrollable force" shall mean any cause beyond the control of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightning, epidemic, war, riot, civil disturbance or disobedience, federal, state, or municipal action, statute, ordinance, or regulation, embargoes of the United States Government or any other government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise of due diligence has been unable to overcome. Either party rendered unable to fulfill any of its obligations under this Agreement by reason of an uncontrollable force shall give written notice within five (5) business days of such fact to the other party and shall exercise due diligence to remove such inability with all reasonable dispatch. 7.08. Except as may otherwise be specifically provided herein, this Agreement may be modified or amended only by a written document executed by both Contractor and the City and approved as to form by the City Attorney. 7.09. Item 4 Assumes to add a crane to Item 3. If Items 3 and 11 require a crane, rather than an A-frame, to remove the booster equipment, than GPC would assume that this item would be added. Item 8 and 9 Includes furnishing equipment, but excludes the actual installation and appropriate sales tax of the equipment GPC assumes that the installation of equipment is covered under bid Items 10 through 12. Based on the increasing price of metal products, GPC reserves the right to re-evaluate these prices over time and to provide the City with sufficient information to evaluate those changes in material charges. Based on the recent rises in metal product costs, GPC would assume that those costs would not increase more than 5-percenf over the duration of this contract. i , J , i ~ Items 10 through 12 Includes labor and equipment, excludes actual materials and products associated with proper equipment installation. Item 24 Assumes I,OOO-feet of perforations, one day of brushing and one tight fitting wire brush at the start of the work. Realistically, more effective brushing would include between 2 and 3 days and up to three brushes may be necessary to effectively clean a well casing of that length. EPS's distribute the flow of water to a pump intake over a longer interval, creating a laminar flow, and therefore lowering entrance velocities through the well screen near the pump. , j General Pump Company has installed over 100 Engineered Pump Suctions in Southern California. It has proven effective in controlling sand pumping, well fouling and erosion of the screen, and improving water quality by mixing aquifer water prior to entering the pump system. Additionally, General Pump Company EPS's have proven effective in increasing efficiency in wells that penetrate multiple aquifer systems. MAJOR BENEFITS The major benefits of installing an EPS as part of an effective and efficient groundwater production system are: , 1 j A · Decrease entrance velocities and increase well yield · Control sand pumping · Improve water quality in wells that penetrate multiple aquifer systems · Extend life of the well and well efficiency · Decrease energy costs and increase pump equipment life expectancy · Eliminate the dead-zone in a well bottom resulting in decreased bacteriological constituents · Decrease mineral and bacteriological fouling '! ~ EPS's are engineered devises constructed of PVC or stainless steel with factory produced slot- perforations. General Pump Company designs each EPS based on well hydraulics for the specific well. screen length and diameter, and design pump capacity. Each unit is installed and tested by our professional Engineering and Technical Support Team. General Pump Company's EPS is a correct~ve solution to many well performance concerns. However, well owners should continue to evaluate well and pump performance on at regularly scheduled intervals. If change should occur, contact one of our engineers immediately for im inspection or maintenance. Our proposal is based on using the City's existing 400 Hp, 1180 RPM motor and pump head. PUMP EQUIPMENT REVIEW GPC, inspected the City's pump equipment for this well. The City's motor was delivered to Delta Electric Motor for inspection and repair in accordance with City instructions. Our inspection of the pump equipment revealed the following findings and recommendations: Head Assembly Pump Head Enclosing Tubes Line Shafts Shaft Couplings Screw Bearings Column Pipe Spiders Bowl Assembly Motor Galvanized Airline PVC Stilling Tube Straighten head shaft, and clean nut key, tube, and tension bearing. Refurbish pump head, clean, inspect and repair worn parts Enclosure tubes are in good condition and none need replaced. Clean tubes by power washing, and re-inspect. GPC pulled all line shafts and inspected. Line shafts are in good condition; several show moderate heat scaring possibly due to lack of oil in upper section of tube assembly. Check for straightness and tolerance, stroke (clean), change couplings, rotate to change projection and re-instal1 into enclosing tubes. Heavy scoring and hammer marks. Replace all shaft couplings All are in Good condition and passed within factory tolerance using a go-no go sizing tool Iron bacteria build-up has resulted in minor to strong pitting on 17 column pipes. During removal of the pump, three (3) column pipes were tight and were torched- cut Replace 20 each column pipe and 1 each five-footer off the head. Supply and install new black widow spiders . Bowl assembly is to be redesigned based on field data collected during well and aquifer testing. E-mail: engineering@genpump.com I, , r-, (- Enginec'red Pump Suction I I I I I I I The Engineered Pump Suction (EPS) is designed to change the energy distribution and hydraulic flow characteristics in a well. EPS's distribute the flow of water to a pump intake over a longer interval, creating a laminar flow, and tl1er~fore lowering entrance velocities through the well screen near the pump. General Pump Company has installed over 100 Engineered Pump Suctions in Southern California. MAJOR BENEFITS The major benefits of installing an EPS as part of an effective and efficient groundwater production system are: I , I I I 'I I · Decrease entrance velocities and increase well yield · Control sand pumping · Improve water quality in wells, that penetrate multiple aquifer systems · Extend life of the well and well efficiency · Decrease energy costs and increase pump equipment life expectancy · Eliminate the dead-zone in a well bottom resulting in decreased bacteriological constituents · Decrease mineral and bacteriological fouling EPS's are engineered devises constructed of PVC or stainless steel with factory produced slot- perforations. General Pump Company designs each EPS based on well hydraulics for the specific well, screen length and diameter, and design pump capacity, Each unit is installed and tested by our professional Engineering and Technical Support Team. General Pump Company's EPS is a correct~ve solution to many well performance concerns. However, well owners should continue to evaluate well and pump performance on at regularly scheduled intervals. If change should occur, contact one of our engineers immediately for an inspection or maintenance.
