A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
TRANSFER OF THE SOLID WASTE FRANCHISE AGREEMENT BY
AND BETWEEN THE CITY OF VERNON AND BZ DISPOSAL
SERVICES, INC. TO EDCO WASTE SERVICES LLC
WHEREAS, on March 30, 1999, the City Council of the City of
Vernon adopted Resolution No. 7299 approving and authorizing the
execution of a City of Vernon Standard Non-exclusive Franchise
Agreement for Solid Waste Management Services (the "Franchise
Agreement") with BZ Disposal & Recycling Services ("BZ") for the
collection, transportation and disposal of solid waste generated
within the City of Vernon and the payment of franchise fees to the
City of Vernon; and
WHEREAS, the Environmental Health Department believes that BZ
sold or transferred the company to EDCO Waste Services, LLC ("EDCO"), a
solid waste firm; and
WHEREAS, in accordance with Section 7.5 of the Franchise
Agreement, the sale, exchange or other transfer of substantially all of
the franchisee's assets constitutes an assignment of the Franchise
Agreement and requires the written, consent of the City of Vernon; and
WHEREAS, EDCO has agreed to provide the collection and
transportation of solid waste services in accordance with the Franchise
Agreement with BZ and has provided the necessary insurance and bond;
and
WHEREAS, by letter dated May 10, 2005, Bruce V. Malkenhorst,
City Administrator/City Clerk, has recommended that the transfer of the
BZ Franchise Agreement be granted to EDCO.

1 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
2 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City .Council of the City of Vernon hereby
4 finds and determines that the recitals contained hereinabove are true
5 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
7 approves the Official Transfer of Franchise with EDCO, a copy of which
8 is attached hereto as Exhibit A and incorporated by reference.

SECTION 3:
The City Council of the City of Vernon hereby
10 authorizes the City Administrator to execute said Transfer for, and on
11 behalf of, the City of Vernon.

SECTION 4:
The City Council of the City of Vernon hereby
13 directs the City Clerk, or his designee, to send one fully executed
14 Transfer to:

SECTION 5:
The City Clerk of the City of Vernon shall
