Resolution No. 87482 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 8748 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON ACCEPTING THE BID OF WONDRIES FLEET GROUP ON BID NO. 1439 FOR THE PURCHASE OF THREE 2005 CHEVROLET TAHOES FOR THE POLICE DEPARTMENT AND APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID WHEREAS, the Police Department has requested the purchase of three (3) Chevrolet Tahoe vehicles with the Police Package to add vehicles to its existing fleet of patrol vehicles utilizing grant funds from the 2005 Citizens Option for Public Safety Program; and WHEREAS, pursuant to Resolution No. 8704 adopted by the City Council of the City of Vernon on April 13, 2005, the City Clerk was directed to give notice inviting sealed proposals or bids for the purchase of three (3) 2005 Chevrolet Tahoe vehicles with the Police Package ( "Chevy Tahoes") in accordance with a bid specification provided by the Police Department; and WHEREAS, based upon the bid specification, the Purchasing Department prepared Bid No. 1439 dated April 18, 2005, and proceeded to solicit bids for the purchase of the Chevy Tahoes; and WHEREAS, sealed bids for Bid No. 1439 were opened on May 2, 2005, and reviewed by the Police Department; and WHEREAS, on May 17, 2005, the Finance Committee considered the recommendation of Bruce V. Malkenhorst, the Director of Finance, dated May 4, 2005, that Bid No. 1439 be awarded to Wondries Fleet Group, the lowest responsible bidder meeting the requirements of Bid No. 1439. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 1 CITY OF VERNON AS FOLLOWS: 2 SECTION 1: The City Council of the City of Vernon hereby 3 finds and determines that the recitals contained hereinabove are true 4 and correct. 5 SECTION 2: The City Council of the City of Vernon hereby 6 awards Bid No. 1439 to Wondries Fleet Group and accepts and approves 7 the Vehicle Purchase Contract, in substantially the same form as the 8 copy which is attached hereto as Exhibit A and incorporated by 9 reference. 10 SECTION 3: The City Council of the City of Vernon hereby 11 authorizes the Mayor to execute the Vehicle Purchase Contract for, and 12 on behalf of, the City of Vernon and the City Clerk is hereby 13 authorized to attest thereto and authorizes the issuance of a purchase 14 order for the purchase of the Chevy Tahoes pursuant to Bid No. 1439. 15 SECTION 4: The City Council of the City of Vernon hereby 16 directs the City Clerk, or his designee, to send one fully executed 17 Contract to: 18 Wondries Fleet Group 19 Attn: Joe Connell 1247 W. Main Street Alhambra, CA 91801 -3330 WHEREAS, the Police Department wishes to add three (3) new vehicles to its existing fleet of patrol vehicles utilizing grant funds; and WHEREAS, City staff have determined that three (3) new 2005 Chevrolet Tahoe vehicles with the Police Package would meet the.needs and requirements of the Police Department; and WHEREAS, on April 18, 2005, the City issued Bid No. 1439 which sets forth specifications for the new 2005 Chevrolet Tahoe vehicles required by the City; and WHEREAS, on April 27, 2005, Wondries responded to Bid No. 1439; and WHEREAS, the City has accepted Wondries' Bid and desires to purchase three (3) new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package from Wondries. Wondries agrees to sell to the City three (3) new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package that meets the specifications contained in City of Vernon Bid No. 1439, dated April 18, 2005, and that is consistent with Wondries' bid of April 27, 2005 (collectively referred to as the "Bid Documents "). A copy of the Bid Documents are attached hereto as Exhibit A and incorporated by reference 2. Price. Consistent with its Bid, Wondries agrees to sell and deliver, subject to final inspection by the City, three (3) new 2005 Chevrolet Tahoe vehicles with the 2WD Police Package for the sum of Twenty -Eight Thousand Nine Hundred Eighty -Five Dollars and No Cents (28,985.00) each for a total sum of Eighty -Six Thousand Nine Hundred Fifty -Five Dollars and No Cents ($86,955.00), plus sales tax and tire fees and less any applicable discounts. 3. Payment Terms. The City agrees to pay Wondries a total of Eighty -Six Thousand Nine Hundred Fifty -Five Dollars and No Cents ($86,955.00), plus sales tax and tire fees and less any applicable discounts. Payment will be made within thirty (30) days net of receipt of the vehicles. 4. Warranties. All manufacturers' warranties, the warranties specified on the Bid Documents and any other warranties made applicable by law, shall apply to the City's purchase of the above - referenced vehicle. 5. General Provisions. A. Governing Law. The laws of the State of California shall govern the rights, obligations, duties and liabilities of the parties to this Contract and shall also govern the - 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 interpretation of this Contract. B. Notices. Wondries represents that in entering into this Contract, it has not relied on any previous representations or understandings of any kind or nature. 7. Benefit of Agreement. This Contract shall bind and benefit the parties hereto, their heirs, successors, and permitted assigns. 8. Forum. Any dispute related to this Contract shall be adjudicated in a state court serving the County of Los Angeles, California. 9. Arbitration. The parties agree that any and all disputes arising out of or in relation to this Contract, including without limitation any action in tort, shall be resolved exclusively, finally and conclusively by arbitration in Los Angeles County, California under the auspices of and pursuant to the rules of the Judicial Arbitration & Mediation Services Inc. (JAMS). Each party will select an arbitrator. Those two arbitrators will then select a third. The three - member panel will make the final decision. All decisions of the arbitrators shall be in writing, and the arbitrators 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 shall provide written reasons for their decision. The arbitration decision shall be final and binding on the parties. Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any arbitration award or to obtain injunctive relief. The exclusive jurisdiction and venue for any such action shall be the Superior Court of California, Los Angeles County. Any and all contracts between Contractor and any subcontractor relating to this Agreement shall include the same arbitration clause. 10. Force Majeure. Neither party shall be considered to be in default in any of its obligations under this Contract when a failure of performance shall be due to an uncontrollable force. The term "uncontrollable force" shall mean any cause beyond -the control of the party affected, including, but not restricted to, flood, earthquake, storm, fire, lightening, epidemic, war, riot, civil disturbance or disobedience, federal, state, or municipal action, statute, ordinance, or regulation, embargoes of the United States Government or any other government, which by exercise of due diligence such party could not reasonably have been expected to avoid and by exercise of due diligence has been unable to overcome. Either party rendered unable to fulfill any of its obligations under this Contract by reason of an uncontrollable force shall give written notice within five (5) business days of such fact to the other party and shall exercise due diligence to remove such inability with all reasonable dispatch. The delivery time shall be extended by Change Order by the number of days of delay caused by the uncontrollable force, as the City may reasonably determine. An extension of the delivery time by reason of an uncontrollable force shall not justify extra compensation for Wondries for administrative or other costs or expenses; provided, - 4 - 1 however, that if the time for achieving delivery is materially 2 extended by reason of uncontrollable force through no fault of 3 Wondries, Wondries shall be entitled to an increase in the Contract 4 price, but only in any amount equal to the increase in Wondries' 5 direct cost resulting from such delay. 6 IN WITNESS WHEREOF, the parties have caused this Contract to 7 8 9 10 11 12 13 14 15 be executed by and through their authorized officers on the date, month and year first written above. The vehicles shall be delivered completely assembled and ready to operate. All equipment normally furnished, as a standard shall be included.
