A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF
AN AMENDMENT NO. ONE TO AGREEMENT FOR PROFESSIONAL
CONSULTING SERVICES BY AND BETWEEN THE CITY OF
VERNON AND JOHN KRUISSINK

7 WHEREAS, on September 1, 2004, the City Council of the City
8 of Vernon adopted Resolution No. 8561 approving an Agreement for
9 Professional Consulting Services (the "Agreement") with John Kruissink
10 ("Kruissink") to research and write a book of the history of the City;
11 and
12 WHEREAS, by letter dated June 9, 2005, Bruce V. Malkenhorst,
13 City Administrator, recommended that an amendment to the Agreement
14 with Kruissink to extend the Agreement for a year, September 1, 2005
15 through and including August 31, 2006, be approved and executed; and
16 WHEREAS, the City Council of the City of Vernon has
17 determined that, pursuant to the provisions of subsection (a) of
18 Section 2.27 of the Vernon City Code, it is in the public interest and
19 necessity to enter into an amendment to the Agreement with Kruissink.
20 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
21 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby
23 finds and determines that the recitals contained hereinabove are tru.e
24 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
26 approves the Amendment No. One to the Agreement for Professional
27 Consulting Services with John Kruissink, a copy which is attached
28 hereto as Exhibit A and incorporated by reference.

SECTION 3:
The City Council of the City of Vernon hereby
2 authorizes the Mayor to execute said Amendment for, and on behalf of,
3 the City of Vernon and the City Clerk is hereby authorized to attest
4 thereto.

SECTION 4:
The City Council of the City of Vernon hereby
directs the City Clerk, or his designee, to send one fully executed
7
Amendment to:

SECTION 5:
The City Clerk of the City of Vernon shall
12 certify to the passage of this resolution, and thereupon and

THIS AMENDMENT NO. ONE TO THE AGREEMENT FOR PROFESSIONAL
CONSULTING SERVICES (this "Amendment") is made, entered into and
executed in duplicate originals, either copy of which may be
considered and used as the original hereof for all purposes, as of
this 15th day of June, 2005, in the City of Vernon, County of Los
Angeles, California

WHEREAS, the City and Consultant are parties to an Agreement

for Professional Consult~ng Services (the "Agreement") dated on or
about September 1, 2004, wherein Consultant was to research, write,
assemble and complete a book of the history of the City (the "Project")
on or before August 31, 2005; and
WHEREAS, Consultant has requested that the Agreement be
extended for an additional year to complete the Project; and
WHEREAS, the City and Consultant desire to amend the
Agreement to extend the term from September 1, 2005 through and
including August 31, 2006, under the same terms and conditions of the
Agreement.

1 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS
2 SET FORTH HEREIN:

SECTION 1:
The following language shall be added to
4 Section 3, TIME OF PERFORMANCE:
5 Consultant's performance under this Amendment No. One shall
6 commence on September 1, 2005 and expire on August 31, 2006, unless
7 terminated or extended.

SECTION 2:
Approval by City. This Amendment shall be
9 executed by a duly authorized representative of City following
10 approval of the terms of this Amendment by City in accordance with
11 City policies and procedures.

SECTION 3:
Remainder of Agreement. Except as specifically
13 modified herein, all terms and conditions of the Agreement are
14 unmodified and remain in full force and effect, and are hereby
15 ratified by the parties.

SECTION 4:
Entire Agreement. The provisions of this
17
Amendment shall constitute the entire agreement of the parties hereto
with respect to the subject matter included in this Amendment and
18

shall supercede any other agreement, understanding or arrangement,
whether written or oral, between the parties with respect to the
subject matter of this Amendment.
