RESOLUTION NO. 8783
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON RESCINDING RESOLUTION NO. 8656 REGARDING A
PROFESSIONAL SERVICES AGREEMENT WITH SIEMENS
INDUSTRIAL TURBOMACHINERY, INC.
WHEREAS, on February 2, 2005, the City Council of the City of
adopted Resolution No. 8656 approving a Professional Services
8 Agreement, in form (the ~Draft Agreement") with Siemens Industrial
9 Turbomachinery, Inc. (~Siemens") for training on the two combustion
lO turbine generators and one steam turbine generator before operation and
11 commissioning of the Malburg Generating Station Project (the
12 ~Training"); and
l3 WHEREAS, on July 14, 2004, the City Council of the City of
14 Vernon approved a Novation Agreement with Demag Delaval Industrial
15 Turbomachinery, Inc. (~Demag"), whereby the City consented to the
l6 assignment of contracts with Alstom Power Inc. concerning the
17 combustion and steam turbine generators at the Malburg Generating
l8 Station Project and the warranties and performance guarantees on said
19 equipment; and
20 WHEREAS, following the City Council's approval of the Draft
21 Agreement, but before an actual agreement was signed by the City, it
22 was determined that, instead of an agreement with Siemens for the
23 Training, a change order to Demag's Equipment and Service Contract for
24 the combustion turbine generators was the best mechanism to set forth
25 the terms and conditions of the Training; and
26 WHEREAS, the City desires to rescind its prior approval of
27 the Draft Agreement.
28 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE

1 CITY OF VERNON AS FOLLOWS:

SECTION l:
The City Council of the City of Vernon hereby
3 finds and determines that the recitals contained hereinabove are true
4 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
6 rescinds Resolution No. 8656 and the Professional Services Agreement
7 dated February 2, 2005. Any resolution not consistent with or in
8 conflict with this resolution is hereby repealed.
9
SECTION 3:
The City Clerk of the City of Vernon shall
10 certify to the passage of this resolution, and thereupon and
II thereafter the same shall be in full force and effect.
12 APPROVED AND ADOPTED this 29th day of June, 2005.
