A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
FIRST AMENDMENT TO AGREEMENT NUMBER C-I07783 BY AND
BETWEEN THE CITY OF VERNON AND THE CITY OF LOS
ANGELES REGARDING THE USE OF 2003 URBAN AREAS
SECURITY INITIATIVE GRANT FUNDS

8 WHEREAS, on December 15, 2004, the City Council of the City
9 of Vernon adopted Resolution No. 8620 approving an Agreement (the
10 nAgreement") with the City of Los Angeles (nLos Angeles") for the
11 distribution of 2003 Urban Areas Security Initiative grant funds to
12 the Police and Fire Departments for equipment; and
13 WHEREAS, City staff have recommended that a first amendment
14 to the Agreement with Los Angeles to extend the time of performance of
15 the Agreement by five (5) months and to replace the Incident
16 Commander's Radio Interface equipment with three Motorola Digital
17 Radios for the same price be approved and executed.
18 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
19 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby
21 finds and determines that the recitals contained hereinabove are true
22 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
24 approves the First Amendment to Agreement Number C-107783 of City of
25 Los Angeles Contract, in substantially the same form as the copy which
26 is attached hereto as Exhibit A and incorporated by reference.

SECTION 3:
The City Council of the City of Vernon hereby
2 authorizes the Mayor to execute said Amendment for, and on behalf of,
3 the City of Vernon and the Acting City Clerk is hereby authorized to
4 attest thereto.

SECTION 4:
The City Council of the City of Vernon hereby
directs the Acting City Clerk, or his designee, to send two executed

Amendments before July 31, 2005, to:

SECTION 5:
The Acting City Clerk of the City of Vernon

FIRST AMENDMENT TO AGREEMENT NUMBER C-107783 OF
CITY OF LOS ANGELES CONTRACT
BETWEEN
THE CITY OF LOS ANGELES
AND
THE CITY OF VERNON
THIS FIRST AMENDMENT to Agreement Number C-107783 of City of Los
Angeles Contract is made and entered into by and between the City of Los Angeles, a
municipal corporation (hereinafter called the "City"), and City of Vernon, a municipal
corporation (hereinafter called "City of Vernon" or "Contractor").
WITNESSETH
WHEREAS, the City and the City of Vernon have entered into an Agreement
wherein City of Vernon shall provide certain services; said Agreement effective April 28,
2004 shall hereinafter be referred to as the Agreement; and
WHEREAS, Section ~505 of the Agreement provides for amendments to the
Agreement; and
WHEREAS, the City and the City of Vernon are desirous of amending the
Agreement as authorized by Section 14.8 of the Los Angeles Administrative Code which
authorizes the City to prepare and execute an amendment to the Agreement for the
purpose of: (a) adding an additional five (5) months for a new ending date of December
31, 2005; and (b) by deleting the Incident Commander's Radio Interface equipment and
adding Motorola Digital Radios and (c) making such other changes as are required in
,connection with the foregoing, all as detailed elsewhere in this Agreement; and
WHEREAS, this Amendment is necessary and proper to continue and/or
complete certain activities authorized under the Agreement.
NOW, THEREFORE, the City and the City of Vernon agree that the Agreement
be amended upon execution as follows:

AMENDMENT
~ 1. Amend Section 201 Time of Performance by deleting the current ending date of
July 31,2005 and replacing with the new ending date of December 31,2005.
This amendment adds an additional five (5) months.
~2. Amend Exhibit F:
Delete the following:
1. Equipment Description: Incident Commander's Radio Interface. Unit Cost is
Eleven Thousand Six Hundred Seventy Eight Dollars ($11,678.00).
Add the Following:
1. Equipment Description: Three (3) Motorola Digital Radios. Unit Cost is
Eleven Thousand Six Hundred Seventy Eight Dollars ($11,678.00).
This amendment replaces the incident commander's radio interface for three (3)
Motorola digital radios.
~2. Except as herein amended, all terms and conditions of the Agreement shall remain
in full force and effect.
~3. This Amendment is executed in two (2) duplicate originals, each of which is
deemed to be an original. This Amendment includes three (3) pages which
constitute the entire understanding and agreement of the parties.
