RESOLUTION NO. 8827
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
MAINTENANCE AGREEMENT BY AND BETWEEN THE CITY OF
VERNON AND ADVANCED ELECTRONICS FOR RADIO AND
CLOSED CIRCUIT VIDEO EQUIPMENT USED BY VARIOUS
DEPARTMENTS IN THE CITY

8 WHEREAS, the Vernon Fire, Police, Light & Power, Health and
9 Community Services & Water Departments use portable and mobile radio
10 equipment and closed circuit video equipment (the "Equipment") in the
11 performance of their duties; and
12 WHEREAS, these departments provide essential services to the
13 City and its inhabitants; and
14 WHEREAS, the City of Vernon needs the services of a vendor
15 to perform maintenance and repair services on the Equipment on an as-
16 needed basis to ensure the continued operation of the Equipment; and
17 WHEREAS, Advanced Electronics, Inc. ("Advanced") has
18 provided preventative maintenance and repair services on the Equipment
19 in the past and is familiar with the Equipment used by the City; and
20 WHEREAS, as a result of Advanced's past services to Vernon,
21 it should be able to provide the maintenance and repair services now
22 required in a more efficient and effective manner; and
23 WHEREAS, Advanced has provided renewal rates that would
24 allow the maintenance of the Equipment throughout the year at an
25 approximate cost of Forty-Five Thousand Seven Hundred Seventy Dollars
26 and Fifty-Two Cents ($45,770.52) for the fiscal year period (2005-
27 2006); and
28 WHEREAS, on August 9, 2005, the Finance Committee

1 recommended that an agreement be approved and executed with Advanced
2 to provide maintenance and repair services on an as-needed basis for
3 the fiscal year; and
4 WHEREAS, the City Council of the City of Vernon has
5 determined that, pursuant to the provisions of Subsection (a) of
6 Section 2.27 of the Vernon City Code, it is in the public interest and
7 necessity to enter into an agreement with Advanced for maintenance and
8 repair services on the Equipment on an as-needed basis.
9 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
10 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby
12 finds and determines that the recitals contained hereinabove are true
13 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
15 approves the Maintenance Agreement with Advanced, in substantially the
16 same form as the copy which is attached hereto as Exhibit A and
17 incorporated by reference.

SECTION 3:
The City Council of the City of Vernon hereby
19 authorizes the Mayor to execute said Amendment for, and on behalf of,
20 the City of Vernon and the Acting City Clerk is hereby authorized to
21 attest thereto.

SECTION 4:
The City Council of the City of Vernon hereby
23 directs the City Clerk, or his designee, to send one fully executed
24 Agreement to:

RECITALS
15 WHEREAS, various departments in the City use portable and
16 mobile radio equipment and closed circuit video equipment (hereinafter
17 collectively referred to as "equipment") in the performance of their
18 duties; and
19 WHEREAS, the City requires the services of a vendor to
20 perform maintenance on the equipment on an as-needed basis to ensure
21 its continued operation; and
22 WHEREAS, Advanced has performed preventative maintenance and
23 repair services on the City's equipment in the past and is familiar
24 with the equipment used by thB City; and
25 WHEREAS, the City believes that because of the experience
26 and qualifications that Advanced has, it is best suited to continue to
27 perform preventative maintenance and repair services on the equipment;

1 WHEREAS, Advanced has submitted renewal proposals for the
2 provision of services to the Police Department, the Fire Department,
3 the Community Services Department, the Light & Power Department, the
4 Health Department and the Police Department/CCTV, hereinafter
5 collectively referred to as the "Proposals," and attached hereto as
6 Exhibits A, B, C, D, E and F and incorporated by reference; and
7 WHEREAS, Advanced has represented to the City that it has
8 the expertise and qualifications to perform such maintenance services
9 and that it will have personnel able to respond to such maintenance
10 needs or emergencies on an as-needed-basis; and
11 WHEREAS, the City desires to engage the services of Advanced
12 for maintenance and emergency services relating to the equipment.
13 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
14 FORTH HEREIN:
15 1. SCOPE OF SERVICES.
16 Through this Agreement, the City is acquiring "Gold Plan"
17 coverage from Advanced for all of the equipment identified in Exhibits
18 A, B, C, D, E and F. The maintenance services to be provided under the
19 Gold Plan are set forth in Exhibit G, attached hereto and incorporated
20 by reference. Such services shall be performed on an as-needed basis.
21 Under the Gold Plan, Advanced is to perform maintenance services that
22 extend its Silver Plan but includes batteries and antennas for portable
23 radios (limited to one battery, one antenna, and/or one belt clip per
24 radio per year when accompanied by a radio as needed). In addition,
25 the Gold plan also covers physical abuse up to 60% of the replacement
26 value of the radio and if the radio needs to be replaced, Advanced will
27 provide an equal replacement at an additional 10% off the regular list
28 prices. The City shall deliver the mobile units, portable equipment and

other easily removable equipment to Advanced for service. Pick-up and
delivery of portables is available for an additional charge. It is
understood and agreed that in the event of a conflict between the
Proposals and this Agreement, the terms of this Agreement shall
prevail.
2. TIME OF PERFORMANCE.
The services to be provided by Advanced shall commence
July 1, 2005 and shall continue until June 30, 2006, unless the
Agreement is otherwise terminated or extended.
3. COMPENSATION.
A. Gold Plan Services. The City will compensate
Advanced for the maintenance services provided to the Police
Department, the Fire Department, the Community Services Department, the
Light & Power Department, the Health Department and the Police
Department/CCTV, under the Gold Plan at a total rate of $3,814.21 per
month. The amount to be incurred for the services provided by Advanced
for Gold Plan maintenance services under this Agreement shall not
exceed $45,770.52 for the fiscal year period (2005-2006), unless this
Agreement is amended in writing to increase the amount to be paid under
the Gold Plan.
B. Non-Gold Plan Services The City will
compensate Advanced for services performed in addition to the Gold Plan
maintenance services in accordance with the Hourly Labor Rates set
forth in Exhibit H which is attached hereto and incorporated
by reference.
4. METHOD OF PAYMENT.
Advanced shall submit an invoice to the City within thirty
(30) days after the last day of any month in which services have been

1 performed or costs incurred hereunder. All invoices shall contain an
2 itemization of services rendered, when and where the services were
3 rendered, and shall identify which services are covered under the Gold
4 Plan and which are not. For those services that are not covered under
5 the Gold Plan, the invoice shall contain the names, labor
6 classifications, the hours worked for each worker on a specific job,
7 the travel time, other directly related job expenses and subcontract
8 charges incurred by Advanced and for which compensation is due.
9 Advanced shall be responsible for paying any subcontractors used in the
10 performance of this Agr~ement. Subcontractors shall not bill the City
11 directly.
12 Payment of the invoice shall be made after acceptance and
13 approval by the City within thirty (30) days of receipt. The City's
14 approval of the invoice shall not be unreasonably withheld.

5.
CHANGES AND EXTRA SERVICES.
The City reserves the right to request changes in the
17 services to be performed by Advanced. All such changes shall be
18 incorporated in written change orders executed by the City and
19 Advanced. The change orders shall specify the services to be provided,
20 the adjustment of compensation, and completion time.
21 Any services added to the scope of this Agreement by a change
22 order shall be executed under all applicable conditions of this
23 Agreement. No claim for additional compensation or extension of time
24 shall be recognized unless contained in a duly executed change order.

6.
TERMINATION. This Agreement may be terminated by the
26 City without cause on ten (10) days written notice to Advanced. In the
27 event of such termination by the City, Advanced shall be entitled to a
28 pro-ration of the monthly fee for the Gold Plan maintenance services

1 and for any fees for non-Gold Plan services performed and earned by it
2 prior to the date of the termination notice, plus compensation for
3 necessary work performed during the ten (10) day notice period and
4 authorized in the termination notice.

CONFIDENTIAL INFORMATION.
A. Access to Confidential Information. The City may
16 provide Advanced and/or its subcontractor with, or allow Advanced
17 access to, certain information deemed relevant by the City, not
18 available to the public concerning the City, or businesses located in
19 the City. The information may include company information, taxes,
20 sales, value of assets, or other such information. All such
21 information shall be known as "Confidential Information" and may not be
22 used to circumvent the responsibility of either party to this
23 Agreement.

B. No Disclosure. Except as expressly permitted,
25 Advanced shall not disclose, permit the disclosure of, release,
26 disseminate, or transfer, whether orally or by any other means, any
27 part of such Confidential Information to any other person or entity,
28 whether corporate, governmental, or individual, without the express

1 prior written consent of an authorized representative of the City.
2 Advanced and/or its subcontractor shall return any written Confidential
3 Information and all copies made of such items to the City upon the
4 City's written request, but in any event not later than the date that
5 Advanced has performed all services to be performed pursuant to this
6 Agreement. Advanced hereby agrees that such Confidential Information
7 and any documents provided may be used by Advanced and/or its
8 subcontractor only as authorized by-the City. Advanced's contracts
9 with subcontractors shall include provisions that bind the
10 subcontractors to this non-disclosure requirement. Advanced shall take
11 reasonable measures to avoid any disclosure of any such Confidential
12 Information to any unauthorized person.
13 C. Court Ordered Disclosure. Advanced shall
14 immediately notify the City of any court order or subpoena or other
15 directive of a court, administrative agency, quasi-judicial body or
16 arbitration panel requiring disclosure of Confidential Information, and
17 shall cooperate with the City's legal counsel in responding to any such
18 order or subpoena. Advanced may only disclose Confidential Information
19 required to be disclosed pursuant to court order or subpoena after
20 legal counsel has exhausted any lawful and timely appeal or challenge.
21 D. Remedies. In addition to any other remedies that
22 it may have at law or in equity, the City shall be entitled to a
23 temporary and permanent injunction by a court of competent jurisdiction
24 against any breach or threatened breach of the Confidential Information
25 provisions of this Agreement. Advanced acknowledges that in case of
26 such breach or threatened breach of said provision~, the City would
27 have no adequate remedy at law.

1 9. GENERAL PROVISIONS.
2 A. Independent Contractor. At all times during the
3 term of this Agreement, Advanced shall be an independent contractor and
4 shall not be an employee of the City. The City shall have the right to
5 control Advanced only insofar as the results of the services rendered
6 by Advanced pursuant to this Agreement. However, the City shall not
7 have the right to control the means by which Advanced accomplishes
8 services rendered pursuant to the Agreement except to the extent that
9 such services involve the use of City property or Confidential
10 Information.
11 B. Advanced Not Agent. Except as the City may
12 specify in writing, Advanced shall have no authority, express or
13 implied, to act on behalf of the City in any capacity whatsoever as an
14 agent. Advanced shall have no authority, expressed or implied,
15 pursuant to this Agreement to bind the City to any obligation
16 whatsoever.
17 C. Indemnification. Advanced shall indemnify,
18 defend, protect and hold the City and its officers, agents and
19 employees, free and harmless from and against any and all claims,
20 demands, losses, damages, liabilities, fines, charges, penalties,
21 orders, judgments and all costs and expenses incurred in connection
22 therewith, including reasonable attorney's fees and costs of defense
23 arising out of the negligent 'services performed under this Agreement,
24 except to the. extent arising from or caused by the negligence or
25 willful misconduct of the City, its officers, agents or employees.
26 D. Insurance. Prior to commencing work hereunder,
27 Advanced shall provide the City with proof of insurance providing and
28 maintaining the coverages set forth in the Insurance Schedule attached

1 hereto as Exhibit I and incorporated by reference. Said proof of
2 insurance shall also provide that said policy or policies shall not be
3 canceled or materially reduced in coverage without giving at least
4 thirty (30) days prior written notice to the City. Advanced shall not
5 permit a subcontractor or vendor to perform work on City premises
6 unless and until a certificate of insurance is obtained showing that
7 such subcontractor or vendor has worker's compensation coverage.
8 If Advanced employs subcontractors as part of the
9 services rendered, Advanced's protective coverage is required.
10 Advanced may include all subcontractors as insureds under its own
11 policy or shall furnish separate insurance for each subcontractor,
12 meeting the requirements set forth herein.
13 E. Governinq Law. The validity, interpretation and
14 performance of this Agreement shall be controlled and construed under
15 the laws of the State of California.
16 F. Assignment and Subcontracting Prohibited. No
17 party to this Agreement may assign or subcontract any right or
18 obligation pursuant to this Agreement except with the express written
19 consent of the other party. Any other attempted or purported
20 assignment of any right or obligation pursuant to this Agreement shall
21 be void and of no effect.
22 G. Amendments. This Agreement may be modified or
23 amended only by a written document executed by both Advanced and the
24 City and approved as to form by the City Attorney.
25 H. Entire Agreement. This Agreement is the entire
26 agreement of the parties. Advanced represents that in entering into
27 this Agreement, it has not relied on any previous representations or
28 understandings of any kind or nature.

1 I. Benefit of Agreement. This Agreement shall bind
2 and benefit the parties hereto and their heirs, successors, and
3 permitted assigns.
4 J. Forum Selection. Any action brought relating to
5 this Agreement shall be brought and held exclusively in a State Court
6 in the County of Los Angeles, California.
7 K. Recitals. All recitals are incorporated by
8 reference.
9 L. Waiver. Any waiver at any time by either party of
10 its rights with respect to a default under this Agreement, or with
11 respect to any other matters arising in connection with this Agreement,
12 shall not be deemed a waiver with respect to subsequent default or
13 other matter.
14 M. Force Maieure. Neither Party shall be considered
15 in to be in default in any of its obligations under this Contract when
16 a failure of performance shall be due to an uncontrollable force. The
17 term "uncontrollable force" shall mean any cause beyond the control of
18 the party affected, including, but not restricted to, flood,
19 earthquake, storm, fire, lightening, epidemic, war, riot, civil
20 disturbance or disobedience, labor dispute, labor material shortage,
21 sabotage, federal, state, or municipal action, statute, ordinance, or
22 regulation, embargoes of the United States Government or any other
23 government, which by exercise of due diligence such party could not
24 reasonably have been expected to avoid and by exercise of due diligence
25 has been unable to overcome. Either party rendered unable to fulfill
26 any of its obligations under this Agreement by reason of an
27 uncontrollable force, shall give written notice within five (5)
28 Business Days of such fact to the other party and shall exercise due

1 diligence to remove such inability with all reasonable dispatch.
2 N. Arbitration. The parties agree that any and
3 all disputes arising out of or in relation to this Contract, including
4 without limitation any action in tort, shall be resolved exclusively,
5 finally and conclusively by arbitration in Los Angeles County,
6 California under the auspices of and pursuant to the rules of the
7 Judicial Arbitration & Mediation Services Inc. (JAMS). Each party will
8 select an arbitrator. Those two arbitrators will then select a third.
9 The three-member panel will make the final decision. All decisions of
10 the arbitrators shall be in,writing, and the arbitrators shall provide
11 written reasons for their decision. The arbitration decision shall be
12 final and binding on the parties. Notwithstanding the foregoing, the
13 parties shall be permitted to access the court system to enforce any
14 arbitration award or to obtain injunctive relief. The exclusive
15 jurisdiction and venue for any such action shall be the Superior Court
16 of California, Los Angeles County. Any and all contracts between
17 Consultant and any subcontractor relating to this Agreement shall
18 include the same arbitration clause.

p,m. service hours, Includes all parts and labor required to repair the equipment,
which bas become defective due to normal wear and usage, subject to the
availability of parts, Does not include repair or replacement of equipment which
has become defective, including but not limited to damage caUsed by accidents,

15 WHEREAS, various departments in the City use portable and
16 mobile radio equipment and closed circuit video equipment (hereinafter
17 collectively referred to as ~equipment") in the performance of their
18 duties; and
27 perform preventative maintenance and repair services on the equipment;

WHEREAS, Advanced has submitted renewal proposals for the
provision of services to the Police Department, the Fire Department,
t?e Community Services Department, the Light & Power Department, the
Health Department and the Police Department/CCTV, hereinafter
collectively referred to as the "Proposals," and attached hereto as
Exhibits A, B, C, D, E and F and incorporated by reference; and
WHEREAS, Advanced has represented to the City that it has
the expertise and qualifications to perform such maintenance services
and that it will have personnel able to respond to such maintenance
needs or emergencies on an as-needed-basis; and
WHEREAS, the City desires to engage the services of Advanced
for maintenance and emergency services relating to the equipment.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN:
1. SCOPE OF SERVICES,
Through this Agreement, the City is acquiring "Gold Plan"
coverage from Advanced for all of the equipment identified in Exhibits
A, B, C, D, E and F. The maintenance services to be provided under the
Gold Plan are set forth in Exhibit G, attached hereto and incorporated
by reference. Such services shall be performed on an as-needed basis.
Under the Gold Plan, Advanced is to perform maintenance services that
extend its Silver Plan but includes batteries and antennas for portable
radios (limited to one battery, one antenna, and/or one belt clip per
radio per year when accompanied by a radio as needed). In addition,
the Gold plan also covers physical abuse up to 60% of the replacement
value of the radio and if the radio needs to be replaced, Advanced will
provide an equal replacement at an additional 10% off the regular list
prices. The City shall deliver the mobile units, portable equipment and

other easily removable equipment to Advanced for service. Pick-up and
delivery of portables is available for an additional charge. It is
understood and agreed that in the event of a conflict between the
Proposals and this Agreement, the terms of this Agreement shall
prevail,
2. TIME OF PERFORMANCE.
The services to be provided by Advanced shall commence
July 1, 2005 and shall continue until June 30, 2006, unless the
Agreement is otherwise terminated or extended.
3, COMPENSATION.
A. Gold Plan Services, The City will compensate
Advanced for the maintenance services provided to the Police
Department, the Fire Department, the Community Services Department, the
Light & Power Department, the Health Department and the Police
Department/CCTV, under the Gold Plan at a total rate of $3,814.21 per
month. The amount to be incurred for the services provided by Advanced
for Gold Plan maintenance services under this Agreement shall not
exceed $45,770.52 for the fiscal year period (2005-2006), unless this
Agreement is amended in writing to increase the amount to be paid under
the Gold Plan.
B. Non-Gold Plan Services The City will
compensate Advanced for services performed in addition to the Gold Plan
maintenance services in accordance with the Hourly Labor Rates set
forth in Exhibit H which is attached hereto and incorporated
by reference.
4. METHOD OF PAYMENT,
Advanced shall submit an invoice to the City within thirty
(30) days after the last day of any month in which services have been

1 performed or costs incurred hereunder. All invoices shall contain an
2 itemization of services rendered, when and where the services were
3 rendered, and shall identify which services are covered under the Gold
4 Plan and which are not, For those services that are not covered under
5 the Gold Plan, the invoice shall contain the. names, labor
6 classifications, the hours worked for each worker on a specific job,
7 the travel time, other directly related job expenses and subcontract
8 charges incurred by Advanced and for which compensation is due.
9 Advanced shall be responsible for paying any subcontractors used in the
10 performance of this Agreement. Subcontractors shall not bill the City
11 directly.
.12 Payment of the invoice shall be made after acceptance and
13 approval by the City within thirty (30) days of receipt, The City's
14 approval of the invoice shall not be unreasonably withheld.
15 5. CHANGES AND EXTRA SERVICES.
16 The City reserves the right to request changes in the
17 services to be performed by Advanced. All such changes shall be
18 incorporated in written change orders executed by the City and
19 Advanced. The change orders shall specify the services to be provided,
20 the adjustment of compensation, and completion time.
21 Any services added to the scope of this Agreement by a change
22 order shall be executed under all applicable conditions of this
23 Agreement. No claim for additional compensation or extension of time
24 shall be recognized unless contained in a duly executed change order.
25 6, TERMINATION. This Agreement may be terminated by the
26 City without cause on ten (10) days written notice to Advanced. In the
27 event of such termination by the City, Advanced shall be entitled to a
28 pro-ration of the monthly fee for the Gold Plan maintenance services

1 and for any fees for non-Gold Plan services performed and earned by it
2 prior to the date of the termination notice, plus compensation for
3 necessary work performed during the ten (10) day notice period and
4 authorized in the termination notice.

CONFIDENTIAL INFORMATION,
A. Access to Confidential Information. The City may
16 provide Advanced and/or its subcontractor with, or allow Advanced
17 access to, certain information deemed relevant by the City, not
18 available to the public concerning the City, or businesses located in
.19 the City. The information may include company information, taxes,
20 sales, value of assets, or other such information. All such
21 information shall be known as "Confidential Information" and may not be
22 used to circumvent the responsibility of either party to this
23 Agreement.

B. No Disclosure. Except as expressly permitted,
25 Advanced shall not disclose, permit the disclosure of, release,
26 disseminate, or transfer, whether orally or by any other means, any
27 part of such Confidential Information to any other person or entity,
28 whether corporate, governmental, or individual, without the express

1 prior written consent of an authorized representative of the City.
2 Advanced and/or its subcontractor shall return any written Confidential
3 Information and all copies made of such items to the City upon the
4 City's written request, but in any event not later than the date that
5 Advanced has performed all services to be performed pursuant to this
6 Agreement. Advanced hereby agrees that such Confidential Information
7 and any documents provided may be used by Advanced and/or its
8 subcontractor only as authorized by.the City. Advanced's contracts
9 with subcontractors shall include provisions that bind the
10 subcontractors to this non-disclosure requirement, Advanced shall take
11 reasonable measures to avoid any disclosure of any such Confidential
12 Information to any unauthorized person.
13 C. Court Ordered Disclosure. Advanced shall
14 immediately notify the City of any court order or subpoena or other
15 directive of a court, administrative agency, quasi-judicial body or
16 arbitration panel requiring disclosure of Confidential Information, and
17 shall cooperate with the City's legal counsel in responding to any such
18 order or subpoena. Advanced may only disclose Confidential Information
19 required to be disclosed pursuant to court order or subpoena after
20 legal counsel ha$ exhausted any lawful and timely appeal or challenge.
21 D. Remedies. In addition to any other remedies that
22 it may have at law or in equity, the City shall be entitled to a
23 temporary and permanent injunction by a court of competent jurisdiction
24 against any breach or threatened breach of the Confidential Information
25 provisions of this Agreement, Advanced acknowledges that in case of
26 such breach or threatened breach of said provisions, the City would
27 have no adequate remedy at law,

1 9, GENERAL PROVISIONS.
2 A. Independent Contractor. At all times during the
3 term of this Agreement, Advanced shall be an independent contractor and
4 shall not be an employee of the City. The City shall have the right to
5 control Advanced only insofar as the results of the services rendered
6 by Advanced pursuant to this Agreement. However, the City shall not
7 have the right to control the means by which Advanced accomplishes
8 services rendered pursuant to the Agreement except to the extent that
9 such services involve the use of City property or Confidential
10 Information,
11 B. Advanced Not Agent, Except as the City may
12 specify in writing, Advanced shall have no authority, express or
13 implied, to act on behalf of the City in any capacity whatsoever as an
14 agent. Advanced shall have no authority, expressed or implied,
15 pursuant to this Agreement to bind the City to any obligation
16 whatsoever.
17 C, Indemnification. Advanced shall indemnify,
18 defend, protect and hold the City and its officers, agents and
19 employees, free and harmless from and against any and all claims,
20 demands, losses, damages, liabilities, fines, charges, penalties,
21 orders, judgments and all costs and expenses incurred in connection
22 therewith, including reasonable attorney's fees and costs of defense
23 arising out of the negligent services performed under this Agreement,
24 except to the'extent arising from or caused by the negligence or
25 willful misconduct of the City, its officers, agents or employees.
26 D, Insurance. Prior to commencing work hereunder"
27 Advanced shall provide the City with proof of insurance providing and
28 maintaining the coverages set forth in the Insurance Schedule attached

1 hereto as Exhibit I and incorporated by reference, Said proof of
2 insurance shall also provide that said policy or policies shall not be
3 canceled or materially reduced in coverage without giving at least
4 thirty (30) days prior written notice to the City, Advanced shall not
5 permit a subcontractor or vendor to perform work on City premises
6 unless and until a certificate of insurance is obtained showing that
7 such subcontractor or vendor has worker's compensation coverage.
8 If Advanced employs subcontractors as part of the
9 services rendered, Advanced's protective coverage is required.
10 Advanced may include all subcontractors as insureds under its own
11 policy or shall furnish separate 'insurance for each subcontractor,
12 meeting the requirements set forth herein,
13 E. Governinq Law, The validity, interpretation and
14 performance of this Agreement shall be controlled and construed under
15 the laws of tpe State of California.
16 F, Assignment and Subcontracting Prohibited. No
17 party to this Agreement may assign or subcontract any right or
18 obligation pursuant to this Agreement except with the express written
19 consent of the other party, Any other attempted or purported
20 assignment of any right or obligation pursuant to this Agreement shall
21 be void and of no effect.
22 G. Amendments. This Agreement may be modified or
23 amended only by a written document executed by both Advanced and the
24 City and approved as to form by the City Attorney.
25 H. Entire Agreement. This Agreement is the entire
26 agreement of the parties. Advanced represents that in entering into
27 this Agreement, it has not relied on any previous ,representations or
28 understandings of any kind or nature.

1 I. Benefit of Agreement, This Agreement shall bind
2 and benefit the parties hereto and their heirs, successors, and
3 permitted assigns.
4 J. Forum Selection. Any action brought relating to
5 this Agreement shall be brought and held exclusively in a State Court
6 in the County of Los Angeles, California.
7 K. Recitals. All recitals are incorporated by
8 reference.
9 L. Waiver, Any waiver at any time by either party of
10 its rights with respect to a default under this Agreement, or with
11 respect to any other matters arising in connection with this Agreement,
12 shall not be deemed a waiver with ~espect to subsequent default or
13 other matter,
14 M. Force Maieure, Neither Party shall be considered
15 in to be in default in any of its obligations under this Contract when
16 a failure of performance shall be due to an uncontrollable force, The
17 term "uncontrollable force" shall mean any cause beyond the control of
18 the party affected, including, but not restricted to, flood,
19 earthquake, storm, fire, lightening, epidemic, war, riot, civil
20 disturbance or disobedience, labor dispute, labor material sho~tage,
21 sabotage, federal, state, or municipal action, statute, ordinance, or
22 regulation, embargoes of the United States Government or any other
23 government, which by exercise of due diligence such party could not
24 reasonably have been expected to avoid and by exercise of due diligence
25 has been unable to overcome, Either party rendered unable to fulfill
26 any of its obligations under this Agreement by reason of an
27 uncontrollable force, shall give written notice within five (5)
28 Business Days of such fact to the other party and shall exercise due

1 diligence to remove such inability with all reasonable dispatch.
2 N, Arbitration. The parties agree that any and
3 all disputes arising out of or in relation to this Contract, including
4 without limitation any action in tort, shall be resolved exclusively,
5 finally and conclusively by arbitration in Los Angeles County,
6 California under the auspices of and pursuant to the rules of the
7 Judicial Arbitration & Mediation Services Inc, (JAMS). Each party will
8 select an arbitrator. Those two arbitrators will then select a third.
9 The three-member panel will make the final decision. All decisions of
10 the arbitrators shall be in. writing, and the arbitrators shall provide
11 written reasons for their decision, The arbitration decision shall be
12 final and binding on the parties. Notwithstanding the foregoing, the
13 parties shall be permitted to access the court system to enforce any
14 arbitration award or to obtain injunctive relief. The exclusive
15 jurisdiction and venue for any such action shall be the Superior Court
16 of California, Los Angeles County, Any and all contracts between
17 Consultant and any subcontractor relating to this Agreement shall
18. include the same arbitration clause.

MAINTENANCE CONTRACT OPTIONS
SILVER PLAN _ Standard Coverage Monday through Friday, 8:00 am to 5:00
p.rn. service hours. Includes all parts and labor required to repair the equipment,
which bas become defective due to normal wear and usage, subject to the
availability of parts. Does not include repair or replacement of equipment which
bas become defective, including but not limited to damage caused by accidents,
. physical or liquid abuse or~, vandaHsm, wind, fire or acts of God. Does not
include the repair or replacement of ,any tran<31li~n lines, antennas, towers or
tower lighting, batteries, carrying straps, belt clips, crystals; or reeds: nor does it
include installation or removal of equipment.
GOLD PLAN - The GOLD service plan is an extension of the SILVER plan but
includes batteries and antennas for portable radios. (Limited to one battery, one
antenna, and/or one belt clip per radio per year when accompanied by a radio as
needed). The GOLD service plan also covers physical abuse up to 60% of the .
replacement value of the radio and if the radio needs to be replaced, Advanced
Electronics, Inc. will provide an equal replacement at an additional lOO.le off our
regular list prices.
PLATINUM PLAN - Adds 24 Hour, 7 Day, 4 Hour response on fixed
equipment. A. 200/'0 discount off of list price on new equipment that replaces
contract units damaged beyond economical repair. Scheduled preventive
maintenance checks shall be performed between 8:00 p.m and midnight.. Physical
Damage is not covered on fixed equipment,
Pick-up and delivery of portables
may be added to any service plan for a nominal charge!
