A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
SECOND AMENDMENT TO AGREEMENT NUMBER C-I07782 BY
AND BETWEEN THE CITY OF VERNON AND THE CITY OF LOS
ANGELES REGARDING THE USE OF 2004 URBAN AREAS
SECURITY INITIATIVE GRANT FUNDS

8 WHEREAS, on December 15, 2004, the City Council of the City
9 of Vernon adopted Resolution No. 8621 approving an Agreement (the
10 "Agreement") with the City of Los Angeles ("Los Angeles") for the
11 distribution of 2004 Urban Areas Security Initiative grant funds to
12 the Police and Fire Departments for equipment; and
13 WHEREAS, on July 12, 2005, the City Council of the City of
14 Vernon adopted Resolution No. 8805 approving a first amendment to the
15 Agreement with Los Angeles to extend the time of performance of the
16 Agreement for four (4) months, or November 30, 2005; and
17 WHEREAS, City staff have recommended that a second amendment
18 to the Agreement with Los Angeles be approved and executed to extend
19 the time of performance of the Agreement for an additional twelve (12)
20 months, or November 30, 2006, and to replace the HazMat equipment with
21 Breathing Apparatus for the same price.
22 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
23 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby
25 finds and determines that the recitals contained hereinabove are true
26 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
28 approves the Second Amendment to Agreement Number C-I07782 of City of
, .
1 Los Angeles Contract, in substantially the same form as the copy which
2 is attached hereto as Exhibit A and incorporated by reference.

SECTION 3:
The City Council of the City of Vernon hereby
4 authorizes the Mayor to execute said Amendment for, and on behalf of,
5 the City of Vernon and the Acting City Clerk is hereby authorized to
6 attest thereto.

SECTION 4:
The City Council of the City of Vernon hereby
directs the Acting City Clerk, or his designee, to send two executed
Amendments as soon as possible, to:

SECOND AMENDMENT TO AGREEMENT NUMBER C-107782 OF
CITY OF LOS ANGELES CONTRACT
BETWEEN
THE CITY OF LOS ANGELES
AND
THE CITY OF VERNON
THIS SECOND AMENDMENT to Agreement Number C-I07782 of City of Los
Angeles Contract is made and entered into by and between the City of Los Angeles, a
municipal corporation (hereinafter called the "City"), and City of Vernon, a municipal
corporation (hereinafter called "City of Vernon" or "Contractor").
WITNESSETH
WHEREAS, the City and the City of Vernon have entered into an Agreement
wherein City of Vernon shall provide certain services; said Agreement effective August
17, 2004 and subsequently amended, which together with all amendments thereto shall
hereinafter be referred to as the Agreement; and
WHEREAS, Section ~505 of the Agreement provides for amendments to the
Agreement; and
WHEREAS, the City and the City of Vernon are desirous of amending the
Agreement as authorized by Section 14.8 of the Los Angeles Administrative Code which
authorizes the City to prepare and execute an amendment to the Agreement for the purpose
of: (a) adding an additional twelve (12) months for a new ending date of November 30,
2006; and (b) by deleting the HazMat equipment and adding Breathing Apparatus and (c)
making such other changes as are required in connection with the foregoing, all as detailed
elsewhere in this Agreement; and
WHEREAS, this Amendment is necessary and proper to continue and/or complete
certain activities authorized under the Agreement.
NOW, THEREFORE, the City and the City of Vernon agree that the Agreement be
amended upon execution as follows:

AMENDMENT
~ 1. Amend Section 201 Time of Performance by deleting the current ending date of
November 30, 2005 and replacing with the new ending date of November 30,
2006. This amendment adds an additional twelve (12) months.
~2. Amend Exhibit F by deleting the HazMat equipment and adding Breathing
Apparatus
~3. Except as herein amended, all terms and conditions of the Agreement shall remain
in full force and effect.
~4. This Amendment is executed in two (2) duplicate originals, each of which is
deemed to be an original. This Amendment includes three (3) pages which
constitute the entire understanding and agreement of the parties.
