RESOLUTION NO. 8927
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING PHASE I ERC
PURCHASES FOR THE VERNON POWER PLANT
WHEREAS, the City of Vernon is in the process of developing
Combined Cycle Power Plant officially named the Vernon Power

Plant (the "Vernon Power Plant Project") for the purpose of installing
additional generating capacity that will yield an efficient, cost-
effective, and reliable source of electric generation to the City of
11
Vernon; and
WHEREAS, by Resolution No. 7276 adopted on February 16, 1999,
the City Council of the City of Vernon approved a Resource Procurement
Plan and Credit Risk Management Policy for the Light & Power Department
in order to enable the Department to plan, execute and control the
management of a variety of risks inherent in power resource procurement
in the deregulated power market; and
WHEREAS, the Policy, together with the Market Risk Mitigation
Policy and the Credit Risk & Counterparty Control Policy, authorizes
the City to transact business in electricity and gas futures and
various other markets; and
WHEREAS, the City has retained the services of Evolution
Markets, LLC to provide brokerage and/or custodial services with
respect to structuring the purchase, sale or exchange of South Coast
Basin Coastal Nitrogen Oxide (Nox) Reclaim Trading Credit (RTC),
Reactive Organic Gases (ROG) and Coastal Carbon Monoxide (CO) Emission
Reduction Credit (ERC) on behalf of the City; and
WHEREAS, the City Council desires to permit certain -employees
1 of the City to purchase, sell or exchange ERCs and enter into
2 agreements for said service, subject to ratification of the City
3 Council; and
4 WHEREAS, this authorization will provide for the smooth,
5 effective and efficient administration of ERCs and enhance the
6 operation of the Light and Power Department; and
7 WHEREAS, the term, price, quantity and point(s) of delivery
8 are set forth in Transaction Confirmations that may need to be executed
9 to take advantage of lower prices for ERCs in a timely fashion,
10 contingent upon execution of a mutually acceptable contract; and
11 WHEREAS, the City Council of the City of Vernon has
12 determined that, pursuant to the provisions of subsection (a) of
13 Section 2.27 of the Vernon City Code, it is in the public interest and
14 necessity to enter into the various contracts with vendor(s) for the
15 purchase, sale or exchange of ERCs.
16 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
17 CITY OF VERNON AS FOLLOWS:
18 SECTION 1: The City Council of the City of Vernon hereby
19 finds and determines that the recitals contained hereinabove are true
20 and correct.
21 SECTION 2: The City Council of the City of Vernon hereby
22 approves and authorizes the Acting City Clerk, or his designee, to
23 purchase, sell or exchange Phase I ERCs for the Vernon Power Plant
24 Project within the parameters of City polices.
25 SECTION 3: The City Council of the City of Vernon hereby
26 authorizes the Acting City Clerk, or his designee, to purchase, sell
27 or exchange ERCs for the City with full power and authority to
28 determine the nature and terms of any such purchase, sale, or exchange

1 of ERCs, to bind the City to carry out any contract arrangement or
2 other transaction which shall be entered into, and tq fully effect and
3 carry out the purpose of this Resolution.

SECTION 4:
The City Council of the City of Vernon hereby
5 authorizes the Acting City Clerk, or his designee, to execute and
6 deliver any other documents incidental to the purchase, sale or
7 exchange of ERCs on behalf of the City.

SECTION 5:
The City Council of the City of Vernon hereby
9 authorizes the Acting City Clerk, or his designee, to execute any
10 necessary Transaction Confirmation.
11
SECTION 6:
The Acting City Clerk of the City of Vernon
12 shall certify to the passage of this resolution, and thereupon and
13 thereafter the same shall be in full force and effect.

Delivery/Settlement:
Within five (5) business days, the Undisclosed Seller ~haU send a draft contract to
Evolution Markets. Upon receipt of the draft contract. Evolution Markets will
. forward a copy to the Buyer for review. Upon execution of a mutually acceptable
contract, the Buyer shall send a wire transfer for the total purchase price to
Evolution Markets within four (4) business days to be held in escrow. In addition,
the Buyer and Undisclosed Seller shall execute their respective copies of the
signed contract and forward to Evolution Markets for signature. Furthermore. the
Undisclosed Seller shall sign and 3end the necessary transfer fomu; and lr-dIlsfer
letters to initiate the transfer of the ERCs and RTCs to Evolution within four (4)
business days. Upon receipt of the escrowed funds from the Buyer, the signed

contracts, transfer forms and letters, Evolution shall sign and fax a copy of their
respective paperwork to the Undisclosed Seller and Buyer. Evolution shall then
submit the necessary papeIWork to the South Coast Air Quality Management
District (SCAQMD) along with the filing fees for tnw~ft:r wiLhin three (3) business
days. Upon receipt of written confirmation from the SCAQMD that the credits
have been transferred from the Undisclosed Seller's account to the Evolution's
aecount, the total purchase price will be sent to the Undisclosed Seller net of
commissions within five (5) business days.
On or before Septem.ber 25, 2006, Evolution will initiate transfer of the credits
from Evolution Markets to the .Buyer. On September 25, 2006, Evolution Markets
will send the Transfer Fonns to the .Buyer to initiate transfer. The Buyer will sign
and send the Transfer Forms to Evolution Markets within two (2) business days.
Upon receipt of the signed Transfer Foi.m.s, Evolution Markets will sign and send
the Transfer Forms and Transfe1' I.etter to the SCAQMD along with the filing fees
for transfer within two (2) business days. If the Buyer would like the credits
transferred earlier than September 25, 2006, the Buyer must infonn Evolution
Markets in writing.
Additional Detail:
This transaction is contingent upon a mutually acceptable contract.
The.Buyer is responsible for an SCAQMD filing fees of$100.75 per 2007-2 fonn
and $440.82 per ERC Transfer Form. If these :fees increa<;e in yea"\" 2006, the
Buyer will be responsible for the balance which will be due to Evolution Markets
immediately.
