RESOLUTION NO. 8940

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING CERTAIN CITY OFFICIALS AND STAFF
MEMBERS TO BE DESIGNATED AS AUTHORIZED TRADERS FOR
THE PURCHASE OF ELECTRIC POWER AND GAS PRODUCTS

7 WHEREAS, the City's Malburg Generating Station has commenced
8 commercial operation; and
9 WHEREAS, the. City is in the process of developing an 800 MW
10 Combined Cycle Power Plant for the purpose of installing additional
11 generating capacity; and
12 WHEREAS, the City has constructed a natural gas distribution
13 system to distribute gas on a retail basis to customers throughout the
14 City; and
15 WHEREAS, the City in order to serve its electrical and gas
16 loads anticipates entering into various contracts for the purchase and
17 sale of electric energy, natural gas, and financial hedges with
18 various vendors for periods from one day to fifteen years; and
19 WHEREAS, the City Council permits certain employees and
20 officials to purchase and sell electric energy, natural gas and
21 financial hedges and enter into agreements for said service, subject
22 to ratification of the City Council; and
23 WHEREAS, the City Council finds it necessary and appropriate
24 to ratify the roles and responsibilities of the employees and
25 officials charged with entering into said agreements.
26 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
27 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The City Council of the City of Vernon hereby

1 finds and determines that the recitals contained hereinabove are t~
2 and correct.

SECTION 2:
The City Council of the City of Vernon hereby
4 authorizes certain employees and officials to purchase, sell and trade
5 electric energy, natural gas and financial hedges and enter into
6 agreements for said services, subject to ratification of the City
7 Council, as described in Exhibit A attached hereto and incorporated by
8 reference.

SECTION 3:
This Resolution does not supersede Resolution
10 No. 8841 or any other resolution authorizing the sale, purchase or
11 trading of financial or physical natural gas, power or hedges. Said
12 resolutions remain in full force and effect, the purpose of Resolution
13 No. 8940 is to clarify and define the roles, responsibilities and
14 authority of employees and officials charged with the trading of
15 natural gas and/or electric power.

SECTION 4:
The Acting City Clerk of the City of Vernon
17 shall certify to the passage of this resolution, and thereupon and
18 thereafter the same shall be in full force and effect.
19 APPROVED AND ADOPTED this 21st day of December, 2005.
