RESOLUTION NO. 8971
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE RETENTION OF
THE LAW FIRM OF GIRARDI & KEESE, AUTHORIZING THE
CITY TO DO ALL ACTIONS DEEMED NECESSARY OR ADVISABLE
CONCERNING SAID RETENTION AND AUTHORIZING THE
RETENTION OF ANY OTHER LAW FIRMS DEEMED NECESSARY
WHEREAS, the City of Vernon needs the services of a law firm;
and
WHEREAS, staff has determined that the firm of Girardi &
Keese ("Law Firm") to be the firm that meets the City'.s criteria
specified for this matter.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the retention of Girardi & Keese.
SECTION 3: The City Council of the City of Vernon hereby
approves and authorizes the City Attorney, or his designee, to take all
actions deemed necessary to retain the services of Girardi & Keese.
SECTION 4: The City Council of the City of Vernon hereby
approves and authorizes the City Attorney, or his designee, to take all
actions deemed necessary to retain the services of other law firm(s)
that meet the City's criteria to advise the City on election fraud
issues, subject to ratification by the City Council.

SECTION 5: The Acting City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and thereafter
the same shall be in full force and effect.

Gentlemen:
Our Iaw firm would be pleased to represent the City of Vernon as trial counsel in this
very interesting matter.
It is my understanding that although you have other counsel on other aspects of the case
that you would be interested in my personal representation as opposed to others in the
firm.
I am willing to commit to that request.
While others in the law firm will be involved in certain aspects of the case, the important
trial decisions, settlement discussions and the trial itself will be my responsibility.
Our fees in the case would depend upon the individual lawyer who is handling the matter.
Although our usual hourly rates are somewhat higher, we would charge between $250 per
hour and $650 per hour for our services depending upon the particular lawyer involved.
We are not aware of any conflict of interest that could exist.
