3 A RESOLUTION.OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND RATIFYING THE EXECUTION OF A
4 REPRESENTATION AND WAIVER OF CONFLICT LETTER BY AND
5 BETWEEN THE CITY OF VERNON AND LOEB & LOEB

7 WHEREAS, a complaint against Leonis C. Malburg, individually,
8 has been filed in LASC Case No. BC 346800 (the "Lawsuit"); and
9 WHEREAS, the law firm of Loeb & Loeb ("Loeb") has been
10 providing legal services to the City in the past; and
11 WHEREAS, Leonis C. Malburg desired Loeb to represent him in
12 the Lawsuit, subject to the City waiving any conflict that might exist;
13 and
14 WHEREAS, in order to meet the urgent need to waive any
15 conflict that might exist, the City Attorney executed a Representation
16 and Waiver of Conflict Letter dated on or about February 16, 2006 (the
17 "Agreement"), subject to ratification by the City Council; and
18 WHEREAS, the City Council desires to approve and ratify the
19 actions of the City Attorney in executing the Agreement with Loeb.
20 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
21 CITY OF VERNON AS FOLLOWS:

SECTION 1:
The
City Council
of the City of Vernon
hereby
23
finds and determines
that
the recitals
contained hereinabove
are true
24 Iland correct.
25 SECTION 2: The City Council of the City of Vernon hereby
26 approves and ratifies the execution of the Representation and Waiver
27 of Conflict Letter by the City Attorney on or about February 16, 2006,
28 with Loeb.
1 SECTION 3: The Acting City Clerk of the City of Vernon
2 shall certify to the passage of this resolution, and thereupon and
3 thereafter the same shall be in full force and effect.
4 APPROVED AND ADOPTED this lst day of March, 2006.
