1 RESOLUTION NO. 9064 2 3 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A 4 SECOND AMENDMENT TO AGREEMENT NUMBER C-107783 BY AND BETWEEN THE CITY OF VERNON AND THE CITY OF LOS 5 ANGELES REGARDING THE USE OF 2003 URBAN AREAS 6 SECURITY INITIATIVE GRANT FUNDS rl 8 WHEREAS, on December 15, 2004, the City Council of the City 9 of Vernon adopted Resolution No. 8620 approving an Agreement (the 10 "Agreement") with the City of Los Angeles ("Los Angeles") for the 11 distribution of 2003 Urban Areas Security Initiative grant funds to 12 the Police and Fire Departments for equipment; and 13 WHEREAS, July 12, 2005, the City Council of the City of 14 Vernon adopted Resolution No. 8800 approving a First Amendment to the 15 Agreement with Los Angeles extending the time of performance and 16 providing for the replacement of equipment; and 17 WHEREAS, City staff have recommended that a second amendment 18 to the Agreement with Los Angeles be approved_ and--executed-to--replace 19 one powered air purifying respirator with thirteen carbon -fiber 20 breathable air cylinders and valve assemblies for the same price. 21 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 22 CITY OF VERNON AS FOLLOWS: 23 11 SECTION 1: The City Council of the City of Vernon hereby 24 11finds and determines that the recitals contained hereinabove are true 25 and correct. 26 SECTION 2: The City Council of the City of Vernon hereby 27 approves the Second Amendment to Agreement Number C-107783 of City of 28 Los Angeles Contract, in substantially the same form as the copy which .= 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor to execute said Amendment for, and on behalf of, the City of Vernon and the Acting City Clerk is hereby authorized to attest thereto. SECTION 4: The City Council of the City of Vernon hereby directs the Acting City Clerk, or his designee, to send two executed Amendments to: Laura Shin, Contracts Specialist Office of the Mayor, Homeland Security and Public Safety 200 N. Spring Street, Room 303 Los Angeles, CA 90012 SECTION 5: The Acting City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. Acting City Clerk - 3 - EXHIBIT A SECOND AMENDMENT TO AGREEMENT NUMBER C-107783 OF CITY OF LOS ANGELES CONTRACT BETWEEN THE CITY OF LOS ANGELES AND THE CITY OF VERNON THIS SECOND AMENDMENT to Agreement Number C-107783 of City of Los Angeles Contract is made and entered into by and between the City of Los Angeles, a municipal corporation (hereinafter called the "City"), and City of Vernon, a municipal corporation (hereinafter called "City of Vernon" or "Contractor"). WITNESSETH WHEREAS, the City and the City of Vernon have entered into an Agreement wherein City of Vernon shall provide certain services; said Agreement effective April 28, 2004 shall hereinafter be referred to as the Agreement; and WHEREAS, Section §505 of the Agreement provides for amendments to the Agreement; and WHEREAS, the City and the City of Vernon are desirous of amending the Agreement as authorized by Section 14.8 of the Los Angeles Administrative Code which authorizes the City to prepare and execute an amendment to the Agreement for the purpose of: (a) deleting line item 108, powered air purifying respirator in Exhibit F and adding line item 108 A, carbon -fiber breathable air cylinder and valve assembly in Exhibit F; and (b) making such other changes as are required in connection with the foregoing, all as detailed elsewhere in this Agreement; and WHEREAS, this Amendment is necessary and proper to continue and/or complete certain activities authorized under the Agreement. Except as herein amended, all terms and conditions of the Agreement shall remain in full force and effect. §3. This Amendment is executed in two (2) duplicate originals, each of which is deemed to be an original. This Amendment includes three (3) pages which constitute the entire understanding and agreement of the parties. The UASI agreement was approved by the City Council on December 15, 2004, Resolution #8620. The fire department has requested to purchase carbon -fiber breathable air cylinders and valve assemblies instead of powered air purifying respirators. I am requesting that this second amendment by reviewed and approved by the City Council.
