Resolution No. 91121 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 9112 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT NO. TWO TO AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES BY AND BETWEEN THE CITY OF VERNON AND JOHN KRUISSINK WHEREAS, on September 1, 2004, the City Council of the City of Vernon adopted Resolution No. 8561 approving an Agreement for Professional Consulting Services (the "Agreement") with John Kruissink ("Kruissink") to research and write a book of the history of the City; and WHEREAS, on June 15, 2005, the City Council of the City of Vernon adopted Resolution No. 8767 approving an Amendment No. One to the Agreement extending the term to August 31, 2006; and WHEREAS, the City and Kruissink desire to desire to extend the Agreement for a year, September 1, 2006 through and including August 31, 2007; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to enter into an amendment to the Agreement with Kruissink. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby approves the Amendment No. Two to the Agreement for Professional 1 2 3 4' 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Consulting Services with John Kruissink, a copy which is attached hereto as Exhibit A and incorporated by reference. SECTION 3: The City Council of the City of Vernon hereby authorizes the Mayor to execute said Amendment for, and on behalf of, the City of Vernon and the Acting City Clerk is hereby authorized to attest thereto. SECTION 4: The City Council of the City of Vernon hereby directs the Acting City Clerk, or his designee, to send one fully executed Amendment to: John Kruissink 13635 Bailey Street Whittier, CA 90601-3812 SECTION 5: The Acting City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. TWO TO THE AGREEMENT FOR PROFESSIONAL 5 CONSULTING SERVICES (this "Amendment") is made, entered into and 6 executed in duplicate originals, either copy of which may be 7 considered and used as the original hereof for all purposes, as of 8 this 16th day of August, 2006, in the City of Vernon, County of Los 9 Angeles, California 10 BY AND BETWEEN THE CITY OF VERNON (hereinafter 11 referred to as "City") 4305 Santa Fe Avenue 12 Vernon, CA 90058-0805 AND JOHN KRUISSINK (hereinafter 13 referred to as "Consultant") 14 13635 Bailey Street Whittier, California 90601-3812 15 16 RECITALS 17 18 WHEREAS, the City and Consultant are parties to an Agreement 19 for Professional Consulting Services (the "Agreement") dated on or 20 about September 1, 2004, wherein Consultant was to research, write, 21 assemble and complete a book of the history of the City (the "Project") 22 on or before August 31, 2005; and 23 WHEREAS, the City and Consultant entered into an Amendment 24 No. One to the Agreement dated on or about June 15, 2005, extending 25 the term of the Agreement to August 31, 2006; and 26 WHEREAS, Consultant has requested that the Agreement be 27 extended for an additional year to complete the Project; and 28 WHEREAS, the City and Consultant desire to amend the 4 • 9 1 Agreement to extend the term from September 1, 2006 through and 2 including August 31, 2007, under the same terms and conditions of the 3 Agreement. 4 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS 5 SET FORTH HEREIN: 6 SECTION 1: The following language shall be added to 7 Section 3, TIME OF PERFORMANCE: 8 Consultant's performance under this Amendment No. Two shall 9 commence on September 1, 2006 and expire on August 31, 2007, unless 10 terminated or extended. 11 SECTION 2: Approval by City. This Amendment shall be 12 executed by a duly authorized representative of City following 13 approval of the terms of this Amendment by City in accordance with 14 City policies and procedures. 15 SECTION 3: Remainder of Agreement. Except as specifically 16 modified herein, all terms and conditions of the Agreement are 17 unmodified and remain in full force and effect, and are hereby 18 ratified by the parties. 19 SECTION 4: Entire Agreement. The provisions of this 20 Amendment shall constitute the entire agreement of the parties hereto 21 with respect to the subject matter included in this Amendment and 22 shall supercede any other agreement, understanding or arrangement, 23 whether written or oral, between the parties with respect to the 24 subject matter of this Amendment. 25 26 27 28 -2- Is . i, . • ! .
