A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING NOTICE INVITING
SEALED PROPOSALS OR BIDS FOR THE PURCHASE OF ONE
2007 NISSAN MAXIMA VEHICLE FOR THE POLICE
DEPARTMENT
WHEREAS, the Police Department has determined that it needs
to replace one vehicle being used by the Cargo, Theft Interdiction
Program; and
WHEREAS, the Police Department has determined that a 2007
Nissan Maxima vehicle is the best vehicle to meet its needs; and'
WHEREAS, on December 12, 2006, the Finance Committee Section
of the City Council recommended that authority be granted for the
Purchasing Agent, or his designee, to seek formal bids for the purchase
of the 2007 Nissan Maxima vehicle; and
WHEREAS, a bid specification for the purchase of the 2007
Nissan Maxima vehicle has been presented to the City Council of the
City of Vernon; and
WHEREAS, the City Council of the City of Vernon has
determined that it is in the best interests of the City of Vernon that
bids be solicited in accordance with the Vernon City Code.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The bid specification, which is attached hereto
as Exhibit A and incorporated by reference, is hereby approved by the

SECTION 3: The Acting City Clerk of the City of Vernon is
hereby directed to give notice, in writing, inviting sealed proposals
or bids for the purchase of the 2007 Nissan Maxima vehicle, in
accordance with the bid specification, and in accordance with this
resolution.
SECTION 4: There being no newspaper of general circulation
printed, published or circulated in the City of'Vernon, the City Clerk
is hereby directed to post said notice, or cause the same to be
posted, in three of the most public places in the City of Vernon, to
wit: the northwest corner of 38th Street and Santa Fe Avenue, the
northeast corner of Leonis Boulevard and Pacific Boulevard, and on the
bulletin board located outside on the wall near the second floor
entrance to the City Hall of said City, located at 4305 Santa Fe
Avenue, all in the City of Vernon, County of Los Angeles, State of
California.
SECTION 5: The Acting City Clerk of the City of Vernon is
hereby directed to post said notice forthwith and the first posting of
said notice shall be at least ten (10) days before the opening of the
bids for the proposed contract. Said notice shall provide that sealed
proposals or bids will be received by the City of Vernon at the office
of the Acting City Clerk, or his designee, at the City Hall, 4305
Santa Fe Avenue, Vernon, CA 90058-0805.

CTIP VEHICLE
SPECIFICATIONS
The vehicle covered by this specification is for the purchase of a 2007 Nissan Maxima, 4
door, 3.5 SE and shall be supplied as specified from the manufacturers new, unused and
latest model complete with all necessary equipment and accessories.
Cerritos Nissan 18707 Studebaker Road, Cerritos, CA. 90703 provided the vehicle
information. The contact person is the Fleet & Internet Manager, Nabil Abdelwahab
(562) 653-8869.
The vehicle shall be delivered completely assembled and ready to operate. All equipment
normally furnished, as standard shall be included. All separate units or components shall
be new, unused, installed connected and delivered in good operating order.
The subject vehicle shall conform in all respects and be equipped to operate legally on
California State Highways as specified in the California Motor Vehicle Code. The
vehicle shall meet all California State and Federal safety and emissions standards when
delivered to the City of Vernon.
The successful bidder will submit in detail a final draft of all specifications for final
approval by the City of Vernon and the Vernon Police Department prior to purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include photographs,
performance charts, components list, dimensional drawings, etc. The bidder shall clearly
state any changes, exceptions or substitutions of equivalent equipment or materials to
these specifications.
The successful bidder will arrange to demonstrate a similarly equipped 2007 Nissan
Maxima prior purchase.
Whenever materials or equipment are specified or described in the specifications by using
the name of proprietary item or name of a particular manufacturer, fabricator, supplier of
distributor, the name of the item is intended to establish the type, function and quality
required. Unless the name is followed by words indicating that no substitution is
permitted, materials or equipment of other manufacturers, fabricators, suppliers or
distributors may be accepted by the City of Vernon if sufficient information is submitted
prior to the purchase by the contractor to allow the City of Vernon to determine that the
material or equipment proposed is equivalent to the named. The term "equivalent' as
used in this specification, means "authorized equivalent" and acceptance of the
"equivalent" is subject to the approval of the City of Vernon.
Warranties
The manufacturers warranties on the vehicle and any added equipment shall be delivered
to the City of Vernon without waiver by the city of any recourse under California Law.
Three (3) year / Thirty-six thousand (36,000) miles basic warranty.
Five (5) year / Sixty thousand (60,000) miles on engine & power train.
Installation:
No installation is needed on this bid.
Inspection:
The bidder shall arrange for pre -delivery inspection and right of refusal by the city of
Vernon Police Department.
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to the City
of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the purchasing
agent with a copy to the Police Department representative, Lt. Zack. Any change in the
original quoted delivery date is subject to the approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-performance
of delivery by the quoted date at no cost or obligation to the City of Vernon.
Delivery
The vehicles shall be delivered to 4350 Santa Fe Avenue, Vernon, CA. 90058. The
vehicle shall be ready for immediate and safe operation, having had completed any
necessary vehicle registration documentation. The invoice, any necessary vehicle
registration documentation, warranty information and manuals must accompany delivery.
Delivery shall be Monday -Thursday from 0800-1400 and a forty-eight (48) hour notice
must be given to Lt. Zack

9 5. General Provisions.
10 A. Governing Law., The laws of the State of California shall govern the
11 rights, obligations, duties and liability of the parties to this Contract and shall also govern the
12 interpretation of this Contract.
13 B. Notices. Notices to the parties, unless otherwise requested in writing,
14 shall be sent to:

6. Entire Agreement. This Contract is the entire agreement of the parties,

and their heirs, successors, and permitted assigns.

8. Forum. Any dispute related to this Contract shall be adjudicated in a state

court serving the County of Los Angeles, California.

9. Arbitration. The parties agree that any and all disputes arising out of or in

relation to this Contract, including without limitation any action in tort, shall be resolved exclusively,
finally and conclusively by arbitration in Los Angeles County, California under the auspices of and
pursuant to the rules of the Judicial Arbitration & Mediation Services Inc. (JAMS). Each party will
select an arbitrator. Those two arbitrators will then select a third. The three -member panel will make
the final decision. All decisions of the arbitrators shall be in writing, and the arbitrators shall provide
written reasons for their decision. The arbitration decision shall be final and binding on the parties.
Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any
arbitration award or to obtain injunctive relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any and all contracts between
Contractor and any subcontractor relating to this Agreement shall include the same arbitration clause.

Attached for your approval is requisition #13874. The Police Department is
requesting to purchase (1) 2007 NISSAN MAXIMA. The requested vehicle will
replace the department's unit #69, which is used by the C-TIP* Team. This unit is a
2000 Chevrolet Blazer, which as of November 14, 2006 had a mileage reading of
115,103. This vehicle will still be used by the department personnel
The requested make/model is a departure from the current C-TIP vehicles used by
the department. When questioned, Steve Towles (Interim Police Chief) drafted a
memorandum dated November 13, 2006 (see attached) to Purchasing, advising why
the departiment is requesting the Nissan. Chief Towles advised "The C-TIP
Team conducts undercover surveillance operations on a daily basis and the
vehicles they use must be able to blend into the environment without generating
suspicion." The Chief further advises that Sgt. David Zapien (a C-TIP
Supervisor) advised "...the majority of the vehicles they are currently using are
American -made SUV's, such as the [Chevrolet] Tahoe and Blazer. Suspects are
beginning to take note of the types of vehicles being used, and this is making it
increasingly difficult for the team to conduct rolling surveillance".
The Nissan Maxima was chosen because it provides much more passenger room and
storage area. The Chief also noted that this vehicle would provide fuel efficiency,
compared to the current vehicle. The vehicle specifications are attached for your
review. Purchasing sent a copy of the vehicle specifications to Rick Stoykovich
(Garage Foreman) for his review.
The requisition submitted indicates Cerritos Nissan as the requested vendor for this
purchase. Purchasing discussed with Interim Chief Towles, that the normal
procedure when procuring vehicles would be to seek bid quotations from numerous
vendors. This would ensure the most competitive pricing for this purchase. The
Chief has agreed to undergo this process for the purchase of this vehicle.

The estimated cost for this vehicle is approximately $30,000.00.

SUBJECT: Request for Purchase of New Detective Unit
Attached is a request for the purchase of a new detective unit. This unit is intended to replace unit #69
which now has over 114,000 miles. Unit #69 is currently being used on the C-TIP Team.
A review of the service history shows that service costs for this unit from 2000 to the present are in excess
of $21,000. Garage Foreman Rick Stoykovich has reviewed the service records and inspected the unit. He
is in agreement that the vehicle should be replaced based upon the mileage, service costs and condition of
the vehicle.
The vehicle being requested is a 2007 Nissan Maxima 3.5 SE V6. Although the City does not typically
purchase vehicles from foreign manufacturers, we have leased them on previous occasions, such as the
Toyota RAV 4's used by the Health Department. This particular vehicle is being requested based upon
the size of the vehicle, engine power and the ability to easily blend into the vehicular landscape.
The C-TIP Team conducts undercover surveillance operations on a daily basis and the vehicles they use
must be able to blend into the environment without generating suspicion. According to Vernon Sgt. David
Zapien, a supervisor for the Team, the majority of the vehicles they are currently using are American -
made SUVs, such as the Tahoe and Blazer. Suspects are beginning to take note of the types of vehicles
being used and this is making it increasingly difficult for the team to conduct rolling surveillances.
Other, similar types of vehicles, such as the Honda Accord, Toyota Camry and Nissan Altima have been
inspected and were found to be too small to be used for this type of activity. Despite being larger than
these other vehicles, this model would represent a significant improvement in fuel efficiency compared to
the vehicle it is replacing.
Attached to this request is the vehicle specifications sheet and a quote is from Cerritos Nissan. Although
we are requesting this specific type of vehicle, we do not have any preferences as to the vendor chosen.
Funds for this purchase have been included in the existing budget.

used in this specification, means "authorized equivalent" and acceptance of the
"equivalent" is subject to the approval of the City of Vernon.
Warranties
The manufacturers warranties on the vehicle and any added equipment shall be delivered
to the City of Vernon without waiver by the city of any recourse under California Law.
Three (3) year / Thirty-six thousand (36,000) miles basic warranty.
Five (5) year / Sixty thousand (60,000) miles on engine & power train.
Installation:
No installation is needed on this bid.
Inspection:
The bidder shall arrange for pre -delivery inspection and right of refusal by the city of
Vernon Police Department.
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to the City
of Vernon that the quoted delivery date be met.
Any delay in the delivery shall be immediately reported in writing to the purchasing
agent with a copy to the Police Department representative, Lt. Zack. Any change in the
original quoted delivery date is subject to the approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-performance
of delivery by the quoted date at no cost or obligation to the City of Vernon.
Delivery
The vehicles shall be delivered to 4350 Santa Fe Avenue, Vernon, CA. 90058. The
vehicle shall be ready for immediate and safe operation, having had completed any
necessary vehicle registration documentation. The invoice, any necessary vehicle
registration documentation, warranty information and manuals must accompany delivery.
Delivery shall be Monday -Thursday from 0800-1400 and a forty-eight (48) hour notice
must be given to Lt. Zack
