1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 9205 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A COOPERATIVE AGREEMENT BY AND BETWEEN THE CITY OF VERNON, THE GATEWAY CITIES COUNCIL OF GOVERNMENTS AND THE CITY OF HUNTINGTON PARK FOR INTERSECTION IMPROVEMENT AT SLAUSON AVENUE, BOYLE AVENUE AND STATE STREET WHEREAS, pursuant to Resolution No. 6941 adopted on April 22, 1997, the City Council of the City of Vernon approved and authorized the execution of a Joint Exercise of Powers Agreement with the Gateway Cities Council of Governments ("Gateway Cities"); and WHEREAS, on August 18, 2004, the City Council of the City of Vernon adopted Resolution No. 8516 approving, among other things, a Cooperative Agreement with the Gateway Cities, the City of Huntington Park ("Huntington Park") and the City of Vernon (the `City") to improve the intersection at Slauson Avenue, Boyle Avenue and State Street that is highly impacted by truck traffic in the region by improving corners, adding a median and improving traffic signal facilities (the "Slauson Project"); and WHEREAS, the Slauson Project was not constructed and the Cooperative Agreement expired on June 30, 2005; and WHEREAS, the Gateway Cities desire to reactivate the agreement for the Slauson Project for an estimated cost of $401,103.00; and WHEREAS, the Gateway Cities, the City and Huntington Park desire to enter into a new Cooperative Agreement setting forth the terms and conditions under which the Slauson Project will be performed land financed; and 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 WHEREAS, the City's matching fund contribution for the Slauson Project is the sum of $47,310.00 and Huntington Park's matching fund contribution is the sum of $48,954.00; and WHEREAS, the Los Angeles County Department of Public Works and the Gateway Cities have entered into a separate Cooperative Agreement clarifying the terms and conditions under which the Slauson Project will be performed; and WHEREAS, the Director of Community Services & Water has recommended that the City Council find that the Slauson Project is categorically exempt under Section 15301, Class 1(c), of the California Environmental Quality Act Guidelines because the Project consists of minor improvements to existing streets; and WHEREAS, the Director of Community Services & Water has recommended that the Cooperative Agreement for the Slauson Project be approved and executed and the matching fund contribution of $47,310.00 less the funds previously paid under the prior agreement, for a total of $32,885.00, be approved. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby finds that the Project is categorically exempt from the requirement for an Environmental Impact Report pursuant to Section 15301, Class l (c), of the California Environmental Quality Act Guidelines and a Notice of Exemption shall be filed with the County Clerk pursuant to Section 15062 of the California Environmental Quality Act Guidelines. - 2 - s 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 SECTION 3: The City Council of the City of Vernon hereby approves the Cooperative Agreement with the Gateway Cities and Huntington Park for the Slauson Project, in substantially the same form as the copy which is attached hereto as Exhibit A and incorporated by reference. SECTION 4: The City Council of the City of Vernon hereby authorizes the Mayor to execute said Agreement for, and on behalf of, the City of Vernon and the Acting City Clerk is hereby authorized to attest thereto. SECTION 5: The City Council of the City of Vernon hereby directs the Acting City Clerk, or his designee, to send three executed Agreements, together with a check for the local match requirement in the sum of $32,885 for the Slauson Project, to: Gateway Cities Council of Governments Attn. RECITALS WHEREAS, intersections throughout the 26 Cities of the Gateway Cities area, a sub region of the Southern California Association of Govem me is planning area, experience significant truck -related impacts causing bottlenecks in the Gateway Cities area. The presence of a large proportion of heavy-duty trucks results in an average vehicle delay of 10 seconds per vehicle at intersections. Movement of goods to and from the ports of Tong Beach and Los Angeles via rail and truck service is projected to increase in the short- and long terra future, and track activity within the Gateway Cities sub region is expected to increase on area freeways and surface streets. By aiding the flow of truck traffic on the maj or arterials in the sub region, this project will contribute to the reduction of toxic diesel omissions identified in the Multiple Air Toxic Exposure study conducted by the South Coast Air Quality Management District; and WHEREAS, Meyer Mohaddes Associates, Inc., prepared the Gateway Cities Truck Impacted Intersection Study, dated February 2000, evaluating truck impacts on, intersections throughout the 26 Cities of the Gateway Cities area, and recommended appropriate mitigation measures. These measures included street right of way; signage and striping; and signal system improvements; and WHEREAS, COG and the CrrEES desire the improvement to one intersection in the CITY that is highly impacted by truck traffic in the region, thereinafter referred to as "PROJECT"; and WHEREAS, the Los Angeles County Metropolitan Transportation Authority, hereinafter referred to as "MTA" has allocated Six Million Two Hundred Thousand Dollars ($6,200,000) in TEA-21 fiords; and Seven Hundred Seventy Five Thousand Dollars ($775,000) in State Funds; and the COG will secure local matching funds in the amount of 10% of the PROJECT costs from the CTMS; and Page 1 .LA./ &vi &VVV ti .0o rAA dLJ ozo 14J6 (ITY CLERK'S OFFICE . 10003 WHEREAS, the COG and CITIES do mutually desire to cooperate in PROJECT and desire to specify herein the terms and conditions under which said PROJECT is to be designed, financed and constructed; and VWREREAS, under a separate Cooperative Agreement between the COG and the Los Angeles County Department of Public Works, hereinafter referred to as LACDP'W', the LACDPW is responsible for: a. Serving as the overall project manager, and will perform or cause to be performed the preparation of plans, specifications and estimates and to award and administer the contract for PROJECT, including responsibility for contractor payments and invoicing appropriate agencies for reimbursement under local, state and federal funding guidelines. b. Acquiring any and all necessary right-of-way for the PROJECT and for acquiring right-of-way free of hazardous waste and obtaining the necessary environmental clearance from the appropriate jurisdiction. Responsibility of investigation and clean up of hazardous waste will be the responsibility of the property owner. C. Certifying legal and physical control of rights -of -way ready for construction,, and that all rights -of -way were acquired in accordance with applicable state and federal laws and regulations prior to the advertisement for bids for construction of PROJECT and to deliver legal title to the rights -of -way to either the State, County or City according to the ownership of the roadway, free and clear of all encumbrances to present and future uses for maintenance and operation of the highway facility. d. Making all necessary arrangements with owners of existing public and/or private utilities within PROJECT for the protection, relocation or removal of such utilities. e. Obtaining CITIES and COG's approval of plans for PROJECT prior to advertising for construction bids. f Advertising PROJECT for construction bids, award and administer the construct- ion contract, and to act on behalf of COG in all negotiations pertaining thereto. The PROJECT: a Within the City of Vernon, the PROJECT consists of improvement to the intersection of Slauson/State & Boyle, shared with the City of Huntington Park. b. The final, cost estimate for the PROJECT is $401,103.17. The City of Vernon's portion of the PROJECT is $197,128.83; the City of Huntington Park's portion of the PROJECT is $203,974.34. c. The localmatch for the PROJECT is $96,264.76, The City of Vernon's portion of local match is $47,310.92, approximately 24%u of the final project cost; the City of Huntington Park's portion of the local match is $48,953.84, approximately 24% of the final project cost. The City of Vernon has paid the COG $14,425.00 in match, with a balance due of $32,885.00. The City of Huntington Park has paid the COG $14,800.00 in match, with a balance due of $34,154.00. The PROJECT Scope azid CITIES portion of local match are identified in attached "Exhibit A". The Final Cost Estimate breakdown for PROJECT provided by Los Angeles County Department of Public Works Plan Sheet No. 8TB; 8S13 and 14B is attached. U. The COG will: a. Provide program management and project oversight services on behalf of all Gateway Cities within the project bouudariies to coordinate the planning, engineering and construction activities between the LACDPW and the respective Cities. b. Provide the CITIES with plans and specifications for PROJECT to review and secure CITIES approval thereof prior to construction, and to secure CITIES written permission of any proposed contract change orders. c. Provide the CITIES, within one hundred twenty [120] calendar days after final acceptance of PROJECT, a final accounting of the actual total cost of PROJECT. M. The CITIES will: a. Provide the COG with the balance of the CITIES local match requirement of $32,885.00 for the City of Vernon, and $34,154.00 for the City of Huntington Park upon execution of this Agreement b. Upon approval of construction plazas for project, CITIES agrees to provide COG with no -fee permit[s] authorizing LACDPW to construct those portions of PROJECT within CITIES highway right-of-way. PROJECT_ The City of Vernon's Match is 24%, the City of Huntington Park's Match is 24% of total cost of PROJECT. IT IS 3VIIITUALLY CJ NDERSTOOD AND AGREED AS FOLLOWS; a. Construction of PROJECT may require alteration, deviation, additions to or deletions from the contract plans and specifications. Any such changes will be accomplished in accordance with specifications for the construction contract and will require the written approval of the CITIES. b. That this AGREEMENT may be terminated and the provisions herein may be altered, changed or amended by mutual consent of the parties hereto. C. All additional obligations of CITIES are subject to appropriation of resources by the City Council. d. Neither the COG or the CITIES nor any officer or employee thereof is responsiblefor any damage or liability occurring by reasons of anything done or omitted to be done by LACDPW under or in connection with any work, authority or jurisdiction delegated to LACDPW under this AGREEMENT. e. That this AGREEMENT shall terminate upon completion and acceptance of PROJECT by CITIES and COG or on June 30, 2008, whichever is earlier in time; however, the ownership and maintenance clauses, if part of this agreement, shall remain in effect until terminated, in writing, by mutual Agreement. f. To the fullest extent permitted by law, COG and CITIES agree to save, indemnify, defend and hold harmless each other from any and all liability, claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, losses, expenses, or any injury or damage of any kind whatsoever, whether actual, alleged, or threatened, actual attorney fees, court costs, interest, defense costs and expenses associated therewith including the use of experts, any other costs of any nature without restriction incurred in relation to, as a consequence of, or arising out of, the performance of the .A GREENJMNT, and attributable to the fault of the other. Following a determination of the percentage of fault and/or liability by the AGREEMENT between the parties or a court of competent jurisdiction, the party responsible for liability to the other will indemnify the other party to this AGREEMENT for the percentage of liability determined as set forth iu this section. The County of Los Angeles, who is the construction manager for the COG, did not construct the project and the agreement expired on June 30, 2005. Since that time the costs have escalated significantly. The original estimate for all the work was $287,248.00 but the new estimate is $401,103.00. The original match for the work in the City of Vernon was $14,425.00 but the new match is $47,310.00. Similarly, there is a proportionate increase in the costs to the City of Huntington Park from $14,800.00 to $48,954.00. The increase in costs and the shortfall of funding from the Metropolitan Transportation Authority require an increase in matching costs from the City of Vernon. However, adequate funds have been budgeted in the 2006-07 Redevelopment Agency Budget for the City of Vernon match. The COG desires to reactivate the agreement by a new agreement which is very similar to the agreement executed in 2004. The Acting City Attorney has reviewed and approved the agreement as to form. I recommend the City of Vernon enter into the new agreement and have the work bid and constructed by the County of Los Angeles as the construction manager for the COG. U NERAL,\ 19 rat 2i ..0 44610.mdb Gateway Cities Truck Impacted Intersection Project Cities of Vernon & Huntington Park Slauson/StateBoyle COOPERATIVE AGREEMENT THIS AGREEMENT entered into on February 15, 2007-is between the Gateway Cities Council of Governments, a California joint powers authority [JPA] referred to herein as "COG", located at 7300 Alondra Boulevard, Suite 210 Paramount, California 90723, and the Cities of Vernon, located at 4305 Santa Fe Avenue, Vernon, CA. 90058, and Huntington Park, located at 6550 Miles Avenue, Huntington Park, CA 90255, referred to herein as "CITIES". RECITALS WHEREAS, intersections throughout the 26 Cities of the Gateway Cities area; a sub region of the Southern California Association of Governments planning area, experience significant truck -related impacts causing bottlenecks in the Gateway Cities area. The presence of a large proportion of heavy-duty trucks results in an average vehicle delay of 10 seconds per vehicle at intersections. Movement of goods to and from the ports. of Long Beach and Los Angeles via rail and truck service is projected to increase in the short- and long-term future, and truck activity within the Gateway Cities sub region is expected to increase on area freeways and surface streets By aiding the flow of truck traffic on the major arterials in the sub region, this project will contribute to the reduction of toxic diesel emissions identified in the Multiple Air Toxic Exposure study conducted by the South Coast Air Quality Management District; and WHEREAS, Meyer Mohaddes Associates, Inc., prepared the Gateway Cities Truck Impacted Intersection Study, dated February 2000, evaluating truck impacts on intersections throughout the 26 Cities of the Gateway Cities area, and recommended appropriate mitigation measures. These measures included street right of way; signage and striping; and signal system improvements; and WHEREAS, COG and the CITIES desire the improvement to one intersection in the CITY that is highly impacted by truck traffic in the region, thereinafter referred to as "PROJECT"; and WHEREAS, the Los Angeles County Metropolitan Transportation Authority, hereinafter referred to as "MTA" has allocated Six Million Two Hundred Thousand Dollars ($6,200,000) in TEA-21 funds; and Seven Hundred Seventy Five Thousand Dollars ($775,000) in State Funds; and the COG will secure local matching funds in the amount of 10% of the PROJECT costs from the CITIES; and Page 1 WHEREAS, the COG and CITIES do mutually desire to cooperate in PROJECT and desire to specify herein the terms and conditions under which said PROJECT is to be designed, financed and constructed; and WHEREAS, under a separate Cooperative Agreement between the COG and the Los Angeles County Department of Public Works, hereinafter referred to as LACDPW, the LACDPW is responsible for: a. Serving as the overall project manager, and will perform or cause to be performed the preparation of plans, specifications and estimates and to award and administer the contract for PROJECT, including responsibility for contractor payments and invoicing appropriate agencies for reimbursement under local, state and federal funding guidelines. b. Acquiring any and all necessary right-of-way for the PROJECT and for acquiring right-of-way free of hazardous waste and obtaining the necessary environmental clearance from the appropriate jurisdiction. Responsibility of investigation and clean up of hazardous waste will be the responsibility of the property owner. C. Certifying legal and physical control of rights -of -way ready for construction, and that all rights -of -way were acquired in accordance with applicable state and federal laws and regulations prior to the advertisement for bids for construction of PROJECT and to deliver legal title to the rights -of -way to either the State, County or City according to the ownership of the roadway, free and clear of all encumbrances to present and future uses for maintenance and operation of the highway facility. d. Making all necessary arrangements with owners of existing public and/or private utilities within PROJECT for the protection, relocation or removal of such utilities. e. Obtaining CITIES and COG's approval of plans for PROJECT prior to advertising for construction bids. f. Advertising PROJECT for construction bids, award and administer the construct- ion contract, and to act on behalf of COG in all negotiations pertaining thereto. NOW, THEREFORE, in consideration of the mutual benefits to be derived by the CITIES and the COG, it is hereby agreed as follows: Page 2 I. The PROJECT: a. Within the City of Vernon, the PROJECT consists of improvement to the intersection of Slauson/State & Boyle, shared with the City of Huntington Park. b. The final cost estimate for the PROJECT is $401,103.17. The City of Vernon's portion of the PROJECT is $197,128.83; the City of Huntington Park's portion of the PROJECT is $203,974.34. C. The local match for the PROJECT is $96,264.76. The City of Vernon's portion of local match is $47,310.92, approximately 24% of the final project cost; the City of Huntington Park's portion of the local match is $48,953.84, approximately 24% of the final project cost. The City of Vernon has paid the COG $14,425.00 in match, with a balance due of $32,885.00. The City of Huntington Park has paid the COG $14,800.00 in match, with a balance due of $34,154.00. The PROJECT Scope and CITIES portion of local match are identified in attached "Exhibit A". The Final Cost Estimate breakdown for PROJECT provided by Los Angeles County Department of Public Works Plan Sheet No. 8TB; 8SB and 14B is attached. IL The COG will: a. Provide program management and project oversight services on behalf of all Gateway Cities within the project boundaries to coordinate the planning, engineering and construction activities between the LACDPW and the respective Cities. b. Provide the CITIES with plans and specifications for PROJECT to review and secure CITIES approval thereof prior to construction, and to secure CITIES written permission of any proposed contract change orders. C. Provide the CITIES, within one hundred twenty [ 120] calendar days after final acceptance of PROJECT, a final accounting of the actual total cost of PROJECT. III. The CITIES will: a. Provide the COG with the balance of the CITIES local match requirement of $32,885.00 for the City of Vernon, and $34,154.00 for the City of Huntington Park upon execution of this Agreement. b. Upon approval of construction plans for project, CITIES agrees to provide COG with no -fee permit[s] authorizing LACDPW to construct those portions of PROJECT within CITIES highway right-of-way. Page 3 c. Upon final acceptance of PROJECT, local match requirement will be increased or decreased to match actual total cost of PROJECT. The City of Vernon's Match is 24%, the City of Huntington Park's Match is 24% of total cost of PROJECT. IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS; a. Construction of PROJECT may require alteration, deviation, additions to or deletions from the contract plans and specifications. Any such changes will be accomplished in accordance with specifications for the construction contract and will require the written approval of the CITIES. b: That this AGREEMENT may be terminated and the provisions herein may be altered, changed or amended by mutual consent of the parties hereto. C. All additional obligations of CITIES are subject to appropriation of resources by the City Council. d. Neither the COG or the CITIES nor any officer or employee thereof is _responsible for any damage or liability occurring by reasons of anything done or omitted to be done by LACDPW under or in connection with any work, authority or jurisdiction delegated to LACDPW under this AGREEMENT. e. That this AGREEMENT shall terminate upon completion and acceptance of PROJECT by CITIES and COG or on June 30, 2008, whichever is earlier in time; however, the ownership and maintenance clauses, if part of this agreement, shall remain in effect until terminated; in writing, by mutual Agreement. f. To the fullest extent permitted by law, COG and CITIES agree to save, indemnify, defend and hold harmless each other from any and all liability, claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, losses, expenses, or any injury or damage of any kind whatsoever, whether actual, alleged, or threatened, actual attorney fees, court costs, interest, defense costs and expenses associated therewith. including the use of experts, any other costs of any nature without restriction incurred in relation to, as a consequence of, or arising out of, the performance of the AGREEMENT, and attributable to the fault of the other. Following a determination of the percentage of fault and/or liability by the AGREEMENT between the parties or a court of competent jurisdiction, the party responsible for liability to the other will indemnify the other party to this AGREEMENT for the percentage of liability determined as set forth in this section.
