A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF GARDENA NISSAN, INC. ON
BID NO. 1446 FOR THE PURCHASE OF ONE 2007 NISSAN
MAXIMA VEHICLE FOR THE POLICE DEPARTMENT AND
APPROVING AND AUTHORIZING THE EXECUTION OF A
VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A
PURCHASE ORDER RESPECTING SAID BID
WHEREAS, the Police Department has requested the purchase of
one vehicle to replace the vehicle being used by the Cargo,Theft
Interdiction Program; and
WHEREAS, pursuant to Resolution No. 9182 adopted by the City
Council of the City of Vernon on December 13, 2006, the Acting City
Clerk was directed to give notice inviting sealed proposals or bids for
the purchase of one 2007 Nissan Maxima vehicle ("Nissan Maxima") in
accordance with a bid specification provided by the Police Department;
and
WHEREAS, based upon the bid specification, the Purchasing
Department prepared Bid No. 1446 dated December 20, 2006, and proceeded
to solicit bids for the purchase of the Nissan Maxima; and
WHEREAS, sealed bids for Bid No. 1446 were opened on
January 17, 2007, and reviewed by the Police Department; and
WHEREAS, the Finance Director has recommended that Bid No.
1446 be awarded to Gardena Nissan, Inc., the lowest responsible bidder
meeting the requirements of Bid No. 1446, and that the bid of Cerritos
Nissan be rejected because it was incorrectly submitted.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

WHEREAS, the City's Police Department needs to replace a
vehicle being used by the Cargo, Theft Interdiction Program; and
WHEREAS, City staff have determined that a 2007 Nissan
Maxima vehicle (the "Vehicle') is the best vehicle meeting the needs
and requirements of the Police Department; and
WHEREAS, on December 20, 2006, the City issued Bid No. 1446
which sets forth specifications for the new Vehicle required by the
City; and
WHEREAS, on January 4, 2007, Gardena Nissan responded to Bid
No. 1446; and
WHEREAS, the City has accepted Gardena Nissan's bid and
desires to purchase the new Vehicle from Gardena Nissan.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
FORTH HEREIN
1 1. Purchase. Gardena Nissan agrees to sell to the City
2 one new 2007 Nissan Maxima vehicle that meets the specifications
3 contained in City of Vernon Bid No. 1446, dated December 20, 2006, and
4 :that is consistent with Gardena Nissan's Bid of January 4, 2007
5 (collectively referred to as the "Bid Documents"). A copy of the Bid
6 Documents are attached hereto as Exhibit"A" and incorporated herein
7 by reference.
8 2. Price. Consistent with its Bid, Gardena Nissan
9 agrees to sell and deliver within 7 days from receipt of a purchase
10 order, subject to final inspection by the City, one new 2007 Nissan
11
Maxima vehicle for the sum of Twenty -Six Thousand Two Hundred Forty-
12 Seven Dollars and No Cents ($26,247.00) less a rebate of One Thousand
13
Five Hundred Dollars and No Cents ($1,500.00) for a total of Twenty -
Four Thousand Seven Hundred Forty -Seven Dollars and No Cents
14
($24,747.00), plus sales tax and tire fees and less any applicable
15
discounts.

3. Payment Terms. The City agrees to pay Gardena Nissan
17
for the Vehicle a total of Twenty -Four Thousand Seven Hundred Forty-
18
Seven Dollars and No Cents ($24,747.00), plus sales tax and tire fees
19
and less any applicable discounts. Payment will be made within thirty
20
(30) days net of receipt of the Vehicle.

4. Warranties. All manufacturers' warranties, the
22
warranties specified on the Bid Documents and any other warranties
23
made applicable by law, shall apply to the City's purchase of the
24
above -referenced Vehicle.

5. General Provisions.

A. Governing Law. The laws of the State of
27
California shall govern the rights, obligations, duties and
28

1 liabilities of the' parties to this Contract and shall also govern the
2 interpretation of this Contract.
3 B. Notices. Notices to the parties, unless otherwise
4 requested in writing, shall be sent to:

11 6. Entire Agreement. This Contract is the entire
12 agreement of the parties. Gardena Nissan represents that in entering
13 into this Contract, it has not relied on any previous representations
14 or understandings of any kind or nature.
15 7. Benefit of Agreement. This Contract shall bind and
16 benefit the parties hereto, their heirs, successors, and permitted
17 assigns.
18 8. Forum. Any dispute related to this Contract shall be
19 adjudicated in a state court serving the County of Los Angeles,
20 California.
21 9. Arbitration. The parties agree that any and all
22 disputes arising out of or in relation to this Contract, including
23 without limitation any action in tort, shall be resolved exclusively,
24 finally and conclusively by arbitration in Los Angeles County,
25 California under the auspices of and pursuant to the rules of the
26 Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
27 will select an arbitrator. Those two arbitrators will then select a
28 third. The three -member panel will make the final decision. All

decisions of the arbitrators shall be in writing, and the arbitrators
shall provide written reasons for their decision. The arbitration
decision shall be final and binding on the parties. Notwithstanding
the foregoing, the parties shall be permitted to access the court
system to enforce any arbitration award or to obtain injunctive
relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any
and all contracts between Contractor and any subcontractor relating to
this Agreement shall include the same arbitration clause.
IN WITNESS WHEREOF, the parties have caused this Contract to
be executed by and through their authorized officers on the date,

SPECIFICATIONS
GENERAL
The vehicle covered by this specification is for the purchase of a 2007 Nissan Maxima, 4
door, 3.5 SE and shall be supplied as specified from the manufacturers new, unused and
latest model complete with all necessary equipment and accessories.
Cerritos Nissan 18707 Studebaker Road, Cerritos, CA. 90703 provided the vehicle
information. The contact person is the Fleet & Internet Manager, Nabil Abdelwahab
(562) 653-8869.
The vehicle shall be delivered completely assembled and ready to operate. All equipment
normally furnished, as standard shall be included. All separate units or components shall
be new, unused, installed connected and delivered in good operating order.
The subject vehicle shall conform in all respects and be equipped to operate legally on
California State Highways as specified in the California Motor Vehicle Code. The
vehicle shall meet all California State and Federal safety and emissions standards when
delivered to the City of Vernon.
The successful bidder will submit in detail a final draft of all specifications for final
approval by the City of Vernon and the Vernon Police Department prior to purchase.
All bids submitted shall include sufficient associated literature as required to fully
describe and detail the items under consideration. This should include photographs,
performance charts, components list, dimensional drawings, etc. The bidder shall clearly
state any changes, exceptions or substitutions of equivalent equipment or materials to
these specifications.
The successful bidder will arrange to demonstrate a similarly equipped 2007 Nissan
Maxima prior purchase.
Whenever materials or equipment are specified or described in the specifications by using
the name of proprietary item or name of a particular manufacturer, fabricator, supplier of
distributor, the name of the item is intended to establish the type, function and quality
required. Unless the name is followed by words indicating that no substitution is
permitted, materials or equipment of other manufacturers, fabricators, suppliers or
distributors may be accepted by the City of Vernon if sufficient information is submitted
prior to the purchase by the contractor to allow the City of Vernon to determine that the
material or equipment proposed is equivalent to the named. The term "equivalent' as
used in this specification, means "authorized equivalent" and acceptance of the
"equivalent" is subject to the approval of the City of Vernon.
Warranties
The manufacturers warranties on the vehicle and any added equipment shall be delivered
to the City of Vernon without waiver by the city of any recourse under California Law.
Three (3) year / Thirty-six thousand (36,000) miles'basic warranty.
Five (5) year / Sixty thousand (60,000) miles on engine & power train.
Installation:
No installation is needed on this bid.
Inspection:
The bidder shall arrange for pre -delivery inspection and right of refusal by the city of
Vernon Police Department.
Delivery Date
All bidders shall provide a date to deliver the vehicle. It is of utmost concern to the City
of Vernon that the quoted deliverydate be met.
Any delay in the delivery shall be immediately reported in writing to the purchasing
agent with a copy to the Police Department representative, Lt. Zack. Any change in the
original quoted delivery date is subject to the approval by the City of Vernon.
The City of Vernon reserves the right to cancel the purchase order for non-performance
of delivery by the quoted date at no cost or obligation to the City of Vernon.
Del. ivery
The vehicles shall be delivered to 4350 Santa Fe Avenue, Vernon, CA. 90058. The
vehicle shall be ready for immediate and safe operation, having had completed any
necessary vehicle registration documentation. The invoice, any necessary vehicle
registration documentation, warranty information and manuals must accompany delivery.
Delivery shall be Monday -Thursday from 0800-1400 and a forty-eight (48) hour notice
must be given to Lt. Zack

select an arbitrator. Those two arbitrators will then select a third. The three -member panel will make
the final decision. All decisions of the arbitrators shall be in writing, and the arbitrators shall provide
written reasons for their decision. The arbitration decision shall be final and binding on the parties.
Notwithstanding the foregoing, the parties shall be permitted to access the court system to enforce any
arbitration award or to obtain injunctive relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any and all contracts between
Contractor and any subcontractor relating to this Agreement shall include the same arbitration clause.
