RESOLUTION NO. 9231
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
LETTER AGREEMENT BY AND BETWEEN THE CITY OF VERNON
AND DIVERSE STRATEGIES FOR ORGANIZING FOR OUTREACH
SERVICES
WHEREAS, the City of Vernon (the "City") owns and operates
its own electric system which services the City's constituents; and
WHEREAS, the City is in the process of developing a natural
gas -fired combined cycle power plant located within City limits
officially named the Vernon Power Plant (the "VPP Project") for the
purpose of installing additional generating capacity that will yield an
efficient, cost-effective, and reliable source of electric generation
to the City; and
WHEREAS, the City has determined that it needs the services
of a public outreach firm to educate and inform elected officials,
community stakeholders and environmental justice organizations about
the VPP Project; and
WHEREAS, City staff has determined that Diverse Strategies
for Organizing ("DSO") possesses the technical knowledge and expertise
to furnish the outreach services required by the City; and
WHEREAS, the City of Vernon and DSO desire to enter into an
Letter Agreement setting forth the terms and conditions governing the
outreach services; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into a Letter Agreement with DSO.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE

CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Letter Agreement for outreach services with DSO in
substantially the same form as the copy which is attached hereto as
Exhibit A and incorporated by reference.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the Mayor to execute said Letter Agreement for, and on
behalf of, the City of Vernon and the Acting City Clerk is hereby
authorized to attest thereto.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the Acting City Administrator, or his designee, to make
whatever nonsubstantive, administrative and/or text changes, upon
advice of counsel, to the Agreement.
SECTION 5: The City Council of the City of Vernon hereby
directs the Acting City Clerk, or her designee, to send one fully
executed Letter Agreement to:

SECTION 6: The Acting City Clerk of the City of Vernon
shall certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.

Dear Jeff,
Per you request, I am submitting our proposal for a public outreach effort to educate and
inform elected officials, community stakeholders and environmental justice organizations
about the proposed Electric Power Plant in the City of Vernon.
Meetings with Elected Officials
DSO has a good understanding of elected officials in the surrounding cities to Vernon,
including relationships with municipal officials, state legislators and the Mayor of Los
Angeles. DSO will assist the client with scheduling and conducting meetings with these
elected officials to review and educate them about the project. These meetings will allow
the client to directly meet with each elected official to hear their ideas, suggestions and/or
concerns about the project.
One on One Meetings with Community Stakeholders
DSO will schedule one on one meetings with community stakeholders to begin the
process of educating them on the Vernon Power Plant project. The purpose of these
meetings will be to introduce the Vernon Power Plant project to each stakeholder
individually and to obtain their input and suggestions about the proposed project.
At the one on one meetings, it will be important for a member of the client team to attend
and participate, along with a DSO staff person.
Group Presentations
DSO will also schedule group presentations with community groups. The purpose of the
group presentations is to attend an existing meeting of a stakeholder group and to educate
and inform meeting participants about the Vernon Power Plant project and to further gain
input and suggestions. The group meetings may also give us an opportunity to hear from
a larger segment of the community about their ideas, issues and/or concerns related to the
project.
Publicizing CEC Meetings
DSO will assist the client with publicizing the CEC public meetings about the Vernon
Power Plant, since the client would like an open and transparent process for the project
with high levels of community participation.
Team Meeting Coordination
DSO will assist the client with meeting coordination to ensure that the client team is
focused and receiving regularly updates about the outreach and education effort. A
weekly team meeting may be established, via phone or in person, to accomplish this goal.
The client team meeting will allow us to determine if we are conducting effective and
sufficient community outreach to ensure the Power Plant project is well understood by
community stakeholders.
Research and Response
DSO will also provide research capabilities to the client, including researching
community questions, issues and concerns. DSO will assist the client with ensuring that
the community always gets factual and honest responses to their questions and issues,
thus creating an open and transparent communication protocol for the community
regarding the Power Plant project.
Cost and Fees:
DSO will charge the client on a time and materials basis. The hourly rates for DSO staff
assigned to this project are as follow:
Victor Griego $350 per hour
Tony Torres $175 per hour
Marco Soto $125 per hour
Other DSO associates $75 per hour
