RESOLUTION NO. 9235
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING THE PROCUREMENT OF COMMISSIONING
AND OPERATING SPARE PARTS FOR THE MALBURG
GENERATING STATION PROJECT AT A NOT TO EXCEED
AMOUNT OF $11,341,850.00
WHEREAS, the City of Vernon ("City") constructed the Malburg
Generating Station ("MGS") within the City limits for the purpose of
producing additional generating capacity; and
WHEREAS, the City is beginning initial preparation for the
MGS "B" Level Outage (initial major combustion inspection and parts
change out for its two gas turbine units; and
WHEREAS, the City has determined that it needs to purchase
spare parts to perform the outage from Siemens Demag Delaval
Turbomachinery Inc. ("Siemens") for various "B" parts for a not to
exceed amount of $11,341,850.00; and
WHEREAS, in order to perform the MGS "B" Level Outage with
minimal delays, the City needs to authorize the Director of Light &
Power, or his designee, to negotiate and prepare requisitions with
Siemens to supply the necessary spare parts, subject to the purchase
orders being ratified by the City Council; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of Subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to purchase the spare parts from Siemens for the operation
and maintenance of the Malburg Project.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
authorizes the Director of Light & Power, or his designee, to
negotiate with Siemens for the purchase of the spare parts for the
Malburg Project at a total not to exceed amount of $11,341,850.00 for
various parts and to prepare the necessary requisitions, subject to
the purchase orders being ratified by the City Council.
SECTION 3: The Acting City Clerk of the City of Vernon
shall certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
APPROVED AND ADOPTED this 5th day of February, 2007.

RE: Request for Purchase Order -Siemens Demag Delaval Turbomachinery, Inc: MGS "B" OUTAGE
The Department is negotiating a "proposed" LTSA with Siemens for the Power Plants future needs and plans to
have it finalized for presentation and recommendation to the City Council by March 31 st, 2007.
In addition the Light and Power Department is beginning initial preparation for the MGS "B" Level Outage (initial
major combustion inspection and parts change out for its Gas Turbines-2 Units). Staff has also been conferring with
Siemens regarding a proposal for necessary parts to perform this outage and has received a quote of $5,670,925.00
per Gas Turbine (total for both units - $11,341,850.00). The purpose of negotiating for these "B" parts, which are
included in an LTSA, is to secure their timely delivery lbr the "B" outage scheduled for January/February- 2008 prior
to completion of the LTSA negotiations.
Cash Flow for the "B" Outage Offer the LTSA in negotiation:
40°k of order amount when PO received by Siemens $4,536,740
50% of order amount after 120 days $5,670,925
10% of order upon final shipment $1,134,185
The cost of the LTSA over a 7.5 year period is approximately $24 Million. Siemens have therefore presented a
revision to their previous offer to reduce the down payment to 5% if the City of Vernon place the Purchase Order on
the required "B" Outage spare parts, by February 9"h, while we continue our discussions to conclude the LTSA
contract currently under review.
Siemens realizes that if an LTSA is in place the cost to the City for a "B" Outage will be substantially reduced and the
cash flow will be spread out over a 7.5 year period.
The revised Offer to the City of Vernon is as follows:
The City of Vernon will place a Purchase Order to Siemens for the "BA Outage Spare Parts referenced above.
The Progress Payment schedule will be revised to the following from the above:
a. 5% of the P.O. vale to be Invoiced upon Order Placement $567,000.
b. 35% of the P.O. value to be Invoiced on April 1, 2007 if the LTSA doesn't occur.
c. 50% of the P.O. value to be Invoiced on July 1, 2007 if the LTSA doesn't occur.
d. 10% of the P.O. value to be Invoiced upon final shipment to site if the LTSA doesn't occur.
Siemens and the City of Vernon will continue negotiations and plan to execute a LTSA on or before March 31,
2007.
If that negotiation is successful and the LTSA comes into force, then the Payment terms contained therein
shall supercede those reflected above. The 6% payment shall be applied against the initial payment due under
the expected LTSA contract There may be a catch-up charge required to bring the payment schedule into
agreement and that would be invoiced separately at the time.
In order for the City of Vernon to obtain a place in line for the "B" Outage parts it is therefore necessary to place
the P.O. against reference (2) and pay the $567,000 deposit upon receipt of invoice.
