Resolution No. 92831 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 9283 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON APPROVING AND RATIFYING ACTIONS TAKEN REGARDING RENEWAL OF POLLUTION LEGAL LIABILITY INSURANCE FROM AMERICAN INTERNATIONAL SPECIALTY LINES INSURANCE COMPANY WHEREAS, the City Council of the City of Vernon adopted ordinance No. 1067 on December 8, 1998, which added Article VI to :hapter 12 of the Vernon City Code, establishing a non-exclusive ranchise system for solid waste collection in the City; and WHEREAS, the City of Vernon developed a Standard Non - Exclusive Franchise Agreement for Solid Waste Management Services ("Franchise Agreement") for solid waste collection businesses operating in the City of Vernon; and WHEREAS, the City of Vernon has evaluated its liability insurance policies in light of the City's limited role in the placement of waste in solid waste landfills; and WHEREAS, the City's current Pollution Legal Liability Insurance Policy with American International Specialty Lines Insurance Company ("American") for insurance in excess of insurance coverage required in the Franchise Agreement expires on March 23, 2007; and WHEREAS, the City desired to renew the policy of insurance with American to protect the City; and WHEREAS, the City employed the services of Arthur J. Gallagher & Co. Insurance Brokers of California, Inc. ("Arthur J. Gallagher") to act as the City's broker to structure and obtain the appropriate insurance coverage; and WHEREAS, Arthur J. Gallagher has recommended that the City 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 llenter into an arrangement with American for the provision of 11insurance; and WHEREAS, in order to meet the urgent need for renewal of the insurance policy, the Acting Risk Manager authorized the renewal and the payment of the annual premium in the sum of $48,009.84 to implement the insurance policy, subject to ratification by the City IlCouncil; and WHEREAS, the Acting Risk Manager has recommended that the lactions taken to renew the necessary insurance coverage for the Pollution Legal Liability Insurance, issuing the annual premium payment and executing any forms necessary to implement the insurance with American, be ratified; and WHEREAS, the City Council desires to approve and ratify any document executed by the Acting Risk Manager and the payment of the annual premium in accordance therewith; and WHEREAS, the City Council of the City of Vernon has determined that, pursuant to the provisions of subsection (a) of Section 2.27 of the Vernon City Code, it is in the public interest and necessity to ratify renewal of the Pollution Legal Liability Insurance with American, through Arthur J. Gallagher. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby ratifies and authorizes the Acting Risk Manager, or his designee, to execute any and all documents necessary for the purpose of securing - 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 the renewal of the insurance and to implement and carry out the purposes specified in the insurance renewal on behalf of the City of Vernon. SECTION 3: The City Council of the City of Vernon hereby approves and ratifies the annual premium payment of $48,009.84 in accordance with the terms of the insurance renewal. SECTION 4: The City Council of the City of Vernon hereby directs the Acting City Clerk, or his designee, to send a copy of this Resolution to: Arthur J. Gallagher & Co. The defined term Terrorism shall specifically include, but is not limited to, the following definition of a certified "Act of Terrorism" defined by Section 102. Definitions, of the Terrorism Risk Insurance Act of 2002 and any revisions or amendments thereto: (1) Act of Terrorism - (A) Certification. - The term "act of terrorism" means any act that is certified by the Secretary of the Treasury of the United States, in concurrence with the Secretary of State, and the Attorney General of the United States - (i) to be an act of terrorism; (ii) to be a violent act or an act that is dangerous to - (1) human life; (II) property; or (III) infrastructure; (iii) to have resulted in damage within the United States, or outside of the United States in the case of - (1) an air carrier or vessel described in paragraph (5)(B); [for the convenience of this endorsement, paragraph (5)(B) reads: occurs to an air carrier (as defined in Section 40102 of title 49, United States Code) to a United States flag vessel (or a vessel based principally in the United States, on Mich United States income tax is paid and whose insurance coverage is subject to regulation in the United States), regardless of where the loss occurs, or at the premises of any United States mission]; (11) the premises of a United States mission; and 81268 (12/02) PAGE 1 OF 2 C 11966 FOR USE TO EXCLUDE ALL TERRORISM REJECTION OF CERTIFIED ACTS OF TERRORISM.
