RESOLUTION NO. 9320
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON DISSOLVING, CANCELLING AND TERMINATING ALL
AGREEMENTS WITH KARNS & KARABIAN AND ABOLISHING THE
POSITION OF GENERAL COUNSEL
WHEREAS, Karns & Karabian ("K&K") has been providing legal,
consulting and general counsel services to the City since 2002; and
WHEREAS, the City desires to abolish and eliminate the
position, role, responsibilities and title of General Counsel; and
WHEREAS, the City desires the City Attorney to be responsible
for and in charge of all legal, lobbying and consulting matters for the
City of Vernon, including all attorneys, outside legal counsel,
1consultants and lobbyists; and
WHEREAS, on March 5, 2007, the City Council of the City of
Vernon adopted Resolution No. 9261 rescinding the Amended General
Counsel Agreement dated August 3, 2005 with K&K and partially rescinded
Amendment Number One to Amended General Counsel Agreement with K&K; and
WHEREAS, the City Council of the City of Vernon desires to
dissolve, cancel and terminate all agreements with K&K, including but
not limited to those agreements dated on or about November 26, 2002,
July 28, 2003, November 17, 2004 and December 13, 2006.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
dissolves, cancels and terminates all agreements with K&K, including

but not limited to those agreements dated on or about November 26,
2002, July 28, 2003, November 17, 2004 and December 13, 2006.
SECTION 3: The City Council of the City of Vernon hereby
abolishes and eliminates the position, title, responsibilities and
title of General Counsel.
SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
