A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
RENEWAL OF A DEDICATED INTERNET ACCESS SERVICE
AGREEMENT AND BANDWIDTH.COM INTERNET ACCESS SERVICE
LEVEL AGREEMENT BY AND BETWEEN THE CITY OF VERNON
AND BANDWIDTH.COM,INC., POWERED BY QWEST, FOR FIBER
OPTIC INTERNET ACCESS
WHEREAS, on August 3, 2005, the City Council of the City of
Vernon adopted Resolution No. 8818 approving a Dedicated Internet
Access Service Agreement, Bandwidth.Com Internet Access Service Level
Agreement and Internet Services Order Form dated on or about
August 17, 2005, with Bandwidth.Com, Inc. ("Bandwidth") for upstream
service provider services to assist the City in providing dedicated
internet access services to Vernon businesses using Vernon's fiber
optic network infrastructure (collectively, the "Master Agreement");
and
WHEREAS, the term of the Master Agreement was for one year
from date of activation and said Master Agreement has continued
thereafter on a month -to -month basis; and
WHEREAS, the City Council desires to ratify all payments made'
to Bandwidth for services rendered August 2006 through June 2007 in the.
sum of $40,938.94; and
WHEREAS, Bandwidth has submitted a renewal quote for the
period July 1, 2007 through June 30, 2008 for the sum of Three Thousand,
Seven Hundred Eleven Dollars and Sixty Cents ($3,711.60) per month, or
a yearly total of Forty -Four Thousand Five Hundred Thirty -Nine Dollars
and Twenty Cents ($44,539.20), excluding any applicable taxes; and
WHEREAS, the Director of Light & Power has recommended the

renewal of the Master Agreement for the period July 1, 2007 through
June 30, 2008.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves and ratifies all the payments made to Bandwidth for services
rendered August 2006 through June 2007 in the sum of $40,938.94.
SECTION 3: The City Council of the City of Vernon hereby
approves the Renewal to the Master Agreement ("Renewal") with
Bandwidth, in substantially the same form as the copy which is
attached hereto as Exhibit A and incorporated by reference.
SECTION 4: The City Council of the City of Vernon hereby
authorizes the Mayor or Mayor Pro-Tem to execute the Renewal with
Bandwidth for, and on behalf of, the City of Vernon and the City Clerk
is hereby authorized to attest thereto.
SECTION 5: The City Council of the City of Vernon hereby
directs the City Clerk, or her designee, to give one fully executed
Renewal to:
Bandwidth.com, Inc.

SECTION 6: The City Administrator, or his designee, is
hereby authorized to make whatever nonsubstantive changes, upon advice
of counsel, to the Renewal and all related documents that become
necessary to implement and carry out the purpose of this resolution.

SECTION 7: The City Administrator, or his designee, is
hereby authorized to execute all forms necessary to secure, implement
and carry out the purposes specified in the Renewal.
SECTION 8: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
