Resolution No. 9432i 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 9432 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON TERMINATING THE AGREEMENT FOR MOBILE INTENSIVE CARE UNIT (MICU) PARAMEDIC AND AMBULANCE SERVICES AND USE OF CITY VEHICLE, EQUIPMENT AND FACILITIES WITH AMERICAN MEDICAL RESPONSE, INC. AND AUTHORIZING THE FIRE CHIEF TO ENTER INTO NEGOTIATIONS WITH BOWERS AMBULANCE FOR SAID SERVICES WHEREAS, on March 25, 1997, the City Council of the City of Vernon adopted Resolution No. 6933 approving an Agreement for Mobile Intensive Care Unit (MICU) Paramedic and Ambulance Services and Use of City Vehicle, Equipment and Facilities dated March 25, 1997 and effective April 1, 1997 (the "Agreement") with American Medical Response, Inc. ("AMR"); and WHEREAS, on April 18, 2001, the City Council of the City of Vernon adopted Resolution No. 7746 approving an Amendment No. One to the Agreement with AMR which, in part, extended the term of the ,Agreement from April 18, 2001 through April 18, 2002, and thereafter to automatically renew the Agreement every year thereafter until terminated pursuant to 30-days' written notice; and WHEREAS, on September 12, 2007, the City received a letter from AMR indicating that it is unable to continue to provide services to the City without increasing costs and reducing services and requesting resolution by September 30, 2007; and WHEREAS, by memo dated September 27, 2007, the Fire Chief has recommended that the City terminate the AMR Agreement because it no longer meets the needs of the City; and WHEREAS, mobile intensive care paramedic and ambulance 1 2 3 4' 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 services are required for the health and welfare of its citizens and is of paramount importance; and WHEREAS, the Vernon Fire Department solicited a proposal from Bowers Companies, Inc., dba Bowers Ambulance Service, a sister company to Pacific Ambulance ("Bowers"), to provide emergency ambulance and paramedic services at a cost of approximately $18,250.00 per month; and WHEREAS, The Fire Chief believes that Bowers has the experience and expertise to provide emergency ambulance and paramedic services as Bowers is considered the largest provider of nonemergency lambulance services in the State of California and the fifth largest ambulance provider overall; and WHEREAS, the City desires to authorize the Fire Chief, in conjunction with the City Attorney, to enter into negotiations with Bowers to implement emergency ambulance and paramedic services, subject to the City Council's approval of the final agreement. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF VERNON AS FOLLOWS: SECTION 1: The City Council of the City of Vernon hereby (finds and determines that the recitals contained hereinabove are true and correct. SECTION 2: The City Council of the City of Vernon hereby authorizes the Fire Chief to terminate the Agreement, as amended, when deemed practical to effectuate a transition of services from AMR to Bowers. SECTION 3: The City Council of the City of Vernon hereby, authorizes the Fire Chief, in conjunction with the City Attorney, to take all steps necessary and appropriate to enter into negotiations with Bowers to provide emergency ambulance and paramedic services and, - 2 - 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 once negotiations have been completed, the City Attorney shall submit the final agreement to the City Council for its approval. SECTION 4: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. Whitworth, Fire Chief Date: September 27, 2007 Re: Termination of American Medical Response Agreement Rcs . qg3,L After visiting the American Medical Response (AMR) agreement and meeting with their representatives, AMR is no longer able to meet the needs of City of Vernon at the agreed agreement cost. AMR's solution was to increase cost and reduce service. Therefore, I am recommending that City of Vernon terminate our current agreement with AMR.
