RESOLUTION NO. 9471
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON DISSOLVING, CANCELLING AND RATIFYING THE
TERMINATION OF ALL AGREEMENTS WITH ADMINSURE, INC.
(FORMERLY COLEN & LEE) AND REPEALING ALL
RESOLUTIONS OR PARTS OF RESOLUTIONS IN CONFLICT
THEREWITH
WHEREAS, the City of Vernon is self -insured in its general
and automobile liability program; and
WHEREAS, on September 16, 1986, the City Council of the City
of Vernon adopted Resolution No. 5320 approving an Agreement for
Liability Claims Administration Services (the "Liability Agreement")
with Colen & Lee, Inc. ("Colen"), the City's administrator for the
general and automobile liability self-insurance program; and
WHEREAS, on August 21, 1990, the City Council of the City of
Vernon adopted Resolution No. 5791 approving a Workers' Compensation
Self -Insurance Service Agreement (the Workers' Compensation Agreement")',
with Colen, the City's administrator for the workers' compensation
self-insurance program; and
WHEREAS, on September 4, 2007, the City Council of'the City
of Vernon adopted Resolution Nos. 9402 and 9403 approving amendments to
the Liability Agreement and the Workers' Compensation Agreement
(collectively, the "Agreements") to formally change the name from Colen
to AdminSure, Inc. ("AdminSure"); and
WHEREAS, the Agreements provide that the Agreements may be
terminated by the City by furnishing AdminSure with a 60-days written
notice; and
WHEREAS, the City desires to dissolve, cancel and terminate
all the Agreements and any amendments thereto with AdminSure,

including but not limited to the Liability Agreement dated on or about
September 16, 1986 and the Workers' Compensation Agreement dated on or
about August 21, 1990 with AdminSure; and
WHEREAS, in order to terminate the Agreements as soon as
possible, the Risk Manager notified AdminSure on November 5, 2007,
that the City wished to terminate their services, subject to
ratification by the City Council; and
WHEREAS, the City Council desires to approve and ratify the
actions taken by the Risk Manager in terminating the Agreements.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
dissolves, cancels and ratifies the termination by the Risk Manager on
November 5, 2007, of all of the Agreements with AdminSure, including
but not limited to the Liability Agreement dated on or about September
16, 1986 and the Workers' Compensation Agreement dated on or about
August 21, 1990 effective on or about January 1, 2008.
SECTION 3: The City Council of the City of Vernon hereby
authorizes the City to pay AdminSure for their services pursuant to
the Agreements through January of 2008.

SECTION 4: The City Clerk of the City of Vernon shall
certify to the passage of this resolution, and thereupon and
thereafter the same shall be in full force and effect.
