AND CONSOLIDATED DISPOSAL SERVICES. CONCERNING A SERVICES AGREEMENT RELATING TO SOLID WASTE COLLECTION, DISPOSAL AND'RECYCLING SERVICES WHEREAS, on June 21, 2006, the City Council of the City —of - Vernon adopted Resolution No. 9074 approving a Services Agreement dated June 21, 2006, as amended by Change Order Nos. 1 and 2 dated August 16, 2006 and June 27, 2007, respectively, (collectively, the "Agreement") for solid waste hauler services for all City facilities and all residential properties within the City; and WHEREAS, by letter dated December 20, 2007, Innovative requested the City to transfer the Agreement to Consolidated Disposal Service, LLC ("CDS") because CDS was purchasing the assets of JInnovative which includes the solid waste transfer station and the 1permits and contracts held by Innovative; and WHEREAS, CDS is a major provider of integrated solid waste management services in the greater Los Angeles marketplace and (currently has a franchise agreement with the City to provide (commercial collection services in the City; and WHEREAS, CDS desires to operate the solid waste transfer station and assume all the rights and obligations of Innovative under the Agreement; and WHEREAS, Innovative has agreed to assign all of its rights and obligations under the Agreement to CDS; and WHEREAS, the City desires to amend the Agreement to provide for compliance with current air pollution control laws; and I WHEREAS, the City desires to consent to the assignment of 2 the Agreement from Innovative to CDS, subject to CDS assuming all 3 obligations, indemnities, releases, conditions, and covenants of the 4 Agreement, as amended. 5 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 6 CITY OF VERNON AS FOLLOWS: 7 SECTION 1: The City Council of the City of Vernon hereby 8 finds and determines that the recitals contained hereinabove are true 9 and correct. 10 SECTION 2: The City Council of the City of Vernon hereby 11 approves the Assignment and Assumption Agreement, in substantially the 12 same form as the copy which is attached hereto as Exhibit A and 13 incorporated by reference. 14 SECTION 3: The City Council of the City of Vernon hereby 15 authorizes the Mayor or Mayor Pro-Tem to execute said Agreement for, 16 and on behalf of, the City of Vernon and the City Clerk is hereby 17 authorized to attest thereto. 18 SECTION 4: The City Council of the,City hereby authorizes 19 the City Administrator, or his designee, to make whatever non- 20 substantive, administrative and/or text changes, upon advice of 21 counsel, to the Agreement. 22 SECTION 5: The City Council of the City of Vernon hereby 23 directs the City Clerk, or her designee, to send one fully executed 24 Agreement to the following: 25 Mr. Harold Arsenian, President Innovative Waste Control, Inc. 26 4133 Bandini Boulevard 27 Vernon, CA 90023 28 2 - 1 2 3 4' 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 Mr. Russell Dix, Area President Consolidated Disposal Service, LLC 12949 Telegraph Road Santa Fe Springs, CA 90670-4009 SECTION 6: The City Clerk of the City of Vernon shall certify to the passage of this resolution, and thereupon and thereafter the same shall be in full force and effect. ("Assignor"), and Consolidated Disposal Services, LLC ("Assignee"), based on the following facts: A. Assignor and the City entered into that certain Services Agreement dated June 21, 2006, and Change Order Nos. 1 and 2 dated August 16, 2006 and June 27, 2007 (collectively, the "City Agreement"), pursuant to which the City retained the services of Assignor to perform solid waste collection, disposal and recycling services for all City facilities and all residential properties within the City. Assignor and Assignee desire that Assignor assign to Assignee and Assignee assume from Assignor all of Assignor's rights and obligations under the City Agreement as amended herein to perform solid waste collection, disposal and recycling services for all City facilities and all residential properties within the City, together with all of Assignor's other rights and obligations with respect thereto. C. The City consents to the assignment from Assignor to Assignee on the terms and conditions set forth below. D. Initially capitalized terms used herein without definition shall have the meaning ascribed to them in the City Agreement. The parties hereby agree as follows: 1. Assignment and Assumption. Amendment to Section 5.14 of the City Agreement. The City Agreement shall be amended as follows: 5.14. Contractor declares and states that it has complied with and will continue to comply with all federal, state and local laws regarding business permits and licenses that may be required to carry out the Services to be performed under this Agreement and shall comply with all applicable air pollution control laws. 1// 3: No Release. Notwithstanding this Assignment, nothing contained herein shall release Assignor from the obligations, indemnities, releases, and covenants of Contractor under the City Agreement. 4. Consent. The agreement was made effective on August 1, 2006. Innovative was subsequently sold to Consolidated Waste Control (Consolidated) and this was made effective by the City Council on January 22, 2008. The City has continued to extend the agreement since its inception with Consolidated providing the same excellent services as did Innovative. Consolidated's customer service continues to provide excellent service and assistance when needed additional pickups and related disposal. Consolidated has provided the City with a revised cost schedule for 2009. In review of the cost schedule for 2009, it appears the costs have remained constant with respect to the general trash removal and hauling fees. It is therefore my recommendation that City Council approve the issuance of Change Order No. 2 extending this agreement by one-year based on the rate schedule provided by Consolidated at the next Council meeting and be effective July 1, 2009. The agreement was approved by the City Council and made effective on August 1, 2006 Innovative was subsequently sold to Consolidated Waste Control (Consolidated) and made effective by the City Council on January 22, 2008. The agreement was made effective on August 1, 2006. Innovative was subsequently sold to Consolidated Disposal Services, LLC (Consolidated) and this was made effective by the City Council on January 22, 2008. The City has continued to extend the agreement since its inception with Consolidated providing the same excellent services as did Innovative. Consolidated's customer service continues to provide excellent service and assistance when needed additional pickups and related disposal. Consolidated has provided the City with a revised cost schedule for 2010. In review of the cost schedule for 2010, it appears the costs have increased by 5-percent with respect to the general trash removal and hauling fees. There was no increase in costs for 2009. Change Order No. 4 was reviewed and approved by the City Attorney's Office. It is therefore my recommendation that City Council approve the issuance of Change Order No. 4 extending this agreement by one-year based on the rate schedule provided by Consolidated Disposal Services, LLC at the next Council meeting and be effective July 1, 2010.
