A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON ACCEPTING THE BID OF WONDRIES CHEVROLET AKA
WONDRIES FLEET ON BID NO. 1451 FOR THE PURCHASE OF
A 2008 FORD SUPER DUTY F-350 TRUCK WITH A UTILITY
BODY FOR THE COMMUNITY SERVICES & WATER DEPARTMENT
AND APPROVING AND AUTHORIZING THE EXECUTION OF A
VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A
PURCHASE ORDER RESPECTING SAID BID
WHEREAS, the Community Services & Water Department has
requested the purchase of a new truck with utility body to facilitate
complex and equipment intensive water distribution maintenance and
construction; and
WHEREAS, pursuant to Resolution No. 9505 adopted by the City
Council of the City of Vernon on December 17, 2007, the City Clerk was
directed to give notice inviting sealed proposals or bids for the
purchase of a 2008 Ford Super Duty F-350 vehicle with a utility body
("Ford Truck") in accordance with a bid specification provided by the
Community Services & Water Department; and
WHEREAS, based upon the bid specification, the Purchasing
,Department prepared Bid No. 1451 dated January 8, 2008, and proceeded
to solicit bids for the purchase of the Ford Truck; and
WHEREAS, sealed bids for Bid No. 1451 were enPnpd nn
January 29, 2008, and reviewed by the Community Services & Water
Department; and
WHEREAS, the Purchasing Agent has recommended that Bid No.
1451 be awarded to Wondries Chevrolet aka Wondries Fleet ("Wondries"),
the lowest responsible bidder meeting the requirements of Bid No. 1451.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:

1 SECTION 1: The City Council of the City of Vernon hereby
2 finds and determines that the recitals contained hereinabove are true
3 and correct.
4 SECTION 2: The City Council of the City of Vernon hereby
5 awards Bid No. 1451 to Wondries and accepts and approves the Vehicle
6 Purchase Contract, a copy of which is attached hereto as Exhibit A and
7 incorporated herein by reference.
8 SECTION 3: The City Council of the City of Vernon hereby
9 authorizes the Mayor or Mayor Pro-Tem to execute said Contract for,
10 and on behalf of, the City of Vernon and the City Clerk is hereby
11 authorized to attest thereto and authorizes the issuance of a purchase
12 order for the purchase of the Ford Truck pursuant to Bid No. 1451.
13 SECTION 4: The City Council of the City of Vernon hereby
14 directs the City Clerk, or her designee, to send one fully executed
15 Contract to:

13 RECITALS
14 WHEREAS, the City's Community Services & Water Department
15 has determined that it needs a new truck with utility body to
16 facilitate complex and equipment intensive water distribution
17 maintenance and construction; and
18 WHEREAS, City staff have determined that a 2008 Ford Super
19 Duty F-350 Truck with Utility Body vehicle (the "Vehicle') would meet
20 the needs and requirements of the Community Services & Water
21 Department; and
22 WHEREAS, on January 8, 2008, the City issued Bid No. 1451
23 which sets forth specifications for the new Vehicle required by the
24 City; and
25 WHEREAS, on January 24, 2008, Wondries responded to Bid No.
26 1451; and
27 WHEREAS, the City has accepted Wondries' bid and desires to
28 purchase the new Vehicle from Wondries.
1 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET
2 FORTH HEREIN:
3 1. Purchase. Wondries agrees to sell to the City one
4 new 2008 Ford Super Duty F-350 with Utility Body vehicle that meets
5 the specifications contained in City of Vernon Bid No. 1451 dated
6 January 8, 2008, and that is consistent with Wondries' Bid of
7 January 24, 2008 (collectively referred to as the "Bid Documents"). A
8 copy of the Bid Documents are attached hereto as Exhibit A and
9 incorporated herein by reference.
10 2. Price. Consistent with its Bid, Wondries agrees to
11 sell and deliver directly to the City Garage within 90 to 180 days,
12 subject to final inspection by the City, one new Vehicle for the sum
13 of Twenty -Seven Thousand Five Hundred Fifteen Dollars and No Cents
14 ($27,515.00), plus Thirteen Thousand Six Hundred Sixty -Seven Dollars
15 and Sixty -Five Cents ($13,667.65) for utility body optional items
16 pursuant to the Bid Documents for a total of Forty -One Thousand One
17 Hundred Eighty -Two Dollars and Sixty -Five Cents ($41,182.65) plus
sales tax, document fees and tire fees and less any applicable
18
discounts.

3. Payment Terms. The City agrees to pay Wondries for
20
the Vehicle a total of Forty -One Thousand One Hundred Eighty -Two
21
Dollars and Sixty -Five Cents ($41,182.65), plus sales tax, document
22
fees and tire fees and less any applicable discounts. Payment will be
23
made within thirty (30) days net of receipt of the Vehicle.

4. Warranties. All manufacturers' warranties, the
25
warranties specified on the Bid Documents and any other warranties
26
made applicable by law, shall apply to the City's purchase of the
27
above -referenced Vehicle.

1 S. General Provisions.
2 A. Governing Law. The laws of the State of
3 California shall govern the rights, obligations, duties and
4 liabilities of the parties to this Contract and shall also govern the
5 interpretation of this Contract.
6 B. Notices. Notices to the parties, unless otherwise

20 benefit the parties hereto, their heirs, successors, and permitted
21 assigns.
22 8. Forum. Any dispute related to this Contract shall be
23 adjudicated in a state court serving the County of Los Angeles,
24 California.
25 9. Arbitration. The parties agree that any and all
26 disputes arising out of or in relation to this Contract, including
27 without limitation any action in tort, shall be resolved exclusively,
28 finally and conclusively by arbitration in Los Angeles County,

California under the auspices of and pursuant to the rules of the
Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
will select an arbitrator. Those two arbitrators will then select a
third. The three -member panel will make the final decision. All
decisions of the arbitrators shall be in writing, and the arbitrators
shall provide written reasons for their decision. The arbitration
decision shall be final and binding on the parties. Notwithstanding
the foregoing, the parties shall be permitted to access the court
system to enforce any arbitration award or to obtain injunctive
relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any
and all contracts between Contractor and any subcontractor relating to
this Agreement shall include the same arbitration clause.
IN WITNESS WHEREOF, the parties have caused this Contract to
be executed by and through their authorized officers on the date,
month and year first written above.

1 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET

3 1. Purchase. Wondries agrees to sell to the City one
4 new 2008 Ford Super Duty F-350 with Utility Body vehicle that meets
5 the specifications contained in City of Vernon Bid No. 1451 dated
6 January 8, 2008, and that is consistent with Wondries' Bid of
7 January 24, 2008 (collectively referred to as the "Bid Documents"). A
8 copy of the Bid Documents are attached hereto as Exhibit A and
9 incorporated herein by reference. 11
10 2. Price. Consistent with its Bid, Wondries agrees to
11 sell and deliver directly to the City Garage within 90 to 180 days,
12 subject to final inspection by the City, one new Vehicle for the sum
of Twenty -Seven Thousand Five Hundred Fifteen Dollars and No Cents

($27,515.00), plus Thirteen Thousand Six Hundred Sixty -Seven Dollars
14
and Sixty -Five Cents ($13,667.65) for utility body optional items
15
pursuant to the Bid Documents for a total of Forty -One Thousand One
16
Hundred Eighty -Two Dollars and Sixty -Five Cents ($41,182.65) plus
17
sales tax, document fees and tire fees and less any applicable
18
discounts.

3. Payment Terms. The City agrees to pay Wondries for
20
the Vehicle a total of Forty -One Thousand One Hundred Eighty -Two
21
Dollars and Sixty -Five Cents ($41,182.65), plus sales tax, document
22
fees and tire fees and _less any applicable discounts. Payment will be
23
made within thirty (30) days net of receipt of the Vehicle.

4. Warranties. All manufacturers' warranties, the
25
warranties specified on the Bid Documents and any other warranties
26
made applicable by law, shall apply to the City's purchase of the
27
above -referenced Vehicle.

2 A. Governing Law. The laws of the State of
3 California shall govern the rights, obligations, duties and
4 liabilities of the parties to this Contract and shall also govern the
5 interpretation of this Contract.
6 B. Notices. Notices to the parties, unless otherwise
7 requested in writing, shall be sent to:

15 6. Entire Agreement. This Contract is the entire
16 agreement of the parties. Wondries represents that in entering into
17 this Contract, it has not relied on any previous representations or
18 understandings of any kind or nature.
19 7. Benefit of Agreement. This Contract shall bind and
20 benefit the parties hereto, their heirs, successors, and permitted
21 assigns.
22 8. Forum. Any dispute related to this Contract shall be
23 adjudicated in a state court serving the County of Los Angeles,
24 California.
25 9. Arbitration. The parties agree that any and all
26 disputes arising out of or in relation to this Contract, including
27 without limitation any action in tort, shall be resolved exclusively,
28 finally and conclusively by arbitration in Los Angeles County,

California under the auspices of and pursuant to the rules of the
Judicial Arbitration & Mediation Services Inc. (JAMS). Each party
will select an arbitrator. Those two arbitrators will then select a
third. The three -member panel will make the final decision. All
decisions of the arbitrators shall be in writing, and the arbitrators
shall provide written reasons for their decision. The arbitration
decision shall be final and binding on the parties. Notwithstanding
the foregoing, the parties shall be permitted to access the court
system to enforce any arbitration award or to obtain injunctive
relief. The exclusive jurisdiction and venue for any such action
shall be the Superior Court of California, Los Angeles County. Any
and all contracts between Contractor and any subcontractor relating to
this Agreement shall include the same arbitration clause.
IN WITNESS WHEREOF, the parties have caused this Contract to
be executed by and through their authorized officers on the date,
