A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
VERNON APPROVING AND AUTHORIZING THE EXECUTION OF A
LETTER AGREEMENT BY AND BETWEEN THE CITY OF VERNON
AND EK & EK, LLC REGARDING PUBLIC RELATIONS
WHEREAS, the City of Vernon desires to retain the services
of a public advocacy consultant to assist the City with community
outreach to neighboring communities and public relations services on
behalf of the City_relating to the South East Region Energy Project
(the "Services"); and
WHEREAS, the City has determined that EK & EK, LLC ("EK"), a
public advocacy firm, possesses the technical knowledge and expertise
to furnish the Services required by the City; and
WHEREAS, the City Council of the City of Vernon has
determined that, pursuant to the provisions of subsection (a) of
Section 2.27 of the Vernon City Code, it is in the public interest and
necessity to enter into an agreement with EK setting forth the terms
and conditions for the performance of the Services to enhance services
provided to the Vernon community.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF VERNON AS FOLLOWS:
SECTION 1: The City Council of the City of Vernon hereby
finds and determines that the recitals contained hereinabove are true
and correct.
SECTION 2: The City Council of the City of Vernon hereby
approves the Letter Agreement for professional services with EK, a
copy of which is attached hereto as Exhibit A and incorporated
2 SECTION 3: The City Council of the City of Vernon hereby
3 authorizes the Mayor or Mayor Pro-Tem to execute said Letter Agreement
4 for, and on behalf of, the City of Vernon and the City Clerk is hereby
5 authorized to attest thereto.
6 SECTION 4: The City Council of the City of Vernon hereby
7 directs the City Clerk, or her designee, to send a fully executed
8 Letter Agreement and a check for Eight Thousand Dollars and No Cents
9 ($8,000.00) to:

Dear Mr. Harrison:
The following shall serve as a letter of agreement between the City of Vernon and
Ek & Ek, LLC.
The City of Vernon would like to build the South East Region Energy Project
power plant. The City of Vernon would like assistance in briefing key elected officials
and opinion leaders in municipalities along the southeast corridor as well as elected
officials within the City of Los Angeles and at the County and State level.
STRATEGY
Ek & Ek will work with the City of Vernon team to develop and implement a plan
for this outreach. Among the items to be considered and developed are:
1. Identification and communication with key city officials from the City of Los
Angeles, the County of Los Angeles, State of California and designated cities
located in the Southeast area as directed by the City of Vernon.
2. Identification of Key Opinion Leaders
3. Advocacy Strategy
John Ek will serve as the point person for Ek & Ek on this project and will attend
all team meetings as well as coordinate any activates of the Ek & Ek team on this project.

1. Register as a lobbying firm when and as required by applicable law;
2. Become thoroughly familiar with all aspects of the City of Vernon project and its
objectives;
3. Assess the political landscape and provide City of Vernon with an analysis of the
political influences and processes relevant to this process, including identification and
assessment of key decision makers;
4. Provide City of Vernon with insight into the prospects for approving their objectives;
5. Make inquires with (i) elected, appointed and administrative officials as appropriate
to perform the work described in this letter;
6. Provide and execute a strategy, directly represent and educate opinion leaders within
but not limited to the following the City of Los Angeles, South East Corridor
Municipalities, State Senate and Assembly members for the region and the County of
Los Angeles;
7. Arrange meetings with officials as appropriate;
8. Monitor and report to City of Vernon all activity and information regarding Los
Angeles Issues.
Fees
In consideration for the above services, City of Vernon will pay Ek & Ek a
monthly retainer of $8,000.00 per month. $8,000.00 will be due and payable upon the
signing of this contract with the remaining fees due as billed;

on May 31, 2009,
Independent Contractor
Ek & Ek in performing services under this agreement shall at all times be an
