Resolution No. 96542 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 10031 20 21 22 23 24 25 26 27 28 - - ---- -- - - ---- -RESOLUTION---NO.- 9-63 4 - - - - A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VERNON ACCEPTING THE BID OF WONDRIES FLEET GROUP ON BID NO. 1454 FOR THE PURCHASE OF A 2009 CHEVROLET TAHOE FOR THE FIRE DEPARTMENT, APPROVING AND AUTHORIZING THE EXECUTION OF A VEHICLE PURCHASE CONTRACT AND THE ISSUANCE OF A PURCHASE ORDER RESPECTING SAID BID AND REPEALING RESOLUTION NO. 9538 AND RESCINDING VEHICLE PURCHASE CONTRACT DATED FEBRUARY 4, 2008 WHEREAS, on February 4, 2008, the City Council of the City of Vernon adopted Resolution No. 9538 awarding Bid No. 1448 to Wondries Chevrolet, aka Wondries Fleet, for the purchase of one 2008 Chevrolet Tahoe to replace a 2002 vehicle being used by the Fire Chief; and WHEREAS, on February 14, 2008, a Purchase Order was issued to Wondries Fleet pursuant to Bid No. 1448; and WHEREAS, Wondries Fleet is unable to supply the 2008 Chevrolet Tahoe due to a strike which began on February 26, 2008, and the 2008 Chevrolet Tahoe is no longer being produced; and WHEREAS, the Business Services & Purchasing Department (the "Purchasing Department") sought informal quotes from the vendors who previously participated in Bid No. 1448 by issuing new Bid No. 1454 on for about June 5, 2008 with a new bid specification provided by the Fire (Department for a new 2009 Chevrolet Tahoe 2WD, 4DR, 1500 LTW/2LT (the "Tahoe"); and 1. WHEREAS, based upon the new bid specification, the Purchasing) Department prepared Bid No. 1454 dated on or about June 5, 2008, and proceeded to solicit bids for the purchase of the Tahoe; and WHEREAS, sealed bids for Bid No. 1454 were opened on June 9, 2008, and reviewed by the Fire Department; and 1 - WHEREAS_,___ the Purchasing Agent _has recommended _that Resolution 2 No. 9538 be repealed, Vehicle Purchase Contract dated February 4, 2008 3 for Bid No. 1448 with Wondries Fleet be rescinded, the issuance of new 4 Bid No. 1454 be ratified, and Bid No. 1454 be awarded to Wondries Fleet 5 Group ("Wondries"), the lowest responsible bidder meeting the 6 requirements of Bid No. 1454. 7 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE 8 CITY OF VERNON AS FOLLOWS: 9 SECTION 1: The City Council of the City of Vernon hereby 10 finds and determines that the recitals contained hereinabove are true 11 and correct. 12 SECTION 2: The City Council of the City of Vernon hereby 13 repeals Resolution No. 9538 and rescinds the Vehicle Purchase Contract 14 dated February 4, 2008 with Wondries Fleet for Bid No. 1448. 15 SECTION 3: The City Council of the City of Vernon hereby 16 ratifies the issuance of Bid No. 1454, awards Bid No. 1454 to Wondries 17 and accepts and approves the Vehicle Purchase Contract, in 18 substantially the same form as the copy which is attached hereto as 19 Exhibit A and incorporated by reference. 20 SECTION 4: The City Council of the City of Vernon hereby 21 authorizes the Mayor or Mayor Pro-Tem to execute said Contract for, 22 and on behalf of, the City of Vernon and the City Clerk is hereby 23 authorized to attest thereto and authorizes the issuance of a purchase 24 order for the purchase of the Tahoe pursuant to Bid No. 1454. 25 SECTION 5: The City Council of the City of Vernon hereby 26 authorizes the City Administrator, or his designee, to make whatever 27 nonsubstantive, administrative and/or text changes, upon advice of 28 counsel, to the Contract and to execute any and all documents 2 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 _ne_c_e_s_sa.ry__to--implement-- and-- carry out__ the_ purposes _spe_c_ifiedin_the_ Contract on behalf of the City of Vernon and toperform such other actions deemed necessary or advisable. Main Street Alhambra, CA 91801-3330 12 RECITALS 13 14 WHEREAS, the City's Fire Department has determined that the 15 Fire Chief needs a new vehicle to replace a 2002 vehicle; and 16 WHEREAS, City staff have determined that a 2009 Chevrolet 17 Tahoe vehicle (the "Vehicle') would meet the needs and requirements of 18 the Fire Department; and 19 j WHEREAS, on or about June 5, 2008, the City issued Bid No. 20 1454 (formerly 1448) which sets forth specifications for the new 21 Vehicle required by the City; and 22 WHEREAS, on June 9, 2008, Wondries responded to Bid No. 23 1454; and 24 WHEREAS, the City has accepted Wondries' bid and desires to 25 Purchase the new Vehicle from Wondries. 26 NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS SET 27 FORTH HEREIN: 28 1. Purchase. Wondries agrees to sell to the City one I new 2009 Chevrolet Tahoe 2WD, 4DR 1500 LTW/21t Vehicle that meets the 2 specifications contained in City of Vernon Bid No. 1454 dated on or 3 about June 5, 2008, and that is consistent with Wondries' Bid of 4 June 9, 2008 (collectively referred to as the "Bid Documents"). Consistent with its Bid, Wondries agrees to 8 sell and deliver directly to the City Garage within 90 to 210 days, 9 subject to final inspection by,the City, one new 2009 Chevrolet Tahoe 10 vehicle for the sum of Forty -Two Thousand Two Hundred Twenty -Eight 11 Dollars and No Cents ($42,228.00), plus sales tax, document fees and 12 tire fees and less any applicable discounts. 13 3. Payment Terms. The City agrees to pay Wondries for 14 the Vehicle a total of Forty -Two Thousand Two Hundred Twenty -Eight 15 Dollars and No Cents ($42,228.00), plus sales tax, document fees and 16 tire fees and less any applicable discounts. Payment will be made 17 within thirty (30) days net of receipt of the Vehicle. 4. Warranties. All manufacturers' warranties, the 18 warranties specified on the Bid Documents and any other warranties 19 20 made applicable by law, shall apply to the City's purchase of the above -referenced Vehicle. 21 22 5. General Provisions. - 23 A. Governing Law. The laws of the State of California shall govern the rights, obligations, duties and 24 25 liabilities of the parties to this Contract and shall also govern the interpretation of this Contract. 26 27 B. Notices. Wondries represents that in entering into 9 this Contract, it has not relied on any previous representations or understandings of any kind or nature. 10 11 7. Benefit of Agreement. This Contract shall bind and 12 benefit the parties hereto, their heirs, successors, and permitted assigns. 13 14 8. Forum. Any dispute related to this Contract shall be 15 adjudicated in a state court serving the County of Los Angeles, California. 16 17 9. Arbitration. The parties agree that any and all 18 disputes arising out of or in relation to this Contract, including 19 without limitation any action in tort, shall be resolved exclusively, 20 finally and conclusively by arbitration in Los Angeles County, California under the auspices of and pursuant to the rules of the 21 22 Judicial Arbitration & Mediation Services Inc. (JAMS). Each party 23 will select an arbitrator. Those two arbitrators will then select a 24 third. The three -member panel will make the final decision. All 25 decisions of the arbitrators shall be in writing, and the arbitrators 26 shall provide written reasons for their decision. The arbitration 27 decision shall be final and binding on the parties. The vehicle shall be delivered completely assembled and ready to operate. All equipment normally furnished, as a standard shall be included. All separate units or components shall be new, unused, installed connected and delivered in good operating order. The subject vehicle shall conform in all respects and be equipped to operate legally on California State Highways as specified in the California Motor Vehicle Code. The vehicle shall meet all California State and Federal safety and emissions standards when delivered to the City of Vernon. The successful bidder shall submit in detail a final draft of all specifications for final approval by the City of Vernon and the Vernon Fire Department prior to purchase. All bids submitted shall include sufficient associated literature, as required to fully describe and detail the items under consideration.
